For optimal results, Quinze & Milan advises its customers to use protective covers with pieces for permanent outdoor storage.

TOLERANCE As an inherent aspect of the specific production process, it is impossible to completely control the retraction of the materials during and directly after the production process. This inevitably leads to minimal dimensional differences.

SAFETY Our own finished products are certified DIN EN 71-3 (toys for children). This means that QM Foam products may safely be used as toys for small children in almost all European countries.

ECOLOGY Our products are 100% recyclable. Lifetime can be prolonged by re-spraying and repairing. We have engaged ourselves to take up ecological responsibility, through, amongst others, (re-)engineering of our products, packaging and other ways to prolong the lifetime of our products.

UV STABILITY The color stability when subjected to the sun, is depending on the color. This information is available upon request.

The base is custom made and can be adapted to your device or furniture of choice.

BUYER’S ACCEPTANCE OF THE ‘TERMS & CONDITIONS OF SALE’ These Terms and Conditions of Sale shall apply to every contract “SDC BVBA” for the sale of goods or articles (“Products”) to any person or entity (“Buyer”) who sends to SDC or its agent an order to purchase products from SDC. No order of the buyer will be binding upon SDC unless accepted by SDC at its main office in Belgium on SDC’s form of order acknowledgement. No other person or firm has any authority to accept orders, make representation or otherwise make binding commitments on behalf of SDC. Every order of the Buyer delivered to SDC or its agent will be binding on the buyer unless and until it is rejected in writing by SDC, and may not be cancelled, withdrawn or modified by the Buyer, however, in the event of a partial acceptance by SDC, the Buyer will no longer be bound with respect to the parts of the order not accepted by SDC. Acceptance of any part of the Products ordered shall constitute acceptance of all of the ordered Products, whether or not the Products are all tendered in one shipment. No Products maybe returned by the Buyer without SDC’s prior authorization. All returns shall be subject to verification on arrival at the location specified for the return of the Products in such written authorization.

PRICES All prices are listed in US Dollar unless indicated otherwise on our order confirmation. Freight is prepaid and allowed, FOB Belgium. If an order exceeds 40,000 USD, then SDC shall pay for the shipping door to door within Europe. Special or unusual packaging, shipping or handling will be subject to an additional charge. Prices include normal packaging. Prices do not include storage or insurance charges, sales and other taxes, inside delivery, uncrating and installation costs. Special handling or crating is additional. Prices and specifications are subject to change without notice. List Prices are based in USD. All payments by Buyer shall be in USD. Orders are subject to SDC’s list prices at the time of order acknowledgement and each shipment will be invoiced at such prices.

Orders with extended delivery date may be subject to special pricing. If any tax, tariff, duty or charge, now or hereafter imposed by any governmental authority, foreign or domestic, upon materials sold here and upon the production, sale, transportation, use or delivery thereof, is required to be paid or collected by SDC directly or indirectly, either by such governmental authority or agency or by virtue of SDC’s contract with SDC’s vendors, the amount thereof shall be added to the price provided for herein and paid by Buyer. SDC may, at SDC’s option, add to the price of the materials sold hereunder the amount of any increase in transportation charges for shipments to Buyer provided that such transportation charges are payable by SDC hereunder.

DISCOUNTS AND ALLOWANCES Except as expressly provided in SDC’s order acknowledgement, the Buyer will not be entitled to any discount, allowance, commission or rebate of any kind, directly or indirectly. Any discount granted by SDC for prepayment of any invoice, will be allowed only if the full amount specified in the invoice is received by SDC on or before the due date of the invoice.

TERMS Terms are 50% deposit with order and balance due before order is shipped. Order production begins only when 50% deposit is received. Account is delinquent if payment is not made within 30 days, interest will be charged at the rate of 1.5 % per month on delinquent accounts.

CHARGES AND CANCELLATIONS Requests for changes or cancellations to an order are subject to SDC’s agreement to make these changes. Requests must be submitted in writing within 5 days of SDC’s receipt of the original purchase order and are subject to SDC’s prior written approval, which may be withheld in SDC’s sole discretion. An order placed by Buyer with and accepted by SDC can be cancelled, suspended, or extended only with SDC’s written consent and upon terms that will indemnify SDC against loss and provide SDC with a reasonable profit for its time, services, use of facilities and otherwise. Buyer will be obligated to accept any goods shipped or delivered SDC prior to cancellation, suspension or extension of the order. Any attempt of the Buyer to unilaterally revoke acceptance for any reason whatever after he has accepted any shipment shall constitute a breach of this Agreement. For purposes of this paragraph, acceptance shall be any waiver of inspection use or possession of goods, payment of the invoice, or any indication of exclusive control exercised by Buyer. Changes will be subject to revised delivery date and additional charges for materials and labour, as determined

by SDC in their sole discretion. All orders that require special materials or construction are not subject to cancellations.

TIME OF DELIVERY Any delivery dates specified by SDC will be deemed to be estimates only. Under no circumstances shall SDC have any liability whatsoever for loss of use or for any direct, indirect or consequential damages regardless of the reasons. By placing an order, the Buyer agrees that the time of delivery of the Products is not of the essence, and waives any and all claims arising from any delay in delivery.

SDC reserves the right to discontinue particular Products or lines in response to production and market requirements and demands. The Buyer waives any and all claims which the Buyer might otherwise have for delay or failure of delivery arising out of exercise by SDC of any of its rights pursuant to these General Condition of sale, including, without limitation, any claims for direct, incidental, consequential or other damages. SDC shall not be liable for any delay in delivery, or failure to deliver, due to any cause beyond SDC’s control, including but not limited to, fires, floods, strikes, or other labour disputes, accidents to machinery, availability of materials, acts of sabotage, riots, laws, statutes, ordinances, rules or regulations, restrictions imposed by the federal or any state government or any subdivision or agency thereof, delay in transportation or lack of transportation facilities.

SHIPPING All orders are shipped surface or sea transportation with the risk of loss for the Products passing to Buyer upon delivery to carrier from SDC factory or warehouse. SDC will select method of shipment.

All delivery/ship dates are approximate only. Buyer may select alternate shipping method (e.g. air freight), additional charges other than those normally incurred by SDC’s method of shipping will be at the Buyer’s expense. SDC will calculate and bill additional charges at the time of shipment. Complete shipping instructions should be given at the time the order is placed. SDC will not be liable for delay in shipment or delivery of the order or for damages claimed to the result from such delay. Buyer bears the risk of loss or damage during shipment. All deliveries are made to the first door on ground level of the customer’s building. Exceptions must be confirmed by written agreement.

FAILURE TO PICK UP / ACCEPT PRODUCTS It is the Buyer’s responsibility to pick up the goods as soon as it is notified by SDC of their availability. Any costs or expenses incurred by SDC (including, but not limited to, demurrage charges, warehousing costs and transportation) as a result of the Buyer’s failure to pickup/accept the Products by the date specified by SDC, will be charged to the Buyer.

STORAGE If the Buyer will not accept delivery of Merchandise when SDC is ready to make shipment, SDC may transfer the merchandise to storage 15 days from originally acknowledged ship date.

Transfer, storage and insurance costs will be at the Buyer’s expense. SDC will consider such a transfer as delivery for all purposes including invoicing and payment. Buyer bears the risk of loss or damage during storage.

CLAIMS SDC carefully inspects, packs and delivers furniture in good condition to the carrier who accepts it only in good condition and agrees to deliver it to Buyer in good condition. Upon receipt of Product, Buyer shall carefully inspect the Product for completeness and product integrity. Any damage, or quantity discrepancies must be noted upon receipt of order with the carrier. Product with obvious damages may be refused by the Buyer. Any claim by the Buyer of any and every kind must be made in writing dispatched to SDC by certified mail, return receipt requested, not later than 3 days from the date of delivery of the Products with respect to which the claim is made. Failure to make any claim in such manner, or within such 3-day period shall constitute an irrevocable acceptance of the products and an admission by the buyer that the Products fully comply with all terms, conditions and specifications of this order.

RETURNS Returns of Products will not be accepted without our written authorization and shipping instructions. Unauthorized returns will be returned freight collect. Authorized returns are subject to a restocking charge of 25% for standard items, non standard and custom items cannot be returned. An additional charge may be also imposed to cover the cost of restocking merchandise returned in damaged condition. Return transportation must be prepaid.

DESIGNS All designs shown in our catalogues and price lists are, and remain, our property. All dimensions shown are approximate. SDC’s catalogue and price list are not available to the general public and are issued to the trade solely for the purpose of inviting purchase of these models.

MATERIALS SDC carefully selects only the finest quality products for its Products. While SDC makes every effort to match consistence appearance of the product, all Products are sold subject to commercially acceptable variations or irregularities of colour, surface, grain or texture due to the nature of the materials and techniques applied. Wood being a natural material, changes colour in time. This due to the sunlight but also because of the aging of the wood itself. Differences in colour may also occur from batch to batch. Considering that our tables and chairs surely come from different production batches, slight differences in colour and grain may occur.

LIMITED 2 YEAR WARRANTY Unless otherwise agreed on the time of order, we warrant our Products for two (2) years after their shipment, against defects in Workmanship and material provided that the Product is used under the conditions for which it was designed and the Product is used for its intended purpose. For example: - chairs are intended to be used no more than 40 hours a week. - all products in which QM FOAM is used are designed for seating and / or sleeping purposes only. Warranty does not cover for jumping, standing, walking on the furniture. Normal wear and tear of the Products are expressly excluded from the warranty. The products using QM FOAM will show a “Patina” and “Texture” that results from the use, this is purposely chosen as part of the design and cannot be considered as damage of any kind. For the lifetime of the Product, SDC will provide Buyer Service Assistance. Veneers and Laminates are not included in the warranty, but SDC shall assign to Buyer any warranty received by SDC from the manufacturers of such veneers and laminates.

Damage caused by water, ultra violet light, sea air or extreme changes in temperature are specifically excluded from the warranty. SDC makes no other warranty of merchantability of products or of their fitness for any purpose or any other express or implied warranty. Products which do not conform to the description, short in any respect or which are defective in material or workmanship will be replaced, repaired or, at SDC’s option, credit for their original purchase price will be allowed provided if SDC is notified of such defect within seven (7) days after delivery and buyer returns such product in accordance with SDC’s instructions. The foregoing constitutes buyer’s sole remedy and SDC’s sole obligation with respect to products furnished hereunder.

Buyer hereby agrees to waive any and all rights or claims against SDC by law or equity. SDC shall not be liable for direct, indirect, incidental, special or consequential damages, under any circumstances, including but not limited to damage or loss resulting from inability to use the products, increased operating costs or loss of production, or any other damages, whether arising from causes similar or dissimilar to those enumerated. This warranty gives you specific legal rights, which may vary from state to state and country to country. Some states do not allow limitations on how long an implied warranty lasts, so the limitations above may not apply to you.

C.O.M. / UPHOLSTERY C.O.M. fabrics must be sent to SDC completely free of charge.

The fabric requirements will be indicated by Quinze and Milan and will always refer to uniform, plain colour fabrics, with a width of 140 cm. Unless specifically otherwise agreed upon on beforehand SDC will refuse fabrics with pattern repeat. Also stripes and directions have to be considered as patterns, in terms of cutting and knitting, and therefor have to be indicated on beforehand.

For orders in QM Leather, there is a minimum order quantity per colour to reckon with. Fabrics and leather may have slightly different shades according to the different production batches. This means that SDC will check the fabrics against the scale of greys (UNI EN 20105 A02/A03) but can not be held responsible for the inevitable remaining, smaller differences.

WAIVER No Failure of SDC to insist upon strict compliance by Buyer with the terms and conditions of this order to exercise any rights accruing from any default of the Buyer shall impair SDC’s rights in case Buyer’s default continues or in case of any subsequent default by Buyer.

MERGER CLAUSE SDC’s dealers, salespeople or other employees may have made oral statements about the merchandise described in this order. Such statements do not constitute warranties, shall not be relied on by Buyer and are not part of the order. The order is embodied in this writing and any and all representations, promises, warranties and statements by SDC’s or its and/or their Agent(s) that differ in any way from the terms of this written agreement shall be given no force or effect.

MODIFICATION These terms and conditions maybe modified only by a writing signed by an authorized representative of SDC. APPLICABLE LAW AND JURISDICTION All orders shall be governed by and construed in accordance with the law of Belgium. SDC may commence and prosecute such litigation in any jurisdiction in which the Buyer may be located or found or may do or transact business.

SEVERABILITY If any provision of these Terms and Conditions of Sale or the application thereof to any person or circumstance shall, to any extent, be invalid or enforceable, the remainder of these Terms and Conditions of Sale, and the application of such provision to persons or circumstances other than those as to which it is invalid or unenforceable, shall not be affected thereby, and each provision of these Terms and Conditions of Sale shall remain in effect and shall be enforceable to the full extent permitted by law.
