TITLE DEEDS TITLE DEEDS WARRANTY DEED This type of deed is the most commonly used form in real estate closings. Buyers prefer to receive this form of deed because it provides the most protection and assurance to the grantee of any other deeds. The Warranty Deed has the effect of transferring all the interest of the grantor in the property on the date of the transfer as well as any after acquired title. SPECIAL WARRANTY DEED This deed has the same effect as the warranty deed, except that the covenant against encumbrances is limited to those encumbrances created or suffered by the grantor and the covenant to defend against all claims is limited to claims by, through or under the grantor – the grantor’s promises relate only to things the grantor did or allowed to be done while the grantor held title. Appropriate use of this deed would be a deed given in fulfillment of a contract. BARGAIN AND SALE DEED This deed transfers the entire interest of the grantor and prevents the grantor’s heirs, successors and assigns from asserting any interest in the property, but does not provide any covenants of title – the grantor makes no promise that he is seized of the property. QUIT CLAIM DEED This deed releases and conveys all right title or interest the grantor may have in the property on the date of the deed. It will not convey after acquired title and makes no covenants whatsoever. This deed is the weakest of the four statutory deeds and offers the least protection for the grantee. While it will sometimes convey title, this form of deed is most often used to clear a “cloud” or uncertainly from title. JUDICIAL DEED These are not written by judges, but by attorneys under court order. If the settlement of a case includes the transfer of property, the judge will order on of the attorneys to prepare the deed.
DEED IN LIEU OF FORECLOSURE This is used in what is sometimes referred to as a “friendly foreclosure.” A borrower who is in default may elect to deed the property to the creditor rather than undergo foreclosure proceedings. It is also called an estoppel deed. The grantor would be estopped, or barred, from later asserting any legal right to the property. LAND SALE CONTRACT This is a financial agreement used between a seller and buyer for the purchase of real property where the buyer pays for the property in installments. Until the buyer (vendee) pays the final installment payment however, the seller (vendor) retains actual legal title and the buyer holds only an “equitable interest.” During the term of the contract, the buyer makes principal and interest payments and is usually expected to pay the property taxes and to keep the property insured. This is the least secure method of buying property from the buyer’s viewpoint since the deed that transfers title is not delivered until all the payments have been made – often several years. Problems could arise if the seller refused to execute and deliver the deed or the seller could not be found. For this reason, it is advisable to use a collection escrow. The executed deed is placed in escrow with a neutral party with instructions to deliver the deed to the buyer when the last payment has been made. A land sale contract that will extend beyond 12 months in term must be recorded by the seller within 15 days of the date the contract becomes effective. A seller who has not recorded a land sale contract could conceivably get a loan against the property without the buyer’s knowledge. The lender would have no record of the buyer’s contract. The lender would of course, record their loan and their lien would have priority over the buyer’s interest.
