agreed upon by the Parties, and will undertake commercially reasonable efforts to perform the Services. Client agrees to review Deliverables within the time identified for such reviews and to promptly either, (i) approve and accept the Deliverables (which will then become the Final Deliverables) or (ii) provide written comments and/or corrections sufficient to identify the Client’s concerns, objections or corrections to Designer. 7.2 Acceptance. Within five (5) business days of receipt of each Deliverable, the Client shall notify Designer of any failure of such Deliverable to comply with the specifications as agreed upon by the Parties, or of any other objections, corrections, changes or amendments Client wishes made to such Deliverable. Any such written notice or electronic mail shall be sufficient to identify with clarity any objection, correction or change or amendment, and Designer shall undertake to make the same in a commercially timely manner. Any and all objections, corrections, changes or amendments shall be subject to the terms and conditions of this Agreement. In the absence of such written notice or electronic mail from Client within said stated time period, the Deliverable shall be deemed accepted. 8. Changes 8.1 General Changes. Unless otherwise outlined in the Proposal, Client shall pay additional charges for changes requested by Client which are outside the scope of the Services, at [NAME OF DESIGNER] standard hourly rate of $120 per hour. Such charges shall be in addition to all other amounts payable under the Proposal, despite any maximum budget, contract price or final price identified therein. [NAME OF DESIGNER] may extend or modify any delivery schedule or deadlines in the Proposal and Deliverables as may be required by such Changes. 8.2 Substantial Changes. If Client requests or instructs Changes that amount to a revision in or near excess of fifteen percent (15%) of the time required to produce the Deliverables, and or the value or scope of the Services, [NAME OF DESIGNER] shall be entitled to submit a new and separate Proposal to Client for written approval. Work shall not begin on the revised services until a fully signed revised Proposal and, if required, any additional retainer fees are received by [NAME OF DESIGNER]. 9. Copyright and Ownership 9.1 Original Material. The Client affirms that to the best of its knowledge all materials furnished and used are its own original material or material which they have obtained the copyright to use for the purposes of this Agreement. Written copies of copyright clearances may be required by the [NAME OF DESIGNER]. All deliverables produced for this project and

any subsequent projects during the term of this contract, shall be the exclusive property of the [NAME OF CLIENT] and [NAME OF DESIGNER] agrees that the Client shall be the copyright owner of the “works for hire” produced under this contract. 9.2 Use by Client. The Client and/or the sponsoring agency reserve a royalty-free, nonexclusive and irrevocable License to reproduce, publish, otherwise use and to authorize others to use the work for purposes outlined in [APPENDIX]. 9.3 Use by Designer. [NAME OF DESIGNER] retains the right to reproduce, publish and display all Final Deliverables outlined in the Proposal in the Designer’s portfolios including websites, galleries, design periodicals and other media or exhibits for the sole purposes of recognition of creative excellence or professional advancement, and to be credited with authorship of the Final Deliverables in connection with such uses. Either Party may include a link to the other Party’s website. 10. Indemnification 10.1 By Client. The Client agrees to indemnify, save and hold harmless Designer from any and all damages, liabilities, costs, losses or expenses with respect to any and all claims, demands, or actions brought forth by a third party arising out of any breach of Client’s responsibilities or obligations, representations or warranties under this Agreement. Under such circumstances, Client shall promptly notify Designer in writing of any claim or suit. Client has sole control of the defense and all related settlement negotiations. Designer shall provide Client with commercially reasonable assistance, information and authority necessary to perform Client’s obligations under this section. 10.2 By Designer. Subject to the terms, conditions, express representations and warranties provided in this Agreement, Designer agrees to indemnify, save and hold harmless Client from any and all damages, liabilities, costs, losses or expenses arising out of any finding of fact which is inconsistent with Designer’s representations and warranties made herein, except in the event any such claims, damages, liabilities, costs, losses or expenses arise directly as a result of gross negligence or misconduct of Client. 11. Termination 11.1 Written Notice. Either party may terminate this Agreement at the mutual agreement of both parties by giving thirty (30) days written notice or if any party: becomes insolvent, files a petition in bankruptcy, makes an assignment for the benefit of its creditors; or (b) breaches any of its material responsibilities or obligations under this Agreement, where breach is not

remedied within seven (7) days from receipt of a formal written notice of such breach. 11.2 Fees. In the event that this Agreement is terminated by the Client, the Client shall pay all Expenses, Fees, and Additional Costs incurred through to the date of the termination. The Initial Consultation fee is non-refundable. 12. General 12.1 Notices. All notices to be given hereunder shall be transmitted in writing either by electronic mail with return confirmation of receipt or by certified or registered mail, return receipt requested, and shall be sent to the addresses outlined in the Proposal unless notification of change of address is given in writing. Notice shall be effective upon receipt or in the case of fax or email, upon confirmation of receipt. 12.2 Governing Law. The formation, construction, performance and enforcement of this Agreement shall be in accordance with the laws of the United States and State of Residence without regard to its conflict of law provisions or the conflict of law provisions of any other jurisdiction. notification of change of address is given in writing.
