THE INTERPRETATION OF THE VOETSTOOTS CLAUSE BY OUR COURTS The recent decision in Van Rooyen v Brown and Another (A3104/2015) [2018] ZAG PJHC 453 has provided much insight into the shift our legal system is currently experiencing. We are witnessing a watering down of the absolute protection the voetstoots clause has offered sellers and their agents in the past. Historically, a seller would simply deny knowledge of a latent defect to avoid the responsibility of having to remedy such defect. The facts included the following: Mr and Mrs Brown made an offer to purchase on a property put on the market by Van Rooyen. The offer was eventually accepted. Before signing the sale agreement and in the presence of the estate agent, the Browns duly inspected the property. The sale agreement made specific provision for the usual terms and conditions, including: 1. A warranty in respect of fixtures and fittings 2. A voetstoots sale condition 3. That the seller shall provide a valid electrical certificate of compliance to the purchaser

The Browns, by agreement, took occupation and subsequently discovered various defects. It was stated that such defects were not apparent at the time they inspected the property and were not pointed out to them by Van Rooyen or the agent. The Browns further contended that the pool pump and filter (fixtures and fittings) were not in a good working order as warranted and that the electrical compliance certificate was invalid. As a result of these defects and breach of warranty, the Browns claimed damages from Van Rooyen. The Magistrates Court found in favour of the Browns and Van Rooyen was ordered to pay the costs of repairs. Van Rooyen however appealed the matter with the relevant arguments being: 1. The property was sold voetstoots leaving no liability on the seller for the defects; 2. Some of the defects were latent and outside of the sellers knowledge The High Court stated that the seller can only hide behind the voetstoots clause where the seller was not aware of the defects or where there was no warranty – expressly, impliedly or tacitly – given to the purchaser by the seller. Therefore in order to get around the seller's exemption through the voetstoots clause, the purchaser must show that the seller was aware of the existence of the latent defect and deliberately concealed the existence of the defect. Van Rooyen failed to show her bona fides (good intentions) in not disclosing the various defects. By virtue of the facts of the case, the only reasonable inference that could be drawn was that Van Rooyen deliberately concealed various defects from the Browns. Her appeal was therefore dismissed with costs. As is evident from the above case, sellers need to be up to speed with the various evolvements of our law in order to avoid the risk of been held liable to the purchaser for damages. Throw a blind tasting party Another way to lure people to your place is to invite them to a blind wine tasting. In this case, the only thing you'll need to supply are the wine glasses. Each guest is invited to bring their own bottle of wine which they hand to you upon arrival. As the host, you cover the labels of the bottles (in tin foil, paper, or anything you have at home) and fill everyone's glasses with mystery wine.
