Be smart about agent commission Selling a home for full value within the current economic conditions is challenging, which makes the services of a real estate practitioner invaluable

S

ellers are sometimes reluctant to call in the services of an agent to assist with marketing and selling of their homes, mainly citing paying commission as an “unnecessary” expense.

But, especially in the current situation where buyers base many of their decisions in choosing their next home on online information and virtual tours, and because agents have strict health protocols to adhere to when it comes to physically viewing a home, an agent may be the only way to a successful sale. There are, however, various other reasons why a seller will benefit from using a real estate practitioner, says Adrian Goslett, regional director and CEO, RE/MAX of Southern Africa. “Apart from the advice provided throughout the process, real estate practitioners have the expertise to help sellers realise greater profits from the sale of their home. This will be essential to sellers who hope to sell their homes for full value over the next few months as our economy recovers.”

Valuation The first way real estate practitioners can help their clients sell for full value is to let sellers know what the true market value of their home is within the current market conditions. “Sellers often overlook the importance of pricing the home correctly from the very start. A listing that sells within the first three months of having been listed, statistically will sell for closer to full value than homes that remain on the market for longer. To achieve a timeous sale, the home needs to be marketed at a price that aligns with buyers’ expectations for a home of that value. “If the home is overpriced, it’s likely that the property will remain on the market for longer. The longer a home

is on the market, the more likely buyers will make cheeky, low-ball offers. Listening to the advice of a reliable local property expert will help sellers set a realistic asking price and avoid this outcome,” says Goslett.

Negotiation As experts in their local market, agents can advise sellers and let them know if a buyer’s offer is worth accepting. “A real estate professional will know how active the local market is and can provide insight into whether the seller stands a chance of receiving a higher or better offer. They’re also expert negotiators and can negotiate with the buyer on the seller’s behalf. Sometimes an estate agent can negotiate an offer that’s anywhere from R10,000 to R100,000 more than the seller was initially willing to accept,” Goslett highlights.

Show & tell As another benefit, real estate agents are often able to provide staging advice that can add immense value. “Knowing what buyers will haggle down prices for, a real estate practitioner can advise a seller on the key points that need to be fixed, updated or renovated for the home to fetch a higher selling price. Given that we’re in a buyers’ market, this advice will help sellers stand out among the local competition and increase their chances of selling,” says Goslett.

Letting When renting out your property, an agent can make your life much easier too, taking over several unpleasant responsibilities often part and parcel of having a tenant. Again, some landlords may be reluctant to call on an agent’s help and may think waiving about 10% of the rent is too high a price to pay.

The hazards of trying to sell privately But, says Gerhard Kotzé, MD, RealNet estate agency group, managing rental properties – and tenants – is becoming more complex, and there aren’t many private investors with the specialist knowledge or time to do so. “They need help from properly trained and qualified letting agents who also comply with the relevant legislation and regulations.” According to him, many landlords find that the 10% going to a rental agent isn’t a high price to pay for the peace of mind that comes from someone managing their leases, tenants and, if necessary, properties in their absence. The main advantages of a professional handling your letting affairs are better tenant selection, and better rent collection. “In addition, by hiring a letting agent, you put a buffer between yourself and the tenant. You don’t have to listen to excuses, chase down rent, or be the ‘bad guy’ if it becomes necessary to evict the person living in your property. Agents also have an advantage because tenants usually

realise that they, unlike the owner, are just doing their job and are obligated to enforce the lease terms. In fact, many agents say that it’s considerably easier to manage other people’s properties rather than their own, for this very reason,” Kotzé says.

Selecting your agent A personal recommendation always helps, Kotzé says, but preferably choose an agent who already manages a portfolio of rented accommodation and can provide references from other landlords. “Next, you should make sure your agent is registered with the Estate Agency Affairs Board, has a trust account for clients’ money, and only takes commissions from landlords (not from tenants). It’s also preferable that the agent or agency is a member of one of the established national real estate groups, as it improves the chances of the agent using tried and tested

management systems and complying with a number of acts and regulations that are specific to property letting.” After making your choice, it’s likely that you’ll then be asked to sign an agency agreement or “letting mandate” that covers the agent’s right to let the property on your behalf and manage it during the tenancy. “You must make sure that you read this, and don’t sign it if there’s any part that’s unclear or that you don’t agree with,” Kotzé says. Similarly, you should check out the lease agreement your agent will be using. “If there are any special instructions you want your agent or tenant to follow, you must put them in writing, date them and keep copies in a clearly marked file. Remember that the agent always represents the property owner (landlord) and cannot and should not do anything without the express mandate of the owner.” However, once you’ve reached agreement and the agent knows what you expect, it’s time to back off and let the agent do his or her job, Kotzé says.

“We find that most DIY or private sellers are homeowners who need to sell to get out of financial trouble, and have taken this route in the hope that saving the commission will mean they won’t have to ‘pay in’ to settle their home loan after the sale,” says Berry Everitt, CEO, Chas Everitt International property group.

Lack of experience

Unfortunately, they often fall into one of the many potential pitfalls of selling privately, and end up even worse off. “We see this every day, and we would like people to be aware of the hazards,” he says. These may include the following:

Extra costs

You carry all the costs of advertising and marketing, whether or not you sell your home. You’ll have to try to gauge which advertising media might be most effective, and place and monitor your own ads. You’ll also need to get your own for-sale boards made and put them up and take them down in accordance with your local authority’s signage bylaws. You’ll need to organise and run your own individual viewings, which come with all sorts of complications and legal requirements because of Covid-19. “A reputable agent will be following the strict industry guidelines for viewings, and your risks will be significantly lower as a result,” Everitt says.

Lack of exposure

Most private sellers don’t have the knowledge or resources to expose the property to a big enough pool of potential buyers and create enough awareness. “Good estate agents, however, will have access to existing buyer bases as well as national and international advertising and marketing channels,” he says.

Legal and liability issues

Apart from the need to achieve familiarity with sale agreements and all sorts of other legal documents – or to pay an attorney to check them – private sellers potentially face all sorts of liability issues when they’re dealing with a buyer one-on-one. The Consumer Protection Act is just one of the minefields that have to be crossed to achieve a successful sale.

Unqualified buyers

There may be many people wanting to buy but, with the banks being so strict on credit, they may not qualify for a home loan. “It’s very difficult for private sellers to establish the financial capabilities of potential buyers or worse, people who are trying to ‘scam’ them into giving them occupation of their homes.”

Security

As a private seller, you have no screen between you and potential buyers – or potential crooks who may use the opportunity to get inside your home and either steal things while looking around, or “case” the property and security systems to plan a crime.

Holding costs

If your home fails to sell because it’s overpriced or underexposed, you’ll just have to keep on paying your bond, rates and taxes, electricity and water charges, insurance premiums and security and maintenance costs – and these “holding costs” can quickly mount up to more than the potential saving of not paying an estate agent commission.

F

or decades the show house has been part and parcel of traditional real estate practice. Mostly held on Sundays, an open viewing gave buyers the chance to view a home at their leisure with the estate agent at hand to answer any questions they may have. However, even before the pandemic, concerns were raised about the safety and security risks of opening a home for public entry. Now there’s the added health risk of exposure to the coronavirus to consider.

Safer ways

Virtual and video home tours offer a safe and convenient way for all parties to view properties. The lockdown escalated the use of these visual aids to showcase listed properties as physical viewings weren’t allowed. Various estate agencies reported that buyers and tenants welcomed these alternatives, but added that for most a physical inspection was still critical before concluding a deal to rent or buy.

Risks

The past few years have seen an

increase in reported incidences where opportunistic criminals posed as buyers to gain entry to homes to steal or rob once inside. The pandemic has added exposure to the virus as another possible liability, although all estate agents should comply with the Covid-19 health and safety regulations of the Estate Agency Affairs Board (EAAB) regarding physical viewings. These include, among others, that estate agents should complete a questionnaire with each prospective buyer about their possible exposure to the coronavirus

and their health, and taking and recording their temperature before allowing them to enter the home. The EAAB advises that all property viewings should be virtual and physical viewings should only take place once the agent has made sure that the person is “definitely interested” in buying the property.

By invitation only

According to Craig Hutchison, CEO, Engel & Völkers Southern Africa, for their agency, viewing by appointment has always been the preferred route of showing homes rather than the traditional Sunday show houses where sellers are inconvenienced. Before a client may view a property, they’re prequalified and their identity documents checked. Denese Zaslansky, CEO, Firzt Realty Company, also suggests show houses by invitation only for a few select buyers. “Crime is a major issue and apart from putting people at risk by having an open invitation, occasionally even an open door or gate invites problems,” she says.

Days are numbered

For some, the days of the traditional show house are over. Bruce Swain, CEO, Leapfrog Property Group, says the concept of the show house has certainly reached its sell by date. “As online marketing tools become more sophisticated and become established as buyers’ preferred means of searching for properties, show houses don’t

hold the appeal they once did. Add to that the need to adhere to social distancing best practices to prevent the spread of Covid-19, and the security risk posed by opening private properties to the public, it’s clear that the time has come to move on from the era of the show house,” he says. According to Tony Clarke, MD, Rawson Property Group, going forward it’ll be the property owners and landlords who will insist on a move away from show houses. “We have to accept that the world has changed and will never be the same again, thanks to Covid. This also applies to our industry and the way we market property. We believe that it’ll be sellers themselves who end up galvanising change in the property industry. “Given these precarious times, we believe it’s the sellers who will start insisting that agents use virtual tools to market their homes, rather than opening their homes to large numbers of people who might contaminate their space.” Despite the risks involved, there are agencies that decided to continue with show houses. Pierre Rousseau, general manager, PropertyTime, says their agents have the choice whether they want to have show houses or not – “they’re not forced to do so at all”. Their agents never host a show house alone and in the Joburg area they have a security guard present. Home viewers also have to complete the visitor’s book and present their IDs.

Agents help curb financial crime Estate agents play a key part in combatting money laundering and terrorist financing, by submitting information that can lead to successful prosecution by the authorities

E

state agencies are listed in the Financial Intelligence Centre Act (FIC Act) as accountable institutions and are required to fulfil various compliance obligations. These requirements include registering with the Financial Intelligence Centre (FIC), and submitting various regulatory reports to the FIC including suspicious and unusual transactions, cash threshold and terrorist property reports. The FIC uses the information contained in these reports for conducting analysis and, where necessary, the production of financial intelligence reports. In turn, law enforcement and prosecutorial authorities use these reports for their investigations and applications for asset forfeiture.

What is money laundering?

Money laundering is the term used to describe the process where criminals hide, conceal or disguise the nature, source and location of their proceeds from unlawful activities and/or any interest anyone has in such illicit proceeds.

Suspicious and unusual transaction reports (STRs) Where an estate agent believes a transaction is not above board, they must file an STR to the FIC, without tipping off the client. An example of a possibly suspicious or unusual transaction could be where an employed client pays a reasonable rental amount each month. Then, suddenly, the client makes a lump sum payment of six months’ rental in advance. The estate agent should consider whether the lump sum payment is in line with the client’s stated source of the funds and transaction history. Where the payment is not, it could be a red flag and spark suspicion.

ADVETORIAL ADVERTORIAL

All businesses must raise their levels of awareness and vigilance about money flowing through their company or when they facilitate the transfer of funds. In doing so they contribute to the fight against financial crime in South Africa. The experience and understanding estate agents have of their industry and of typical client behaviour are important to enable this sector to see when transactions or activities seem out of the ordinary. To further assist estate agents to better understand the money laundering and terrorist financing risks this sector faces, the FIC publishes trends, typologies and case studies on its website. All STR reports in terms of section 29 of the FIC Act must be filed within 15 days of suspicions arising. Estate agents should read Guidance Note 4B, which is available on the FIC website.

Cash threshold reports (CTRs)

Cash threshold reporting in terms of section 28 of the FIC Act requires estate agents to submit reports on all cash transactions of R24,999.99 and above. Estate agents must also file reports on aggregated cash transactions amounting to R24,999.99 or more. While the aggregation period is not specified, the FIC recommends that a period of at least 24 hours be applied when considering aggregation. All cash threshold reports must be filed with the FIC as soon as possible but no later than two days after the estate agency or any of their employees becomes aware of a cash transaction or series of cash transactions that have exceeded the prescribed threshold. Estate agents should read Guidance Note 5B in this regard.

Terrorist property reports (TPRs) Another regulatory reporting obligation, a TPR, relates to section 28A of the FIC Act. To comply with this obligation, an estate agent and all other accountable institutions must report to the FIC any property under its control, or which is known to be connected to the financing of terrorist activities. The estate agent must file a TPR with the FIC as soon as possible, but no later than five days after the estate agent or their employees become aware of the fact that the property is connected to terrorist financing. Where the estate agent files a TPR, they should not process any transactions related to that property or any sanctioned person or entity. Estate agents should read Guidance Note 6A and Public Compliance Communication 44 in this regard. Receiving reports from estate agents is vital in the fight against money laundering and terrorist financing. To this end, estate agents must comply with their obligations in terms of the FIC Act and the Money Laundering and Terrorist Financing Control Regulations and file reports on time.

Deeds not done

The lockdown put on hold many real estate transactions, but other factors also lead to a delay in property transfers WORDS: MARANA BRAND

ellers, buyers, estate agents, banks and attorneys breathed a collective sigh of relief when it was announced that deeds offices could reopen on 4 May under Alert Level 4. This meant – in theory – that property transactions previously concluded could be finalised, sellers could receive the proceeds of sale, purchasers who contracted to move into properties on registration could do so, estate agents could receive payment of their commission, banks could disburse loans granted and start receiving interest, and attorneys could pass their fees.

Too happy, too soon

Unfortunately, says Lethabo Mashishi, associate and conveyancer at Adams & Adams, deeds offices only resumed operations on 13 May as they were waiting for PPE (personal protective equipment) and were arranging for staff to safely return to work. Since re-opening, most deeds offices had to close their doors at some stage – many more than once – to decontaminate their buildings due to positive cases of Covid-19. “This, together with the fact that only a limited number of staff members are allowed in buildings, has caused delays in the examination of deeds. Luckily, it only takes deeds offices a few days to decontaminate their premises so that they can resume their operations,” Mashishi says.

Many fingers in the transfer pie

Transferring attorneys are dependent on external role-players such as SARS and municipalities to have a property transaction registered – the Deeds Office requires a transfer duty receipt issued by SARS, and a rates clearance certificate issued by the relevant municipality. All role-players are expected to do their bit to successfully register a property transaction and the transferring attorneys have to drive the conveyancing process, says Mashishi. Others involved are the attorneys attending to the registration of the purchaser’s bond, and the attorneys cancelling the seller’s existing bond.

“All of these have their own requirements to comply with before a property transaction can be successfully registered,” he says.

The buck stops at municipalities

Currently, transferring attorneys are struggling to obtain rates clearance figures from municipalities. This causes delays and frustration, specifically for those who are financially dependent on the registration of transactions as they are now at the mercy of municipalities. “Under normal circumstances, it takes a week to obtain rates clearance figures from a municipality and a further two to three days to obtain a rates clearance certificate once the figures have been paid. At the moment, some rates clearance figures that have been applied for during May are still outstanding.”

Sell-by date

By law, a rates clearance certificate is only valid for 60 days from the date of issue. Most transactions which were ready for lodgement in the Deeds Office prior to lockdown, now require new rates clearance figures as the certificates have expired. It seems that rates clearance departments at the various municipalities did not work remotely during Alert Level 5 and are slow to get their operations back on track. “This backlog, coupled with the limited number of staff permitted at the office to process rates clearance applications, has dire consequences for the property sector,” Mashishi says. And until such time as rates clearance figures and certificates are issued timeously, parties involved in property transactions will have no other choice but to endure the delay.

What you can do

Mashishi says homeowners should ensure that their rates and taxes are paid up to date to ease the process. Should there be any arrears, and the municipality has commenced with a legal process to recover those arrears, it may cause a delay

to the issuing of rates clearance figures by the municipality. Homeowners should also send photographs of their meter readings to the transferring attorneys as this information will be required when applying for rates clearance figures, he says. “This will save municipal officials’ time as they will not have to go to a homeowner’s residence to obtain the latest actual meter readings.” Mashishi says there are unfortunately no shortcuts as “there’s a process that must be followed when attending to transfer of a property and there’s no way to circumvent that process”. n an oversaturated market, sellers cannot afford to sit back and simply wait for that one buyer who might be able to recognise a rough diamond in a sea of worthy competition,” says Jill Lloyd, veteran agent and area specialist, Lew Geffen Sotheby’s International Realty in Claremont. “There’s undoubtedly an element of luck to selling a home quickly, but if you’re doing everything right and working closely with your agent, it’s only a matter of time before the right buyer will come along.” Lloyd shares some tried and true tips to ensure your property is visible in a tough market, and sells as quickly as possible for the highest possible price.

Research and prepare

Before you contact an agent, do your homework and research the market in your area. What are similar properties selling for, what features are popular, which listed properties stand out for you and why?

Play the agent field

Good agents are worth their weight in gold, but the wrong agent can just as easily scupper a deal. Interview at least two agents and don’t be won over by the highest valuation received, especially in a tough buyers’ market when the highest valuation is usually not the best valuation. Rather select an agent based on their skills set, local market and area knowledge.

Price your property right

You can’t afford to price yourself out of contention, especially in a strident buyers’ market. If you’ve appointed a strong agent, you should trust them to guide you. Remember that there’s a difference between market price

and the bricks-and-mortar value – and there’s always a ceiling to what the market is willing to pay. Rather create a bidding war with competitive pricing than have your home sit on the market for ages with no offers.

Touch up – but don’t over-upgrade

Quick fixes always pay off, but you’re unlikely to see a return on investment for major make-overs just before selling. Make sure all fixtures and fittings are working, replace broken door handles and fix leaky taps. If possible, give the interior and exterior a fresh coat of paint, but stick to a neutral palette so the new homeowner can add their personal touch and splash of colour.

Don’t underestimate the importance of the kitchen

It literally is the heart of the home and it’s the one room where you can splurge a little more – and recoup most of the money. If you have a little extra cash, buy one quality stainless steel appliance because when people see one high-end appliance, they assume all the others are also good quality.

You only have one chance to make a good first impression

Before setting foot inside, a buyer will already have judged your home, so don’t neglect to spruce up the kerb appeal. Paint the fence, mow the lawn and plant some flowers or greenery if your garden is bare. Entryways are also important, so make sure your front door is presentable.

Keep it light and bright

Good natural light features are on most buyers’ wish lists, so maximise the light in your home by cleaning the windows, tying back curtains, opening blinds, increasing the wattage of light bulbs and trimming bushes and trees

outside windows. A light, bright and airy home is much more sellable.

Plenty of professional photographs

With so many properties on the market, you need to grab a potential buyer’s attention and the best way to do this is with quality photographs online that show your home to its best advantage.

Compare your advert

Have a look at your property ads online and compare them to those of other similar properties in the area. Particularly examine the photos, what the lead image is, how big the rooms look and read the property description. If yours doesn’t stand out, ask your agent to amend the advert.

Make your home experiential

Potential buyers should be able to imagine themselves living in your home when they physically visit your house with an agent, so make it as inviting as possible. Try to stimulate all the senses with enticing aromas, brightly coloured flowers, setting the dinner table with good china.

Depersonalise your home

The more personal items in your house, the less potential buyers can imagine themselves living there. Pack away photographs and personal clutter, keep the fridge clear of kids’ drawings.

Clear the garage

Yes, it’s the perfect place to hide the clutter, but rather take the opportunity to clear it now to make a better impression and save yourself the hassle when you move.

Conceal the pets

Not everyone is a dog or cat lover and being welcomed by wet licks or stumbling over a smelly litter box could put off an otherwise keen buyer.

“These numbers aren’t surprising considering that no transactions were processed at the Deeds Office during most of April and May. However, the results for June provide a glimmer of hope that activity will slowly return to normal now that lockdown restrictions have eased,” explains Adrian Goslett, regional director and CEO, RE/MAX of Southern Africa.

Sectional title schemes hit harder

Following the trend from the previous quarter, sectional title schemes continued to be worst affected by the lockdown in the second quarter (Q2) of the year. Reflecting a significant decline, the national median price of sectional title units, according to Lightstone Property, dropped by 8% to R953,084 from the R1,032,045 reported in Q2 of last year and by 1% since the first quarter (Q1) of 2020. Freehold homes reflected a current national median price of R1,109,852, which is a 3% decrease on the median asking price for Q2 last year (R1,148,167), Lightstone indicates. When compared to Q1 2020, the median asking price decreased by 6%.

According to stats provided by Private Property, property prices in the Free State were the least affected by the lockdown. The median asking price grew by 12% YoY to R1,199m in Q2 2020 from R1,07m in Q2 2019.

Slow growth

According to Goslett, the results of the second quarter were predictable. “We knew we would see very low levels of activity and house price appreciation. It ’s now a matter of waiting to see how quickly the housing market recovers at Alert Level 2. I predict slow corrective growth for the next quarter provided there are no further surprises as this pandemic unfolds. “I cannot stress enough how large of an opportunity the current housing market presents to investors at this time. With interest rates at a historic low and with downward pressure on house prices, investors stand to make great returns on investment by purchasing property now,” Goslett says.

Power talk With lockdown presenting its own problems, Eskom has now added to our woes by reintroducing load shedding and load reduction. Inverters may help ease that burden. WORDS: SUPPLIED IMAGES: SHUTTERSTOCK

M

any people are still working from home and load shedding may now have a different impact on our lives than before. With generators in many instances not being practical, considering investing in an inverter that will kick in when the electricity goes off, may solve the problem.

The right size

The type of inverter system that one would need, isn’t determined by how big or small your house or business is, but rather by how many of your appliances or electronic devices you would like to run at a time, says Rudi Rollin of Electrosec. “The inverter’s voltage determines how many batteries you need, and the inverter’s wattage determines how many appliances or electronics you can use at the same time during load shedding.” Rollin advises people to evaluate the appliances they wish to run on their system before buying. “Most appliances have stickers on them indicating the wattage they require. A kettle, for example, pulls somewhere around 2,000W, and would therefore not work on a weaker system.”

The right price

A small inverter system with one battery, off which you could run a

laptop, a television, an internet router and one light for about three hours of load shedding, would cost you approximately R6,300, Rollin says. A 24V 1,200W inverter, for around R10,000, would need two 12V batteries, and off this model one could run a television, a computer, a gaming console, an internet router and one or two lights. A medium-sized inverter system, for roughly R40,000, would require four 12V batteries and is able to power most lights in the house, one or two entertainment systems and one or two smaller appliances. A large 48V 10,000W inverter would cost you about R60,000 and could run more appliances.

Batteries

A battery will cost you around R2,800 and should last between four and six years. “The size of the batteries dictate how long they will last during load shedding, but depending on how many appliances you use, they should give you three to four hours (deep cycle batteries have a longer run time). If significantly depleted, recharge time is somewhere between four and six hours,” Rollin says.

Installation

Remember, says Rollin, that the larger systems are heavy, so some strength will be required to move them. It would be advisable to get the installer of the system to move it for you. The larger systems should be as close to the DB board as possible to avoid too much cabling, and a qualified electrician will have to do the installation. The smaller systems can be plugged into a single wall socket, with an extension

cable and multi-socket adapter connecting the desired appliances or electronics. “You are limited as to the number of appliances you can run at the same time. While most inverters will switch off if you overload them, there’s always the chance that you could damage the inverter if you overload it, so it would be wise to know how many appliances and what type your system can accommodate before switching anything on,” he says. Inverters have fans that keep them cool, which run when the inverter kicks in or when the batteries are recharging after power has been restored. Some of the larger systems have fans that stay on indefinitely.

Tenants take heed

Tenants considering purchasing an inverter themselves must remember to request permission from their landlord, and that this is most likely an obligation of their lease. “While the smaller systems would be an item that the tenant would simply unplug and remove, with the bigger systems, a written agreement should be compiled,” suggests Shaun Dubois of Just Property. “Most leases contain a clause regarding any improvements to a property and while they do differ, they generally either state that all improvements must remain on termination of the lease, or that the tenant may remove the improvements but must restore the property to its original condition.” Powering your own home should not only be done with load shedding in mind, but should be driven by the intention of saving money on your electricity bill and to have less impact on the environment, advises Dubois.

Mr Fouché contended that the instructions did not bear his signature, whether manuscript or electronic. On appeal the SCA was concerned with the proper interpretation of the written mandate and whether Global acted in breach thereof.

ELECTRONIC SIGNATURES The Supreme Court of Appeal (SCA) was recently called upon to consider the meaning of signatures and electronic signatures in the matter of Global & Local Investments Advisors (Pty) Ltd v Nickolaus Ludick Fouché. Mr Fouché gave a written mandate to Global & Local Investments Advisors (Pty) Ltd (Global) to act as his agent and invest money with Investec Bank on his behalf. According to the written mandate ‘All instructions must be sent by fax to 011 486 2915 or email to monique@globallocal.co.za with client’s signature’. Global opened CCM accounts for its clients at Investec and managed these accounts for a fee. In August 2016, Mr Fouché’s Gmail account was hacked by fraudsters and three emails were sent to Global instructing them to transfer specific amounts to accounts of named third parties. Two of the emails ended with the words ‘Regards, Nick’ whilst the third ended ‘Thanks, Nick’. A total of R804 000 was paid out from Mr Fouché’s CCM account to unknown third parties. When Mr Fouché became aware of this, he notified Global. Mr Fouché claimed payment of the amount transferred on the basis that Global had paid out contrary to the written mandate. Global argued that it acted within the terms of the mandate on instructions that came from Mr Fouché’s legitimate

The SCA indicated that in construing the mandate the context must be taken into account and noted that “in the commercial and legal world signatures serve established purposes. Signatures are used as a basis to determine authority and can be checked for authenticity”. The SCA held that in order to be able to resort to s 13(3) of the ECTA, Global would have had to show that in terms of the mandate an electronic signature was required. As there was no mention of the word electronic in the mandate, the SCA could not fault the finding of the Court below and Global’s argument was rejected. The SCA agreed with the finding of the court below, namely that: • What was required was a signature in the ordinary course namely in manuscript form, even if transmitted electronically, for verification and authentication purposes; and • Because the instruction was not accompanied by such a signature, the funds were transferred without proper instructions and contraryto the mandate. The SCA concluded that because the emails were fraudulent in that they were not dispatched by a person with the authority to do so and were not accompanied with Mr Fouché’s manuscript signature, they could not be binding on him. There are a variety of safeguards that can be implemented to avoid situations such as these.
