DIRECTORS Rooting our commitment with corporate transparency and social environmental responsibility, we present in this document the main environmental, social and governmental aspects. The year of 2020 revealed itself as a challenging year, due to the pandemic scenario that shook the global structures of health and economy, these threats put to proof our resilience, however, the solid organizational structure combined to our Contingency Plan brought support to continue in advancing in our activities, keeping our commitments with clients, suppliers and employees in such difficult circumstances. The solid financial performance reflected positively in the growth of the main strategy vectors of Zopone Group, however, it is true that beyond financial aspects, we value what matters the most: life, the existence in our habitat, our communities and our personnel. Certain about a promising future, we consolidated the portfolio of the Company’s companies, mainly in the areas of energy transmission, industrial works, telecommunications, road works and real estate enterprises, the result of a continuous improvement of our standards and building methods, establishing high sustainability and governance criteria (ESG) in our business. Thus, we thank the whole team, who in a professional and committed manner, contributed to the results obtained, as well as all suppliers, partners and other parties involved in the process. EXPERIENCES Zopone Group, founded in 1988 in the city of Bauru/SP, consolidated its performance in all national and Latin America territory, having a solid financial and human capital, standing out for the execution of great works in the area of infrastructure for telecommunications, data centers, power transmission, residential, commercial and industrial works, urbanization and pavement. Its goals and philosophy of work have been incorporated since the first years, creating a team of devoted professionals who contribute to the improvement and growth of the company.
OUR HISTORY Having its philosophy of work always aligned with the commitment to costumers’ satisfaction and service quality, Zopone Group prioritizes and incorporates in its actions, sustainable practices through the environment protection, pollution prevention, conscious use of natural resources, encouragement to awareness and environmental education, manners of emission reduction, collaboration with the social environment where involved, standing out for its high standard of excellence and
compliance, according to ISO 9001, ISO 14001 and ISO 45001 certifications. Zopone Group in its Annual Strategic Plan, published in April 2021, presented its results and prospects for medium and long-term growth, demonstrating its robustness and longevity in its business, combined with its sustainable goals. Therewith, it is prepared to advance to new challenges and promising markets. Below, we show the business profile of the company.

GOVERNANCE ORGANIZATIONAL STRUCTURE With about 4.500 employees committed to the ethics and rigorous quality standards, a solid structure with regional offices in: São Paulo, Rio de Janeiro, Salvador, Brasília, Belo Horizonte, Curitiba, Porto Alegre, Fortaleza, Belém and Recife. In 2006, Zopone opened its first company abroad, in the city of Santiago, Chile, as a first step towards the internationalization of its activities, integrated by technology infrastructure management and communication.
With a planned expansion policy, Zopone Group continually invests in the consistent growth of its activities and in the recognition of the efficiency of its works and services, valuing the agents responsible for the construction of this trajectory of achievements.

The employee shall not, when performing its function, offer or accept presents, gratifications, gifts, trips, money or any type of advantage, intending to obtain improper privileges for itself or the company. Both the selection and the hiring of our goods or service suppliers are based on technical criteria, objective and pre-stablished, covering necessarily the reputation, integrity, technical and supplying capacity, measurable by quality, terms and prices used for delivering the contract scope. The material purchase or service hiring, As well as the dealing of our services and products cannot involve any kinship up to second degree or close relationship with the supplier directors or employees.

The Compliance Program implemented in Zopone Group with the expressly assumed commitment, together with its directors and employees, to the responsibility of competing in its business with ethics and probity (correctly), observing the laws in force in the country and also the Company’s internal rules. According to the best business practices, it is constantly searching the consolidation of the Compliance Program, holding the commitment of competing ethic and legally in its relations with government official (or thirds which are related to them) always aiming for ethic and probity in its business, either by employees, clients, suppliers or by governmental agencies. So, Zopone Group acts exclusively within the scope of the applicable law in force, being expressly opposed to the practice of acts that are harmful to the national or foreign public administration, thus understood as all of those who are against the, national or foreign, public property, against the public administration principles or against the commitments undertaken by Brazil .

WHAT DOES THE TERM COMPLIANCE MEAN?

ANTI-CORRUPTION MANAGEMENT
Corruption is an evil that discredits institutions and it is enemy of those who work within the law and seek a loyal and transparent competition. In order to blame companies that are not working in compliance with laws and regulations that came into force in Brazil (Jan/2014) the Anti-corruption Law (Law 12.846/13) whose purpose is to penalize the dishonest company, the one that practices harmful acts against the public administration.

COMBAT AGAINST THE CORONAVIRUS PANDEMIC COVID-19 The Coronavirus Pandemic placed humanity before unprecedented challenges. And, one of the lessons we learned is about valuing life, the well-being of our family and the other. It also brought us many restrictions and losses, however, once more we reinvented ourselves to new habits and learned that information, prevention and stability in our attitudes are the best medicine to keep us standing up. 22
Taking care of the whole team and service providers has been our greatest priority throughout the year. As soon as the first case of the disease was diagnosed in Brazil, the Zopone Group board of directors established a Combat Committee and implemented its Plan of Action aiming at:

HUMILITY, PERSISTENCE & FAITH Zopone Group has assumed the role and social commitment to improving the future of children and adolescents, developing through Bauru Association of Water Sports (ABDA in Portuguese) the dissemination of sport and citizenship.
The Association’s mission is training athletes in swimming, water polo, athletics and philharmonics. Its main objective is social inclusion of lowincome children, distancing them from crime and marginality through sport. Through an initiative of the ZOPONE Group directors, aiming to use sport as a tool combined with education to promote the society’s transformation through the integral development of children and adolescents. In 2020, we reached 7050 benefited children and adolescents in this project, training them about basic concepts of citizenship, team work, affective, social, cognitive and cultural aspects, such as: learning to compete, following rules and regulations, having interpersonal relationships, increasing the circle of friends, respect others, having sense of responsibility and being sympathetic.

The contribution of ABDA’s work was attested by the commands of Civil and Military Police besides the Department of Social Welfare (Sebes in Portuguese) in a full-page article published in a local newspaper, Jornal da Cidade, Bauru/SP. Thanks to ABDA’s work, we have been able to see in the city of Bauru a reduction of 50% in the rate of child criminality in the last years. In 2018, Bauru was the safest city in the country with over 300 thousand inhabitants, according to the Ipea’s (Institute for Applied Economic Research) Violence Atlas.
In these 10 years of ABDA’s activity, the city of Bauru experienced an improvement in general levels of life quality, being considered many times one of the best cities to live and raise kids.

Bauru é a cidade com mais de 300 mil habitantes menos violenta em todo o Brasil. É o que aponta recente reportagem publicada pelo Jornal da Cidade, baseada em dados do “Atlas da Violência 2018 - Políticas Públicas e Retratos dos Municípios Brasileiros”, lançado no ano passado pelo Instituto de Pesquisa Econômica Aplicada (Ipea) e Fórum Brasileiro de Segurança Pública (FBSP). E projetos sociais são essenciais nessa meta. Estudos e profissionais da área social avaliam que o impacto de projetos sociais que usam o esporte como ferramenta tem relação direta com as estatísticas em esforço conjunto com ações do Poder Público. Um dos mais importantes projetos esportivos sociais em Bauru é o da Associação Bauruense de Desportes Aquáticos (ABDA), que atende mais de 4.500 crianças e adolescentes com idades entre 6 e 22 anos. De acordo com a associação, o objetivo é usar o esporte como transformador da sociedade e na formação de cidadãos com dignidade. A ABDA oferece aulas de polo aquático, natação, natação paralímpica, atletismo e atletismo paralímpico, além de musicalização, pela ABDA Filarmônica, parceria da entidade com o escritório Abramides Gonçalves Advogados. Oferece ainda de aulas de reforço escolar, inglês e informática, essa última, fruto de parceria com a Finch. Além disso, a ABDA conta com equipe multidisciplinar formada por médica, nutricionista, fisioterapeuta, assistente social e dentistas. Oferece também, atualmente, mais de 100 bolsas de estudos, sendo 30 em nível superior, para atletas que se destacam e apresentam evolução escolar diferenciada. Considerando dados do Instituto Brasileiro de Geografia e Estatística (IBGE), Bauru tem hoje uma população estimada de cerca de 375 mil habitantes. Abaixo dos 24 anos, faixa atendida pela ABDA, são mais de 104 mil pessoas na cidade. Nesse contexto, é possível dimensionar o impacto das atividades que mudam não somente a vida do atendido, mas de toda a família e até de quem convive ao redor, indiretamente. A diminuição nos índices de violência urbana vem sendo sentida, ano após ano, segundo relatos

de instituições que acompanham esse cenário, como a Secretária Municipal do Bem-Estar Social (Sebes) e o comando das polícias Militar e Civil. José Carlos Augusto Fernandes, responsável pela Sebes, trabalha no dia a dia com a população mais vulnerável de Bauru e destaca que esportes e cultura são realmente as ferramentas mais importantes no combate à violência e às drogas. “Não restam dúvidas que atividades como as desenvolvidas pela ABDA revertem o pior problema de hoje, que é o quadro de ociosidade entre os jovens. Trazer a criança para um ambiente de socialização, onde ela crescerá vivenciando bons exemplos e tendo ídolos do bem faz toda a diferença”, afirma o secretário municipal. PREVENÇÃO Quem compartilha dessa ideia é o delegado seccional Ricardo Martines. Para ele, avanços na Segurança Pública acontecem quando há integração da ação da polícia com educação, saúde, religião, cultura e esporte. “A Polícia Civil age no efeito e não na causa. Quem ataca a causa é a educação, a religião e a atividade esportiva”, pontua o delegado, que está à frente da Polícia Civil em Bauru desde 2013 e percebe um decréscimo ao longo dos últimos anos, no quesito violência. Para Martines, o importante é tirar a criança do ambiente criminoso, onde ela sofre pressão do grupo e acaba entrando na criminalidade muitas vezes até por uma questão de status. O delegado comenta ainda sobre o combate ao tráfico de drogas. “O tráfico se combate com repressão e prevenção. A polícia fica com a parte da repressão que sozinha não detém o tráfico. A educação é o melhor caminho, aliada a medidas de saúde”, afirma. Na natação, base para os esportes aquáticos, professores ensinam a criança a desenvolver os quatro estilos série de ações coordenadas, que incluem o trabalho das forças de segurança e adoção de políticas públicas em áreas como Assistência Social e Educação, além de ações de empresas privadas com consciência social. “Notamos que os índices de mortes violentas vêm sendo reduzidos ao longo dos anos”, diz o comandante. Segundo ele, atividades como as da ABDA, ajudam a tirar a criança do contexto de um caminho inadequado. Para o coronel, enquan-
to a Polícia Militar atua no caráter preventivo, as ações sociais ajudam a melhorar o contexto como um todo. “As atividades da ABDA ajudam nesse sentido, pois contribuem para evitar a violência na vida das crianças, tirando as pessoas do caminho inadequado. O esporte tem fundamental importância para colocar as crianças no rumo certo, através da disciplina e do exemplo”, explica o coronel Ézio, que é graduado em Educação Física.
QUASE DEZ ANOS As atividades da ABDA tiveram início em 2010, com poucas crianças em uma única piscina, a partir do sonho dos empresários Claudio e Jr. Zopone. Hoje, a ABDA está nos quatro cantos de Bauru com aulas em oito centros: Arena ABDA, Hípica, Multicobra, BTC, ADPM, Campo do Oriente, Milagrão e mais recentemente na ITE por meio de uma parceria com a instituição de ensino para ampliação das aulas da
ABDA Filarmônica. Desde sua fundação, ao longo dos anos, a ABDA obteve muitas conquistas por meio do esporte, com atletas atingindo o alto rendimento e disputando os principais campeonatos no Brasil e até no Exterior. Porém, para os idealizadores da ABDA, o essencial consiste em saber que o Projeto Futuro contribui para a melhoria da sociedade, com o desenvolvimento humano - físico e mental - dos mais jovens.

Zopone Group contributes to a reduction in the greenhouse effect, seeking to reduce the emission of CO2 gases in the atmosphere. In 2020, Zopone Group performed the monitoring of 100% of its fleet of vehicles that run by diesel, reaching 435 heavy vehicles and equipment, as well as 413 light vehicles (bi-fuel). Zopone Group also adopts a fleet renewal strategy, aiming at reducing pollution and increasing energy efficiency.
