Welcome to
Goffs Punchestown Sale Welcome to the original Festival Sale which remains Ireland’s only boutique catalogue of Point to Pointers and Horses in Training. Now in its eighth year, this joint initiative between Goffs and Punchestown Racecourse has become an integral part of the Irish National Hunt Festival with graduates regularly winning at the highest level. They are headed in 2018 by Getabird, trained by Willie Mullins for Susannah and Rich Ricci, while many others have brought success for trainers including Gordon Elliott, Nicky Henderson, Colin Tizzard, Nigel Twiston Davies, Jessica Harrington, David Pipe, Kim Bailey, Emma Lavelle, Anthony Honeyball, Pat Fahy and many more. As usual we will offer a small but select catalogue of high class point to pointers and horses with form for sale in the winner’s enclosure at Punchestown on Thursday after racing. Additional ‘wild card’ entries are available on the Goffs website www.goffs.com and from the Goffs office next to the weighroom at Punchestown. In addition to staging the Punchestown Sale, Goffs is proud to support the Irish National Hunt Festival throughout the week with our sponsorship of the €100,000 Goffs Land Rover Bumper and the new Goffs Owners & Trainers Lounge in The Hunt Stand. Advice to Buyers
Advice to Buyers Goffs advise potential purchasers to read the Goffs Conditions of Sale on pages 9 – 22 before bidding. These are the "laws" of our sales and are designed to protect the rights of both Vendor and Purchaser whilst ensuring that Goffs auctions are fair to both parties. They set out the legal basis under which Goffs auctions are conducted. In addition to the Conditions of Sale, Goffs offer the following advice: • G offs strongly recommend that purchasers use a professional adviser. • G offs strongly recommend that purchasers inspect the horses before bidding. • T here is a tradition at bloodstock auctions worldwide for a Vendor to offer ‘luck money’ to a Purchaser after the sale. This is solely a voluntary matter for the Vendor and is not governed by the Conditions of Sale. Under no circumstances should Purchasers enter into arrangements of this nature prior to the sale, as such action may well be illegal. If a post sale agreement should be made, it should be disclosed to all parties involved in the sale, including any owners not present on the day of sale. • Auction is a Free Public Market Vendors and Purchasers should be free to conduct their business at Goffs without interference or intimidation in any form by third parties. A Vendor or Purchaser should be free to do entirely as he wishes in respect of selling or purchasing a horse at our Sales and any Vendor or Purchaser who 10

experiences such interference, coercion or intimidation in the course of his business should immediately inform a Goffs Executive Director. ITBA Sales Code of Practice Goffs also assisted in the compilation of the ITBA Sales Code of Practice which follows the Conditions of Sale. The Code sets out what is, and what is not, acceptable behaviour from people dealing in bloodstock. Names of Horses Purchasers of horses with names are reminded that although those names may be registered with Weatherbys under British Rules of Racing, the names have to be re-registered with Horse Racing Ireland before such horses can run in Ireland. There may be special requirements for horses foaled in countries other than Ireland and The United Kingdom and purchasers should acquaint themselves with any such special conditions. Passports Passports will be forwarded to Purchasers as soon as is practical following the Sale or may be collected by the Purchaser from the Sales Office on the day of Sale.

Conditions of Sale (updated April 2018) These Conditions of Sale have been specially modified for the Goffs Punchestown Sale and differ in places from the standard Goffs Conditions of Sale. This sale is held subject to the Conditions of Sale set out below. All potential Vendors and Purchasers are advised to read carefully these Conditions. The Conditions in this Sale catalogue take precedence over any previously issued Conditions of Sale. 1 DEFINITIONS 1.1 Affiliate means any person that Controls Goffs, is Controlled by Goffs or is under common Control with Goffs.

2 THE SALE 2.1 COMMISSION AND FEES 2.1.1 An entry fee is payable to Goffs by the Vendor for each Lot entered and catalogued. The fee is nonrefundable upon publication of the Catalogue.

where there are competing claims for payment, Goffs may refuse to make payment to the Vendor pending resolution of the dispute. In exercising this right, Goffs will incur no liability to any party, and no interest shall be payable by Goffs on any sale proceeds retained. 3.10 When the Owner of a Lot is a partnership or a syndicate and one or more member(s) of that partnership or syndicate is the Purchaser, Goffs reserve the right to withhold payment on that Lot until the Purchase Price has been received in full from the Purchaser. 3.11 The Vendor shall indemnify Goffs in respect of any loss, or liability suffered or costs disbursements or expenses incurred bona fide by Goffs by reason of bringing or defending any proceedings which arise directly or indirectly from any breach of these Conditions of Sale by the Vendor. 4. BASIS OF SALE 4.1 There is no term implied in any sale that any Lot is of merchantable quality or is fit for training or any particular purpose. Any term, condition or warranty that might be incorporated into or apply to these Conditions of Sale are excluded to the maximum extent permissible by applicable law. It is the responsibility of the Purchaser to ensure that he is satisfied with the condition of any Lot before bidding. Additionally a Purchaser must make his own enquiries and exercise his own
judgement as to the value of a Lot. A Lot may be offered for sale in one of the following ways as notified on the Catalogue page under as notified on the Catalogue page: (a) With a Pre-Sale Veterinary Certificate, (subject to pre-sale examination by The Panel) to which the following conditions shall apply: i. Failure to request a drug test under this Condition will be an absolute bar to the Purchaser returning the Lot under this Condition. 5.4 Where a Purchaser instructs Goffs to test a blood sample the said Lot shall not be removed from Ireland or the United Kingdom and if they do so, the Purchaser shall be liable for the costs of returning the Lot back to the Vendor in the event of a Purchaser electing to return the Lot in accordance with a right to do so under this Condition. 5.5 Where a sample is found to contain Prohibited Substances other than those certified and read out the Purchaser may elect to return the Lot to the Vendor providing such election is made to Goffs by 5pm on the seventh calendar day after the Purchaser was notified by Goffs of the result.

ENGAGEMENTS 6.1 A Lot is sold with engagements as given in the Catalogue, or announced at the time of Sale. Goffs however, accept no responsibility for engagements given or omitted. It will be the sole responsibility of the Vendor to ensure that the relevant documentation is completed and lodged with the Authority in question, but of the Purchaser to cancel any race entry if a forfeit applies. Condition 5 above shall remain at the Vendor's risk from the fall of the hammer until the sample has been taken from the Lot when risk passes to the Purchaser. If the sample proves to be positive for Prohibited Substances, risk will pass back to the Vendor when the Vendor is notified.

IRISH THOROUGHBRED BREEDERS’ ASSOCIATION
Sales Code of Practice The objective of our Code of Practice is: To ensure integrity and transparency in the Irish Bloodstock Industry. This will benefit the entire bloodstock community ensuring the laws of the land are upheld thus encouraging a competitive, fair and thriving marketplace. This will safeguard the interests of all parties involved in horse related transactions both at public auction and private sales. It will also encourage new people to enter the business.
Agent An Agent is duty bound to act in the best interests of his Principal at all times An Agent must not place himself in a position where personal interests conflict with his duties to the Principal. An Agent must notify the Principal when a potential conflict of interest arises, whatever that conflict of interest may be. When an Agent acts as a vendor of any horse in which he has an interest the Agent must disclose to the Principal the full extent of his interest.
Definitions An Agent is any person who advises and/or represents the buyer or seller of thoroughbreds at public auction or private sale. The Principal is a person or entity who appoints an Agent to act on his behalf in the sale or purchase of bloodstock. Luck Money refers to any financial payment or payment in kind made by or on behalf of a vendor to a purchaser or his Agent, after the sale of a horse has been concluded.
The Agent may only act for more than one Principal in a transaction if he has first disclosed this fact to all his Principals and obtained their consent.
Code of Practice
Enforcement
Vendor The Vendor must endeavor to answer honestly and factually any question he or she is asked by a potential Purchaser or Agent. Any changes of ownership of a horse following publication of the catalogue must be disclosed to the sales company.
If any party wishes to make a complaint about an alleged breach of the above Code of Practice they should notify the Sales Company where the alleged incident occurred. Their complaint should be made in writing, naming specific individuals involved and the details of the alleged wrongdoing. The sales company will endeavor to resolve disputes, however, depending on the nature of the complaint and the recompense sought it may be necessary for the offended party to pursue their case through the civil courts. All parties involved will provide their full assistance to the sales company or the courts. Anyone convicted of an offence which is in breach of this Code of Practice may be banned for a period of time from the sales complex at the discretion of the sales company.
Purchaser A Purchaser has the right to ask questions of the Vendor. Neither the Purchaser nor anyone else must seek to influence or intimidate the Vendor or any potential Purchasers of a horse before, during or after the lot passes through the auction ring. Secret arrangements between purchaser and vendor or either party’s agent are not permitted. 26

An Agent must disclose to his Principal any Luck Money he receives. It is imperative that any such arrangements of this kind are disclosed to all parties to the transaction including owners not present on the day of the sale. If an Agent receives an offer to purchase a horse he must relay that offer in its entirety to his Principal.
This code has been developed by the ITBA in conjunction with Goffs, Tattersalls Ireland and Goresbridge Bloodstock Sales.
Payment As per Condition 9.6 payment must be made in Euro for each lot on the day of sale unless credit arrangements have been agreed prior to bidding. Please direct all credit enquiries to Rae Lawless at Goffs before bidding. All accounts are payable in Euro and Goffs are not responsible for any currency fluctuations or differential where payment is made in a foreign currency. NB: Interest will be charged on late payments in accordance with the Conditions of Sale (Condition 10.5)
