Welcome to the May/June issue of About Dundrum Ok, so Mum’s definitely didn’t prefer Iceland on this occasion! Yes a poor pun, but I had to mention the ash, the chaos and the Shackleton-like voyages many had to endure. Just be grateful for inventions like the internet, mobile phones and credit cards or things would have been much worse! For those who made it home, by rail and boat, we salute you!

ABOUT LEGAL MATTERS

Do You Know Your Director Duties? by Brendan Dillon, Dillon Solicitors When deciding to go into business people frequently opt to set up as a limited company due to the advantages it provides. It is important however that people becoming directors of these companies become Brendan Dillon familiar with the legal obligations and responsibilities attaching to their position. The primary function of the directors of a company is to manage the company on behalf of the members. A director has a fiduciary duty to act in a manner which places the interests of the company ahead of their own. This can be difficult as in many Irish companies the directors and members of the company are one and the same and therefore, it can be difficult to distinguish between the company’s property and the director/ member’s property resulting in directors treating company property as though it was their own.

due to the circumstances it was beyond their control. 2. If a director makes a statement or produces a document which they know to be false or inaccurate they are in breach of the Acts. 3. Section 202 of the Companies Act 1990 requires every company to maintain proper books of account and it is a criminal offence to fail to do this. 4. Every company has a duty to maintain certain registers and documents. These include a register of members, register of directors and secretaries and their interests, register of debenture holders, minute books, directors’ service contracts, contracts to purchase own shares and register of interests of persons in its own shares (if a public limited company only) Please phone our office at 296 0666 today to make an appointment.

Director’s common law duties: 1. Directors must exercise their powers in good faith in the interests of the company as a whole and not to benefit the interests of any particular member of the company. 2. Directors are not allowed to make an undisclosed profit from their position as director and must account for any profit which they secretly derive from their position as director. 3. Directors are obliged to carry out their functions with due care, skill and diligence and are liable for any loss resulting from their negligent behaviour. Director’s statutory duties: These duties arise under the Companies Acts 1963 2001 and include: 1. A director has a duty to comply with their obligations under the Companies Acts and to ensure the requirements of the Companies Acts are complied with by the company. If a director authorises or permits a breach to take place they are in breach of their duty, unless they can show that they took all reasonable steps to prevent it, or 14 | ABOUT DUNDRUM

ABOUT EXAMS

Beat Exam Stress by Sara Sweetman If exam nerves are getting the better of you, read on... It used to be thought that being a child meant living the happiest days of your life. How times change. Now, with the points race, pressure on course places etc, more and more children are falling victim to stress. So if you (or your children if you are a parent reading this) are feeling pressured, with nowhere to turn, we have some great tips to help you get through exam season relatively unscathed. • First a few words about stress. Stress is caused by the way our body responds to outside events, not necessarily by the events themselves. Some stress is good: adaptive stress releases adrenaline and helps us to rise to a challenge. It’s a temporary state and the body returns to normal very quickly. Problem stress occurs when the body stays in a heightened state for a prolonged period of time. It’s this type of stress which causes problems for today’s children. Unlike when we were young and exams were end-of-term or even end-of year events, there now seems to be relentless pressure to perform all year round. The result of this is that children get very little down-time in which their body can recover from all that adrenaline. Not everyone suffers in the same way from stress. Some children seem to cope with it well. Research has shown that these children are generally more positive, have a good sense of humour and have parents who themselves deal well with potentially stressful situations. Some of the signs that a teenager is feeling under pressure are: • •

feeling excessively tired crying and seeming a bit down

18 | ABOUT DUNDRUM

• • •

having panic attacks even about stuff unrelated to schoolwork broken sleep stomach upsets and a change in appetite seeming unwell but without any specific symptoms

Finally, it’s useful to understand that while exams are important, they are not worth making yourself ill over. You can always sit them again. Exam Busting Tips: •

Get plenty of rest - sleep is important

Take regular breaks - you’ll stay fresher

Leave time for some fun - when you’ve reached your revision goal, reward yourself with an activity you enjoy

Be realistic - don’t overdo it

Eat properly - avoid caffeinated drinks like coffee or coke

Exercise - It’s a great stress buster and improves your mood

Be nice to yourself - don’t beat yourself up about the things you haven’t done: be positive about all you’ve achieved

Relax - When it all gets too much just chill for a while. You’ll feel much better

ABOUT GARDENING

Round the Garden in May by Tom Percy May is a magical month when the garden is warm and enticing. Don’t discard the horticultural fleece just yet though, as a late frost can do enormous damage to tender young shoots. Prepare Carrot root fly is about, so cover the carrots securely to ensure the pests cannot gain access to lay their eggs. It’s also the time to cover fruit with net to keep raiding birds off. Continue to keep a vigilant guard against weeds. The best way of ensuring they don’t come back is constant use of the hoe to weaken seedlings before their roots get chance to grow down. Hoe on a dry day, so that the uprooted weeds have less chance of recovery.

primroses, and plant out late flowering annuals. Now is a good time for planting out any summer cabbages, celery, leeks or sprouts that are ready for moving on. New shrubs purchased from nurseries can also be planted in May. Some greenhouse plants will be ready to move to their proper home, such as aubergines, peppers, cucumbers and tomatoes. Prune Thin out carrots and parsnip seedlings to give plenty of space to the remainder and encourage good growth. May is a good time to prune spring flowering shrubs and tidy up hedges.

Plant A wide variety of seeds can be sown in May, such as beans (French and runner), beetroot, broccoli, cabbage, peas, turnips, swedes and also many salad crops including lettuce, radishes and spring onions. Take time to divide spring flowering plants, such as

ABOUT LOCAL CLUBS

Driving Ahead at Ballinascorney Golf Club, Rathfarnham by Pauline Kearney On March 21st the members of Ballinascorney Golf Club turned out in force to support their captains’ drive-in. This ever popular occasion ensured a full time sheet with shot gun starts at 10am and 2pm. The day boded well for a good year’s golf for club members, a club that has exciting plans for the development of the course during the coming year.

Many visitors have described Ballinascorney Golf Club as one of Dublin’s golfing hidden gems, situated as it is behind Marley Park. It’s a fiveminute drive from Rathfarnham Village and boasts spectacular panoramic views over Dublin City. It is an ideal course for any golfers or would-be golfers in the south-Dublin area.

The club has taken a number of significant steps in recent months Plans recently approved by members include an extension to the golf course and provision of a par 5 hole. The new layout is expected to be playable this summer. It has appointed Golf Course Maintenance Services Ltd to a 2-year contract to maintain and service the course. Their pedigree, being a joint venture set up by Carr Golf and the K Club, will ensure that the course is maintained to highest standards. The club management is also engaging them in the design and provision of a new course layout, which will greatly enhance the playing experience for the members of Ballinascorney Golf Club, societies and green fee visitors.

Captain 2010 Jim Kennedy and Lady Captain Maureen Flanagan.

These are giant steps for a small club, where every new member and visitor is guaranteed a warm welcome. Many members have expressed delight at the improvement in the appearance of greens, fairways and bunkers on the course in recent months. All members of Ballinascorney Golf Club have unrivalled access to the course with very few limitations or restrictions on tee times. The social activities associated with the club are renowned. The Thursday night mixed competition is an extremely popular occasion, in which many members are eager to take part. If you enjoy your golf and the social activity associated with a club with full club house facilities, then this is the place to be. At the moment there are a limited number of memberships available to gents and ladies, at very affordable fees. 22 | ABOUT DUNDRUM

Bytes & Pieces Managing your email As email becomes more and more popular as a method of communicating, sorting the ‘wheat from the chaff’ becomes increasingly difficult. If you are expecting an important mail from a friend or are looking for an older email, it’s often a bit of search amongst all the marketing messages and order confirmations that are also sent to you. The trick is to set yourself up with two email accounts. Choose an easy to remember one for your friends and family to send messages on, and a more unusual address (making you less likely to get spam) for when you sign up to websites, or buy online. For example, you could have one account with your ISP (e.g. yourname@o2.ie) and another with an independent operator such as hotmail or googlemail e.g. yourname@googlemail.com. You can use their own programs to access the mail, or use something like Windows Mail, Windows Live, or Thunderbird (free from Mozilla) to see both accounts in one window but in separate folders.

ABOUT LIFE COACHING

Time To Change! by Ita Breagy, Alive & Kicking Once the sun comes out everything changes. Would you agree? Everything looks different. You begin to look at your body and notice how pale it is or that you have put on a few pounds while in hibernation over the winter. You look at your wardrobe and wish you could throw everything out, rush out and buy a complete new wardrobe and start a fresh. If only it were that easy! The same thing applies to our Attitude. Do you have a good healthy Attitude to life? Is the glass half empty or half full? The sunshine automatically puts us all in good humour. How can you have that 'sunshine' demeanor all of the time?

Ita Breagy

The answer is have a healthy attitude to life and don't resist change. We are creatures of habit and in general don't like change, but change is a fundamental part of the tapestry of life. Nothing stays the same. We can help ourselves by trying to adjust to things as they happen. Our attitude is all important. It is not so much what happens, as how we react to it. We can be devastated by something or we can take a different attitude and deal with it differently. The CHOICE is ours. At Alive and Kicking, Life and Business Coaching, we specialise in assisting people make positive changes in their lives. If you would like to have a 'sunnier' demeanor then perhaps you would like to talk to us or enroll in one of our workshops. THE MILL GALLERY Tel: 296 9340 John Murray “Borderland” 1st May - 3rd June The Mill Gallery welcomes back artist John Murray for his second solo show. Drawings and paintings from Ukraine. Ukraine defines itself by opposition to its bordering states. It is not Russia, not Poland, not Tatar… It views its Soviet past as another country, yet the past is omnipresent: the border is porous. To the outsider Ukraine is also a fantastically beautiful space where the borders between the structures of civilisation – houses, tower blocks, railways – are constantly being assailed by nature. Everywhere there is green.

Call our Box Office on 01 296 9340 or call in to the Mill Theatre Box Office. We're open from Monday to Saturday, 10am - 6pm, and the theatre re-opens at 6.30pm when there is an evening performance. ABOUT LOCAL FUNDRAISING

Sam McMahon Trust – A Fundraising ‘Culinary’ Triumph! by Caroline McMahon You may remember in our last issue we highlighted the story of local boy Sam McMahon, who suffers from Friedreich’s Ataxia. We asked your help to support a fundraising event organised by his family to raise funds for the Sam McMahon Trust. Well, on March 8th at the Grosvenor Suite in the D4 Berkeley hotel, over 400 people attended the Neven Maguire Cookery Demonstration. It was a complete sell-out! His mum Caroline wrote this report. The evening kicked off with a wine reception, during which Neven's new book ‘Home Chef’, was snapped up!

The second session saw Neven bake Warm Pear Tarts with Citrus Mascarpone Cream and Spun Sugar Curls to decorate. When the show was over Neven posed for endless photos and signed book after book. Words can’t convey his generosity and kindness. Not only is Neven Maguire a superb chef but he is a gentle, kind man who was willing to give his time to the Sam McMahon Trust. He presented Sam with a signed copy of his book and encouraged him and his brother to try out the recipes. We, at the Trust are also grateful to Neven’s wife Amelda, who was involved in planning the event and John from Flogas who assisted Neven and supplied copies of the recipes for the demonstration.

During the first session, Neven selected what he considered to be the perfect three-course meal from ‘Home Chef’ and guided the audience through the recipes. Gratin of Hake with Prawns, Spinach and Pesto and a Chicken Chorizo Rice Bake looked and smelled divine.

Thanks are also due to all of the people who bought tickets, donated prizes for the raffle and who worked so hard to ensure that the event was a great success. We raised a fantastic total of €10,500.

We were instilled with confidence that we could recreate them at home.

We have arranged another cookery demonstration with TV3 celebrity chef Andrew Rudd in aid of the Trust and at the Loreto National School, Rathfarnham Parent’s Association on 23rd May.

We raffled some fantastic prizes, including a meal at Neven’s McNeans Restaurant, during the break - all of which added to the fundraising cause.

Full details on www.menupages.ie/sam and in the diary section of the magazine.

Sam, Neven Maguire and his older brother Ben, with his new cookery book! 38 | ABOUT DUNDRUM

ABOUT TAROTSCOPES

Tarotscopes by Mags ARIES Everything that is conducive to looking good this summer is now firmly etched into your personal agenda. So! Aries. Whether its weight loss or a beauty/exercise programme you embark upon, you are the ultimate winner in the feel good stakes. You want to look your best for the summer of love forecast for you. Be patient. Cash is on the way via post.

LIBRA Yes! Love does continue after death and you are so loved by the one passed over. A cleansing walk along the beachfront will do you the world of good and help you see things from a true perspective. Say yes to the offer of a trip to the sun. you don’t have to jump into a love immediately. If it is real it will keep forever. The older lady in your life finds love at last.

TAURUS A job with a difference is on the cards for the industrious Taurean. Wasting money unnecessarily is not an option now. Opportunity presents itself in so many ways this month. Be ever ready to accept invitations to holiday abroad and maybe even a wedding throw in for good measure. Unattached? This is your year of romance and splendour Taurus.

SCORPIO Changes are forecast for the scorpion. This doesn’t necessarily mean all changes are bad. This is just a part of the journey of life. The choices you make are the choices best suited to your needs, so do not feel guilty, provided you have made good on commitments and promises. Writing and art painting take up your creative time now. You are noticed.

GEMINI Taking a little time out to see the love situation from an outside perspective is a perfect option. You need to believe in yourself and your capabilities. Your confidence has taken quite a battering of late and you deserve the best that life can offer. You may find that you are at the cradle stages of making a love choice. You will follow your heart and soul.

SAGITTARIUS You may be called upon to give evidence and testify. All you must do is be honest and speak your truth. A trip to the Turkish coast is a winner and may well act as the catalyst to a wonderful love about to enter your life. This time to stay. You need to address an issue within the immediate family and get things back on par. You hold a winning ticket.

CANCER A challenge you may step up to shows just what you are made of. You are very much loved and admired so stop fretting and get with the programme. You know Cancer, quality time never came out of a wallet or purse. Walking and enjoying the outdoors with the one you love is so much more soul settling. News of a baby cheers and enhances your life.

AQUARIUS You get an idea from an article you read. Yes! Acting on this inspiration is only the beginning of a lifetime love of your chosen field. A man who works with glass is so good for you. A church, a coffee shop and a community hall is the time and place you find not only your lifetime partner, you may also find the one person who can put you on the map.

LEO This spread speaks of money, money, money. It is very much looking like a windfall is overdue and wending its way to you now. You have gotten over the worst in a personal situation and the time for a healing love is here. All you must do is say yes. This love is a love which will grow more and more as time goes on. A Kildare wedding demands your attendance.

CAPRICORN Do not fear putting debts down on paper. You get a true and constructive reading which can be worked on. Bringing a realism also ushers in the solution to begin a clearance. Support a friend now. You need to show solidarity. A trip to the west is a time and place for you to find luck and happiness, but most of all you find out who you are inside.

VIRGO A spiritual session is the opener to your becoming involved in learning the art of spiritual discernment. All things spiritual attract you and a thirst for knowledge sets you on the path of learning. Unattached? A like-minded, kindred spirit is a soul mate and given a chance may blossom into a love to rival no other. A friend will get her love back soon.

PISCES Getting the finances in good order now, however difficult this may be, is the forerunner to you living in the house you always wanted. This is not within the city, rather a rural retreat to envy. Of course you will not do this alone, you are in love with the one who makes you feel like you belong in that space. Winning a card game is a one off, not a lifestyle.
