Information for upholstery pieces only (excluding Scoop) Payment Terms for Proforma Customers: Goods will be despatched only upon receipt of payment in full from the Customer. For all orders, a deposit of 50% and a signed copy of the order is required prior to the commencement of manufacture unless otherwise agreed. Further 50% required prior to despatch. Order non cancellable by the Customer on receipt of the Confirmation of Order being signed. Packaging: As standard, all goods are packed with a heavy duty plastic wrapping. For ex works orders, we recommend crating. Prices are detailed alongside each item in the pricelist. These prices include IPCC fumigation. Discount does not apply to wooden crating pricing. Delivery time: Production time is usually 6 – 8 weeks upon receipt of you signed order confirmation. Please note production times for C.O.M will commence only when the full correct fabric has been received by the factory and deposit and signed order confirmation are received. Warranties (in addition to normal Tom Dixon terms & conditions of sale): The Customer will be responsible for inspecting the Goods. It is a condition of the Contract that any shortage or defect be notified to the Company in writing together with photographic proof within five working days from the receipt of goods. Normal wear on fabrics and finish as well as indirect damage to persons or articles is not covered by this warranty. Where a defect has been notified, the Customer will, if so requested by the Company, return the Goods to the Company at the Customer’s expense. If the Company subsequently confirms that the returned Goods contain defects attributable to the Company, the reasonable costs of re-delivery incurred by the Customer will be refunded. The warranties given above will not apply to defects that are due to fair wear and tear, accidental damage or failure by the Customer or any third party to adhere to the Company’s instructions or written recommendations. Care instructions for cotton The day-to-day care of cotton is the same as for wool. Many types of stain can, as a rule, be removed using warm water If necessary, repeat cleaning using a neutral cleaning agent, possibly soapy water. It is important to rinse with clean water. When removing stains, caution must be exercised, i.e. do not rub too hard on the fabric, since there is a risk of friction marks. Removable covers can usually be washed, although there is a risk of shrinking. This can, however, to a certain extent be minimised by replacing whilst slightly damp. Care instructions for wool Daily care and immediate stain removal will ensure that your wool upholstery will keep looking good for many years to come. It is normally sufficient to regularly vacuum and air furniture upholstered in wool fabric. However, it is a good idea to clean the wool fabric occasionally. Use an approved wool shampoo and follow the instructions carefully. Take care never to saturate the wool fabric. Never use undiluted cleaning agents, bleaching agents, ammonia or soap intended for hard surfaces. As a rule, many types of stain can be removed using warm water. Find further information about washing temperature and shrinkage please vist the Kvadrat website. Kvadrat offer a helpful guide for treating particular stains WARNING! Be careful when using solvents, because these could dissolve the upholstery material beneath. General information These tips are purely recommendations and cannot guarantee 100% stain removal. In all cases, we recommend contacting a professional cleaning establishment, particularly for bigger stains and for thorough cleaning.

Bulb Changes Effective from September 2011 and ongoing Due to EU legislation new rules for bulbs will be effective from September 2011. The rules are for bulb manufacturers not suppliers. Halogen energy saver Bulbs will be the replacement – these are fully dimmable. All lights have a maximum wattage label these have been tested with incandescent bulbs – the replacement bulbs have been selected to have equal output and under the advice of lighting test house. Definitions The candela is a unit of intensity: a light source can be emitting with an intensity of one candela in all directions, or one candela in just a narrow beam. The intensity is the same but the total energy flux from the lamp, in lumens, is not the same. The output from a lamp is usually quoted in lumens, summed over all directions, together with the distribution diagram in candela. IF YOU INTEND TO USE A HIGHER HALOGEN PLEASE CHECK CAREFULLY AS THE HEAT OUTPUT MAY BE GREATER.

Metallisation Process: The Mirror Ball range, Copper Shade, Copper Blow Shade and Fat Spot are all products which share the same special vacuum metallisation process which has been developed over a number of years by Tom Dixon in partnership with our factory. The technically complex nature of this process (i.e applying a very thin layer of real metal to the internal surface of a polycarbonate form, which is then UV coated) requires highly skilled workers, specific machinery and clean environments to meet our demanding quality levels. We have sought to perfect this process by carefully controlling the extremely small holes that can appear at times within the metal coating. In addition to research and development of the production process, we also adhere to specific European Directives (such as “The Restriction of Hazardous Substances Directive”(RoHS) 2002/95/EC) and certain safety standards required by the international marketplace (British Standard, European Certificate, UL Rating, CCC and so on). Fluoro Shade: Please note that due to the nature of the blow moulding manufacture process involved in this product, it is important to advise customers before purchase, that the shades may retain some very fine white lines (within the plastic itself) which tend to only be visible in a dark environment where there are no additional light sources. In the majority of normal circumstances these lines are not apparent, but it is important that we advise you of this information prior to purchase. The orange painted coating is not affected and the performance of the light remains the same. These lines are inherent in the plastic shade and unavoidable in production. Marble: Marble is a natural material and is exceptionally porous and greater care must be taken with it. Avoid wine, oil based products and foods, vegetable and fruit dyes or acids coming into direct contact with the surface. Please be aware that Marble will have some natural occuring variations in colour and veins and are not covered by our returns policy. Pricing Terms: This price list is valid from September 2011 and supercedes all previous lists. Prices will be evaluated after 6 months. Prices are quoted in Pounds Sterling, both inclusive and exclusive of VAT. The Company reserves the right to change list prices at any time and on any product without prior notification. Prices are based on economic conditions and the best knowledge of the Company at the time of publication. The Company reserves the right to change form, appearance and / or execution of the listed models. Orders will only be considered placed once a formal receipt of Confirmation of Order has been provided by the Company. Order confirmation is final and binding. Any subsequent change or cancellation is subject to the Company’s consent. Warranties: The Customer will be responsible for inspecting Goods upon delivery and it is a condition of the Contract that any shortage or defect in Goods at delivery are notified to the Company in writing together with photographic proof within 5 working days from the receipt of goods. A one year limited warranty against manufacturing defects is offered on standard goods (materials and construction). Normal wear on fabrics and finish as well as indirect damage to persons or articles is not covered by this warranty. Where a defect has been notified, the Customer will, if so requested by the Company, return the Goods to the Company at the Customer’s expense. If the Company subsequently confirms that the returned Goods contain defects attributable to the Company, the reasonable costs of re-delivery incurred by the Customer will be refunded. The warranties given above will not apply to defects that are due to fair wear and tear, accidental damage or failure by the Customer or any third party to adhere to the Company’s instructions or written recommendations. Installation: All our lights are indoor use only. They should be installed by a qualified electrician. Installation must be carried out in accordance and compliance with current building regulations. Because of the variety of different ceiling types and construction Tom Dixon cannot advise on fixings. Please check the type of ceiling construction you have and use appropriate fixings that are suitable for the weight of the light being installed.

Terms and Conditions of Sale 1. Pricing 1.1. Prices charged will be the current list price on the day on which the Order is placed unless otherwise stated in writing by the Company. The Company reserves the right to change list prices at any time and on any product without prior notification. 1.2. Where the Company’s quotation contains prices which are different from the published price list and the Order is placed within 30 days from the date of the quotation, then the prices shown in the quotation shall be the prices payable for the Goods. 1.3. Unless otherwise stated in the Contract, prices are quoted exclusive of value added tax and sales tax, carriage and freight which will be payable in addition. 2. Delivery lead times 2.1. The Company will make all reasonable efforts to deliver all Goods within the period stated upon Confirmation of Order. The Company will not have any liability to the Customer for any delay in delivery. 2.2. An Order will only be considered placed once a Confirmation of Order has been provided by the Company. 2.3. The Customer will be responsible for inspecting Goods upon delivery and it is a condition of the Contract that any shortage or defect in Goods at delivery are notified to the Company in writing within five working days from the delivery date. 3. Payment terms 3.1. Goods will be dispatched only upon receipt of payment in full from the Customer. All orders require a deposit of 50% and a signed copy of the Order is required prior to the commencement of manufacture unless otherwise agreed. 3.2. Where goods are ordered to a specific Customer specification, it is the responsibility of the Customer to verify the specification of the goods as outlined in the Confirmation of Order provided to the Customer. 3.3. If a custom ordered item meets the specification agreed to in advance on the Confirmation of Order, these goods may not be returned under any circumstances. 5. Property and Risk 5.1. The risk of loss or damage to the Goods passes to the Customer upon delivery. 5.2. Any Goods delivered to the Customer remain the property of the Company until payment in full of all amounts due to it from the Customer has been received by the Company. 5.3. No re-sale of the Goods by the Customer shall take place until payment is made in full to the Company. 6. Unexpected Events 6.1 If the Company is prevented from carrying out its obligations to the Customer by a cause beyond its reasonable control, including fire, flood, storm, failures of sub-contractors or transport, industrial action or acts of God. The Company shall not be liable for any failure or delay. However, the Company will try to find alternative ways of performing its obligations where possible. 7. Guarantees and Liability 7.1. The Company will have no liability to the Customer or any third party if the Customer does not comply in all respects with the Company’s instructions in relation to the product. 7.2. If the Customer notifies the Company immediately it becomes aware of any defect in the Goods which appears within one year of delivery, the Company will, at its option, either repair or replace any Goods found to be defective due to faulty manufacture or materials supplied by the Company. 7.3. Where a defect has been notified, the Customer will, if so requested by the Company, return the Goods to the Company at the Customer’s expense. If the Company subsequently confirms that the returned Goods contain defects attributable to the Company, the reasonable costs of re-delivery incurred by the Customer will be refunded. 7.4. The warranties given above will not apply to defects that are due to fair wear and tear, accidental damage or failure by the Customer or any third party to adhere to the Company’s instructions or written recommendations. 7.5. All terms, conditions and warranties implied by law, trade use or otherwise (including but not limited to any warranties as to quality or fitness for purpose) are excluded to the extent permitted by law. The Customer, by entering into the Contract, acknowledges that the only warranties are those given expressly by the Company in these Conditions. 7.6. Under no circumstances will the Company have any liability to the Customer for any loss or damage (whether direct, indirect or consequential and whether in contract or in tort) except as expressly stated in these Conditions. 8. Default If the Customer: a. commits a breach of contract, or b. fails to make a payment on the due date; or c. becomes insolvent or has a receiver appointed then, in any such case the Company shall be entitled either to suspend the supply of Goods or, at its option, to cancel the Contract and repossess any Goods for which payment has not been received in full. The Company shall also have this right if it reasonably considers that any of the events mentioned (a), (b) or (c) above are likely to occur. 9. Severance If any provision of these Conditions is held by a court to be unenforceable, the remaining provisions of the Contract will continue in effect. 10. General
10.1 The Company has the right to sub-contract its obligations. 10.2 The Contract shall be governed by the laws of England and Wales. 11. Disputes Any dispute between the parties shall be finally determined by the courts of England and Wales and the parties agree to submit to the jurisdiction of those courts. All products offered by the Company are supplied expressly upon these terms with no additions or modifications.
