Dear Mr. Armen Harutyunyan, Hereby we have the pleasure to send you an estimated price for the delivery and installation of the materials for a greenhouse system in the region around Hrazdan, Gyumri, Sisian and Martuni.

STARTING POINTS DESIGN Greenhouse system These are the underlying starting points for the design of the greenhouses:.

NEN 3859, 3rd edition, type A15 Nederland zone II + lII EUROPEAN STANDARD EN 13031: Greenhouses, annex E8: NETHERLANDS Total surface: 29.520 m² and 60.680 m² Bay size 4,00 m.

1 greenhouse with the following dimensions: - 18 x 8,00 mtr - 41 x 5,00 mtr 1 greenhouse with the following dimensions: - 37 x 8,00 mtr - 41 x 5,00 mtr Snowload 350 N/m².

Installationload 70 N/ m² The AVAG conditions, which are last registered at the office of the County Court of The Hague, are applicable at all purchases and sales, agreements of labour, execution and delivery concerning buildings in particular the building of greenhouses, warehouses and servicebuildings, as well as installations and/or parts of them such in the widest sense of the word.

Delivery CIF Poti, Georgia.

Transport from the port to the construction site is not included.

Unloading of the trucks/containers is not included.

Transportation will be according to Incoterms 2010. For detailed explanation reference is made to ICC publication Incoterms 2010. Purchaser will unload the box containers/trailers upon arrival. All glass, electrical and insulation materials should be stored in a dry area.

Terms and conditions Terms of payment to be agreed upon All given prices are based on the actual wages, prices, freight costs, exchanges rates and your data. Therefore, we reserve the right to review our prices in case of any changes of one of these factors.

Prices are exclusive of VAT. Prices are exclusive of import- and other taxes.

Prices are exclusive supervisor and labour unless mentioned otherwise.

Payment shall be made in the original currencies as quoted.

Contractor will insure the materials during the transportation time from our factory to the site. Purchaser has to arrange for C.A.R. insurance policy from the date of arrival of materials at site till completion of the project P.L.J. Bom Greenhouses B.V. shall be excused for the delay in the delivery due to acts of God, war, riot, embargoes, acts of civil authorities, fire, flood, accidents, quarantine restrictions, mill conditions, strikes, differences with workmen, delays in transportation, shortages of cars, fuel, labour or materials or any other circumstances or causes beyond the control of P.L.J. Bom Greenhouses B.V. in his reasonable conduct of business We are not liable for damages and/or losses (and/or liability for that) caused by or arisen from “terrorism” and/or “sabotage” with terrorist intentions, as well as the malicious use of chemical and/or biological substances in connection therewith.

Terrorisme: violent actions committed by any organisation for the purpose of making an impression on the population and creating climate of insecurity.

Sabotage: malicious actions not committed by himself and intended to prevent the normal operation of a service or undertaking or the hampering of the traffic.

All payments to P.L.J. Bom Greenhouses BV shall be drawn on a bank guarantee or an irrevocable confirmed Letter of Credit, at the time of ordering, issued by a bank

acceptable to P L J Bom Greenhouses BV, and confirmed by the receiving bank, in favour of P. L. J. Bom Greenhouses BV, payable at sight. All costs are borne by the purchaser.

Purchaser will provide the necessary Visa for the workers if needed.

Purchaser will provide proper storing facilities with security on site. Any damage or lost of materials are the responsibility of the purchaser. In case of any damage P.L.J. Bom Greenhouses B.V. and the purchaser will sort the matter out in a friendly negotiation in order to detect the cost of the damaged materials and the financial responsibility for this matter.

Provisions, which may possibly, issued by the authorities, concerning environment and nuisance acts are excluded.

P.L.J. Bom Greenhouses B.V. might bring modification in the design and materials of the glasshouse in case of systems integration and adaptability to the whole project taking in consideration the whole principle and high quality of the project.

All left over materials after completion, remain property of P.L.J. Bom Greenhouses B.V. The General Terms and Conditions of the „AVAGâ€&#x;, which are registered at the office of the County Court of The Hague, are applicable and have been included or already issued to you. If not attached with this offer the same is available upon request.

The mentioned prices are an estimation, no rights can be obtained from these prices.
