NORTHERN ENVIRONMENTAL ACTION TEAM BYLAWS

(Revised and Approved 19 June 2008)

Part 1 – Interpretation (1) In these bylaws, unless the context otherwise requires, a. “directors” means the directors of the society for the time being; b. “Board” means directors of the Society c. “Society Act” means the Society Act of British Columbia from time to time in force and all amendments to it; d. “registered address” of a member means the member’s address as recorded in the register of members. (2) The definitions in the Society Act on the date that these bylaws become effective apply to these bylaws. Words importing the singular include the plural and vice versa. Part 2 – Membership The members of the society are the applicants for incorporation of the society, and those persons and corporations who have become members, in accordance with these bylaws and have not ceased to be members. Any person, corporation or institution may apply to the directors for membership in the society and on acceptance by the directors shall be a member. Every member shall uphold the constitution and comply with these bylaws. A member shall be deemed to be in good standing when he has paid his current annual membership fee. The amount and structure of the first annual membership dues shall be determined by the directors and after that annual membership dues shall be determined at the annual general meeting of the society. There shall be four classes of membership in the Society, namely: Individual, Family, Corporate and Institutional Membership. a. Individual Members shall be entitled to one (1) vote per member at all meetings of the members of the society. b. Family Members shall be entitled to one vote per adult member of such family to a maximum of two (2), such adult members as being entitled to vote to be designated by the applicant at the time of application for membership. c. Corporate and Institutional Members shall not be entitled to vote at, but shall be entitled to notice of, meetings of the members of the Society. A person, corporation or institution shall cease to be a member of the society a. by delivering their resignation in writing to the secretary of the society or by mailing or delivering it to the address of the society; b. on death or in the case of a corporation on dissolution;
