Auction Terms and Conditions
The
DOWN PAYMENT A Down Payment, in the Amount of Ten (10%) Percent of the Final Contract Price, will be required down, immediately following the close of bidding; At which time, each successful high bidder(s) will sign the Earnest Money Contract and Purchase Agreement. The down payment may be paid by personal check, business check, or cashier’s check and will be made to the closing agent. The remainder (Balance) of the purchase price is due at closing within 45 days of the sale or as soon thereafter as applicable closing documents and surveys are completed. ACCEPTANCE OF BID PRICE All Property is being offered As-Is Where-Is with no Contingencies. Bidding / Purchase Agreements and contracts are not contingent upon Financing and Buyer and / or Lender Inspections. Buyers(s) assume all responsibility for obtaining any necessary financing for the purchase of the property and neither Seller nor Auction Company assumes any responsibility for buyer’s inability to obtain financing. By Bidding you agree to the Terms Sale. Seller reserves the right to add or delete any property, reject any bid and / or cancel the sale. All successful bidders will sign an Earnest Money Contract at the auction site immediately following the close of bidding. POSSESSION Agriculture Rights for Tillable Land, will be given to the high bidder(s) / Purchaser(s) upon the acceptance and bank clearance of their down payment. Full Possession to all tracts / parcels will be given, upon full payment after closing. CLOSING AND TITLE INSURANCE Owner’s Title Insurance will be furnished to purchaser at Seller’s expense. Real estate taxes shall be prorated as of the date of closing. Seller will provide only the following warranties of title and no other: 1) Surface Estate: The surface of any tract or tracts of property sold as a result of this Auction shall be conveyed by a Special Warranty Deed from Seller, warranting title to the surface only by, through and under Seller, but not otherwise; and 2) Oil, Gas & Other Minerals: All oil, gas and other minerals owned by Seller if any will be transferred to the purchaser of the surface estate with no warranties of ownership or quantity. Please seek legal counsel to verify any mineral ownership. SURVEYS / ACRES Tract acreages have been estimated by use of maps and aerial photos. Closing prices shall be adjusted to reflect any differences between advertised and surveyed acres. All tracts will require a new survey to complete closings. The information regarding the number of acres in each tract and the exact tract boundaries are estimated and the actual acreage and boundaries involved in each tract may vary from the estimate. Notwithstanding any estimates of acreage or tract boundaries provided, neither Auctioneer, Seller nor Broker make any representation or warranty that the acreage of any tract is of any particular quantity or location. All Bidders are advised to make independent investigation of the actual acreage and boundaries involved in any and all tracts prior to submitting a bid. The sales price of any Earnest Money Contract resulting from the Auction will be adjusted, based on any survey obtained and the exact boundaries of said tract will be established with said survey. Lowderman Auction and Real Estate will provide an estimate on survey cost per tract prior to auction. PROCEDURE / METHOD OF SALE All tracts will be offered “Buyer Choice” by the acre. Land will be sold on a per acre basis, “Buyers Choice” with the high bidder choosing which tract or a combination of tracts they want, at the bid price per Acre. Each sale is final, no combinations will be offered (other than the high bidder being able to “pick and choose” which tract or tracts they want). NOTE: Tract numbers 1-62 do not indicate the order of sale, and are for identification purposes only. The land tracts will be sold in the order in which they are chosen by the highest bidders. Once a tract or a combination of tracts is chosen by a high bidder, then any remaining tracts will be offered to the highest and best bidder, until all tracts have been identified and chosen by a high bidder. DISCLOSURE Buyer acknowledges and understands that neither Lowderman Auction and Real Estate, nor its agents, make any assertions or guarantees as to the condition of the property herein. Buyer agrees to accept “as is, where is”. The sale of all property offered through this auction is made on an “as is, where is and with all faults” basis. Each bidder expressly acknowledges that, in consideration of the agreement of Seller to proceed with the auction process, Seller makes no warranty or representation (other than as expressly provided in the contract and in the documents to be executed at closing), express or implied, or arising by operation of law, including, but not limited to, any warranty of condition, title (other than the special warranty of title with respect to the real property), habitability, merchantability or fitness for a particular purpose with respect to the property or any portion thereof. SPECIAL NOTES All properties are selling subject to easements, restrictions, covenants, conditions and zoning of record that would be revealed by a current survey and inspection of the property and of public records.
