We would like to thank our members for participating in last year’s focus groups where we shared our vision for Berkeley Hall’s Master Plan. We believe the modified Phase I proposal detailed in this booklet is compatible with your ideas of what our shared future should include. With enhanced dining and gathering amenities and expanded venues with exceptional views, we believe it is a step toward solidifying Berkeley Hall’s premier Club lifestyle in harmony with our membership. The Board, staff and the Master Planning Committee have spent much of the past two years working with many professionals, consultants, and industry experts to bring this first step of the Berkeley Hall Master Plan to life. We are confident you will be as excited as we are as we unveil the details of the addition and enhancements to our Clubhouse and dining venues. The 4-Seasons Veranda project is a well-designed combination of new spaces imagined and existing ones reimagined. We can all agree that Berkeley Hall is a great place to live, a great place to socialize and make new friends, and the best place in the Lowcountry to play golf. Additionally, we agree that investing in our amenities to enhance our member experience is necessary. This booklet provides a full description of Phase 1 of the Master Plan, including what it will look like and how it will be financed. The information provided throughout will detail the plans for the 4-Seasons Veranda, Mixed Grille renovation and Kitchen upgrade. Members will be asked for their approval between January 18 and January 29. If approved, construction will commence in the first quarter of 2021 with a completion date in the Spring/Summer of 2022. Implementation of the Master Plan is a cornerstone piece of our efforts to enhance our overall member experience, and with the success of other strategic initiatives our belief is that future Master Plan enhancements will be funded by our Capital Reserve Fund. Although we will be planning small focus groups and zoom meetings between now and the vote, please feel free to contact myself or any member of the Board to help answer any questions or concerns that you may have. In the past 20 years the demographics of existing and prospective members have changed as have their expectations of what Berkeley Hall membership represents. The Board and Management is committed to meeting the evolving demands of our membership by investing in our future while ensuring that we remain vibrant, viable and relevant.

s we approach our 20th anniversary and the Club vote on Berkeley Hall’s Master Plan: Phase I, we are excited to share the exceptional vision Peacock + Lewis has brought forward for our Club. Our membership is poised to usher in a new era that reflects our Club lifestyle and makes the most of all our exceptional facilities and grounds. It is now time to consider how to best invest in our next 20 years. The Master Plan: Phase I project addresses these forward-looking requirements as well as current realities. This plan has been in development over the past two years with direction from members, leading gated golf course community architects, designers, and Club staff. The enclosed renderings offer a preview of how the finished spaces will look. Our dining and gathering venues will be elevated to the next level while offering the ability to gather year-round and enjoy our spectacular Lowcountry setting.

1. What does Phase 1 include? Phase 1 of the Master Plan focuses on Clubhouse space and dining enhancements including the construction of a 4-Seasons Veranda extending from the back of the current Grand Hallway, at that elevated level, extending out over the back lawn. This 3,700 sq. ft. addition will provide year-round patio dining in a climate-controlled environment.

2. What will the 4-Seasons Veranda include? Initially, the new space will add over 100 seats in the 4-Seasons Veranda. An expanded bar with seating will offer views of both the 9th and 18th holes. There will be an open kitchen that will serve to accommodate diners in the Veranda area as well as provide an expedited casual dining opportunity at the turn or after golf. The Veranda will have movable glass partitions and screens so that it can be utilized year-round and be either fully open, screened or fully enclosed depending upon the weather. The expanded seating will allow for larger member and guest seating during special events.

3. What other renovations are included in this Phase 1 Project? The Mixed Grille will be renovated to blend with the new Veranda space and the Kitchen will be upgraded to be more efficient and capable of serving additional diners.

4. Why do we need a 4-Seasons Veranda and expanded dining capability? The rationale behind this project is 5-fold: a. Expand the seating capacity of our Clubhouse facility to accommodate additional members and guests b. Provide an exceptional dining and gathering environment for existing and prospective members that is unrivaled by our competitors c. Maximize our beautiful golf course views to the benefit of our membership d. Construct new and renovate existing facilities that will elevate and enhance our membership experience e. Demonstrate to existing members, prospective members, and builder/developer partners that the Berkeley Hall membership is committed to investing in forward-thinking Club improvements

5. The original Master Plan envisioned remodeling the entire Clubhouse which included the 4-Seasons Veranda. Why have we scaled down the project? The project was scaled back due to the many unknowns regarding COVID-19 and what those effects might be on our Club and members. Although we do not know what the future will bring with respect to COVID-19, we do know that the longer we do not act, the farther behind we will lag. If we do nothing, we will maintain the status quo in the Clubhouse: tired and worn. This scaled down approach is a compromise between what the Club needs and deserves under normal circumstances (complete Master Plan implementation), and our acknowledgment that although we want to make forward progress, we want to do so in a measured manner.

6. How long and what will be the disruption to services at the Clubhouse once the construction begins? If approval to proceed is voted in January, we will be able to have the Clubhouse exterior completed by Fall of 2021 and full occupancy and use by Spring/Summer 2022. During construction, both Locker Rooms and the Tap Room will be open and operational. The Mixed Grille will be closed for renovations during the latter part of the project for approximately 3 months.

7. How much will the Phase 1 Project cost? The cost, based on our proposed general contractor, is $5,175,000. We will be using debt to fund this project and will pay down the note using monthly member Capital contributions for a maximum of 84 months as follows: $139 for Equity Members; $70 for Signature Members; $35 for National Members. The term of the loan will decrease by some as yet unknown amount depending upon the number of Club-Owned Lots sold during the life of the project. A portion of the proceeds from every Club-Owned Lot will be applied to pay down the debt. Existing homeowners who sell their homes prior to debt payoff will have whatever remaining Capital contribution obligation pass to each new owner. For example, if you sell your property after making 34 months of payments, the new member would pick up where you left off and make the final 50 payments.

8. Will the Board vote Club-Owned Lots in order to pass this initiative? No.

With input and direction from Members and experts alike, the Master Plan: Phase I represents our shared vision of the future. Providing enhanced dining and gathering amenities in expanded venues, is a step toward solidifying Berkeley Hall as a premier club, with a lifestyle in harmony with our membership. It was one year ago, December 2019, when we first gathered for presentations and then began our 2020 focus group sessions to determine your level of interest. At that time, the Club was set to move ahead with a membership vote

on the scope and cost of the complete Master Plan. Then, everything was put on hold due to COVID-19. In June, the Master Planning Committee developed a modified Phase I proposal for implementing the 4-Seasons Veranda, Mixed Grille remodeling and Kitchen renovation. Not only will this project provide an exciting, new dining and gathering venue for members, it will also attract prospective members weighing comparative advantages of other clubs. In fact, it already has, as you can see from the comments below from some of our newest members:

The Phase 1 ballot (basically asking for membership approval to proceed with taking on the debt, signing contracts to proceed with construction and 12

agreeing that the Capital contribution repayment plan is acceptable) will be open from January 18 through January 29, 2021. We encourage everyone to cast your vote. Upon sale of a property, any remaining monthly obligation will pass to each new owner/equity member when a current member sells their property. The term of the loan will decrease for all members depending upon the number of Club-Owned Lots sold to new members during the time of the debt. A portion of the proceeds from the sale of every Club-Owned Lot will be applied to the remaining debt. The maximum total amount per member could be $11.7k. However, applying a portion of the Club-Owned Lots sales revenue will reduce the loan balance and shorten the member payment term.

completion: The project is slated for completion in Spring/Summer, 2022. The Clubhouse and dining in the Mixed Grille, Tap Room and Berkeley Room and Tuscan Wine Room will be open for the majority of the construction period. During the final 3 months of the project, the Mixed Grille will be closed but dining options will remain open in the Tap Room, Berkeley Room, Locker Rooms and possibly in the new 4-Seasons Veranda.
