Report of the Council For the year ended 30 June 2009 Introduction The Directors, who are also the Charity Trustees, present their Annual Report and accompanying Financial Statement for the year ended 30 June 2009. Objectives The objectives of The Friends of Arundel Cathedral, as set out in the Memorandum and Articles of Association, are the maintenance, support, service, carrying on and development of the Roman Catholic Cathedral of Our Lady and St Philip Howard at Arundel, West Sussex. In pursuance of these objectives the primary long-term goal of the Friends is to offset, by means of an annual grant, a significant portion of the financial burden carried by the Diocese in respect of the maintenance and upkeep of its Cathedral. In addition, the Friends seek to make the Cathedral more widely known, appreciated and used, as the Mother Church of the Diocese of Arundel and Brighton. Review of Operations Background to the Year The October AGM was well-attended, and as has been noted before it was gratifying to have Friends from beyond the parish of Arundel in attendance. It would have been good to see a larger congregation for the mass in honour of our patron, St Philip Howard, celebrated as in previous years by Bishop Kieran. The timing of the AGM is deliberately set to coincide with St Philip’s feast day, and we feel it a privilege to have his mass celebrated prior to our meeting. We hope that with the earlier notice this year, given in the summer Cornerstone newsletter, more Friends will be able to attend. The AGM included discussion of possible projects suitable for funding from our annual grant, bearing in mind that the final decisions as to building and maintenance priorities must rest with the Diocese. A cheque for £42,000 was presented to Bishop Kieran on behalf of the Friends. The principal activity
and main public benefit provided by The Friends of Arundel Cathedral is the provision of financial assistance for the long-term maintenance of the cathedral, a historic listed building, one of the landmark edifices in a town described as ‘the jewel in the crown’ of the Arun Valley. The 2008 Christmas concert combined traditional carols with a selection of readings, together with some contrasting clarinet pieces. The Christmas concert provides an excellent opportunity for the Friends to appreciate and support the Cathedral Choir, whose young soloists were in exceptionally good voice. The evening was greatly enjoyed by the audience, not least for their own part in the congregational singing. The generosity of those attending resulted in a profit shared by the Friends and the Arundel Cathedral Choir. The Concerts are open to all the public. The Friends were involved in a number of ways with the Cathedral’s celebration of the Feast of Corpus Christi, which as usual brought large numbers to the mass and procession, as well as the thousands who come to view the carpet of flowers. All those acting as stewards during the two days of viewing have the opportunity to explain to people of all backgrounds the nature of the feast.

A number of guided tours for the public have been conducted by the Friends, involving groups of all kinds. While some groups have comprised well-informed, committed adults, others have involved young people, some with learning difficulties, with almost non-existent appreciation of the purpose of a church. We believe it particularly worthwhile to include such groups. Any members wishing to avail themselves of guided tours are invited to contact the Friends office. Despite the continuing turmoil in the world’s stockmarkets we consider we can maintain the grant to the Diocese at £42,000. Administrative costs are under constant scrutiny, and measures are in place to minimise outgoings. The Council The Friends of Arundel Cathedral is a company limited by guarantee without share capital, and was incorporated on 21 June 1999 (No 3792834). The Company was registered as a Charity on 10 November 1999 (No 1078149). The Articles of Association were amended at the AGM held on 29 April 2008 by replacing the Arundel Parish Pastoral Council with the parish Finance Committee as appointor of the parish representatives to Council. Proposed changes in legislation in connection with charitable status has caused a degree of anxiety on the part of religious institutions, many of whom are not wholly convinced by government reassurances. As far as The Friends are concerned our principal objective of maintaining an historic building should mean that there will be no cause for any threat to our charitable status. The Council (Board of Directors) comprises up to six members elected by the overall membership, up to four members appointed by the Bishop, and up to two appointed by Arundel Cathedral Parish. The current composition is shown under Legal and Administrative Details (opposite). In each case appointments are for a maximum of three years, although re-election or re-appointment is permitted. The Council meets formally every two or three months. Investment decisions are delegated by the Council to an Investment Committee comprising three of its members. In 2007 Council appointed Rensburg Sheppards as our investment manager to manage on a discretionary basis for a fee. The Committee receives regular reports from the managers and holds meetings with them.

Please remember them in your prayers; they will of course be included in our intentions at the Annual Mass. Financial Objective As identified above, our long-term financial objective is to meet a major and growing part of the Diocesan costs for the Cathedral, which currently fall upon the whole Diocese. An annual grant has now been made for over twenty years, in part enabled by subscriptions and donations of Friends and other wellwishers, but mainly as a result of modest but regular contributions, often over many successive years. That annual grants have totalled in excess of ÂŁ684,000 over these years is testament to the generosity and perseverance of our Members. We are glad to announce that, despite the less favourable investment environment, our annual grant for 2009 can be maintained at ÂŁ42,000, and we consider this amount can be held at this level for some time to come The Council is always interested to hear the views of members, and for its part takes the view that the substantial size of its annual grant means that it can best be deployed in respect of major and essential items of expenditure.

Development Objective The Development Objective of the Friends is to encourage a wider appreciation and use of the Cathedral by people from across the Diocese. The Friends Newsletter has been reinstated as a twice-yearly publication, celebrating the quality of the Cathedral itself, in terms of the architecture, sculpture, and decorative detail. Issues to date have focused on the Cathedral’s sculpture, the Corpus Christi carpet of flowers, and the stained glass angels above the main altar. A number of guided tours of the Cathedral have been conducted during the past year. Any Friends interested in availing themselves of a tour, in groups large or small, are invited to contact the Friends Office to make arrangements. Investments Looking back over the years, there is no doubt that our investments have been judiciously managed. Not only have we benefited from total investment income of nearly £630,000, but at the same time the value of our investments has also risen by some £440,000, so that we now have a fund a little under £1.2 million, which will enable us to make worthwhile contributions to the Cathedral’s wellbeing for future years. The well published “credit crunch” has hit the world’s stockmarkets and we cannot remain immune to this. Our portfolio has decreased by 10% in value but this is about a one third improvement on the performance benchmark set for the fund manager. We will continue to keep a well diversified portfolio in gilts and equities at home and overseas as this helps reduce the portfolio’s overall risk. The new fund manager has been set performance benchmarks and their performance in the first full year is satisfactory. Annual Accounts The detailed accounts are attached to this report. They may be summarised as follows: •

Twelve months ago, the value of our assets amounted to £1,354,000, from which we paid a grant of £42,000, leaving ourselves with £1,312,000. During the twelve months to June 2009, our subscribers and other well-wishers contributed some £13,000 including £2,000 from tax repaid under Gift Aid (last year the corresponding figure was £18,000). We also received the balance of prior year’s legacies totalling £2,000. The Christmas Concert raised £1,000 (last year £2,000). Excluding investment income, the total receipts for the year amounted to £16,000 (last year £86,000). Our management and administration costs, including employment costs relating to our Administrator, amounted to £8,000 (last year £9,000). The investment management fee was £10,000 compared with the cost for half a year in 2008 of £7,000. The costs associated with the Christmas Concert amounted to £1,000 (last year £2,000). This year our investment income amounted to £24,000 (last year £27,000). The market value of our investments decreased this year by £131,000 (decrease last year £149,000). The total investment return obtained this year was therefore a loss of £108,000 (loss last year £37,000). The net result is that we are now left with total assets of £1,200,000, out of which we are proposing to pay a grant to the Diocese of £42,000, leaving The Friends with assets with a value of £1,158,000.

Statutory Information Reserves Policy Subscriptions and other payments by well-wishers net of expenses are added to the charity’s reserves, and invested as part of its investment portfolio. It is from the investment return from this portfolio, rather than from the reserves themselves, that grants are made to the Diocese. The long-term aim is to build up significant reserves to make it possible for the grants paid by The Friends to cover the major part of the costs falling on the Diocese in connection with the Cathedral. Grant Making Policy While no specific commitment has been made, the general intention is that each year the amount of the annual grant to the Diocese should be at least equal to the sum paid in the previous year, preferably increased in line with inflation. In deciding on the amount of grant in any particular year, this general intention is taken into account and effectively determines the level of any increase that might be affordable. Investment Policy The primary investment aim is to maximise total return (income and capital growth, these being regarded of equal value), while being mindful of the relevant ethical issues. In implementing this policy, proper consideration is given to the avoidance of undue risk and to the objective of maintaining the annual grant to the Diocese at least at its current level. Public Benefit The Trustees confirm that they have complied with the duty in section 4 of the Charities Act 2006 to have due regard to public benefit guidance published by the Charity Commission in determining the activities undertaken by the Charity. Risk Management The Council have assessed the major risks to which The Friends are exposed and are satisfied that appropriate systems are in place to mitigate those risks. Directors’ Responsibilities Company law requires the Directors to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the Company and of the surplus or deficit of the Company for that period. In preparing those financial statements, the Directors are required to: • Select suitable accounting policies and then apply them consistently; • Make judgements and estimates that are reasonable and prudent; • State whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the accounts; • Prepare the accounts on a going concern basis unless it is inappropriate to presume that the charity will continue in business. The Directors are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the Company, and which enable them to ensure that the financial statements comply with the Companies Act 1985. They are also responsible for safeguarding the assets of the Company, and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. Page 6
Reporting Accountants A resolution to appoint C B Edwards & Co as reporting accountants will be submitted to the Annual General Meeting. Annual General Meeting This year The Friends Mass and Annual General Meeting will take place on Sunday 18 October 2009. The Mass will be celebrated by Bishop Kieran and will start at 3.00pm. Tea will be available in St Mary’s Hall after the Mass and our Annual General Meeting will begin at 4.30pm. We hope to see you there. Accountants’ Report to the Members on the Unaudited Financial Statements of the Friends of Arundel Cathedral We report on the financial statements for the year ended 30 June 2009 set out on pages 9 to 13. Respective responsibilities of directors and reporting accountants. As described on page 6 the company’s directors are responsible for the preparation of the financial statements and they consider that an audit is not required for this year under section 32 of the Charities Act 2006 (the 2006 Act) and that an independent examination is needed. Having satisfied ourselves that the charity is not subject to audit under company law and is eligible for independent examination, it is our responsibility to: • • •
examine the accounts under section 32 of the 2006 Act; to follow the procedures laid down in the general Directions given by the Charity Commission under section 32 of the 2006 Act; and to state whether particular matters have come to our attention.
Basis of independent examiner’s report Our examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from you as directors concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a ‘true and fair view’ and the report is limited to those matters set out in the statement below. Independent examiner’s statement In connection with our examination, no matter has come to our attention: which gives us reasonable cause to believe that in any material respect the requirements: to keep accounting records in accordance with section 386 of the Companies Act 2006; and to prepare accounts which accord with the accounting records and comply with the accounting requirements of the section 396 of the Companies Act 2006 and the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities have not been met; or to which, in our opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached. Principal Accounting Policies
(i)
Basis of Accounting
The financial statements have been prepared in accordance with the Charities Act 2006, the Statement of Recommended Practice "Accounting and Reporting by Charities" March 2005, applicable UK accounting standards, and the Companies Act 1985. They are prepared on the historical cost basis of accounting as modified to include the revaluation of investments which are carried at market value. (ii)
Cash flow
The accounts do not include a cash flow statement because the charity, as a small reporting entity, is exempt from the requirement to prepare such a statement under Financial Reporting Standard 1 ‘Cash Flow Statements’. (iii)
Income
All income is credited to the Statement of Financial Activities when received except tax rebates which are included on the accruals basis. (iv)
Legacies and Donations
Legacies and donations are recognised when the charity becomes legally entitled to them and they can reasonably be measured in financial terms. Receipts of property, investments or other gifts in kind are included at market value. (v)
Expenditure
Expenditure is included in the Statement of Financial Activities as soon as it is incurred. Irrecoverable VAT is included with the category of expense to which it relates. (vi)
Total Recognised Gains and Losses
All recognised gains and losses are included in the income and expenditure account. (vii)
Taxation
The company falls within the various exemptions available to registered charities, and therefore is not liable for income tax or corporation tax. (viii)
Fixed Assets
Fixed assets are stated at cost less accumulated depreciation. Depreciation is being provided on a straight line basis to write off the cost evenly over the following estimated useful lives: Computer equipment and candelabra – 4 years (ix)
Investments
Quoted investments are valued at their closing middle market price on the balance sheet date. Increases and decreases in market value are reflected in the Statement of Financial Activities. Page 11
