THE CONSTITUTION OF Midland Penetanguishene and District Builders Association
1. NAME The name of this organization shall be the Midland, Penetanguishene & District Builders Association. 2. MAILING ADDRESS P.O. Box 95 Midland, Ontario L4R 4K6 3. HEAD OFFICE As determined by the Board of Directors 4. PURPOSE To provide builders and related trades and businesses an opportunity to improve and grow their business by: a/ Networking b/ improving standards or practice by providing information and training c/ To inform and educate its members in matters of local and area concern 5. MEMBERSHIP Membership shall be inclusive, subject to completion of appropriate application forms and payment of current membership fee and approved by the Board of Directors Constitution and By-Laws of the MIDLAND PENETANGUISHENE & DISTRICT BUILDERS ASSOCIATION February 2020

6. BOARD OF DIRECTORS & OFFICERS Shall be elected from a slate prepared by the Nominating Committee at the Annual General Meeting [ AGM] The Board will then select its Officers as follows: Past President President First Vice President Second Vice President The Policies and Procedures of the Association will be managed by the Board. The Board will appoint and Executive Officer to execute the business of the Association as determined by the Board. The Executive Officer will be provided with an honorarium as determined by the Board. The President will chair all Board meetings and Association meetings [Vice President will assume this duty, in the absence of the President] 7. FUNDS All funds collected by the Association will be deposited into a Chartered Bank by the Executive Officer for the sole purpose of the Association. Signing authority for the Association shall be three [3] Board members as approved by the Board [including the President and Past President] The Board will appoint two [2] Board members [or engage a professional auditor] to audit the accounts of the Association and submit a financial report at the AGM. 8. GOVERNANCE The Board and the Association will abide by the articles of this Constitution and the accompanying By-Laws. The Board of Directors will hold an Annual General Meeting AGM in order to report to the Membership salient financial And other activities that have transpired during the previous fiscal year. 9. CONSTITUTION May be changed by a 50% approval of the Membership present at any regular or special dinner meeting or AGM, provided such recommended changes are communicated in print to the Membership thirty [30] days in advance of each meeting. 10. BY-LAWS The By-Laws may be changed or amended as required by a quorum of the Board.

BY-LAWS OF THE MIDLAND PENETANGUISHENE & DISTRICT BUILDERS ASSOCIATION 1. MEMBERSHIP a/
Membership fee will be decided by the Board of Directors and reviewed regularly.
b/
Will be on a twelve [12] month basis, renewable on Anniversary date.
c/
Will include the cost of regular dinner meetings and other events as decided by the Board of Directors
d/
Certificate of Membership may be presented as the Board deems appropriate.
2. FINANCE a/
The fiscal year of the Association shall be from February 1st to January 31st
b/
Records of income and expense shall be provided at each Board meeting by the Executive Officer.
3. GOVERNANCE a/ The Nominating Committee shall be one or more Members of the Board as appointed by that Board: it shall present a slate of names of members who have agreed to serve as Directors of the Association for election at the AGM. Such service will be for a twelve [12] month term. A minimum of seven [7] Directors will be elected. b/ Sub-Committees and pro tem committees may be established by the Board as required to conduct the business of the Association c/
A quorum for Board decisions shall be 50% of the then- eligible Directors.

DONATIONS
a/ The Association will provide scholarships to area High Schools based on reviewable criteria for trades related students. Sources of Funding will be the John Weel Memorial Scholarship Fund. b/ Surplus monies may be donated by the Association to area charities as determined by the Board.

JOB DESCRIPTION EXECUTIVE OFFICER Midland Penetanguishene & District Builders Association February 2020 The job description of the Executive Officer consists of executing the decisions and policies of the Board of Directors and managing the affairs of the Association. These shall consist of, but not be limited to, the following:
Promotion for membership and special events Publicity Public relations Collecting and depositing funds Payment of invoices Issuing of invoices Reporting income and expenses to the Board Preparing Board Agendas, notices and records of meetings Acknowledging donors and sponsors Keep membership records up to date Prepare and issue monthly Newsletter Plan, organize and operate all dinner meetings and special events These could include: o Golf Tournament o Annual Bar-B-Que o Christmas Dinner Dance o Seminars, bus tips o Etcetera
