BY-LAWS OF THE MIDLAND PENETANGUISHENE & DISTRICT BUILDERS ASSOCIATION

1. MEMBERSHIP

a/

b/ Membership fee will be decided by the Board of Directors and reviewed regularly.

Will be on a twelve [12] month basis, renewable on Anniversary date.

c/

d/ Will include the cost of regular dinner meetings and other events as decided by the Board of Directors

Certificate of Membership may be presented as the Board deems appropriate.

2. FINANCE

a/ The fiscal year of the Association shall be from February 1 st to January 31 st

b/ Records of income and expense shall be provided at each Board meeting by the Executive Officer.

3. GOVERNANCE

a/

The Nominating Committee shall be one or more Members of the Board as appointed by that Board: it shall present a slate of names of members who have agreed to serve as Directors of the Association for election at the AGM. Such service will be for a twelve [12] month term. A minimum of seven [7] Directors will be elected.

b/ Sub-Committees and pro tem committees may be established by the Board as required to conduct the business of the Association

c/ A quorum for Board decisions shall be 50% of the then- eligible Directors.

4/ DONATIONS

a/

The Association will provide scholarships to area High Schools based on reviewable criteria for trades related students. Sources of Funding will be the John Weel Memorial Scholarship Fund.

b/

Surplus monies may be donated by the Association to area charities as determined by the Board.

Midland Penetanguishene & District Builders Association February 2020

The job description of the

Executive Officer consists of executing the decisions and policies of the Board of Directors and managing the affairs of the Association.

These shall consist of, but not be limited to, the following:

Promotion for membership and special events Publicity Public relations Collecting and depositing funds Payment of invoices Issuing of invoices Reporting income and expenses to the Board Preparing Board Agendas, notices and records of meetings Acknowledging donors and sponsors Keep membership records up to date Prepare and issue monthly Newsletter Plan, organize and operate all dinner meetings and special events

These could include: o Golf Tournament o Annual Bar-B-Que o Christmas Dinner Dance o Seminars, bus tips o Etcetera
