For the first time in several years, we’re hearing optimistic forecasts from across the industry. With what looks to be a relatively stable oil price, energy-related projects are on the upswing. Rising commodity prices are also boosting optimism among investors. B

uilding successful trade and compliance practices is about being consistent in the small things over time – basic blocking and tackling of compliance. It involves developing systematic approaches that are risk-based for a particular company.

One of the things I marvel at and am struck by, is how thoughtful some inhouse people can be when they think about their company and how they very systematically look at that company’s value chain. They think about the places in that value chain which may present legal risk, build solutions around those risk areas and then apply the solution in a consistent way over time. That type of consistency in the small things, that kind of assiduousness of thinking through the problem is really quite striking to me and quite impressive.

Success in this area is also just caring: People who care about their roles and are dutiful, who make sure the light is on, and are thinking through issues in a systematic, consistent way. These are the things that have struck me over my career and have separated the most effective in-house compliance people and lawyers.

Based on that experience, here are seven specific ways to build toward success.

Stay updated. Make sure that people have routines to stay updated about developments to this area, which is absolutely critical. This area of international risk compliance is an area that can change literally by the day so just to be on top of things is the first step.

Know the difference between factual development or expertise and insight.

When we work with clients internally, the clients that we love working with have an incredible desire to really elevate their game. To go from knowing the development to knowing why it’s important and being able to communicate that internally to their audience is key. That second piece is focused on insight and not so much expertise even though expertise is important.

Try the tabletop approach.

Think of new ways to be predictive about risks so that you can address them in the event that they arise and mitigate them from coming to pass.

One of the things we’re starting to see is the notion of tabletop exercises.

I was an Army Officer for many years and served inside of the government. One of the tools that we used was this notion of a tabletop exercise where we would work out, literally role play, certain scenarios that were specific to the military.

Companies can do that too, it’s a great tool to work through challenges.

One example in the trade compliance base might be the imposition of tariffs.

How would the imposition of tariffs impact the value chain of the company?

What would that literally look like for purposes of your company?

Meet the highest common denominator. For companies engaged in global business, one of the conceptual buckets to be mindful of is how do you help your company meet the highest common denominator of applicable legal standards? For example, if you’re a

European company and you have global operations, you may also have operations in the U.S. You may have to navigate both European law (home law) and other bodies of law. Building this compliance that meets the highest common denominator in standards is critically important and one of the key challenges.

One of the challenges that many European clients are dealing with the in Europe is that most countries of the EU are still participating in the P51 agreement with Iran. Most European countries have lifted sanctions there but the United States has decided to pursue a different tack. So, EU companies are having to think through how they would fulfill their obligations through European law when they’re talking about implementing blocking statutes and meeting legal obligations of other jurisdictions.

Consider geography and sector when analyzing risk. Unfortunately, many geographies in the world present real risks. Areas of risk include not only Iran, Russia and China for different reasons (particularly on the anti-corruption front), but also parts of sub-Saharan Africa and Latin America. Certain industry segments such as high-tech, energy and pharmaceuticals are obvious industries that tend to bear elevated risk just by virtue of their value chains.

Don’t become complacent.

There’s often a risk in what we do, especially if we are experts in our field. It’s very easy to grow complacent and assume that our body of knowledge is fresh and up-to-date.

We must guard against complacency and be active about our learning.

Always be learning and build that into your routine.

Keep a fresh perspective. As experts, we tend to see problems in the same way. Just because you seem to be recognizing a pattern it may not necessarily be the same.

So being intellectually skeptical— not cynical—about one’s learned approaches to things is healthy. By all means, experience matters, and we should build upon all that we’ve done in the past to solve problems, but be skeptical of those approaches. Keep an open mind and fix the problem at hand and not the problem that looks like something you have solved in the past.

And finally, keep work in its proper place. Living a full life and tending to all the parts, personal and professional, is important. I think it’s an essential life skill. Mastering it will help keep those relationships that most of us find important and make our careers more sustainable. •

OPPORTUNITIES ABOUND IN LATIN AMERICA Mexico’s Energy Reform Continues to Fuel New Project Business With Mexico’s ongoing energy reform, a wave of exploration and oil and natural gas development is sweeping across the nation.

Opening the industry to private investors is reinvigorating what was a flagging economic sector and paved the way for billions in investment.

Private sector cash means increased revenue flows for Mexico’s formerly ailing oil and gas industry. More money means more exploration and production activity, and a subsequent need to move business-critical components and machinery to Mexico’s on- and offshore project locations.

Similarly, Mexico’s renewable energy sector growth continues under its reform policy. Mexico has strict goals in place regarding production of clean energy: by 2050, Mexico aims to generate 50 percent of its energy through clean power.

“We expect the energy projects to continue to grow,” Alan Alamilla of ITM Heavy Haulers & Riggers in Mexico, said in an interview at Breakbulk Europe this past May. “The reforms in Mexico are very strong and deep, so even though we will be having the presidential election, we are confident those projects will come regardless of the outcome.”

From unleashing its renewable energy potential to expanding its oil and gas industry via private investment, Mexico is packed with projects requiring breakbulk cargo transportation services.

Mining in South America Attracts Investment Opportunities around mining projects in South America are on the upswing because of rising commodities prices, increased demand for lithium for renewable energy projects and government initiatives to speed the approval process for new projects, along with other investorfriendly measures.

The potential has not gone unnoticed by leading engineering, procurement and construction companies. Alex Azparrent, global director of logistics operations for Fluor was relocated to Santiago, Chile, earlier this year. Fluor leads a large portion of its mining work from Chile, particularly around the Andes.

“The one thing that I’ve noticed since the beginning of the year is that the mining activity is picking up quite a bit,” Azparrent said in an interview in Bremen with Breakbulk’s marketing director, Leslie Meredith. “We have a lot of prospects in the pipeline—projects that are getting off the ground and projects right behind them.”

Indeed, economic reports support Azparrent’s observation. Peru, the world’s second largest copper, zinc and silver producer, has US$12 billion in mining investment projects scheduled to come online within the next 36 months from Chinalco, Newmont Mining, Minsur and others. Further, Anglo American is expected to make a final decision to proceed on its US$5 billion Quellaveco copper project, a project that Fluor has been working on for several years.

Elsewhere, the Chilean government announced it would give state-owned Codelco US$1 billion in “extraordinary” capitalization to help it fund an ambitious plan to upgrade its aging mines and thus retain its position as the world’s top copper producer by volume. And like with mining projects across the sector, one project leads to another.

Earlier this year, Codelco received the greenlight to build a US$1 billion desalination plant to supply water to its operations in the north of Chile.

In neighboring Argentina, lithium projects are attracting investment, including the US$425 million Caucharí-Olaroz and the US$220 million Salar del Rincón projects, currently under construction, as well as projects under development, such as the US$3 billion Taca Taca and El Pachón projects.

What are some potential risks ahead that people should keep in mind as business picks up?

D: Over the years, people became used to a low-rate environment and every slight increase is perceived as a shock by some shippers. The market is now on the rise and

it is hard to predict where it is going, but we all have to get used to higher rates again.

With rising bunker costs and the low sulphur regulations on the horizon, it will be interesting to see if operators and owners are able to pass on the cost increase. Higher bunker costs and the new IMO regulation may imply higher rates, but this will not affect the profitability of the carrier community.

One thing is for sure though, a free market will always regulate itself, and the only way to achieve sustainable rates is when supply and demand are in balance. I sincerely hope that companies will not forget what caused the worst shipping crisis in history—greed and a severe lack of understanding about how supply and demand work together.

One major risk I see is a potential trade war and the funding of large MPP newbuild programs through equity funds that don’t possess a deep understanding of how

the industry works. If global trade slows, and the market is flooded again with a large quantity of new vessels, the recovery will not last very long.

Last but not least, and this is very important, people should keep in mind that it is not the asset who is king, but the client. Staying close to your clients in bad times usually pays off in good times.

Do you expect to see more mergers, acquisitions and departures from the market on the carrier side? Have you seen the same on the forwarder and cargo owner side?

D: Yes, I believe there will be more consolidation and mergers ahead in the breakbulk shipping industry. It is interesting to see that the consolidation process is primarily driven by rather new players and fresh capital, such as the Zeaborn Group. Carriers that have been suffering from the crisis easily become takeover targets as they struggle to find the financial resources to actively participate in the consolidation process. The primary target of the consolidation process is to gain control over assets. In a good market, the company that has the most ships, usually makes the most money. In a bad market however, the opposite can apply.

While we see quite a bit of consolidation activities among the major players, we have also seen a significant increase of smaller MPP operators entering the market. Even though the current consolidation is helping

the industry, the major underlying problem, the over-capacity of vessels, still remains.

Mergers and acquisitions in the project sector happen mainly because of hard assets and that’s why we don’t see it happening a lot in the project freight forwarding industry. When we look at the EPC industry, we have also seen mergers and acquisitions in the past couple of months but this won’t have an impact on the freight market because fewer EPCs don’t mean that more projects will be built or more cargo will be shipped.

What are the greatest challenges facing the project sector now?

D: The market is changing, players are changing, global trade is changing. Adapting to changing market conditions probably remains the biggest challenge for most companies in a very traditional industry.

PROJECT FORWARDING: A RISKY BUSINESS

T

he role of a project forwarder on a particular job depends on a number of variables.

McDermott starts by looking at what the actual project forwarder will be performing for them on a project. Those services may cover transport from all-in transports from international destinations to your doorstep, or just a partial transport such as the trucking of the inland portion to your job site.

“I see the relationship between project owner and freight forwarder as a mutually exploitative relationship, meaning you can’t have one without the other,” Corey said. “We exploit one another on different aspects of the project or the operation, whether it be in the international realm or elsewhere because many transactions we perform will always have an international origin.”

It gets particularly tricky when dealing with international locations because the rules and regulations that govern certain activities in those locations vary. They change along the way by mode of transport. There are different rules for trucking, air or ocean freight and there are also different risks associated with those activities that differ per point of origin.

For instance, trucking regulations are much different in China than they are in Korea, and the rules that govern air freight out of Europe are different than those out of Asia Pacific.

“Managing that between the two parties can be tricky at times,” he said. “The goal from our standpoint is to transport as much risk as we possibly can to our freight forwarder, and the freight forwarder’s goal is to mitigate as much risk as they possibly can.”

Financial risk is also a factor from cash outlay to abandonment of payment or cargo. When the freight forwarder is booking cargo, it has to be very particular about who it’s partnering with.

“If that partner is not strong or is in financial trouble, the forwarder takes on that financial burden of having my cargo that I placed in their care under siege or being confiscated,” he said. “It can become a very tricky operation of managing risk between one another. From our viewpoint, the freight forwarder, no matter who it is partnering with, is responsible for it all.”

When we asked Corey whether there should be more regulation in this sector, said, “Oh, goodness no!” He went on to say that project owner and forwarder transactions are already regulated several times over and in several different layers by the World Trade Organization.

“There are so many different regulatory agencies already involved,” Corey said. “it just muddies the waters to have more involved between the actual contracting parties.” But he does believe there is room for improvement.

Looking ahead, Corey believes the industry could become more efficient by making sure there are very clear delineations of liability and where they lay. Some of that is already done, such as purchasing based on equal terms that are governed by the International Chamber of Commerce.

“That risk is between myself and the supplier that I’m buying from. I assume the risk when it passes the ship’s rail in an international location and from that point I’m passing the risk onto the freight forwarder until it gets to my company,” Corey said.

“I think we have to do a better job of defining, and if possible limiting, risks and liabilities at different handover points.”

It’s not about more regulation, just better regulation.

ndustry education is particularly important to Margaret. “I have learned over the years that the general curriculum for transportation and logistics programs within the universities do not cover project logistics,” she said. “In fact, it’s an area that gets very little exposure and it’s really quite critical especially in the Houston area since we are the largest breakbulk port in the United States.”

Students in school typically learn transportation methodology for Walmart, Kmart and Home Depot (those big box stores), but they’re not learning about project cargo.

“Attending Breakbulk Americas exposes them to the project cargo arena and gives them a taste of what is out there,” she said. “A lot of what we learn with project cargo is on-the-job training, so this is essential for them to “discover” our sector.”

within the Americas industry and see this is a worldwide occupation.

“Even though you may be based in the United States, our field has an international component and you’ll actually be doing work overseas,” Margaret said. “For people who say they want a little more of an international flair, this will give it to them.”

They will also gain an understanding of how extensive the breakbulk industry is within the region, that it’s not just ocean freight or air freight, but involves a lot more than what’s available in books.

Margaret believes all students majoring in transportation and logistics or those interested in the sector starting at a high school level, as well as entry-level people who are new to the industry, should participate.

“Clerks or administrative assistants, also young buyers should understand how this all interacts,” she said. “Expeditors and anyone who is in the supply chain industry – not just cargo – really needs to understand what’s involved in the breakbulk industry because everything we do from a project level is breakbulk.”

Aside from the increased use of sanctions programs and associated designations, we see several trends that can affect global players: • Enforcement is increasing. Not only in the United States, but also in the UK and EU. While sanctions and embargoes enforcement has historically focused on the banking and insurance industry sectors, there has been a noticeable uptick in enforcement cases that touch other industry sectors.

• The imposition of secondary sanctions has and will very likely continue to increase. Secondary sanctions are complicated for multinational companies and prohibited facilitation risks are on the rise because of them.

• Perhaps of greatest concern is the divergence of sanctions programs between the U.S., the EU, and potentially post-Brexit UK. As national and regional priorities and policies
