Chairman's Statement SIKKIE KAJEE On behalf of the Board of Directors, it is my pleasure to submit the Annual Report of Business and Arts South Africa, to members and the Minister of Arts & Culture, the Honourable Mr Paul Mashatile. This year we are pleased to report that BASA has managed to leverage a total spend of R12 808 138 in the arts through the Supporting Grant R1 568 000. This is in addition to the amount of sponsorship of R390 million, by BASA members, as recorded in the Artstrack Research released in early 2012. This is an increase of 5% per year since 2009, and is purely for the arts projects or properties, and not the amount spent on the leverage and marketing of the aforementioned arts properties. Furthermore, this is separate to the raft of Workshops, Seminars and Research, which BASA has facilitated over the last year for both Businesses and the Arts. The Research is a valuable offering, which has been driven under the auspices of the 15th Annual Business Day BASA Awards, supported by Anglo American. At Business and Arts South Africa, the Board continues to ensure that we have sufficient reserves to last at least 6 months in the event of the withdrawal of any major funders. This decision allows the organisation to focus on its core mandate, and not to be distracted by the recessionary environment. 02

Our annual report, has always taken the form of an integrated report and we will continue to strive to improve on this as envisaged by King III. Finally, I would like to thank all my colleagues on the Board for their support in my role as Chairman. This is my last report as Chairman of the Board, and I would like to welcome Kwanele Gumbi to the position. I have no doubt that he will add real value to the organization and lead the organization to greater and new heights. Finally, the Board and I would not be able to claim these successes if it were not for the small but able team led by Michelle Constant. I would like to personally thank each of them for the valuable contributions made during my term as Chairman. Jessica, Carol, Lakin, Maureen, Diana and Michelle, thank you! Both the vision and the mission are premised on the belief that the arts and culture have real value for all South Africans – for individuals, for communities and ultimately for the growth of civil society. Business and Arts South Africa was founded in 1997 as a joint initiative of the Department of Arts and Culture and the corporate sector, as part of a strategy to secure greater involvement in the arts from businesses operating within South Africa. Established as a section 21 company, Business and Arts South Africa is accountable to its stakeholders – to government, its corporate members and to the arts community. Business and Arts South Africa is constituted in terms of the Companies Act and is registered as a public benefit organisation. Its delisting as a Schedule 3 entity has seen Business and Arts South Africa register for VAT. Mandated to promote and encourage mutually beneficial and sustainable business-arts partnerships, Business and Arts South Africa accepts that there are generally two tiers of funding or support for the arts from business. The bulk of corporate sector funding continues to come through charitable foundations or donor agencies, consistently positioning arts and culture as a worthy cause or charity: an unintended, and often unfortunate, consequence of this is that the arts are obliged to compete with pressing social needs where they run a poor loser. Increasingly, though, corporate South Africa is aligning with the arts as a viable and cost effective area of sponsorship. Business and Arts South Africa is committed to identifying opportunities within the arts for its business members, whether from a Marketing, Corporate Social Investment (CSI) or, most recently, a BEE Scorecard perspective. Indeed, many arts programmes offer clear engagement across spheres of corporate activity, something few alternatives can provide. To achieve this, it is essential that Business and Arts South Africa sustain engagement with the corporate sector, in particular its own corporate members, and with the arts sector with specific focus on improving its profile and growing better business skills. Through its diverse projects the Supporting Grant Scheme,


Special Projects, BASA Mentorship Programme supported by Etana, Artstrack, the Arts Sponsorship Toolkit for Business, and its bespoke consulting service, Business and Arts South Africa continues to drive change in corporate sector thinking. While encouraging the business sector to see arts sponsorship as strategic business opportunity is fundamental to our philosophy, it is equally important to engender broader understanding of the role the arts can play within the socio-economic framework. Experience shows that the arts and culture can be and are, effectively integrated within education, skills-development, urban and rural regeneration, job creation, health and tourism. Less immediately tangible, but no less important, is their accepted value in addressing poverty of the mind, fighting social exclusion and thus growing civil society.

At Business and Arts South Africa, the over-riding goals remain the same – supporting perfectly matched partnerships, which grow diverse communities from seed to strength to sustainability; and creating a national consciousness of the investment opportunities in the arts. This of course, is predicated on the belief that a country that supports the arts optimizes opportunity in diverse ways. This year Business and Arts South Africa will celebrate its 15th annual Business Day BASA Awards, supported by Anglo American - fifteen years of recognizing and rewarding best practice in arts sponsorship. Given that we do think this is something to sing about, 2012 has been used to highlight best practice, as it could and should occur, through a series of research documents, which have been made available to both BASA members and the public. We also launched our biannual research Artstrack, which focuses broadly on the arts funding terrain. The Artstrack Research, facilitated by BMI, interviewed 2000 respondents nationwide, and it covers diverse issues including Interest in Arts and Culture, Attendance, Sponsorship Challenges, ROI, Advantages and the Role of the Arts in Society. Some of the more significant arguments to come out of the research include the opportunity for Arts Sponsorship created by the prohibitive costs and barriers to entry within Sports Sponsorship. The aim of this, once again, is to understand what best practice is, with regards to sponsorship of the arts. In May we launched the Sponsorship Toolkit, funded by UNESCO. Whilst the Toolkit was originally designed to cater to small and medium businesses hoping to engage in the sponsorship of the arts, we are aware that it is also a valuable tool for artists needing to grow equitable partnerships. Later in the year, we will also release a series of Case Studies on Best Practice in Arts Sponsorship. Given this research, BASA continues to position the arts both as a driver in the economy and as valuable social capital of society. The current conversation around the arts locates it as peripheral to the conventional economy. At BASA, we believe this language needs to shift to one that mainstreams the value of the arts in its ability to build identity and civic capital, whilst driving innovation


and collaboration across sectors, growing the economy and steering the transformation of South African society. Our Highlights of the last year have focused on growing Business and Arts South Africa as a thought leader, and driver of connectivity. This has taken place through the research, and also through our support of the SADC region in general. Finally, thank you to the team for their ongoing hard work. Sadly this year we have said goodbye to Germaine Gamiet, our Operations Manager. He returned to the Eastern Cape, earlier this year. I would like to welcome Lonwabo Mavuso to the position, and wish him all the best as we move forward. It is also with sadness that we must say goodbye to Sikkie Kajee, our Board Chairman. Sikkie, whilst remaining on the Board, will be stepping down from the position of Chairman. Sikkie has been an enormous support to BASA and to myself personally. He has been a fount of support, information and advice, and the backbone of the organization over the past four years of my time at BASA. Joining us as Chairman will be Kwanele Gumbi. I look forward to working closely with him, and ensuring the smooth running of the organization in the future.

GOVERNANCE For the year ended 31 March 2012

All Board and committee members serve on a voluntary basis, and receive no remuneration from Business and Arts South Africa for their time and expertise Three Board meetings are held annually, all are duly constituted and quorate. One Annual General Meeting is held annually, it is duly constituted and quorate. Business and Arts South Africa wishes to thank KPMG for conducting and supporting our annual Risk Assessment.

The core Executive Committee comprises: Mr S Kajee, Mr R Cock, Ms G Palacious-Flusk, Mr M Mokoena, Ms F Thom. All directors are invited to attend Executive Committee meetings, should they be available, to ensure valuable ideas and insights are exchanged. Human Resource Committee: Executive Committee members make up the Human Resource Committee as follows: Ms G Palacios–Flusk, Ms F Thom, Mr M van der Want. Membership Nomination Committee: Ms F Thom, Mr M Mokoena, Mr K Gumbi.

Business and Arts South Africa records that its auditors, Grant Thornton, annually conducts 5 random factual finding engagements of funded projects, to satisfy the Board that projects are properly conducted and comply with the terms and conditions of the Business and Arts South Africa Supporting Grant Scheme.

Audit Committee: Mr S Kajee, Mr K Gumbi (Chairperson), Ms C McDonald (Chairperson). The audit committee meets twice to review the six month interim review and year end financial statements. Executive Committee: Executive Committee meetings were held subject to the availability of Board members. Four Executive Committee meetings were held during the financial year ended 31 March 2012, supplemented by inclusion of Exco functions at the Board meetings throughout the year. The Board agreed that, as there was considerable overlap across committees, the contribution made by various individuals be rationalised with the function of the Human Resources and Audit Committee where possible being combined with Executive Committee meetings. 08

STRATEGIC OVERVIEW

In Relation To Key Objectives For The Year Ended 31 March 2012

Business and Arts South Africa is mandated to build and secure partnerships between business and the arts, servicing both sectors in ways that will achieve these objectives. While Business and Arts South Africa must promote its own identity to maintain its profile as an agency for partnership and support, this platform is extensively leveraged on behalf of business and of the arts. BASA strategies and related activities are ongoing and for the most part linked with the flexibility to support all stakeholders: business, arts organisations and government. Business and Arts South Africa continues to position itself as a connector and thought leader in the arts funding and arts policy space. It acts as a resource for its business members in terms of insights, knowledge and information. Likewise for arts organisations it acts as a resource, and development tool, up-skilling the sector through diverse projects. In the 2011/2012 financial year Business and Arts South Africa focused on providing Marketing, Research and Sector Support for Business; and Educational and Development Support for the Arts.

BASA THE CONNECTOR: MARKETING, RESEARCH AND SECTOR SUPPORT FOR BUSINESS I Monthly eBulletin for members: This includes – Member Press Releases, eBulletins, Facebook and Twitter. Included are Best Practise Case Studies, introduction of new members and their projects, highlighting BASA Projects, and offering information around projects requiring support. II Regular press releases to the general media: Traditional Press Releases highlighting BASA work and Membership projects. In 2011/212 Business and Arts South Africa saw an increase in media coverage both locally and globally, as well as comparatively. III Events and Best Practice Seminars for members: This year our members enjoyed a series of art events nationwide, including premier Theatre and Film events, and the nationwide Arts Sponsorship Toolkit Workshops. IV Bespoke Consultancy for members: Business and Arts South Africa has been an important resource and thought-leader, tracking information about the arts, and funding, for its diverse members. i. 2012 saw the launch of the Arts Sponsorship Toolkit for Business, supported by Unesco, and created by Michael Goldman of the Gordon Insititute of Business Science. ii. BASA now offers individualised workshops for businesses engaging with the arts. The Toolkit acts as a guide through the Sponsorship process. iii. BASA continues to offer Bespoke Services to Business, highlighting their own personal needs and requirements, with regards to sponsorship of the arts. V Advocacy: Business and Arts South Africa continues to make interventions in areas it considers critical for the sustainability of the arts sector.


i. The Arts and Taxation -Business and Arts South Africa continues to raise the issue of tax deduction for giving to the arts. It is Business and Arts South Africa’s contention that such philanthropy or donation would be encouraged by deductions being made available in the hands of the donor; and that example elsewhere demonstrates how a culture of philanthropy contributes to infrastructural investment and skills development, from which flows employment and regeneration. ii. Business and Arts South Africa has presented workshops on the BASA model, and including information about its research, to Zimbabwe, Botswana and Zambia. The objective is to grow stronger partnerships with the SADC region, in line with DAC policy. iii. Michelle Constant was invited to Northern UK and Scotland to meet with peer Agencies, and share knowledge and opportunities. In particular the request focused on Public Art Interventions, in order to support the DAC MGE “Public Art” Commission. iv. Business and Arts South Africa prepared the DAC MGE “Public Art” Commission for inclusion in the MGE final Report. v. Business and Arts South Africa facilitated the Theatre Performances at Cop 17, ensuring that over 1000 job days were created during the period of Cop 17. vi. Michelle Constant presented at various events nationwide, including the Arts and Culture Conference in JHB. VI Funding and Sponsorship of the Arts: Business and Arts South Africa continues to lobby business with regard to their support of the arts by providing them with relevant opportunities to partner on. The biannual Artstrack Research tracked around R340 million worth of Sponsorship through its BASA members. VII Regional Representatives: Business and Arts South Africa currently has one active regional representative in Kwa-Zulu Natal. BASA continues to drive the bulk of its national activities from the Head Office in Gauteng. VIII BASA Awards: The annual Business Day BASA Awards supported by Anglo American focus on business-art

partnerships. The awards recognise the contribution of the business sector to the arts, across all genres. Imaginative, innovative and cost-effective partnerships between business and the arts are highlighted demonstrating the potential for synergy, the window of mutual opportunity and the far-reaching benefits for business, for the arts and for all South Africans. The 2011 Key Note Address was given by the Minister of Arts and Culture Mr Paul Mashatile, to over 400 guests. The continued support and sponsorship of the Awards by Anglo American, a founding member of Business and Arts South Africa, and Business Day, has considerably leveraged the profile of the awards and of those participating and media coverage was extensive. The event was held at the Turbine Hall and featured the Tony Award winning Warhorse in performance. It also featured artworks by the 21 year old Artist Proof Studio. (Images of these artworks can be seen in this 2011/12 Annual Report.) IX Research: In celebration of the 15th year of the Annual BASA Awards, supported by Anglo American, BASA made the decision to focus on a year of Best Practice in 2012. Consequently in February 2012 we launched the biannual Artstrack Research. In April we launched the Unesco sponsored Arts Sponsorship Toolkit for Business. The Toolkit looks at Sponsorship Objectives, Targeting Audiences, Selection of Properties, Measurement of the Impact, and finally assessing the Renewal or Exit of the arts property. The Toolkit has been developed by Gordon Institute of Business Science (GIBS) senior lecturer Michael Goldman. The Toolkit has been presented to business at workshops, sponsored by Hollard and Art Insure, around the country, and BASA, in partnership with Goldman, will continue to offer the workshops to individual businesses. The Baseline Report, on which some of the Toolkit findings are founded, included a combination of qualitative, face-to-face interviews with a selection of leading BASA members, as well as a BASA membership-wide electronic survey. Five indices were developed from the analysis, including arts engagement, alignment, ‘Big Society’, leverage and monitoring. These indices provide a standardized and ongoing measure of the key decisionmaking and sponsorship processes involved in arts sponsorship.

X Business and Arts South Africa Supporting Grant Scheme: Funded by an annual allocation from the Department of Arts and Culture, this scheme continues to serve as a mechanism through which business and the arts can engage and achieve mutual benefit. Our Supporting Grants scheme remains a key device to attract partnerships between business and the arts, providing marketing support for arts organisations to publicise their business partnership. It also allows for data basing of business and arts organisations that are engaged in equitable synergies. The grants encompass a wide range of activity attracting corporate sector support and where possible Business and Arts South Africa leverages the cultural event further through its own media partnerships. Supporting Grants of R1 568 000.00 leveraged a further R12 808 138.00. In late 2011 Business and Arts South Africa translated the Grant application forms into isiZulu and Sesotho.

XI Media Partnerships: These were introduced by Business and Arts South Africa to counter the relative lack of media coverage of the arts. The content is geared to address different objectives: To mainstream the arts and cultural activity, to promote Business and Arts South Africa’s profile within the business sector, to promote Business sponsorship of the Arts. Different long-running partnerships have been established and Business and Arts South Africa has initiated partnerships with organisations, which have large geographical footprints and differentiated audiences reach. - Ilanga Newspaper - OFM - SAFM Current Affairs “Create” - Summit TV “The Business of the Arts” - Radio 1485 “BASA Today”

Whilst not a formal partnership, Business Day continues to offer extremely valuable support through the successful Wanted magazine, which offers a special magazine every year at the Awards.

SKILLS DEVELOPMENT AND TRANSFORMATION IN THE ARTS I BASA Mentorship Programme supported by Etana: Etana partnered with BASA in July 2011. We are now embarking on the second year of a three commitment with Etana. The relationship has been active, centered on joint events with mentors and mentees and also involving Etanans around the country in arts related activities. The impact feedback which BASA has received, shows that nearly 80% of all mentee organizations have seen a growth in employment, and 77% of the organizations saw fundraising grow over the mentorship period, with over half raising more than R100,000.00 of new funds during the Programme. The programme operates in five provinces with +- 60 Mentors supporting organisations and workshops (Gauteng, Limpopo, Western Cape, KwaZulu Natal and the Eastern Cape). II Boardbank: In order to grow sustainability through good governance, arts organisations require engaged and supportive Boards. BASA continues to partner with Africa Empowered, inviting young professionals with diverse business skills to serve on not-for-profit Boards of cultural organisations. This year, Boardbank saw several new Board Directors volunteer and new interest amongst business and black professionals in serving on arts Boards, after events in the Western Cape and Gauteng. In addition, several mentors have been invited to serve on the Boards of the arts organisations, which they mentor. Iii Workshops and Seminars: In line with government’s medium term strategic framework, the central objective, of which is to set the country on a sustainable growth trajectory, Business and Arts South Africa supports and funds artistic vision/basic business skills workshops nationwide in support of sustainability and empowerment of the arts community. Workshop partnership is now in its fourth year. The Absa KKKF, and Moshito continue to partner with Business and Arts South Africa on Skills Workshops. Mentorled workshops have included ‘Duties and Liabilities for Directors’ led by Webber Wentzel in Cape Town, Norton Rose facilitated workshops on the new Companies Act in KZN, Western Cape and Gauteng, ‘Brand for Me’ seminars were led by corporate member Freedthinkers, ‘Web Marketing’ led by Angela Spencer in Durban as part of the Phambili Theatre Festival and ‘Project Management’ led by Modise Moiloanyane, current mentor from ABSA, also the Moshito workshop facilitated by Old Mutual, Tshikululu and African Empowered. BASA also facilitated a five-week series of seminars on Business of the Arts at UJ in Johannesburg. Currently we run workshops, as a function of the Mentorship Programme, around the country, and overall this work appears to have triggered a new approach to the need for organizational skills, by the cultural community.

VII Young Professionals: The project engages with young business professionals in different events in order to grow their interaction and appreciation of the arts. This is with the understanding that they will continue to engage with the arts, as future captains of industry. In summary Business and Arts South Africa continues to align its activities with the strategic values of the organization. Whilst we are aware that there is substantial crossover between target markets and strategy, we look forward to growing the support of stakeholders further in the future.

iV Implemented regular communication on Social Media: With a national database of arts organisations, Business and Arts South Africa has implemented regular communication. This information includes updates on national job offers, market-related stories reviews and more. This communication takes place via Press Releases, Facebook, Social Media, and Twitter. V Pro bono Assistance and Advocacy: Norton Rose continues to offer pro bono advice and assistance to bona fide arts and culture organisations identified and introduced by Business and Arts South Africa, across a range of issues, giving the arts sector access to top quality legal expertise. This year Bell Dewar also gave pro bono assistance to Business and Arts South Africa, supporting queries and research. VI RMB Internship: Three years ago BASA introduced its Internship programme. The aim is to introduce young graduates to a one-year holistic engagement in both the Arts and Business environment, including Marketing and Arts Administration. The support of RMB has been crucial to the success and growth of this project.

Description

'Create' takes on the form of a 5 minute arts and culture feature on prime time news and current affairs. Programme on SAFM running Monday, Wednesday, Friday and Saturday.

Purpose

Business of the Arts Summit TV

Description

Held at the Turbine Hall in Newtown, the Business Day BASA Awards once again recognised the contribution of the business sector to the arts, across all genres. The awards artworks were supplied by Artist Proof Studio which is a quality Art Education Centre that specialises in printmaking through a variety of diverse partnerships with creative young artists. The Exhibition of works by artists at the 14th Business Day BASA Awards, supported by Anglo American offered the opportunity to support Artist Proof Studio by purchasing a print. The images in the 2011/2012 Annual Report were provided by the Artist Proof Studio.

Description

This programme takes on the form of a weekly prime time feature on Summit TV three times a week. This programme targets the corporate sector, featuring interviews with business men and women with a focus on business investment in the arts and the basis for business-arts partnership. Issues relevant to the arts are extended into one debate and one forum programme. The programme is repeated on The Home Channel.

Purpose

The event aims to highlight imaginative, innovative and cost – effective partnership between business and the arts are highlighted, demonstrating the potential for synergy.

The aim is to raise the profile of the arts and culture activity and encourage business take up of opportunities within the arts, as well as provide a potential value add for Business and Arts South Africa corporate members.

Description

To provide a dedicated section of CUE Newspaper focused on the Fringe and those performers, productions and audiences who will be participating in the Fringe. Further, BASA sponsors Hands On! Masks Off! A series of ten workshops and seminars focused on up-skilling and providing networking opportunities for artists.

We have audited the annual financial statements of Business and Arts South Africa, which comprise the statement of financial position as at 31 March 2012, and the statements of comprehensive income, changes in equity and cash flows for the year then ended, and a summary of significant accounting policies and other explanatory notes, and the directors’ report, as set out on pages 32 to 41 Directors' responsibility for the annual financial statements

determine is necessary to enable the preparation of financial statements that are free from material misstatements, whether due to fraud or error. Auditor's responsibility Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with International Standards on Auditing. Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditor’s judgement, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the entity’s preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity’s internal control. Directors' Responsibilities and Approval The directors are required by the Companies Act of South Africa, to maintain adequate accounting records and are responsible for the content and integrity of the annual financial statements and related financial information included in this report. It is their responsibility to ensure that the annual financial statements fairly present the state of affairs of the company as at the end of the financial year and the results of its operations and cash flows for the period then ended, in conformity with the International Financial Reporting Standard for Small and Medium‑sized Entities. The external auditors are engaged to express an independent opinion on the annual financial statements. The annual financial statements are prepared in accordance with the International Financial Reporting Standard for Small and Medium‑sized Entities and are based upon appropriate accounting policies consistently applied and supported by reasonable and prudent judgments and estimates.

The directors acknowledge that they are ultimately responsible for the system of internal financial control established by the company and place considerable importance on maintaining a strong control environment. To enable the directors to meet these responsibilities, the board of directors sets standards for internal control aimed at reducing the risk of error or loss in a cost effective manner. The standards include the proper delegation of responsibilities within a clearly defined framework, effective accounting procedures and adequate segregation of duties to ensure an acceptable level of risk. These controls are monitored throughout the company and all employees are required to maintain the highest ethical standards in ensuring the company’s business is conducted in a manner that in all reasonable circumstances is above reproach. The focus of risk management in the company is on identifying, assessing, managing and monitoring all known

forms of risk across the company. While operating risk cannot be fully eliminated, the company endeavours to minimise it by ensuring that appropriate infrastructure, controls, systems and ethical behaviour are applied and managed within predetermined procedures and constraints. The directors are of the opinion, based on the information and explanations given by management, that the system of internal control provides reasonable assurance that the financial records may be relied on for the preparation of the annual financial statements. However, any system of internal financial control can provide only reasonable, and not absolute, assurance against material misstatement or loss. The directors have reviewed the company’s cash flow forecast for the year to 31 March 2013 and, in the light of this review and the current financial position, they are satisfied that the company has or has access to adequate resources to continue in operational existence for the foreseeable future. The external auditors are responsible for independently reviewing and reporting on the company’s annual financial statements. The annual financial statements have been examined by the company’s external auditors and their report is presented on page 30 - 31. Review of activities Main business and operations The company is engaged in promoting and encouraging sustainable partnerships between the private sector and the arts and operates principally in South Africa. The operating results and state of affairs of the company are fully set out in the attached annual financial statements and do not, in our opinion,require any further comment. Net surplus of the company was R 1 205 245 (2011: surplus R 598 364). 2. Going concern The annual financial statements have been prepared on the basis of accounting policies applicable to a going concern. 1.2 Membership fees Membership fees consist of fees paid for annual corporate membership of the company and are recorded in revenue during the relevant year to which fees apply. Accounting Policies 1. Presentation of Annual Financial Statements The annual financial statements have been prepared in accordance with the International Financial Reporting Standard for Small and Medium‑sized Entities, and the Companies Act of South Africa. The annual financial statements have been prepared on the historical cost basis, and incorporate the principal accounting policies set out below. They are presented in South African Rands.
