Overview Our associates must follow strict guidelines insuring all are welcome and have a safe space within the company. As She Is aims to empower and uplift our associates to the best of their ability. We expect the highest attention to supporting one another and loyalty to the company’s dedication for equality. These requirements and policies are strictly enforced. Any failure to follow these guidelines will result in disciplinary action, which may include termination of employment for a first offense, payment of damages, and/or criminal penalties under the law.

Anti-Trust: It is the Company’s policy to comply with all federal and state antitrust laws. The responsibility

for our antitrust compliance rests with our individual associates. Antitrust laws prohibit illegal restraints of trade and unfair competition. You should not enter into any discussions or agreements with our competitors that affect product pricing, marketing or labor practices.

Waiver of Compliance: Any waiver of this Code for an associate may be made only by the Chief

Executive Officer or the CEO’s designee. Any waiver of this Code for a Director or Executive Officer may be made only by the disinterested members of the Board of the Directors or the Nominating and Corporate Governance Committee of the Board and shall be disclosed to the public on the Company’s website or by filing with the U.S. Securities and Exchange Commission as required by law.

Confirmation of Compliance: You will be required to certify in writing (or by electronic means) on an annual basis to confirm that you have read and understand the guidelines in this Code of Ethics and that you are not aware of any violation of these guidelines by yourself or any other person. Reporting Violations: If you learn of a violation of this Code or have good reason to suspect a violation, you must report it to the appropriate person. Depending on the circumstances, this could be your supervisor, your Human Resources representative, or a report through the main hot-line. In all cases, report the violation to a member of the Legal Department. All reported violations, including the identity of the associate making the report, will be kept confidential to the extent possible under the circumstances. You may always report a violation anonymously without providing your name or other personal information through the As She Is hot-line. Even if reporting anonymously, it is important that you provide as many details regarding the incident as possible, e.g., who you suspect is involved, at what location, any other parties, etc.

No Retaliation: It is strictly against Company policy for a company official to take any action in retaliation

against an associate for reporting or threatening to report a violation of this Code in good faith or for cooperating in any investigation of a violation of this Code. Any such retaliation is itself a violation of this Code. An associate who retaliates against someone who has reported a violation in good faith is subject to disciplinary action up to and including termination of employment. As She Is


Confidentiality: In the course of working at the company, you may have access to confidential information regarding the company and/or third parties involved with the business. Confidential information is information that is not known by the public. Some examples include, but are not limited to: trade secrets, business strategies, plans or budgets, methods of operation, merchandise designs, patterns, fabrications or fit, names of vendors, vendor pricing, training manuals and materials, unannounced financial results, such as sales or earnings, organizational charts and other confidential business information. Confidential information does not include information about wages, hours or terms and conditions of employment. Use confidential information only as necessary to do your job. Never use it for your own personal benefit. Discuss work matters only with fellow employees who have a specific business reason to know or have access to such information. Do not discuss work matters in public places. Never share confidential information within the Company unless required as a part of your job. Avoid discussing it in public places. Before disclosing confidential information outside of the Company, you must make sure a non-disclosure agreement has been signed by the outside party first and authorized by an officer of the company. Insider Trading: It is against the law to trade As She Is stock if you know any information about

the

company that has not yet been made public. You should refer to the company’s Securities Law Compliance Policy for information on open trading windows and whether you must pre-clear any purchase or sale of company stock. Taking or using As She Is assets for personal purposes without appropriate permission from the company is strictly prohibited. Company assets may never be used for illegal purposes. You are prohibited from doing anything that involves theft, fraud, embezzlement or misappropriation of company assets. If you learn of any such activity, you must report the details through your Human Resources representative.

Overview As She Is contains a number of policies and procedures in addition to the Code of Conduct. As an outside partner, you are required to know and obey all of the company codes and adopt any new code additions when revisions are made. As She Is has the right to make these changes effective through immediate notice. If you are unsure or have any questions in regards to this Code, please seek a Human Resources representative or a member of the Legal Department. There shall be a certification of signature and witness to confirm you have read and understand these guidelines. All external partners should be in compliance and no violations shall be committed.

Audits/Inspections: As She Is achieves all security laws, regulations, accounting controls, audit practices, and anti-bribery laws. To facilitate the reporting of complaints and concerns in regards to insider trading, and The Audit Committee of the Board of Directors the company has established the following procedures for: (1) the receipt, retention and treatment of complaints regarding accounting, internal accounting controls or auditing matters (“Accounting Matters”), payments to officials of foreign governments or international organizations, foreign political candidates or to employees of private business to obtain or retain business (“Illegal Payments”) or violation of U.S. securities laws prohibiting insider trading (“Unlawful Insider Trading”); and (2) the confidential, anonymous submission by employees of concerns regarding questionable accounting or auditing matters, possible Illegal Payments or Unlawful Insider Trading. Any person with concerns regarding any Accounting Matter, possible Illegal Payment or Unlawful Insider Trading may report their good faith concerns without fear of retaliation.

Why we chose our countries We chose those specific 3 countries because they all have specialty factories that produce the type of products we are ordering. We also looked into social factors, like how their workers are treated, and what potential organizations we could partner with in their community that aligns with our mission and values.

Honduras

Ultimately we decided to source our products from Honduras. They are close to the US, which results in a low lead time, and with their trade agreements with the US, duty is only 3.5%. Honduras as an apparel industry specializes in knit/woven t-shirts and blouses, which is exactly what we are starting out in. The US is on friendly terms with Honduras, and many investments have been put into the Honduras textile industry. We believe sourcing from Honduras is a smart move for our company.

Conclusion


Benefits As She Is found that moving forward working with Honduras manufacturers to produce their products would be the most beneficial for their company. Honduras has many positive points, including the low lead time, the Free Trade Agreement with the US, and the large amount of investment in the textile industry driving change in the next couple of years. Honduras is in the process of implementing sustainable and worker-friendly practices within their textile factories that aligns with the ASI mission. Honduras also has an established UN Women organization, which not only actively strives to meet personal goals that align with ASI, but can be a partner that will introduce us to other local women-empowerment organizations to work and partner with. Sourcing from Honduras also gives ASI a decent profit margin, making the choice financially smart. ASI will make at least a 75% markup on all the products sourced from Honduras. With the low lead time of only 4 days, it allows ASI to be flexible in their orders, and leave room for communication with the manufacturer. Going off of the location, since Honduras is only a short plane ride away from the States, ASI will have access to visit the factory easily, to strengthen the relationship between the manufacturer and brand, but also make sure the sourcing guidelines are being met.


L ooking Forward Looking to the future of sourcing from Honduras, the ocmpany feels optimistic about growing with the selected manufacturers. The brand feels that there is room to establish trust with the factories and workers, optimizing resources and time to bring the best products forward. The brand feels deeply about establishing a strong relationship with the people they are working with in Honduras, and feel that it is a strength of being able to go visit and see the works in person, being close to the manufacturing. ASI is proud to partner with Honduras, and will be very transparent with their customers about where their products are sourced.
