Lettsome International Airport 1. INTRODUCTION The Government of the British Virgin Islands (GOBVI)-an overseas Territory of Great Britain-, the owner and operator of the Terrance B. Lettsome International Airport operates the airport facility through the BVI Airports Authority (BVIAA).

The BVI Airports Authority was on 15th August 2005 incorporated under the BVI Business Companies Act, 2004. Its registered Office is situated at Harney Westwood and Riegels, Craigmuir Chambers, Road Town, Tortola, British Virgin Islands. It is an autonomous body created by virtue of the Virgin Islands Airports Act, 2003 which was assented to on 2nd March 2004. The Act provides for the operating of airports in the Virgin Islands as commercial undertakings and other matters connected therewith.

The Government of the British Virgin Islands (GOBVI) is moving into the next phase of development to create a unique intermodal transportation center which will be developed as the first of its kind in the Eastern Caribbean to deliver a memorable, world-class and environmentally compatible and sustainable development which will include the following Key Elements/components:

i. Extension of existing Runway into the sea ii. Passenger Terminal Expansion and upgrade iii. Aircraft Ramp Expansion (G-5 aircraft, RJ’s; A-320; 737-800; other private jets) iv. Sewage Treatment Plant and Fire Fighting system relocation v. New FBO Facility vi. Pleasure craft water access-excavated channel vii. Inter-Island Ferry/Transport service upgrade/relocation viii. Trellis Bay Welcome and Visitor Center (Transportation Intermodal Center) 1. Crafts and gift shop 2. Indigenous arts and craft manufacturing & museum 3. Live flora indigenous to Beef Island (lignum vitae stand of trees) ix. Traffic Reorganization x. Car-park upgrade The foundational and key component will be the extension to the existing Runway at Beef Island and concurrent upgrade/provision of Parallel Taxiways and other airfield systems expansion/upgrades to meet the airfield infrastructural needs to be generated from direct long-haul international flights and the consequent and current rapidly growing traffic demand. The new Runway and taxiway system and corollary airfield improvements and associated works will be required to be operational by 2015.

The GOBVI has developed a strategy for active participation and involvement of the private sector in infrastructure development towards national growth, through Public and/or Private Financing arrangements. In this regard, the Government intends to develop the intermodal transportation facility including the extension of the airfield facilities at the Terrance B Lettsome International Airport under a Design, Finance and Construct (DFC) contract.

The Government now invites Expressions of Interest from resourceful, imaginative, experienced, internationally reputable Airport Planning, Design, Finance and Construction firms for Planning and Engineering Design Consultancy Services for Runway and Airfield Expansion and associated works at the Airport.

2. POLITICAL & ECONOMIC OVERVIEW OF THE BVI Political Overview Executive authority in the British Virgin Islands is vested in The Queen and is exercised on her behalf by the Governor. The Governor is appointed by the Queen on the advice of the British Government. Defense and Foreign Affairs remain the responsibility of the United Kingdom.

A new constitution was adopted in 2007 (the Virgin Islands Constitution Order, 2007) and came into force when the Legislative Council was dissolved for the 2007 general elections.

The Head of Government under the new constitution is the Premier (prior to the new constitution the office was referred to as Chief Minister), who is elected in a general election along with the other members of the ruling government as well as the members of the opposition. A Cabinet is nominated by the Premier and appointed by the Governor. The Legislature consists of the Queen (represented by the Governor) and a House of Assembly made up of 13 elected members plus the Speaker and the Attorney-General. The current Governor is His Excellency William Boyd McCleary (since 2010). The current Premier is Dr. the Honorable Orlando Smith (since 9 November 2011).

Economic Overview As an offshore financial center the British Virgin Islands enjoys one of the more prosperous economies of the Caribbean region, with a per capita average income of around $38,500 (2004 est.) The "twin pillars" of the economy are tourism and financial services. Politically, tourism is the more important of the two, as it employs a greater number of people within the Territory, and a larger proportion of the businesses in the tourist industry are locally owned, as are a number of the highly tourism-dependent sole traders (for example, taxi drivers and street vendors). Economically however, financial services associated with the territory's status as an offshore financial centre are by far the more important. 51.8% of the Government's revenue comes directly from license fees for offshore companies, and considerable further sums are raised directly or indirectly from payroll taxes relating to salaries paid within the trust industry sector (which tend to be higher on average than those paid in the tourism sector).

Tourism accounts for 45% of national income. The islands are a popular destination for U.S. citizens. In 2006 a total of 825,603 people visited the islands (of whom 443,987 were cruise MINISTRY OF NATURAL RESOURCES AND LABOUR Page 3

ship passengers). Tourists frequent the numerous white sand beaches, visit The Baths on Virgin Gorda, snorkel the coral reefs near Anegada, or experience the well-known bars of Jost Van Dyke. The BVI are known as one of the world's greatest sailing destinations, and charter sailboats are a very popular way to visit less accessible islands. Every year since 1972 the BVI has hosted the Spring Regatta, which is a seven-day collection of sailing races throughout the islands. A substantial number of the tourists who visit the BVI are cruise ship passengers, although they produce far lower revenue per head than charter boat tourists and hotel based tourists. They are nonetheless important to the substantial (and politically important) taxi driving community.

Substantial revenues are also generated by the registration of offshore companies. As of June 2008, 823,502 companies were so registered (of which 445,865 were 'active'). In 2000 KPMG reported in its survey of offshore jurisdictions for the United Kingdom government that over 41% of the world's offshore companies were formed in the British Virgin Islands. Since 2001, financial services in the British Virgin Islands have been regulated by the independent Financial Services Commission.

3. BACKGROUND AND SCOPE In 2004, the Airport became the first of the Overseas Territories in the Caribbean to be certificated for the purpose of public transport (passengers or cargo) and instruction in flying.

The Oversees Territory Aviation Regulations (OTAR) became the regulating standards. The British Virgin Islands Airports Authority (BVIAA) was formed the following year in 2005 as a separate entity to oversee the efficient and effective operations of all airports in the BVI. The BVIAA undertook a Strategic Plan and Airport Master Plan for the BVI airports in 2009.

The purpose of this study was to evaluate runway extension alternatives at all BVI airports to accommodate flights to the continental United States. The proposed design aircraft to reach these destinations was the Boeing 737-800.

The Strategic Plan concluded that Terrance B. Lettsome Airport was the best candidate for the required improvements, and an Airport Master Plan was initiated. The Airport Master Plan was concluded in 2011.

In order to further expand foreign tourism and travel to the British Virgin Islands (BVI) the government is MINISTRY OF NATURAL RESOURCES AND LABOUR Page 4

actively engaged in making the Islands more accessible to markets such as North America and Western Europe.

Currently, air travelers from North America choosing to fly commercially cannot fly directly to the BVI because the length of the runways at island airports is limited to aircraft flying such long distances. These travelers instead must connect through Puerto Rico or other such regional airports with longer runways.

In order to accommodate this commercial air service directly and the government of the BVI has investigated options to extend the available runway length at one of the islands airports.

Previous studies have confirmed that Terrance B. Lettsome International Airport on Beef Island is the best candidate for a runway extension.

Although the existing runway and taxiways met International Civil Aviation Organization (ICAO) standards at the time they were built and for the aircraft fleet using the Airport at that time, design standards and aircraft technologies have evolved, resulting in deficiencies in the following areas: • Runway Strip • Runway End Safety Area • Runway Centerline to Taxiway Centerline Separation • Taxiway Shoulders • Obstacle Limitation Surfaces The Strategic Plan concluded that Terrance B. Lettsome Airport would be the best candidate to implement the improvements necessary to accommodate flights to the continental United States. The Master Plan proposed to upgrade the Airport to an ARC 4C, in order to accommodate larger aircraft, such as the proposed design aircraft, the Boeing 737-800. This would require both widening the runway to 45 metres and extending the runway. It proposes to extend both ends of the existing runway to a total length of 2,134 metres. The west runway end would be extended approximately 155 metres and the east end approximately 563 metres. Additional improvements for consideration are upgrading the approach procedures to precision by installing an Instrument Landing System (ILS) and the eventual expansion of the terminal area and apron to accommodate the projected increase in passenger demand.

The Design Finance and Construction Contractor is to plan, Design, develop and construct an iconic intermodal transportation center which will meet the functional and operational requirements of GOBVI and the BVIAA. It is expected that the project will be used to train and transfer technology to the local population and maximize the use of local resources.

The appointed Contractor shall be the main contractor for the project and shall manage & co-ordinate the Financial Planning, Airport Planning and Design activities of all subconsultants, to ensure an integrated and coordinated plan and design.

Interested contractors who have executed similar works and wishing to qualify to tender for the Financial Planning, Airport Planning, Design Consultancy and Construction Services for the Runway Extension Development, are invited to apply for providing the services satisfying the terms and conditions as stipulated hereunder.

4. PROCUREMENT PROCESS AND SCHEDULE The procurement process entails two consecutive stages: The current Expression of Interest and Pre-qualification Stage - June to August 2012 Several appropriate parties will be invited to respond to a Pre-Qualification document in detail.

Subject to the results of an evaluation process-Pre-qualified Parties will be invited to enter into a consultative dialogue with the GOBVI after which the RFP will be finalized.

Request-for-Proposal (RFP) Stage. October 2012.

They will then be required to submit final detailed proposals for the Planning, Design, Financing and Construction of the project. One successful respondent will be selected.

Appointment of Lead Contractor or consortium leader to Plan, Design, Procure Financing October 2012- December 2012 -Using FIDIC “Yellow Book” as Conditions of Contract.

Construction and Implementation – Phased program January 2013 to December 2015

5. ELIGIBILITY CRITERION Prequalification is open to suitably qualified and experienced Construction Contractors with Airport Planning, Finance & Design Consultancy capabilities. The Contractor can lead a consortium and can appoint Financial, Airport Planning and Engineering sub-consultants as required to augment his capability where required. Contractors that fulfill all the following requirements shall be eligible to apply: i.

Confirmation of the firm’s interest to be considered for short-listing for the RFP stage

ii.

Achieved as the Main Contractor or consortium leader the Financing, Planning and Design of at least one similar-sized project commissioned in the last five (5) years. Technical capacity to design, construct, finance a civil aviation airport.

iii.

Above such project(s) shall have been executed in the Americas and EuroAsia.

iv.

Achieved a minimum total annual turnover over the last three (3) years on Design and Construction works of at least US$100 million dollars.

v.

Successful track record of timely completion of projects.

vi.

A signed statement by a duly authorized representative of the firm to the effect that the firm is in good financial order, is not bankrupt, is not having their affairs managed by a court, has not entered into an arrangement with its creditors, or has not suspended its business, or similar or related situations

6. SUBMISSION OF EXPRESSIONS OF INTEREST Firms may request to be qualified alone, or in consortium with other firms. If the Expression of Interest is from a consortium of firms, information on all firms making up the consortium must be provided. It must be clearly indicated which firm is the lead firm of the consortium.

The nature of the consortium arrangement should be specified, including a consortium letter

or agreement signed by all participating firms. General information on the firm including main business, country(ies) of establishment and operation and duration of business activities as per attached Form I: General Information.

iii.

Financial capacity to undertake this transaction. The annual turnover of the firm in each of the last three financial years should exceed US$ 200 million (audited financial statements are required for the last three years).

iv.

Annual financial statements for last three (3) financial years as per attached Form II: Financial Information of the Contractor & Form III: Average Annual Contracting Turnover.

v.

Auditors’ certificates certifying satisfaction of the financial criteria.

vi.

Detailed project documentation clearly enumerating the projects completed including but not limited to client certification, description of role and responsibility and works executed, schedule/ actual start and end date, budgeted and actual cost of the project etc for airport experience as per attached Form IV: Statement of Experience on Similar (Airport) Projects as per attached Form V: Statement of Experience for Design, Financing and Construction of Similar Magnitude of Work.

7. OTHER CONDITIONS (a) GOBVI reserves the right to accept or reject any or all EOI without assigning any reasons and is not obliged to correspond with the Applicants in this regard. Further, GOBVI reserves the right to change and/or cancel the pre-qualification and tender process or review/revise the pre-qualification criteria at any time without prior notice or without assigning any reasons whatsoever and without prejudice to its right to retender at any time in the future and in such case no bidder/intending bidder shall have any claim arising out of such action. (b) GOBVI reserves the right to invite revised responses from the Applicants by issue of an addendum, at any stage, without liability or any obligation for such invitation and without assigning any reason. This request for EOI does not give rise to any rights and is not an offer or an invitation to offer. (c) The Government, by this process, does not intend to assume any legal obligation whatsoever, including any binding relationship of any kind, with any Applicant, nor will the Government accept any liability howsoever arising, in relation thereto. By this document Applicants are so informed, and unconditionally acknowledge that they are fully aware that through an expression of interest, no entitlement whatsoever vests, or will vest in them. (d)Participation by any party in this EOI pursuant to the invitation by GOBVI shall be considered to be an acceptance of all the terms and conditions of this invitation by such party and no claims or disputes raised by it during or subsequent to the award process shall be entertained by GOBVI. (e) All documents and other information supplied by GOBVI or submitted by an Applicant to GOBVI shall remain or become the property of GOBVI. GOBVI will not return any application or any information provided along therewith.

(f) Scope of the requirement and qualification criteria may be modified at Request for Proposal (RFP) Stage. (g) The applicants shall bear all costs associated with the preparation and submission of its EOI. GOBVI will in no case be responsible or liable for these costs, regardless of the conduct or outcome of EOI process.
