While cannabis companies are facing a variety of claims, including product liability and data breach claims, Canadian cannabis companies, and their officers and directors, have increasingly been the target of several securities class actions in both Canada and the US.

W
hen it comes to advertising and marketing, cannabis is in a weird space. For one, if we compare cannabis advertising to that of cigarettes and alcohol, the two couldn’t be more different. Cigarette advertising for instance is mandated by the Tobacco Act of 1997 and is federally mandated across all provinces. For alcohol, however, advertising protocols are mandated by the provinces. In Ontario, for instance, the rules for advertising and promotion are outlined by the Alcohol and Gaming Commission of Ontario. What’s interesting is that while objectively speaking, cannabis is less harmful than cigarettes and alcohol, the rules regarding cannabis are just as stringent. More to the point, since cannabis became federally legal in October 2018, I have yet to see any substantive marketing campaign for licenced producers and retailers aside from a few movie trailers, billboards and subway ads. So where does that leave cannabis companies in terms of marketing and advertising? Well for starters, social media platforms like Twitter and Instagram have lax rules when it comes to marketing cannabis products to consumers. Many cannabis companies, from licenced producers to retailers, even product manufacturers like Advanced Nutrients and Precision Extraction Systems, have been able to amass followings in the thousands. Secondly, newswire services have never seen as much consumer engagement than from the cannabis industry once distributed to the public, services normally of interest to media outlets and industry stakeholders. Thirdly is the greater media landscape for cannabis that usually comes in the form of newspapers, television and radio news stories, and investment news. On the whole, the landscape for cannabis media advertising is still very much in its infancy Then COVID-19 hit, and cannabis retailing was hit with a double whammy of retailers closing their doors to the public, alongside marketing dollars drying up as a result. Now thankfully, the window in which cannabis retailers were closed was brief, many of whom resorting to delivery or curbside pick-up and,

while sales have been predictably lower than expected since the outbreak, many industries are seeing sales slowly return to normal as lockdowns have gradually lifted over the last several months. What bothers me about this whole thing specifically as it relates to cannabis is that unlike many industries selling to consumers, cannabis went into this pandemic at a stark disadvantage. Most were (and still are) unable to advertise their products on various mediums we take for granted everyday: television commercials, radio spots, print ads in magazines and so forth. Similarly, now that in-store shopping has resumed in most cannabis stores, many provincial jurisdictions have pulled the excemption to offer curb-side pickup or delivery. I’m hopeful that regulations under The Cannabis Act pertaining to advertising and promotion will change in the near future. It’s now approaching the two-year anniversary since legalization went into effect, and it’s high-time we took a second look at what’s worked and wha’s fallen through the cracks.

The Canadian Association of Chiefs of Police Calls for a Public Health Approach to Drug Use The Campaign for Cannabis Amnesty commends the Canadian Association of Chiefs of Police (CACP) for its leadership with respect to the national conversation around drug law reform. On July 9, 2020, the CACP released a report titled “Decriminalization for Simple Possession of Illicit Drugs: Exploring Impacts on Public Safety & Policing”. The report accurately characterizes problematic substance use as a public health issue and acknowledges the need for alternatives to our current criminal justice approach to dealing with personal drug use. The CACP’s position follows of calls for drug decriminalization from other agencies and bodies, including Toronto Public Health, British Columbia’s Premier and Minister of Health, and members of the Liberal national caucus. These calls have become louder as

the ongoing opioid epidemic continues to end thousands of lives unnecessarily due to overdose. In addition to these deaths, drug prohibition increases other health risks, such as the transmission of blood-borne disease. Sensi Brands Inc. Announces Launch of New Pre-Roll Brand “Station House”. Sensi Brands Inc., a cannabis consumer packaged goods (CPG) company, has received its recreational sales license from Health Canada. The license allows the company to execute on its CPG strategy of bringing highquality, strategically segmented consumer brands to market and provide third-party processing and co-packing services on behalf of white-label partners. With the company clearing the path with its sales authority, it also announced its first brand designed for the adult-use market, “Station House”. Indiva and Bhang Enter Amended Licence Agreement Indiva Limited has entered into an amended licence agreement with Bhang Corporation, replacing the previous licence agreement that was entered into in connection with the joint venture (JV) between Indiva and Bhang, as previously announced in the Company’s press release dated April 19, 2018. The Company and Bhang have agreed that Bhang’s interest in the JV will be conveyed to the Company and the JV agreement between the parties will be terminated. This is in exchange for the Amended Licence Agreement, whereby Bhang will receive a net royalty on the sale of Bhang products manufactured and sold by the Company. Transparency is the New Standard for Vape Hardware By Dave Kaplan, Greentank Technologies EVALI has changed the cannabis vape landscape for the better, calling for transparency across the board. Businesses that wish to thrive in the space can no longer afford to just rely on the merits of their products. They must be 100% transparent with everything they do.
I
n its short period of existence, the cannabis vape space has already experienced two major obstacles. Yet, in both instances, it has come out the other end stronger and better prepared for future success. The industry’s heavy-metal contamination scare of early 2019 played a pivotal role in the establishment of strict contaminant testing requirements at the state level in the US and at the federal level in Canada. The EVALI crisis that followed soon after, although almost entirely the result of unregulated, black market products, nevertheless paved the way for the legal cannabis vape industry to make massive strides toward safer materials and better oversight. Both of these obstacles were learning moments for our nascent industry, forcing hardware manufacturers to look inward and reconsider their supply chains and operations. Just as importantly, they also highlighted the need for across-the-board transparency throughout the cannabis vape industry. The responsibility of total transparency begins with hardware manufacturers, which must be fully compliant and above board with respect to their operations and products if they wish to succeed in the current market. Licenced producers, multistate operators and brands can no longer afford to rely on their suppliers’ claims alone. They need to vet potential hardware manufacturers thoroughly to verify that every aspect of their operations and every material in their hardware is above reproach. Failure to do so could ultimately be catastrophic for their reputations and their bottom lines. As a result, going above and beyond to disclose all non-proprietary product information is now as much a priority for hardware manufacturers as ensuring that their hardware works as advertised. This includes providing potential customers with detailed bills of materials, full suites of material safety data sheets for every product, all pertinent product and factory safety certifications, even complete listings of the safety protocols used at their manufacturing sites. It also includes complete rundowns of heavy-metal testing results and contaminant levels from certified, independent testing agencies and laboratories, as well as any other types of applicable product test results (child resistance, electrical resistance, battery safety, etc.). Complete transparency on the parts of hardware manufacturers is only half of the equation. As a result of the heavy metal and EVALI crises, vape consumers are now more informed than ever before about contaminants, toxins, cutting agents and testing. They expect full access to this information, and cannabis vape brands

that are not upfront about every detail of their extracts and the hardware they are housed in are doing themselves a major disservice. To gain the trust of consumers, these brands must publicize comprehensive lists of the ingredients, cutting agents, cannabinoid/terpene percentages and extraction processes for each of their extracts. They must also include all pertinent testing information, including the facilities where their products were tested, and should provide access to all applicable safety information for the hardware that houses their extracts, such as heavy-metal testing results and specific materials used. Some of this information is not yet required by law, but brands that are not committed to total transparency in every aspect of their operations are certain to get left in the dust by businesses that are. The question for manufacturers and brands alike, then, is not whether to integrate transparency into their operations but rather how to effectively communicate all of the above information to their customers? Here are a few suggestions: On The Packaging Itself This option is the most straightforward, but also presents the least flexibility due to the relatively small size of standard vape product packaging. Brands can circumvent this issue by printing pertinent information about their products and the hardware they are housed in on both the exterior and interior surfaces of their packages. Most brands list some information on the outside of their packaging, but for some reason overlook the valuable real estate on the inside surfaces. Granted, this strategy is better suited to packages that flip open rather than slide out. Brands that use slide-out packaging may want to consider the next suggestion.

Product Inserts Product inserts, whether just a single sheet or a miniature multipage guide, are one of the most effective and traditional ways of conveying important product information to your customers. It’s also one of the most inexpensive. These inserts are ideal for listing any pertinent product information that didn’t fit on the package’s exterior. Plus, they can be placed directly on top of the vape itself so that your customers will see it before they begin using the device. Greentank uses product inserts to instruct end-users how to properly use their hardware, but there’s no reason why brands can’t include an insert of their own into their packaging that details testing results, ingredient lists and bills of materials. Transparency-Themed Website Sections If you’re struggling to condense all of your product information into a product insert, or you believe that including loose inserts in your packaging will compromise your product’s aesthetic, consider listing this information on your website instead—ideally in a separate section devoted to transparency. Here, you can showcase your product information and certifications in detail. This option is more expensive and ambitious than printing your product information on packaging or inserts, but it is a worthwhile investment for any hardware manufacturers or vape brands committed to transparency because you will be able to add the information for new product lines here going forward. You can also use links or QR codes on insert cards, or your product’s packaging itself, to direct customers to your transparency page. Transparency-Rooted Marketing Materials Another inexpensive option that allows your business to communicate its product

safety information is transparency-rooted marketing materials, which can take many forms. Show your customers your testing results, bills of materials, ingredient lists through newsletters, digital decks and posters (perfect for dispensaries), or create collateral that is entirely unique to the industry. Greentank, for instance, was unsatisfied with merely listing its product safety information on its website and opted instead to create the industry’s first compliance guide, a comprehensive 32-page document that lists and contextualizes all of Greentank’s product safety certifications, testing results and manufacturing accreditations. Apps and AR Codes Apps and AR Codes are by far the most expensive options on this list, but likely the best suited of the lot to engage consumers in the digital age in which we live. These technologies allow consumers to easily access full suites of product and hardware information from their smartphones. Some companies, such as PAX, have had enormous success rolling out this technology and even offer users the ability to adjust their temperature and dose settings from their mobile devices. Not surprisingly, PAX is also regarded by consumers as one of the most transparent vape manufacturers in the industry. At the end of the day, it doesn’t matter which of the above options your business decides to use, only that efforts toward complete transparency are made. Because transparency is not a fleeting phase; it’s the future of the cannabis vape industry and brands who don’t want to spend the next half-decade catching up to their competitors would be wise to take action now. Over the past five months, COVID-19 has had a devastating effect on multiple industries and their employees across the globe. This global pandemic has caused much uncertainty with regards to when businesses would be able to resume normal operations, and when employees could return to work. As a result of this uncertainty, we have witnessed a number of layoffs across Canada that have directly affected the Canadian cannabis sector. At the time this article was written, BNN Bloomberg1 had reported on a number of these layoffs and the impacts they’ve had on the sector as a whole, from cannabis production through to retail sales. In April, Canopy Growth Corp. temporarily laid off 200 retail staff following the closure of a number of retail locations in order to support social distancing measures. Also in April, Organigram Holdings Inc. temporarily laid off 400 workers in order to help stop the spread of the virus. Torontobased producer WeedMD Inc. also temporarily laid off 40 employees as a result of the pandemic as. With no definitive end in sight, many people were left wondering when they would be able to return to work, if at all. As of late, things have started to take a turn for the better. Provinces across Canada have begun re-opening, restrictions are starting to be lifted and people are beginning to return to work. Although progress has been made, it is important to keep in mind that COVID-19 is still very real and could rapidly have devastating effects across the globe once again if the proper precautions are not taken. With that said, it is important to understand the necessary measures that cannabis production facilities can implement on-site and integrate into their operations and procedures, if they haven’t done so already, in order to resume and continue operations while dealing with the ongoing crisis.
Licenced Producers: Ensure that you have a robust sanitation and hygiene program in place As part of their sanitation program, licenced producers (LPs) are required to have procedures in place that deal with personnel health and hygiene (s. 87(1)(d), CR). It is important for all LPs to review their programs to integrate the new health guidelines that have been provided by healthcare officials at both the federal and provincial levels. It is also important for them to remind their employees of the protocols that are currently in place and to have their employees trained or retrained on any procedures that have been revised. Sanitation programs should also be revised to include new measures with respect to increasing the number of times high-touch surfaces are disinfected. High-traffic and high-touch areas such as door handles, light switches and tables should be disinfected on a more 16

frequent basis. It is recommended that these surfaces be disinfected at least twice a day or more depending on the level of employee traffic.
Employee Screening
It is important for management to have continuous and ongoing communication with employees at the beginning of each shift. Management teams should be asking their employees questions about any symptoms they may have experienced, screening for individuals who have been in contact with an infected person in the previous 14 days, or if they’ve been to a healthcare facility or any other high-risk area. Health Canada resources in regards to symptoms should be posted throughout the facility where it can be easily seen by employees and updated as new information becomes available. By doing so, employees can monitor one another and report any symptoms related to COVID-19 to the appropriate officials. Another option is taking your employees’ temperatures. Although a good idea, it is important to understand that employee temperature measurements can also be interpreted as medical information, which is a privacy concern. As such, if you intend to implement this at your facility, it is important that the necessary steps are taken to ensure all medical information is kept private and managed appropriately.
Personal Protective Equipment (PPE) in Cannabis Production
Prior to COVID-19, the use of personal protective equipment (PPE) in cannabis production was already quite prevalent throughout the industry. This provides LPs with an advantage when compared with other businesses where PPE is not needed on a regular basis. However, it is important to understand that the use of this PPE should be considered the last line of defence due to limitations around its use. Infection risk as such should be mitigated using the following hierarchy of controls:

By properly implementing this hierarchy of controls safeguards employees to exposure to COVID-19 or any other infectious agent. It is for this reason that PPEs should be considered a last line of defence and not be the only risk mitigating measures taken against COVID-19. LPs should review their PPE management programs to ensure that they meet standards that allow for employees to be kept safe on an ongoing basis, especially now when additional PPE may need to be considered. It is also important for management to ask the right questions when ensuring that employees understand the proper use and expectations of PPE. This includes, but is not limited to:
Where and when should it be used and by whom? Do employees understand how to properly use their PPE and can they demonstrate their understanding? Has management done fit testing for employees to ensure their PPE fits properly? Does the PPE fit with both the individual and with any other equipment they use? Have employees been educated on the limitations of PPE?
It is also extremely important to monitor PPE use. Supervisors should regularly conduct checks to ensure that all employees are wearing their PPE and that they are being worn in the appropriate manner to ensure effectiveness. Depending on the size of the company, a health and safety committee should be in place. This committee uses both employees and management to ensure that an allaround review of how operations are proceeding can be provided and concerns can be appropriately addressed. It is important to know that each province may have specific program requirements so check with your local authorities.
Social Distancing in the Production Facility
The implementation of social distancing measures in the production facility can be quite challenging. This is because most, if not all, production facilities are not designed for employees to effectively complete their daily tasks with the implementation of the new distancing requirements. Some production facilities are implementing physical distancing measures to be at two metres even with PPE being used. In other facilities, measures have been implemented to ensure that interactions between employees are limited and gatherings of employee groups are not permitted. Steps should be taken by management to reevaluate who is considered to be essential employees based on their duties. By doing so, management can eliminate extra
workers that do not need to be on-site, which can help with the distancing requirements. Other creative ways to assist with social distancing in the production facility also include staggering shift starts and breaks and enacting different operating hours.
Working from Home
By reevaluating which employees are considered to be essential to the production of cannabis in a facility, management can also determine which employees can work from home. If a “work-from-home� policy is implemented, it is important for management to ensure that it does everything they can to accommodate its employees as it is their responsibility to ensure the protection of its employees regardless of their location. This includes, but is not limited to:
Determining if employees have adequate equipment at their place of residence. Injuries can occur to some who do not have the appropriate workplace setup (e.g. ergonomic issues if they don’t have the appropriate seating). Determining if employees have or are able to have a dedicated workspace. Steps should be taken to ensure employee needs are addressed if they are required to work from home. Ensuring that employees have regular work hours with boundaries in place. By understanding that there are regular office hours, boundaries allow for work and home responsibilities to not clash, which could potentially increase stress levels. Ensuring that employees are provided with processes for managing confidential and sensitive information. SECURITIES CLASS ACTIONS HOW TO PROTECT YOURSELF AND YOUR CANNABIS BUSINESS
C
lass action lawsuits against cannabis companies are on the rise. The proliferation of these lawsuits can be attributed, in large part, to industry growth, market volatility and corporate scandals. While cannabis companies are facing a variety of claims, including product liability and data breach claims, Canadian cannabis companies, and their officers and directors, have increasingly been the target of several securities class actions in both Canada and the US. What is a Securities Class Action? From a procedural perspective, a class action begins with the proposed representative plaintiff issuing a statement of claim and bringing a motion before the court for an order certifying the proceeding and appointing him or her as the representative plaintiff for the class. The certification motion is frequently the most important step in a class action and it is where battle is squarely joined between the parties. Generally, in Canada, the court will certify a class action where: the claim discloses a cause of action; there is an identifiable class of two or more persons; the claims of the class members raise common issues; a class action would be the preferable procedure for the resolution of the common issues; and there is an appropriate representative plaintiff. Securities class actions most typically arise in the primary market, such as in the context of an offering (including initial public offerings under a prospectus) or trading in the secondary market through the stock exchange.

In Canada, where claims arise as a result of trading in the secondary market, the plaintiff faces a second hurdle in addition to the certification test. Specifically, the plaintiff is also required to obtain leave from the court to proceed with the claim, and must demonstrate that the claim is made in good faith and has a reasonable possibility of success. Why are Cannabis Companies a Target? Securities class actions have been commenced against cannabis companies after financial restatements and a subsequent decline in share price. The claims most frequently arise as a result of trading in the secondary market and generally involve allegations of misrepresentations in financial statements, undisclosed related party transactions or benefits, inflated asset valuations, exaggerated operational capacities, and non-compliance with regulatory requirements. For example, a highly-publicized filing in Canada alleges that a licenced provider of medical cannabis falsely represented to the capital markets that it was complying with all legal requirements applicable to the growth and sale of cannabis when in fact the company was illegally growing and storing cannabis in unlicensed rooms. Similarly, recent filings in the US have focused on allegations that cannabis companies and their officers and directors misled investors or failed to disclose significant problems with their businesses. How Do I Protect the Company and Myself from a Claim? In order to best defend a securities class action and avoid a successful claim, cannabis companies and their officers and directors should always consider: a. whether the company has sufficient controls over financial reporting or whether additional measures should be implemented; b. timely disclosure of material changes to the company’s business, including any earnings projections that may have been impacted by COVID-19; c. reviewing existing disclosure for compliance with accounting standards and securities law; d. avoiding conflicts of interest, particularly when dealing with executive compensation and relatedparty transactions; e. establishing a special committee of independent members of the board of directors when necessary to investigate discrete corporate issues; f. employee education and training regarding the company’s obligations under securities law and the Cannabis Act and its regulations; g. creating anonymous whistleblowing systems;

h. implementing a strong regulatory compliance regime; i. consulting with legal and financial advisors on any material issues that could generate risk; and j. adopting effective document retention policies. Importantly, under Canadian securities legislation, it is a defence to an action in relation to a misrepresentation, or a failure to make timely disclosure, if the person or company proves that before the release of the document containing the misrepresentation, or before the failure to make timely disclosure, the person or company conducted a reasonable investigation and had no reasonable grounds to believe that a misrepresentation, or failure to make timely disclosure, would occur. In determining whether an investigation was reasonable, the court will consider all relevant circumstances, such as the knowledge, experience, and function of the person or company. Establishing a robust system of controls for financial disclosure and regulatory compliance, amongst the other matters outlined above, will arm companies and their executives with the ammunition they need to defend securities class actions. Cannabis companies and their officers and directors should be aware of the increase in securities class actions and take active steps to limit the scope of their potential liability through good corporate governance practices and regulatory compliance protocols. These measures are not unique to companies operating in the cannabis sector but they are all the more important in an industry that is the target of increased scrutiny from plaintiff class action lawyers. Ontario
As of August 1, Ontario-based privately-run cannabis stores will no longer be allowed to provide delivery or curbside pick-up services to customers this month when a provincial emergency order expires. Cannabis stores in the country’s biggest consumer market were allowed to open and provide additional services such as delivery in April following an emergency order approved by the provincial cabinet amid the COVID-19 pandemic. The Ontario Cannabis Store will be the sole provider of cannabis delivery, according to Rod Phillips, the province’s finance minister.
Manitoba
The Manitoba government has moved forward on its plan for an open and competitive cannabis retail market. Since June 1, the province has opened the cannabis retail application process to all prospective retailers. This includes the introduction of a new controlled-access licence for retailers. Retailers in this next phase will be limited to owning no more than 15% of stand-alone stores in Manitoba. This will be expanded as more stores enter the market.
Alberta
Alberta continues to lead the country with nearly 500 cannabis stores in the province, making up half of cannabis stores nationally as of August, although several analysts have said the market is saturated and that some stores recently had to close due to challenging conditions.

Quebec
According to a July article in the Montreal Gazzette, the Quebec government confirmed on Friday more greenhouses will be given preferential electricity rates from Hydro-QuĂŠbec. The new measure significantly expands the Additional Electricity Option for Photosynthetic Lighting, which allows greenhouse farmers to access electricity for 5.59 cents per kilowatt-hour for the intense lighting required for greenhouses.
Saskatchewan
The City of Regina is working to streamline the application process for cannabis retail stores in the city once the cap is lifted on the number of stores allowed in each community. The Saskatchewan government announced last October that the cap on stores in communities would be lifted in September.
British Columbia
According to a recent Maru/Blue survey commissioned by Robinsons of 1,5108 randomly selected Canadian adults, conducted on June 16, 2020; 44% of Canadians nationally said that they expect the best quality cannabis is cultivated on the West Coast in British Columbia. However, among respondents from Atlantic Canada, the East Coast takes top honours, with 48% saying that Atlantic Canadian cannabis is the best.
Prince Edward Island
Youth in PEI will soon have access to a new diversion and educational justice program called Rethink, developed collaboratively by the Departments of Health and Wellness and Justice and Public Safety to teach youth prevention strategies and provide them with a better understanding of the risks related to cannabis use. Figr Brands, Inc., a vertically integrated legal cannabis company, announced its move into the Alberta, Saskatchewan and British Columbia market, furthering the company’s move towards becoming available nationwide. Almost a year after it was launched, Operation Rhino — the brainchild of the Royal Newfoundland Constabulary (RNC) Drug Investigation Unit — resulted in the seizure of $6 million in illicit cannabis and other substances and equipment in St. John’s.
Nova Scotia
The NSLC released its year-end financial results today for April 1, 2019 to March 31, 2020, reporting a 4.2% increase in earnings. Nova Scotia produced cannabis accounted for 18.3% of cannabis sales this year at $13 million. Overall sales performance was driven by the first full fiscal year of cannabis sales, the introduction of new cannabis categories, sales growth in all local product categories and an influx of sales resulting from the COVID-19 pandemic.

Cannabis NB released the unaudited first quarter results for the 2020-21 fiscal. Total sales of legal recreational cannabis for the quarter ended June 28, 2020 (13 weeks) were $16.3 million, 78.7% higher than the quarter ended June 30, 2019 (13 weeks) and resulted in a $1.4 million profit for the organization. Key trends for the first quarter (March 30, 2020 – June 28, 2020) compared to the first quarter of last year (April 1, 2019 – June 30, 2019) were: dried flower sales increased 49.1%, up by $3.8 million; accessories sales increased 62.3%, up by $0.2 million; extracts sales increased 7.1%, up by $0.07 million; concentrates represented 14.4%, of sales for the quarter at $2.3 million edibles represented 4.6% of sales for the quarter at $0.8 million.

CANNABIS ANALYTICAL TESTING IN CANADA By Dr. Kaveh Kahen
A
nalytical testing plays a vital role in the cannabis industry. Licensed producers (LPs) rely on the results generated by licensed labs to ensure the safety and potency of their products prior to release for sale and public consumption. Therefore, inaccurate results could harm public safety and lead to products that don’t match the consumers’ expectations. But are all labs created equal? Can LPs assume that as long as a lab is licensed to test cannabis, the test results will be accurate and reproducible? Currently, analytical testing labs in Canada differ in many aspects. Some labs are larger, some are smaller, some have more personnel with more experience, some utilize more advanced and up-to-date instrumentation and some rely on older equipment, some specialize exclusively in cannabis testing while others provide cannabis testing in addition to other food and pharma tests. To reiterate, no two labs are created equal. After almost two years of legalization, on the whole, while there have been some recalls due to pesticides and discrepancies in potency, to date there has not been any major outbreak of illness due to cannabis contamination. Ample credit goes to Health Canada and government regulators therein for providing a comprehensive framework and guidance before and after legalization, as well as the majority of LPs and extraction/processing companies for compliance, and in many cases going above and beyond the minimum requirements in the interest of public safety. However, now that we’re two years into cannabis legalization, and almost a year into cannabis 2.0 products being sold into the public market, it’s high-time we have a reexamination of where the gaps lie when it comes to cannabis testing, and how they can be improved. Conflicts of Interest and Race to Higher THC Levels! Unfortunately, the Canadian cannabis industry is having a serious problem with respect to the accuracy of THC and CBD values reported by testing labs. It is important to appreciate that measuring cannabinoid concentrations in complicated matrices is not a trivial task and has a

certain level of uncertainty and error associated with it. However, what we are observing today in this market is a heavy bias towards higher THC/CBD levels, which could end up jeopardizing the quality of products and public safety. We have seen instances where a sample with a known concentration is sent to several different labs and in many cases found some testing labs are reporting significantly higher THC or CBD values (way beyond the normal limits of uncertainty). Unfortunately, this is done primarily to attract new clients and with the assumption that the LP would put its shortterm financial interests ahead of its long-term longevity, compliance and public health and safety. Such (mal)-practices are not permitted in any pharmaceutical testing lab, as pharma labs must follow certain regulations in order to maintain their Drug Establishment Licence (DEL), which is the equivalent of GMP certification for testing labs in Canada. Unfortunately, this requirement does not exist for cannabis testing labs. The DEL requirements establish a very clear set of regulations in terms of data integrity, hardware and software validation, method validation, staff training, quality control systems, calibration, etc. All labs across the board follow the same unified standards for drug testing. We believe this should be a requirement for cannabis testing labs, as well. Cannabis 2.0 and New Challenges Derivative cannabis products vary widely and include, among others, edibles, beverages, topicals, as well as concentrates for vape hardware. Unlike dried flower, which is tested under Health Canada regulations, additional tests are required for derivative products under the Food and Drug Act*, often dubbed Cannabis 2.0. Some product types, such as teabags and certain edibles, aren’t uniformly homogeneous. One of the challenges with these products is that there could be significant variability in potency from, for example, one teabag or chocolate to another. In our labs, we have tested products from the same batch/lot number, same manufacturer, same brand, and have seen significantly different results as it relates to THC or CBD content. We suspect that, in these cases, the mechanisms used to infuse THC or

CBD do not lead to reproducible concentration, even within the same batch/lot. Other issues relate to long-term stability of these products. Major concerns here include degradation of active ingredients, such as THC and CBD, the possibility of microbial growth in the product, and potential contaminations introduced from the packaging material (plasticizers, heavy metals, etc.) into the product. Therefore, it is critical to conduct stability studies under controlled conditions, following established guidelines such as ICH, and confirm that the product is stable and safe to consume over its shelf life. For beverages, teabags, and edibles, particular attention should

be paid to the type of emulsifiers used in the production process, as they would have a direct impact on stability. Because stability studies are time consuming, it is prudent to try several different formulations in parallel and use the stability study data to choose the best formulations that are compliant with the regulations and standards. There are also similar concerns regarding concentrates and extracts that are used in vape products. First is the elemental contamination (for example lead or cadmium) that could be leached from the metallic parts that come in contact with the extracts. In addition, plastic materials coming into contact with the extract may end up “leaching” into the product and contaminating it over time. In our labs, we have also observed oxidation and discoloration of extracts during the stability study period. Most vape products are used under high-temperature environments, which would introduce a new set of challenges. For example, current Health Canada regulations for pesticide testing, of concentrate extracts in vape pens, permit the testing of raw material (flower for example) instead of the finished product. This is concerning, as we have seen direct evidence of certain pesticides concentrating in the final oil/extract products by several folds during the extraction process. So, although the raw material could potentially pass the pesticide requirements, the final extract would have much higher levels and would not be compliant. Adding high temperature to this equation when vapes are used could potentially introduce some health risks to consumers. Therefore, it is always prudent to check the extracts for pesticide levels, especially if they are going to be used as vape products. Residual solvents in oil and extracts are another concern. Solvents are typically used to extract cannabinoids from the flower but they must be removed and fall under Health Canada’s mandatory limits in the final products. Currently this limit is 5000 ppm, which is significantly higher (i.e. more relaxed) than the requirements for pharmaceutical products under established United States Pharmacopeia guidelines (USP <467>).
Canada Leading the World! Canada has the potential and infrastructure to lead the world in cannabis science and intellectual property. The federally legalized framework over the past two years has allowed us to learn what cannabis can do, where there’s potential and other areas where the hype is gone or was not even there. The same can be said for cannabis analytical testing. Testing labs and analytical chemists have made significant advancements in understanding what it takes to produce accurate and precise results when it comes to cannabis and derived products. In the next 5-10 years, a clearer distinction between medicinal and recreational cannabis will be needed, especially with more clinical trials showing promising results. We are getting to a point where cannabis-based topicals for pain relief or new formulations for sleep disorders may replace established drugs in the market. The intellectual property that the Canadian cannabis sector, including testing and research labs, cultivators, extraction and processing companies, etc. are creating today will pave the path for Canada’s leadership in this market. Ontario-Bound How Sessions Cannabis is Poised to Become the Largest Cannabis Retailer in the Province By David Halpert, Editor
2020 has been a tumultuous year for cannabis retail. Between COVID-19, derivative cannabis products (such as edibles, beverages and topicals) hitting the market and, for Ontario in particular, a new influx of cannabis stores opening across the province, retailers of cannabis have had to navigate constantly shifting sands in order to not just survive, but thrive. Now halfway through the year, amidst all of these tailwinds, one retailer has been slowly making a name for itself across Ontario. Since opening its first store in Collingwood last December, Sessions Cannabis has quietly and cautiously been building a cannabis empire, with four stores currently open at the time of this writing, and upwards of 30 stores in the queue to open by year’s end. “We’re focusing our efforts on Ontario right now. We believe that’s where the market is. I think that’s the downfall of competitors in our space. They’ve spread themselves thin across the country,” says CEO and co-founder of Sessions Cannabis Steven Fry, “We’re Ontario proud, we’re born and raised here. We have a whole tranche of stores coming out in the next year or so. As far north as Timmons, Sault Ste. Marie and Elliott Lake; as far West as Sarnia, as far as East as Brockville, as far South as Welland and a lot of streets in between.” Since cannabis legalization in late 2018, Ontario has taken a measured approach to cannabis retailing. Aside from the publicly-owned Ontario Cannabis Store (OCS), the province’s online vendor where consumers can purchase cannabis directly, the Ontario government limited the

number of stores open in its first year to 25 total. This year, after a second round of applications in late 2019 were selected, the province has seen an explosion of new stores opening over the summer months. Fry and his team were hyper-aggressive to be the first store to open in the Hamilton area, selling $14 million worth of cannabis in just nine months of opening. “We’re good at building stores real fast, economically, and are good for the consumer,” continues Fry, “We don’t want to spread ourselves too thin across the country because that comes with its own challenges, regulations and different markets.” Steven, an entrepreneur at heart, wanted to take concepts learned from owning a cannabis store previously, and “go from good to great” as he puts it when it came to developing his own brand. “I learned what to do and more importantly what not to do, and some of the lessons you learn along the way, like how to build up a store and how to save money on expenses, how to build a better value proposition for your customers. So we’ve learned a lot from that experience. We’ve managed to take some of that good stuff and make it really great.” This includes properly merchandising the product, labeling it accordingly and educating the consumer in the process, “The closest analogy I can use is trying to be the LCBO of cannabis. The wines and the liquors are on the floor so it’s the same kind of concept but working within the regulations at the same time. It’s about having that advantage over our competition,” continued Steven. Fry goes on to explain how other can-

nabis stores fall short in terms of the basics of properly informing the consumer. How much does it cost? What is a strain’s potency? When and where was the cannabis produced? “One thing we really embrace in terms of our vision was to have the product on the floor. I think a lot of our competitors in the industry hide [the product] behind some storeroom somewhere, and then dispense it. We’re proud to showcase it on the floor, and that gives us a few advantages. The customer will come in looking to buy and that allows us to educate the consumer along the way, which makes it more of an education experience as opposed to selecting what you want, some guy walking into the back and getting the product for you. “ The Past & The Future For those thinking about entering the cannabis industry in the future, 2020 will be seen by many as a cautionary tale. “It’s really hard to open new stores in this environment. It’s hard to do a big activation in the time of COVID where people aren’t out as much. We had to spend a lot more time on how to draw attention to your business before you open your doors. And how to get the word out and that’s a lot more tricky in COVID times. Those are the general big lessons aside from all the practical stuff,” stated Steven bluntly. In early March, during the first weeks of the pandemic, licenced producers and cannabis retailers were deemed an essential service in Ontario. Cannabis stores couldn’t allow customers indoors but were allowed to offer delivery and curbside pick-up to their customers. These options were rescinded in late July by the Ontario government once phase three permitted customers to shop indoors once again. When asked about Fry’s background prior to cannabis, it came as no surprise he had robust experience in two key industries allowing him to rise to the occasion: healthcare and real estate. For the past decade, he oversaw the supply chain of 14 hospitals across the province as well as a portfolio of thousands of SKUs. Prior to that, he co-founded a small residential property holding company roughly a decade ago, with rental assets in Ontario and Alberta. This allowed him to develop a network of professionals and expertise that would come in handy with cannabis retailing. “Experience goes a long way, how to make sure you’re adding value to the consumer. important because that’s how you’re going to win at this business. We’re scaring a lot of the big corporate guys in this space. We’re small and nimble. We’ve been able to develop our franchisee network and are poised to be the largest retailer in this province,” continues Fry, ending with a cautious note for those thinking about getting into cannabis retailing. “I think there’s this preconceived notion that you open a store and everyone is going to flood the doors and come in and it doesn’t work that way. It’s the reason why a lot of companies fail. To me it’s a matter of experience and lessons learned. I worry that ma-and-pas are going to be hurting because they just don’t understand this business, and that it takes a sophisticated marketing program especially during COVID to build a great business in this space.”
