The organiser reserves the right to amend your choices in terms of location (on land or in-water, Palais des Festivals, Vieux Port, Port Pierre Canto, etc.) after reviewing your documentation and/or the constraints relative to establishing the layout and to allocate another position/sector at the event better suited to the type of your products/ services, in accordance with the available spaces. These modifications shall have no impact on the validity of this participation request. In the case of contradiction between the terms of these two documents, those of the Special Regulations shall prevail. The Organiser may cancel or postpone the show if it notes an insufficient number of registered attendees. The Exhibitor’s down payment or attendance fee is then refunded. The Exhibitor declares to be aware of the possibility of cancellation and accepts all risks relating to the possibility of the show not being held and particularly exclusive liability for the costs it incurs in preparation for the show. In the event that, for major, unforeseeable or economic reasons (such as fire, flooding, destruction, accidents, acts of God, local or national strikes, riots, security risks, storms, terrorist threats, health emergencies, whether local, national or international), the show cannot be held, the admission requests are cancelled and the amounts left, after payment of the expenses incurred, are divided between the Exhibitors, in proportion to the amounts paid by each of them. The Exhibitor entrusts to the Organiser the task of assessing whether the show must be suspended or evacuated in the event of a threat to visitors’ safety and agrees to not subsequently lodge a complaint as a result. The Exhibitor shall undertake to respect and ensure respect of the measures of the Exhibitor Services Manual which it will be given or which may be viewed online or on the Exhibitor extranet. The Exhibitor is responsible to the Organiser for nonobservance of the schedule of conditions (“le cahier des charges”) established by the owner or the tenant of the site placed at the disposal of the Exhibition Organiser. The Organiser is not liable for any consequences arising from the enforcement of the provisions of these General Regulations. PARTICIPATION ARTICLE 2 - CONDITIONS FOR PARTICIPATION 2.1-The Organiser determines the categories of Exhibitors and draws up the list of products and/or services presented. An Exhibitor may only present goods or services manufactured or designed by it or for which it is the representative or importer, and which form part of the nomenclature of the sector in which it is exhibiting; in the latter case, it appends to its application form the list of brands whose products or services it proposes to promote. The Organiser may also, after examination, exclude products and/or services that it deems do not meet the aim of the show or include products and/or services not included on its list but that are of interest for the show. Sales including immediate on-site delivery to the buyer are prohibited. In accordance with the provisions relating to trade events, an Exhibitor may neither present products that do not comply with French regulations, except products intended for foreign markets, nor carry out any misleading or abusive advertising. The offer presented by Exhibitors must comply with public policy and current laws. Accordingly, Exhibitors are formally prohibited from exhibiting illegal products or products from illegal activities. It is also prohibited for any persons not authorised by law to propose services or products from regulated activities. Legal action may be brought against Exhibitors who breach these provisions without prejudice to any measures taken by the Organiser in order to end this breach. Exhibitors accept full liability for their products and their acts in relation to third parties; the Organiser cannot, under any circumstances, be held liable. In the case of claim filed by a third party against the Organiser for an act or a product of an Exhibitor, the Exhibitor in question shall compensate the Organiser for all costs reasonably incurred by the Organiser for its defence and any convictions it may have to bear. 2.2 - SAFE CUSTODY OF THE EQUIPMENT LIABILITY FOR RISKS The exhibitor shall remain the sole custodian of the goods displayed, for which it shall be solely liable, and more generally, all of its equipment throughout the trade fair (24 hours a day, seven days a week), including assembly,

dismantling, handling, displacement and transport. The organiser shall consequently not be held liable in any way in relation to said equipment. Moreover, the exhibitor expressly accepts to bear all risks to which the goods and materials referred to hereinabove may be subject. In accordance with the security regulations, it is obliged to take all measures to protect said goods and materials. The organiser shall not be responsible for these measures under any circumstances. In particular, the exhibitor shall be responsible for deciding the security guarding arrangements for said goods and equipment (such as, safe-deposit box, window display, assigning its security officers to the stand, etc.). The foregoing, where necessary, pursuant to an express exemption from any conflicting legal provision. ARTICLE 3 - APPLICATIONS Any person wishing to exhibit must present an application form to the Organiser. Unless the Organiser does not accept the application, the submission thereof shall be a binding and irrevocable undertaking to pay the full price of the organization services and associated costs. ARTICLE 4 - CONTROL OF ADMISSIONS The Organiser is not obliged to justify its decisions concerning applications. In the event that participation is refused, any sums paid by the party having presented an application form will be refunded, after deduction of administrative expenses incurred by the Organiser and retained thereby. The same provision applies to a party having presented an application form placed on the waiting list, to whom an exhibition space cannot be allocated for lack of available space when the Exhibition opens. Acceptance of the application is confirmed by the reply from the Organiser to the Exhibitor. This reply may be in the form of an invoice addressed to the Exhibitor. Despite its acceptance by the Organiser and even after allocation of an exhibition space, the Organiser is allowed, without restriction, to cancel an application form from an Exhibitor whose affairs are, for whatever reason, administered by, or with the assistance of a trustee in bankruptcy. This applies notably to any application by a company apparently in cessation of payments between the date of the application and the Exhibition opening date. However, where a company is authorised by a court to continue its operations, the Organiser may, of its own free will, decide to maintain the application. ARTICLE 5 – USE OF THE EXHIBITION SPACE Subject to prior written authorisation by the organiser, an exhibitor, in discharging the organisation services assigned to it, shall neither transfer, sublet or share all or part its space or services within the premises of the exhibition, be it for a fee or free of charge. Additionally, it shall not display any products or services that are not manufactured or designed by a different party on the exhibition grounds (including inside its stand), except: • For products and services compliant with the nomenclature of the sector it represents. In this case, it should present the organiser with the “exhibitor accreditation” form and the “coexhibitor” form together with the related payment in the cases outlined on the form, duly completed, signed and approved by the organiser. • For products and services not compliant with the nomenclature of the sector it represents, an express and prior exemption must have been obtained from the organiser, which exemption may be subject to issuance of an invoice for such presence and to related payments by the exhibitor. The organiser reserves the right to withdraw, at the exhibitor’s expense, any brand or product that violates the terms of this Article. Nonetheless, several Exhibitors may be authorised to make a joint presentation, on condition that each of them has obtained prior permission from the Organiser and has submitted a joint application form. ARTICLE 6 – WITHDRAWAL In the event of withdrawal or non-occupancy of the exhibition space for any reason whatsoever (and in the case of cancellation of equipment of the exhibition space and the

various options), amounts partially or fully paid and/ or outstanding, for the organisation services and incidental costs, are retained by the Organiser even if another Exhibitor uses the exhibition space. An Exhibitor shall be deemed to have withdrawn if, for any reason whatsoever it should fail to take possession of its exhibition space 24 hours before the day on which the Exhibition is due to open. The Organiser may therefore dispose of the defaulting Exhibitor’s exhibition space and the latter shall have no right to claim a refund or compensation, and remove any visual communication regarding the defaulting Exhibitor’s products. FINANCIAL CONDITIONS ARTICLE 7 – PRICE OF THE ORGANISATION SERVICES The price of the organisation services is decided by the Organiser and may be revised by the Organiser if there is a modification to tax charges. ARTICLE 8 – TERMS OF PAYMENT Payment for the organisation services and other associated costs is to be made by the settlement dates and by methods fixed by the Organiser. For any late application form, the first payment is equal to the sums already payable on the application form date. The same applies to Exhibitors on the waiting list who are belatedly allocated an exhibition space. ARTICLE 9 - FAILURE TO PAY If an Exhibitor should fail to pay on due dates and comply with the payment terms stipulated in the preceding article, the Organiser shall be entitled to apply the conditions contained in Article 6 “Withdrawal”. Moreover, any late payment shall also entail the application of interest at the Eonia rate increased by five (5) points. This interest shall be due automatically, and shall be calculated on the aforementioned sum from the date upon which the payment should have been made until the effective date of payment. A recovery fee of €40 will be automatically due to the Organiser in case of any failure to pay on due dates. In cases where the recovery costs incurred exceed €40, the Organiser may claim an additional indemnity from the Exhibitor owing sums, on documentary evidence. EXHIBITION SPACES ARTICLE 10 - ALLOCATION OF EXHIBITION SPACES The Organiser draws up the exhibition plan and allocates the areas freely, taking account if possible of the requests made by the Exhibitor, the type of products and/or services it presents, the layout of the exhibition space that it proposes to install as well as, if necessary, the date of registration of the application form. Due to its role of coordinating or organising, the Organiser may modify the size and layout of the areas requested by the Exhibitor. Such modification shall not entitle the Exhibitor to unilaterally terminate its engagement to participate. An Exhibitor is notified of the location of the space by means of a plan. It is the Exhibitor’s responsibility to verify the conformity of the plan before setting up its exhibition space. The Organiser is not liable for any difference between the characteristics given on the plan and the actual measurements of the exhibition space. The plan shows the general layout of the other exhibition spaces surrounding the site allocated. These indications, valid on the date the plan is drawn up, are given for information only and are liable to modifications which may not be communicated to the Exhibitor. Any complaints about the position shown on the plan must be submitted within eight days of receipt of the plan by the Exhibitor. Beyond this deadline, the proposed position is considered to have been accepted by the Exhibitor. The Organiser cannot under any circumstances either reserve a position or guarantee the same position from year to year. Furthermore, attendance at previous events does not give the Exhibitor any rights based on this previous attendance. ARTICLE 11 - INSTALLATION AND DECORATION OF EXHIBITION SPACES Exhibition spaces installation is in accordance with the


GENERAL REGULATIONS general plan drawn up by the Organiser. Exhibitors are solely responsible for the specific decoration of their own exhibition spaces. They shall comply with safety regulations issued by the public authorities and adhere to the general plan for decoration and signage drawn up by the Organiser.

The Organiser decides the specifications of how visual information is displayed and the conditions governing the use of all sound, light or audio-visual techniques, as well as the conditions under which all promotional activities, events or surveys may be carried out within the confines of the Exhibition.

CLEANING ARTICLE 16 – CLEANING Each exhibition space is cleaned in accordance with the conditions and at times notified by the Organiser to Exhibitors.

In the same way, the Organiser decides on the conditions in which photography or sound recording is authorised within the confines of the Exhibition. The Organiser may make its permission dependent on the signing, by the attendee, of an agreement to transfer to it the rights for the promotion of the show. The Organiser reserves the right to require that any fitting detrimental to the general appearance of the show, to neighbouring Exhibitors or the public, or which does not conform to the layout and model submitted for its prior approval, shall be removed or modified. The Organiser may withdraw an authorisation already given in the event of hindrance caused to neighbouring Exhibitors, to circulation or to the running of the show. Promotional announcements and recruitment, irrespective of how they are carried out, are formally prohibited. Prospectuses, brochures, catalogues and/or documents relating to the products and brands exhibited, may only be distributed by Exhibitors on their stand. Their distribution on the event site and in its immediate surroundings is strictly prohibited. ARTICLE 12 - DE-INSTALLATION The Organiser declines all responsibility for structures or installations built by Exhibitors. Exhibitors shall accept and leave the sites as delivered, and shall be liable for any damage, in particular to venue halls and venue equipment, caused by themselves or by their installations, equipment or goods. ASSEMBLY / DISASSEMBLY DEADLINES ARTICLE 13 - ASSEMBLY AND DISASSEMBLY OF THE EXHIBITION SPACE The Organiser sets the schedule for the assembly and disassembly of the exhibition spaces prior to the opening of the show and for the removal of products, as well as the deadlines for tidying after the show. The Exhibitor guarantees that its installer will arrive in sufficient time, prior to the disassembly deadline, in order to enable the proper return of the space to its original condition, within the deadline set by the Organiser. The Organiser may have carried out, at the Exhibitor’s expense and risk, work that has not been carried out by the Exhibitor within the deadlines set, without being held liable for total or partial damage or losses, which the Exhibitor unreservedly accepts. In the event of non-disassembly of the stand by the Exhibitor within the given deadlines, the Organiser shall be entitled to destroy the stand without being held liable to the Exhibitor for the value for the goods and components of the stand that are destroyed. Furthermore, failure by an Exhibitor to meet the exhibition space occupancy deadline authorises the Organiser to claim the payment of late occupancy penalties and damages. ARTICLE 14 - SPECIFIC AUTHORISATIONS Any installation of machines, equipment or devices which cannot be carried out without using Exhibitor space allocated to another Exhibitor may only be done with the authorisation of the Organiser and on the date fixed thereby. ARTICLE 15 – GOODS Each Exhibitor personally provides for the transport and receipt of goods delivered to it. It must follow the Organiser’s instructions regarding goods delivery and pick-up

Products and equipment installed on the exhibition premises cannot, on any grounds whatsoever, be removed during the show.

INSURANCE ARTICLE 17 - PUBLIC LIABILITY INSURANCE 17.1- ORGANISER’S PUBLIC LIABILITY INSURANCE The Organiser takes out an insurance policy covering the financial consequences of its public liability in its role as Organiser. Exhibitors may ask the Organiser to provide them with an insurance certificate specifying the nature of the risks covered, the limits of the cover and the period of cover. 17-2- EXHIBITOR’S PUBLIC LIABILITY INSURANCE The Exhibitor is required to take out an insurance policy covering the financial consequences of its public liability as an Exhibitor and in particular, the responsibilities it is likely to incur against all third parties, including the companies that own and manage the venue at which the Show is held, for the duration of the Show (assembly and disassembly included). This cover must be taken out with an insurance company well-known as a creditworthy company and cover the Exhibitor for sufficient amounts. The Exhibitor shall, upon first request of the Organiser, provide it with a copy of its insurance policy. The absence or insufficiency of public liability coverage will neither limit nor exonerate the Exhibitor from responsibility. ARTICLE 18 - EXHIBITOR’S COMPREHENSIVE INSURANCE Exhibitors are compulsorily insured through the Organiser for the risks to goods presented, within the limits of the Organiser’s policy. The comprehensive policy shall cover loss or accidental damage affecting goods belonging to the Exhibitor or under its care. The insurance shall be effective at the time the goods arrive in the Exhibitor’s exhibition area. It shall cease when the goods leave the exhibition space at the end of the show. The following are covered, within the cover limit of €7,500: - the items exhibited, presentation material, furniture, and all other items intended to be contained within the exhibition space; - items leased or borrowed, including the exhibition space or the exhibition module provided by the Organiser; - audiovisual equipment and plasma/LCD screens. The cover is limited, on the understanding that the Exhibitor must insure all goods entering the site through its own resources or by using the complementary insurance module presented in the technical datasheet (only for the goods that may be covered by this) Exhibitors may ask the Organiser to examine a copy of the policy which, alone, constitutes proof of the risks covered and the conditions of the insurance. ARTICLE 19 – EXCESSES AND EXCLUSIONS A – For the cover set out in the “Exhibitor’s Comprehensive Insurance” paragraph of Article 18, the excess is: • € 500 per loss event and per Exhibitor for theft. •€ 250 per loss event and per Exhibitor for breakage of fragile objects. B – The following are the principal exclusions from cover (list not exhaustive): (a) BOATS AND THEIR CONTENTS (b) ITEMS OF VALUE, NOTABLY THOSE EXHIBITED IN THE LUXURY GALLERY (SUCH AS JEWELLERY) (c) WORKS OF ART (d) War, civil war, foreign enemy intervention, revolution, confiscation of assets, nationalisation, order of any government or any local or public administration, radioactive contamination, supersonic boom. (e) Theft of goods left outdoors; damage caused by bad weather to goods left outdoors. (f) Financial loss, including loss of money and indirect loss. (g) Damage resulting from a temperature change caused by

an energy provider. (h) Damage resulting from a breakdown or an electrical or mechanical malfunction. (i) Bodily injury to the insured’s employees. (j) Theft of property or goods at the show, when these property or goods have been left unsupervised and the theft occurs during opening hours to the exhibitors. (k) Insufficient stock. (l) Personal effects and objects, jewellery and works of art, photographic equipment, radio equipment, pocket electronic calculators and any items belonging to a private individual participating directly or indirectly in the event. (m) telephone receivers connected and/or logged in to the telecommunications network(s). (n) removable software packages and applications. (o) Theft of audiovisual equipment used for advertising purposes (such as cassette recorder, cameras, camcorders, laptops), when these items have not been kept in a locked building and the theft occurs during opening hours to the public and/or the exhibitors. (p) Theft of cash and securities, cheques, and any means of payment. (q) Drones and Robots. (r) Scratches, scrapes and chips. (s) Vehicles, motor land machinery in circulation, in operation and/or used as tools. Apart from these cases, and when the vehicles and motor land machinery are only exhibited, they may be covered by the exhibitor’s comprehensive insurance policy, within the cover limit of €7,500 and subject to strict respect for the conditions set out hereunder: All vehicles and machinery exhibited, of any nature, must be “disabled” by the Exhibitor, preventing their ignition. The vehicles and machinery exhibited, in compliance with the legislation in force, must have their tanks emptied of fuel or be fitted with key-locked stoppers (and in this specific case contain very little fuel). For vehicles and machinery exhibited of under 3.5 tonnes and of a value of over 70,000 euros: the Exhibitor must strictly prohibit their access to the public. For vehicles and machinery exhibited of over 3.5 tonnes: if the vehicle is accessible to the public (access to the cabin, for example), permanent presence of the Exhibitor during opening hours to exhibitors. THE LIST ABOVE ONLY CITES THE MAIN EXCLUSIONS AND ONLY CONSTITUTES AN EXTRACT OF THE GENERAL AND SPECIAL CONDITIONS OF THE INSURANCE POLICY, WHICH ALONE PREVAIL IN THE SETTLEMENT OF A CLAIM. Exhibitors and their insurance companies waive all redress against the administrators and Organisers of the Show, their insurers and the companies managing and owning the premises and venues in which the show is held, their insurers, in particular the Chamber of Commerce and Industry (CCI) of Cannes, notably on account of the damage, loss or disappearance (including theft), which may befall samples, models, exhibition equipment, boats and in general all items over which they may have rights of possession, use or charge, on any basis whatever and for whatever reason. Exhibitors and their insurance companies also undertake to waive all redress against Reed Expositions France, its insurance companies, any Exhibitor and against any other party involved on their behalf, on account of any physical injury, material and/or immaterial, direct and/or indirect damage, resulting from fire, explosion or water damage, and also for any operating loss. Exhibitors undertake to include these waiver clauses in any contracts connected with the Show. The Exhibitor irrevocably undertakes that the insurance policies that it takes out shall contain waivers of redress, which are identical to that shown above, made by its insurance companies. ARTICLE 20 - HOW THE COVER WORKS Every loss event must be reported to the Organiser and, subject to the insured losing the right to the benefit of the insurance, must be reported it to the insurance company using the standard forms available to the Exhibitor. This report must be made within 24 hours in the case of theft, or within five days in other cases, indicating the circumstances of the loss and the approximate amount of damages. All thefts must be reported by the Exhibitor to the police department having territorial jurisdiction over the show premises. The original acknowledgement of receipt of the report must be attached to the claim.


GENERAL REGULATIONS To obtain payment in compensation, the Exhibitor must produce detailed inventories indicating the values of the equipment exhibited and the stand equipment (fittings, decoration, lighting, etc.). SERVICES ARTICLE 21- UTILITIES Connections to electricity, telephone, water and compressed air mains are charged as stated in the Exhibitor Services Manual to Exhibitors who must request connection within the time limits specified and within the technical possibilities offered by the exhibition site. Any request concerning these services must be addressed to the distributor designated on the appropriate forms made available to Exhibitors. ARTICLE 22 - CUSTOMS It is the responsibility of each Exhibitor to complete customs formalities for equipment and products arriving from abroad. The Organiser cannot be held responsible for any difficulties arising during these formalities. ARTICLE 23 - INTELLECTUAL PROPERTY RIGHTS The Exhibitor ensures the Organiser that it holds or has obtained all Intellectual Property Rights on the products/ designs / brands which it exhibits, and all rights and/or permissions necessary for their presentation at the Show. The Organiser will accept no responsibility in this regard. The Organiser will be allowed to exclude the Exhibitors convicted in Intellectual Property matters, for offences of infringement. The Exhibitor authorises the Organiser, free of charge and throughout the territory, for the duration of the concerned rights, to reproduce and use the products/ designs/ brands exhibited, in all Show communication tools(Internet, official catalogue, invitations, visitor map, promotional video, etc.) and more generally, in all media designed to promote the show (picture taken of the show to be published in a newspaper or on the Internet, TV programme made about/ during the show, without this list being exhaustive). The Exhibitor guarantees the Organiser that it has obtained from the holders of intellectual property rights on the products / designs / brands and others (plans, concepts, services, etc.) that it exhibits, all the rights and/or licenses necessary for the aforementioned uses. ARTICLE 24 – COMPANY FOR MANAGEMENT OF COPYRIGHT AND RELATED RIGHTS The Exhibitor directly deals with copyright royalty collection and payment companies (French SACEM, etc.) if it uses music in any way whatsoever on the show premises, the Organiser declining any liability on these grounds. The Organiser may, at any time, ask the Exhibitor to furnish the corresponding evidence. ARTICLE 25 – BADGE SCANNERS It is possible to reserve badge scanners and/or Smartphones with a badge scanner application (hereinafter “the scanners”) at certain shows in return for payment. These scanners are tested by the supplier before being made available to the Exhibitor and are deemed to be in good working order upon their handing over. The Exhibitor is liable for properly using the badge scanner during the show to allow proper data backup, Reed Expositions France declining any liability in the event of improper handling of the scanner by the Exhibitor.

other show materials (visit guides, site plans on the walls, etc.). The Exhibitor guarantees that the names, logos and, more generally, all the content provided by it for publication on the show’s website or in the official catalogue or another document (visit guides, site plans on the walls, etc.), do not infringe the intellectual property rights of a third party and are not libellous, obscene, indecent, blasphemous or illegal. The Exhibitor agrees to indemnify the Organiser and cover any damages, losses of profits, losses of reputation, incidents, costs and expenses suffered or incurred by the Organiser due to a breach of the aforementioned guarantee. The Organiser reserves the right to modify, remove or group entries wherever it judges this to be useful as well as to refuse or modify texts for paid advertisements if they may cause harm to other Exhibitors. ADMISSION PASSES ARTICLE 27 – “EXHIBITORS PASSES” “Exhibitor passes” giving right of entry to the show subject to the conditions fixed by the Organiser are issued to Exhibitors. Unused “Exhibitor passes” may be neither returned nor reimbursed after the Organiser has issued them against payment. ARTICLE 28 - INVITATION CARDS Invitation cards intended for visitors whom the Exhibitors wish to invite are issued to Exhibitors subject to the conditions fixed by the Organiser. Any unfair request and/or any other use may be result in legal proceedings. Cards which remain unused may be neither returned nor reimbursed after the Organiser has issued them against payment. Only passes, invitation cards and entrance tickets issued by the Organiser give right of entry to the show. ARTICLE 29 - UNAUTHORISED STREET TRADING OF ADMISSION DOCUMENTS Admission documents (tickets, invitations, badges, passes, etc.) cannot be sold on pain of legal action. The unauthorised street trading of admission documents is a criminal act punishable by questioning and arrest by the police. The penalties incurred range from a fine of €3,750 to €15,000 and from 6 months to 1 year in prison. Unauthorised street trading is the fact, without proper authorization or declaration, of offering, putting up for sale or exhibiting goods for sale or doing any other business in public places in breach of the regulatory provisions on the policing of these places (Art. 446-1. Of the French Criminal Code). SAFETY ARTICLE 30 – SAFETY The Exhibitor must comply with the security measures imposed by the administrative or judicial authorities, as well as any security measures taken by the Organiser and must also enable their verification. Surveillance, which is incumbent exclusively upon the Exhibitor, is provided under the Organiser’s supervision; its decisions regarding the implementation of the security rules must be executed immediately. The Organiser reserves the right to refuse admission to or have removed any person, visitor or Exhibitor, whose presence or behaviour presents a risk to the security, tranquillity or image of the show and/or the integrity of the site.

CATALOGUES ARTICLE 26 - CATALOGUES The Organiser reserves the exclusive right to publish and sell the catalogue of Exhibitors, together with the rights on the advertising which appears in this catalogue. It may subcontract all or part of this right.

The Exhibitor agrees to comply with all the usage restrictions and health and safety standards applicable to the Exhibition Centre and particularly the provisions of the Security Specifications and Code of Conduct, a copy of which shall be made available by the Organiser on site, during the entire show.

The information required to produce and publish the catalogue, in paper and electronic format, is provided by Exhibitors at their sole risk on the show’s website. The Organiser cannot be held liable for omissions or errors in reproduction, typesetting or other, that might occur.

APPLICATION OF THE REGULATIONS - DISPUTES ARTICLE 31 - APPLICATION OF THE REGULATIONS Any breach of the provisions of these regulations and, if applicable, the code of conduct issued by the Organiser, may result in the exclusion of the offending Exhibitor, even without formal notice, if necessary assisted by the law enforcement authorities. This applies, specifically, to nonconformity of exhibition space fittings, failure to comply with safety regulations, failure to occupy the exhibition space,

Exhibitors authorise the Organiser to publish, in electronic and printed format, the information provided, on the show’s website, in the official catalogue of Exhibitors and/or on any

display of products which do not conform to those stated in the initial application and sale of goods with immediate onsite delivery to the purchaser. Compensation is then due by the Exhibitor as damages for the damage caused to the event. This compensation is at least equal to the attendance fee, which is retained by the Organiser, without prejudice to any additional damages claimed. The Exhibitor grants as a guarantee to the Organiser a lien on the exhibited items, furniture and decorations belonging to it. In the event of contradiction between the provisions of these General Regulations and the terms of purchase of an Exhibitor, it is agreed that the provisions of these General Regulations prevail. Any difficulties in interpreting the English version of these General Regulations are resolved by referring to the meaning of the French version of the General Regulations. ARTICLE 32 - MODIFICATION OF THE REGULATIONS/INDIVISIBILITY The Organiser reserves the right to rule on any cases not covered by these regulations and to add new provisions whenever it deems this necessary for the smooth running of the show. The nullity, for any reason whatsoever, of all or part of one of the provisions of these regulations shall not affect in any manner the other provisions thereof. In such event, the Parties agree to negotiate in good faith to agree on a provision having, insofar as possible, an equivalent effect. ARTICLE 33 - LIMITED LIABILITY The liability that the Organiser is likely to incur, either as a result of its own actions, even of a member of staff, or as a result of the actions of a third party, irrespective of the cause thereof, is limited, all damages included, to the sum of €15,000 (fifteen thousand euros) plus a sum equivalent to the attendance fee paid by the Exhibitor in question. The aforementioned attendance fee includes, definitively, the amount excluding VAT featured on the application form signed by the Exhibitor, irrespective of subsequent circumstances, such as amendments made in accordance with Article 7, or the termination of the contract. In the event that the Exhibitor receives benefits in accordance with the insurance policy mentioned in Article 18, these benefits are accordingly deducted from any sum due by the Organiser to the Exhibitor; if a sum has already been paid by the Organiser to the Exhibitor, the aforementioned benefits are paid on by the Exhibitor to the Organiser. This clause applies even if the third party or member of staff for which the Organiser is liable has committed gross negligence, or wilful or even intentional misconduct. This clause applies even in the event of termination of the contract. ARTICLE 34 - DISPUTES - TIME-BARRING In the event of any dispute or disagreement, irrespective of the grounds therefor, the Exhibitor agrees to submit its complaint to the Organiser, prior to any proceedings, by registered letter with acknowledgement of receipt. Any legal action brought prior to the expiry of a period of 15 days following receipt of the aforementioned letter shall be inadmissible. In accordance with Article 2254 of the French Civil Code, the parties agree to set at one year (1 year) the limit for the time-barring of rights and legal action relating to the liability that the Organiser is likely to incur either as a result of its own actions, even of a member of staff, or as a result of the actions of a third party, irrespective of the cause thereof. This period shall run from the expiry of the period of 15 days specified in the previous paragraph. RELATIONS BETWEEN THE EXHIBITOR AND THE ORGANISER AND ENTIRELY AND EXCLUSIVELY GOVERNED BY FRENCH LAW. ONLY THE COMMERCIAL COURT OF NANTERRE SHALL HAVE JURISDICTION.


SPECIAL REGULATIONS Please read carefully before completing the application form. All completed application forms must include the mandatory declarations and a signature, and be accompanied by any deposits that are due by the date the application form is posted. TAKING PART IN THE TRADE FAIR SHALL NOT RESULT IN THE TRANSFER OF THE SAFE CUSTODY OF THE GOODS DISPLAYED AND/OR USED BY THE EXHIBITOR. THE EXHIBITOR SHALL BE LIABLE THEREFOR (24 HOURS A DAY, SEVEN DAYS A WEEK, INCLUDING ASSEMBLY AND DISMANTLING), WHICH SHALL REMAIN FREE TO DECIDE THE MEANS AND MATERIALS WHICH IT MUST IMPLEMENT TO ENSURE THE SUPERVISION AND SECURITY OF SAID GOODS AND REMAIN LIABLE FOR ANY DAMAGE CAUSED TO AND/OR BY SAID GOODS.

1 - TERMS OF PARTICIPATION 1.1 - Only those companies, cf. Article 1.4, associations and service companies closely linked to water-based recreational activities, boat building, and tourism and other activities that may be included in the nomenclature of the show will be allowed to take part in the show, provided they can produce confirmation of at least one year’s legal industrial or commercial activity in these branches of industry by the opening date of the show. 1.2 - Groupings of companies (economic interest groups, associations, etc.) can exhibit in group exhibition spaces only if each company, member of the group, has been individually admitted to exhibit at the show and has agreed to pay the registration fee. In addition, unless otherwise approved by the Organiser, groupings of foreign companies can exhibit in the exhibition spaces only if their companies do not have an importer or agent in France. 1.3 - Closing date for receiving application forms All application forms must be returned before 16 February 2018 at the very latest, excluding the Luxury Gallery sector, for which the deadline shall be 30 March 2018. Any applications received after that date will, subject to acceptance by the Organiser, be entered on a waiting list and processed, depending on the availability of exhibition stands, with no entitlement to compensation for any reason whatsoever. Each application form is required to contain a statement by the Exhibitor certifying that, to its knowledge, it has no late payment, dispute or other procedures brought or likely to be brought against it that may lead to the seizure of the equipment, products or boats it is exhibiting at the Festival. 1.4 - Admission Policy The Organiser, after going through the applications, accepts or rejects the proposed applications for admission without having to justify its decision. This provision cannot be interpreted as preventing the application of those relative to the awarding of places in the show (positioning of the space/size), which is notably subject to the options allowed by the establishment of the plan and the sectors of the Show and the consistency the Organiser wishes to give to the offering presented at the show For all first-time applicants, a complete application must be provided, containing sales literature about the equipment or services to be displayed, a note presenting the company (i.e. name, legal status, date established, and business references) and a certificate of incorporation from the Companies and Trade Register justifying one year of business activity at the time the show opens. Notwithstanding any provision to the contrary, acceptance of an application for admission can only result from a formal and unequivocal decision of the Organiser. 2 - Equipment on Display GENERAL PROVISIONS 2.1 – Each Exhibitor is obliged to fully insure all the goods displayed at the show site throughout the duration of the show (including assembly and disassembly), especially

boats displayed on land and on water, including their contents at their total value. The Organiser cannot be held legally liable. PROVISIONS SPECIFIC TO BOATS 2.2 - All Exhibitors showing boats, vessels, products or equipment that do not comply with French regulations shall inform their customers accordingly and in a visible manner. 2.3 - Boats less than 10 metres long are required to be exhibited on land, except in cases where the Organiser has granted special permission or special area. 2.4 - For new boats, except by special authorisation from the Organiser, only one boat of the same model will be admitted in water. Excluded therefore are: two identical models with different engines or different binnacles. New equipment or services must comply in all respects with those written down on the technical form, both in terms of quantity and in terms of the description given. Save in the case of special authorisation obtained from the Organiser, new boats exhibited must: • be different models to those having been exhibited in the previous Yachting sessions, and • have a date of first launch after the date of closure of the previous Yachting session, • not be demonstration boats. 2.5 - All requests accepted by the Organiser to increase the size or number of the boats in water, no matter when the request is made, will be the object of an additional invoice. 2.6 - Special Authorisation The Organiser has been delegated as the body empowered to grant special authorisation, provided that requests to this effect are made, at the very latest, 40 days before the show opens. 2.7 – Boat builders Boat builders are entitled to exhibit only those models they manufacture. 2.8 – Importers Importers are entitled to exhibit only models by foreign boat builders and manufacturers for which they are accredited. The “Exhibitor Accreditation” form on page 14 of this application form, duly completed and signed by the boat builder or manufacturer, must be attached to the application form. 3 - Occupying the land and water space – Reduction of Surface Area/Cancellation 3.1 - Occupying Exhibition Space Locations in water and on land must be occupied by the Exhibitor before the opening of the show in accordance with the deadlines set by the Organiser. Failing that, the Organiser reserves the right to move the boats concerned to another location and reallocate the initial location (on land and/or in water), in whole or in part, to another company. This in no way entitles the Exhibitor to request a refund of the sums already collected by the Organiser and/or the cancellation of those remaining due. The Exhibitor agrees that his boats shall be present throughout the period of the show right to the end of the very last day. No early departures will be allowed. 3.2 - Reduction / Cancellation GENERAL PROVISIONS 3.2.1 In cases of cancellation or non-occupation of all or part of an Exhibitor’s allocated exhibition space on land and/or in water, for any reason whatsoever, any sums paid and/or remaining due in whole or in part by

the Exhibitor, for the provision of the Organiser’s services, shall be retained by the Organiser even in cases where another Exhibitor comes to benefit from the exhibition space affected by the cancellation or non-occupation and which the Organiser cannot use freely. The Exhibitor cannot claim a refund and/or compensation, even if the exhibition space (bare area, stand/tent, boat space on water, land space in front of boat linked to the boat(s) exhibited on water, etc.) is reallocated to another Exhibitor. 3.2.2 Exhibitors will be deemed more specifically to have wholly or partly cancelled if, on the morning (before 12am) of the day before opening of the show: • they have not come to collect their badges, and/or • they have not begun their installation/fitting of their spaces, and/or • they have not brought one or more expected boats into the exhibition on water, without having obtained a late permission (Cf. 3.2.3). 3.2.3 The Exhibitor may obtain a late permission by contacting the Organiser no later than two days before the show (before 12pm). The Organiser may then freely decide whether to grant this permission or to declare that the Exhibitor has cancelled. The late permission may not exceed midnight of the evening of the day before opening of the Show. The Exhibitor shall be fully liable for respect for the late permission granted by the Organiser. Thus it must respect the times of installation and/or arrival of the boat(s), etc. that will be imposed on it by the Organiser in the late permission. 3.2.4 In the cases described in Article 3.2.2, and in the case of failure to respect a late permission granted pursuant to Article 3.2.3, in addition to applying the rules set out in Article 3.2.1 the Organiser shall have grounds in claiming from the Exhibitor a penalty equal to 50% excluding taxes of the space not occupied (land or water). This penalty shall be due even when the Exhibitor repositions its products and boats in order to artificially fill the gap created by the absence of those initially planned. It is stipulated for all practical purposes that the provisions of this article shall apply also in the event of a request to reduce the number and/or size of the allocations in water or on land. SPECIAL PROVISIONS APPLICABLE TO SECOND HAND BOATS For the second-hand boat part, Exhibitors will be invoiced for only 50% of any in-water space they decide to cancel, provided: • the cancellation is made before 10 August 2018 • the Organiser finds another Exhibitor to put in the said space. 4 - ADVERTISING – PROMOTION Exhibitors are forbidden from having advertising balloons, flags and/or banners at the show or its surroundings, without having first obtained written permission from the Organiser. The Organiser reserves the right to remove unauthorised balloons, flags or banners, without prior notice and without the Exhibitor being able to claim damages on account of this. The distribution of printed matter or advertising items is only authorized at the exhibition spaces of the Exhibitors or aboard the boats on display. Distribution will under no circumstances be authorised in the common areas of the show. You are reminded that all promotional and commercial initiatives benefiting a third party are prohibited on the site of the allocated stand location, unless express written approval has been granted by the Organiser, cf. notably Article 5 of the General Regulations.


SPECIAL REGULATIONS 5 - SAFETY REGULATIONS 5.1 - All handling operations on the pontoons, catwalks and piers, as well as all work to exhibition spaces must be completed, without fail, at the very latest 3pm on the day before opening of the Show; this is for the visit of the safety committee. 5.2 - The Festival takes out insurance to cover its thirdparty liability. You are reminded that the owner of the vessel cannot be exonerated from his liability, or even obtain compensation for its own damages, unless it is able to demonstrate that the service is at fault (in this case the fault of the Port Authority). Indeed, under the terms of Article R351-1 of the French Code of Mercantile Shipping and Fishing Ports, “Vessels are moored at the responsibility of their captain or skipper, in accordance with shipping customs, and are obliged to fulfil any specific provisions that may be laid down by the port officers and supervisors.” 5.3 - All boats should be thoroughly cleaned by 9.30 a.m. every morning. 5.4 - Equipped tents or stand structures must be ordered exclusively from the Organiser. Failing that, the Organiser reserves the right to have the structures removed, without prior notice and without the Exhibitor being able to claim damages on account of this. 5.5 - During the period of the show, it is forbidden for the Exhibitors’ customers to arrive by sea. Consequently, without written authorization from the Organiser the disembarkation of passengers and the docking of boats other than those authorised to exhibit is prohibited along the quays and pontoons used for the show. The Organiser reserves the right to check arrivals and departures of Exhibitors’ boats 5.6 - During the period that the show is being set up or taken down, Exhibitors will not be able to organise events (press conferences, visits, receptions, etc.) on the show site. 5.7 - During the six days of the show, the set-up and dismantling periods, it is forbidden to all exhibitors to discharge wastewater and other waste in the port. The obligation to arrange for the evacuation of waste water and waste rests is due to exhibitors and remains at their sole expense. Exhibitors may, if they wish, to use an official provider whose details will be available in the Exhibitor’s area on www.cannesyachtingfestival.com in June 2018. 6 – SEIZURE AT THE SHOW 6.1 – The Exhibitor shall be responsible for payment of any and all costs generated by the seizure of one or several pieces of equipment, products or boats that it is exhibiting, irrespective of the administrative authority (Customs or other administration) or distrainor, which would lead to the immobilization of said equipment, products or boats in the facilities where the Festival is held (port or other facilities) beyond the scheduled date specified by the Organiser as being the final date for vacating the premises. As such, the Exhibitor shall pay in particular: - the occupancy compensation due to the authority managing the port (CCI Nice Côte d’Azur and/or Port Pierre Canto) based on the scale of charges applicable to unauthorised parking or berthing that is in force at the time when the duration of authorised parking or berthing is exceeded; - the occupancy compensation due to the authority managing the Palais des Festivals et des Congrès de Cannes (SEMEC) based on the rates in force at the time when the duration of authorised parking is exceeded; - any and all other costs generated by the immobilization of the seized items (storage, security, electricity, water, etc.); and this upon receipt of the invoice or any other document as a request for payment of the aforementioned compensation or costs issued by the authorities managing the occupied facilities or by the Organiser.

6.2 – The Exhibitor expressly agrees to undertake every step necessary to end the occupancy resulting from the seizure of said items at the very latest within 24 hours of notification (with the exclusion of Saturdays, Sundays and public holidays), in particular: - by organising the substitution of the seized items by another form of security, - by obtaining the agreement of the distrainor to move the seized equipment, products or boats outside the limits of the Cannes port, - by not opposing the request made by the garnishee to remove the seized goods pursuant to Article R.221-27 of the French Code of Civil Procedure, and this, under penalty of payment to the Organiser of an indemnity per day of delay equal to the rates for unauthorised parking or berthing, in force at the time, charged by the authorities managing the occupied facilities. The Exhibitor shall notify the Organiser of the measures undertaken to meet these ends. 6.3 – The Exhibitor acknowledges that the Organiser has a contractual possessory lien providing general and permanent preferential right of retention on all the equipment, products and boats which have been immobilized due to the seizure of goods, as a guarantee for any and all claims that the Organiser may have against the Exhibitor in relation to said immobilization, and this until the latter ceases and the Exhibitor’s debts are paid. 6.4 – In addition, the Exhibitor agrees to not instigate seizures made against other Exhibitors at the Festival during the course of the event (whether during the period the show is open to the public or during the assembly and disassembly operations), and this under penalty of exposing yourself to having to pay the Organiser: - an indemnity equal to three times the rates in force at the time for unauthorised parking or berthing, charged by the authorities managing the said facilities, for each day that the seized goods are immobilized at the facilities where the show is held; - the costs referred to in Article 6.1 above as jointly liable with the distrainee debtor. 7 - DEPARTURE OF BOATS DISPLAYED IN WATER 7.1 - The vessel departure date that the Organiser gives the Exhibitor is mandatory, whatever the circumstances may be. Thus, in the event that an Exhibitor does not wish to and/or might be unable on the scheduled date to remove a vessel or vessels from the area where it is exhibiting them, for any reason whatsoever, even if due to bad weather, the Exhibitor must undertake to book, at its own expense, a different mooring from the harbour master, so that the vessel or vessels concerned will have left the moorings made available to them by Reed Expositions on the departure date indicated by the Organiser. 7.2 – The Exhibitor shall be responsible for payment of any and all costs generated by the occupancy of the facilities placed at its disposal as part of the Festival beyond the scheduled date specified by the Organiser as being the final date for vacating the premises. As such, the Exhibitor shall pay in particular: - the occupancy compensation due to the authority managing the port (CCI Nice Côte d’Azur and/or Port Pierre Canto) based on the scale of charges applicable to unauthorised parking or berthing that is in force at the time when the duration of authorised parking or berthing is exceeded; - the occupancy compensation due to the authority managing the Palais des Festivals et des Congrès de Cannes (SEMEC) based on the rates in force at the time when the duration of authorised parking is exceeded; - any and all other costs generated by the immobilization of the seized items (storage, security, electricity, water, etc.); and this upon receipt of the invoice or any other document as a request for payment of the aforementioned compensation or costs issued by the authorities managing the occupied facilities or by the Organiser. In addition, the Exhibitor shall owe the Organiser an

indemnity equal to the rates in force at the time for unauthorised parking or berthing, charged by the authorities managing the occupied facilities, for each day of occupancy beyond the scheduled date specified by the Organiser as being the final date for vacating the premises. 7.3 – The Exhibitor acknowledges that the Organiser has a contractual possessory lien providing general and permanent preferential right of retention on all the equipment, products and boats which have been left at the port facilities beyond the final date for vacating the premises, as a guarantee for any and all claims that the Organiser may have against the Exhibitor in relation to the resulting occupancy, and this until the latter ceases and the Exhibitor’s debts are paid. 8 – IMAGE USAGE RIGHTS The Exhibitor is advised of the fact that the Organiser may produce virtual tours, photographs, videos, etc. which may feature the Exhibitor’s staff or its subcontractors. It undertakes to obtain, on the Organiser’s behalf, all authorisations necessary for the production free of charge and the use free of charge of the image of these individuals, on any medium and using any methods (with the sole aim of promoting and/or marketing the show), on all territories for a period of 5 years. 9 - ENFORCEMENT OF REGULATIONS 9.1 - Any infringement of the clauses provided in the general regulations and these special regulations may lead to the immediate and rightful exclusion by the Organiser of the offending Exhibitor, and this without the need for formal notice. In such cases, an indemnity is then due by the Exhibitor as compensation for the moral or material damage suffered by the event. This indemnity shall be at least equal to the total amount of the participation fees which shall be retained by the Organisers without prejudice to any additional damages that might be claimed. The Organiser, in this respect, has a possessory lien on all articles exhibited and all fixtures and decorative fittings belonging to the Exhibitor. 9.2 - In the event of a dispute, the Exhibitor undertakes to submit its claim to the Organiser before instituting any proceedings. The Exhibitor formally agrees that any legal action undertaken within a fortnight of the claim being submitted to the Organiser and more than one year after the expiration of that fortnight shall be declared inadmissible. THE FRENCH LAW IS APPLICABLE ONLY IN THE EVENT OF ANY DISPUTE, ONLY THE COMMERCIAL COURT OF NANTERRE SHALL HAVE JURISDICTION. THE ORGANISER WILL NOT BE HELD RESPONSIBLE FOR FAILURE ON THE PART OF THE EXHIBITORS TO COMPLY WITH THE REGULATIONS.


PROMOTIONAL AND PARTNERSHIP TOOLS GENERAL TERMS AND CONDITIONS OF SALE These terms and conditions apply to the sale of advertising space in the derivative products of the CANNES YACHTING FESTIVAL (official show catalogue, newsletter, etc.) and on the Web site at http://www.cannesyachtingfestival.com. The derivative products and Internet site of the Cannes International Boat and Yacht Show are hereinafter referred to as «the promotional and partnership tools». All requests for advertising insertions in the promotional and partnership tools of the CANNES YACHTING FESTIVAL are reckoned to be firm and binding by the advertiser once Reed Expositions France has registered the booking. If the request has been made by an agent, it jointly binds the agent and advertiser, in particular for the proper payment of the advertisement. The agent is to act under guarantee of a notification by the advertiser who is to specify the range and duration of his authority. In the event of inconsistency between these general terms and conditions of sale and the terms and conditions of purchase of any advertiser, it is agreed that these general terms and conditions of sale shall prevail. The advertiser agrees to provide any and all documents or offset transparencies necessary for the printing and/or on-line placement of the advertiser’s message within the agreed lead times. Technical costs if any shall be borne by the advertiser. The advertiser shall comply with any and all instructions issued by Reed Expositions France and indicated in Reed Expositions France’s commercial documents concerning the supply of technical materials (e.g. format of advertising banners). In the event that the production of the advertisement is followed up by the communication unit of the CANNES YACHTING FESTIVAL, a proof may be submitted to the advertiser, in which case the advertiser shall be obligated to indicate any required changes by return mail. Failure to respond within the applicable lead time shall be deemed tacit acceptance. In the event of non-compliance with the lead times for the submission of technical materials, an advertisement indicating the advertiser’s corporate name and particulars shall be produced at the advertiser’s expense. Lead time for on-line placement: 3 working days from the date of receipt of technical materials. In the event that an order is cancelled, for any reason whatsoever, the 50% deposit shall be vested with Reed Expositions France; if the cancellation comes less than two months before the show is due to open, the organiser reserves the right to request the balance remaining due for the order. Reed Expositions France waives any liability in respect of any and all technical materials that have not been recovered by the

advertisers or their agents within three months from the last time such materials have been published. The registration by Reed Expositions France of a request for the insertion of an advertisement only grants the advertiser the right to occupy the space reserved for such advertisement. The space, form and mode of posting of the proposed advertisements and the related prices are indicated in the purchase order attached hereto. Prices do not include technical costs such as, where applicable, the cost of creation and production of the advertisements. Except for those spaces indicated in the publication price list, no space may be guaranteed, regardless of the indications placed by the advertiser on the request for advertising publication. The text and the illustrations of an advertisement and in particular the trademarks and names, are published under the sole responsibility of the advertiser. Notably, any possible reproduction rights for photographic documents are the responsibility of the advertiser. The advertiser hereby releases Reed Expositions France, the publisher, the printer and any and all third parties from any civil or criminal liability they may incur because of advertisements that have published at the advertiser’s request. The advertiser guarantees Reed Expositions France, the publisher, the printer and any and all third parties against any claims asserted by third parties in respect of the content of such advertisements. The advertiser accordingly agrees to defend at its own expense Reed Expositions France, the publisher, the printer and any and all third parties in the event that proceedings or claims are brought or asserted against them in respect of the contents, data, information, messages, etc., included in the advertisements, and the advertiser shall be responsible for any indemnification due to make whole any loss that may have be sustained. Reed Expositions France may in no event be held liable beyond a total amount corresponding to 2/12th of the total annual amount collected for the corresponding service, not including any extension or renewal period. No error due to Reed Expositions France, the publisher, the printer or any and all third party in respect of an advertisement shall in any event result in the cancellation of such advertisement. The correction shall be made in the catalogue or the following advertising products. No claim shall be accepted unless it is made in writing within eight days from the date of insertion or on-line placement. No delay in, suspension of or cancellation of the circulation of the advertisement in particular because of technical default - 26 -

due to the operation of the Internet or for any reason beyond the control of Reed Expositions France shall justify any refusal to pay even part of the amounts due by the advertiser or its agent, or shall create a right to a new insertion at the expense of Reed Expositions France or to indemnification in any manner whatsoever, in favour of the advertiser or his agent. Also, Reed Expositions France may in no event be held liable for accidental or voluntary damage made to the advertiser by third parties because of their being connected to the Internet. The advertiser waives all right to recourse against Reed Expositions France or a third party, due to loss, destruction, injury or damage resulting from the interruption or perturbation of the activity, caused directly or indirectly, consisting in or resulting from the breakdown of any computer, equipment for processing dates, multimedia microcircuit, operating system, microprocessor (computer chip), integrated circuit or similar component, or any software, whether or not it is the property of Reed Expositions France. In accordance with the French data protection act No. 78-17 of 6 January 1978, the advertiser has a right of access, modification, correction and deletion of personal data related to the advertiser. To exercise such right, the advertiser must contact Reed Expositions France Communication department. In accordance with press and publication custom, Reed Expositions France is free to refuse the insertion of an advertisement without it being necessary to justify its refusal. Placements are made in accordance with the dates reserved by advertisers. Invoices are issued on the basis of such reserved dates and must be paid upon receipt. Where an advertiser places an order through an agency appointed as the advertiser’s agent, the invoice shall be sent to the agency with a copy to the advertiser. 50% of the pre-tax price of the advertisement shall be payable upon delivery of the purchase order, the remainder being due upon receipt of the invoice. If the advertiser fails to make any payment upon the due date, all amounts due shall become immediately payable in full, plus liquidated damages set at 10% of all amounts that have fallen due and remain unpaid. In addition, any late payment shall give rise to the application of an indemnity for late payment at a rate equal to one and a half times the legal rate. Collection costs shall be borne by the debtor. Any dispute shall fall within the jurisdiction of the Nanterre Courts. All applications for insertion of advertisements imply the acceptance of the above general terms and conditions.
