RULE C: STORMWATER MANAGEMENT Standards ➢ Proposed discharge rates for the 2-, 10-, and 100-year events shall not exceed existing rates. ➢ Developments and redevelopments must reduce runoff volumes in the amount equivalent to an inch of runoff from the impervious areas of the site. ➢ Stormwater must be pretreated before discharging to infiltration areas to maintain the long-term viability of the infiltration area. ➢ Developments and redevelopments must incorporate effective non-point source pollution reduction BMPs to achieve 90% total suspended solid removal.

Findings 1. A hydrograph method based on sound hydrologic theory is used to analyze runoff for the design or analysis of flows and water levels.

2. Runoff rates for the proposed activity do not exceed existing runoff rates for the 2-, 10-, and 100-year critical storm events. Stormwater leaving the project area is discharged into a well-defined receiving channel or pipe and routed to a public drainage system.

3. Stormwater runoff volume retention is not achieved onsite in the amount equivalent to the runoff generated from 1.1-inch of rainfall over the impervious surfaces of the development. a. i. Filtration volume and facility size has been calculated using the appropriate hydrological soil group classification and design filtration rate. ii. The filtration areas are capable of filtering the required volume within 48 hours. iii. Stormwater runoff is pretreated to remove solids before discharging to filtration areas. b. c. The applicant has not submitted money to be contributed to the Stormwater Impact Fund.

5. Best management practices do not achieve 90% total suspended solids removal from the runoff generated on an annual basis. If the applicant meets the volume retention requirements, the practices will likely achieve 90% removal.

6. A memorandum of agreement for maintenance of stormwater facilities exists between the City of St. Paul and the CRWD. Adequate maintenance access is provided for the underground system.

RULE D: FLOOD CONTROL Standards ➢ Compensatory storage shall be provided for fill placed within the 100-year floodplain. ➢ All habitable buildings, roads, and parking structures on or adjacent to a project site shall comply with District freeboard requirements.

Findings 1. There is no floodplain on the property according to FEMA. 2. All habitable buildings, roads, and parking structures on or adjacent to the project site comply with CRWD freeboard requirements.

RULE E: WETLAND MANAGEMENT Standard ➢ Wetlands shall not be drained, filled (wholly or in part), excavated, or have sustaining hydrology impacted such that there will be a decrease in the inherent (existing) functions and values of the wetland. ➢ A minimum buffer of 25 feet of permanent nonimpacted vegetative ground cover abutting and surrounding a wetland is required.

Findings 1. There are no known wetlands located on the property.

RULE F: EROSION AND SEDIMENT CONTROL Standards ➢ A plan shall demonstrate that appropriate erosion and sediment control measures protect downstream water bodies from the effects of a land-disturbing activity. ➢ Erosion Control Plans must adhere to the MPCA Protecting Water Quality in Urban Areas Manual.

Findings 1. Erosion and sediment control measures are consistent with best management practices, as demonstrated in the MPCA manual Protecting Water Quality in Urban Areas.

2. Adjacent properties are protected from sediment transport/deposition.

3. Wetlands, waterbodies and water conveyance systems are protected from erosion/sediment transport/deposition.

4. Disturbed area is greater than 1 acre; an NPDES permit is required. A SWPPP has been submitted and is sufficient.

RULE G: ILLICIT DISCHARGE AND CONNECTION Standard ➢ Stormwater management and utility plans shall indicate all existing and proposed connections from developed and undeveloped lands for all water that drains to the District MS4.

Findings 1. New direct connections or replacement of existing connections are not proposed.

2. Prohibited discharges are not proposed.

Recommendation: Table with 4 Conditions Conditions: 1. Provide plans signed by a professional engineer per the Minnesota Board of AELSLAGID. 2. Provide a copy of the NPDES permit.

3. Revise plans to address the following: a. Revise filtration basin design since the current design provides little to no storage above the filtration media. Consider revising south lawn turf stormwater storage system section to sod, on top of topsoil, on top of coarse drainage aggregate, on top of a minimum of 18” of filtration media. If designed in this fashion, Basins 9PN and 9PS could achieve up to approximately 4,016 CF. i. Label pea gravel on underdrain pipes in Details 4, 5, and 6 on Sheet C7.2. Underdrain pipes should have a minimum of 3 inches pea gravel above and on each side of the pipe (stone is not required below the pipe). Above and around the pea gravel, two inches of choking stone is needed to protect the underdrain from blockage. ii. Increase the provided filtration volume (Table 2). CRWD does not grant filtration volume credit for voids within the filter media. iii. Specify rock specification for the underground storage systems.

Specification shall include the following according to the Minnesota Stormwater Manual: 1. Double-washed, angular, uniform (uniformity coefficient of 2 or smaller) aggregate between ¾-1.5 inch 2. Acceptable rock types: igneous and crystalline metamorphic (granite, rhyolite, gabbro, basalt, quartzite).

3. Unacceptable rock types: carbonate (limestone, dolomite, dolostone) and non-crystalline metamorphic (shale). b. Add note to Sheet C4.0 that pervious areas are depressed a minimum of 2 inches below the impervious areas to ensure stormwater runoff will filter through the soils and not directly runoff the site to the streets. This is stated in narrative, but not in plans. c. Add note to plans that all disturbed soils will be subsoiled and decompacted prior to application of topsoil and turf establishment. This is stated in narrative, but not in plans.

Thank you for signing up to adopt a storm drain in your neighborhood!

By adopting a drain, you’re committing to keep the drain and the area around it clear of leaves, trash and other debris for the next year—and hopefully longer. There’s no specific requirement for how often you need to sweep up, but be sure to check the drain before (and after) it rains, and when the snow begins to melt.

We’ll deliver a sign to your yard in the next month to recognize and publicize your commitment to protecting neighborhood lakes and rivers. Keep it in your yard, even if the drain is at the end of the block; we want to recognize you and your efforts!

We hope the sign will be a conversation-starter in your neighborhood. To that end, we’ve enclosed a tip sheet outlining a few things you and your neighbors can do at home to keep pollution off streets and sidewalks, and out of local waterways.

Dog poop carries harmful bacteria.

Pick up after your pet.

Leaves, grass and dirt feed algae and turn lakes and rivers green.

Keep them off streets and sidewalks.

We’ve also provided two postcards. Keep track of the (estimated) amount of debris you collect from the drain and report that to us twice a year— at the start of winter and at the end of spring—via postcard or email.

This helps us track the total impact we are having on local waterways. You can report the estimated debris in number of pounds or number of 30-gallon trash bags. Not all debris is created equal, but our best (not scientifically validated) guesstimate is that a gallon of debris weighs about a pound.

While we ask you to commit to your adopted drain for at least a year, we will assume you are continuing to participate in the program until you notify us otherwise. You can discontinue your participation at any time by logging in to your account at adopt-a-drain.org and abandoning your drain. Or, send us an email.

Trash Keep it out of lakes and rivers. Put it in a garbage bin.

Thanks so much for your participation in Adopt-a-Drain. Working together, we can protect and improve Minnesota lakes and rivers.

Salt One teaspoon of sidewalk salt permanently pollutes 5 gallons of water. Use it sparingly.

For colder temperatures, use sand or kitty litter.

Tips on how to clear your drain and be safe while doing it Helpful tools for cleaning the storm drain: a broom, a rake, a trash grabber, gloves, an orange cone and/or safety vest, a snow shovel or dustpan, and a pail or yard waste bag. (A rolling pail could be deluxe if you have one.)

Clean only the surface of the storm drain grate and the area around it.

Never remove the grate or otherwise attempt to clean inside the catch basin.

If the drain seems to be plugged or have any problem, contact city staff and they will send workers to address the issue.

Safety first! There could be something sharp or otherwise harmful near the drain, so wear gloves to protect your hands and be careful when picking up leaves and trash. You might want to use a trash grabber to collect debris.

Consider wearing bright or reflective clothing when you are clearing the storm drain to make sure you are visible to cars. Do not stand or crouch on busy streets.

Busy streets.

It’s best to adopt drains on local residential streets. If you do adopt a drain on a street with lots of traffic, please stick to clearing trash and debris from the sidewalk and let city staff take care of the street and the surface of the storm drain.

Not just the drain. While the program asks you to adopt a drain, clearing debris from streets and sidewalks is helpful, since anything on pavement can wash into storm drains when it rains.

To dispose of waste, separate it into three categories and place it in the appropriate receptacle: trash, recyclables (glass and plastic bottles, cans) and compostables (leaves, grass clippings, sticks and sediment).

Sediment you collect in the spring is not compostable, as it contains chemical residue from deicers used over the winter. Put it in the trash. If there is a lot of spring sediment near your drain, you may want to let city street sweepers take care of it. Since many trash haulers do not want to take sediment, you could end up with a pail of toxic waste that’s difficult to get rid of. If there is A LOT of sediment near your drain, notify city staff, as this may be an indicator of a bigger problem.

2017 Implementation of Adopt-a-Drain in Saint Paul

Adopt-a-Drain engages residents in regularly clearing debris from storm drains and keeping the street clean, thereby preventing pollutants from entering storm drains and ending up in local waterways. A web-based application at adopt-adrain.org allows residents of Saint Paul to sign up to adopt a storm drain in their neighborhood and pledge to keep it free of pollutants.

In addition to reducing pollutants that flow into local lakes and streams, Adopt-a-Drain works to create new social norms around water-friendly behaviors by making commitments visible. Yard signs displayed by program participants provide social cues to neighbors that protecting water is the right, accepted thing to do for everyone in the city.

Individuals have the capacity to take action to protect and improve their neighborhoods and local water bodies.

Engaging in one action often expands their capacity for engagement, and thus a community’s capacity to engage in sustainability also increases.

Adopt-a-Drain Saint Paul is a collaborative project of Hamline University, the City of Saint Paul, Capitol Region Watershed District, and Ramsey Washington Metro Watershed District.

The Adopt-a-Drain program began in 2013, when Hamline University proposed the idea in a partner grant to Capitol Region Watershed District (CRWD). The idea was given support, and Hamline developed the web application in 2014. Hamline held focus groups, developed promotional materials and began pilot implementation in the Como Lake neighborhood in the fall of 2014, with funding from the City of Saint Paul. In 2015 and 2016, Hamline promoted Adopt-a-Drain with a neighborhood approach by hanging doorhangers in Como, Railroad Island, North End and Hamline-Midway neighborhoods.

Currently, implementation of the Adopt-a-Drain program continues with support from Saint Paul and CRWD. In 2017, we promoted the program with doorhangers in a portion of the Payne-Phalen neighborhood and around Phalen Lake. Ramsey Washington Metro Watershed District funded a Master Water Steward project promoting Adopt-a-Drain around Phalen Lake. The City of Saint Paul promoted the program with Facebook and Instagram ads in the spring and fall of this year.

Adopt-a-Drain Participation in Saint Paul Since the program began in 2014, 763 participants have adopted 1,222 storm drains in Saint Paul.

In 2017, 425 new participants joined the Adopt-a-Drain program and adopted 665 storm drains. 40 of these participants are in the Phalen Lake neighborhood.

The program more than doubled in 2017, rising from 345 participants to 763!

Adopt-a-Drain Participation by Neighborhood In 2017, we promoted in Payne-Phalen neighborhoods with doorhangers.

Due to more generalized promotion on social media, residents from all over Saint Paul signed up to adopt their storm drain.

We continue to see a strong interest from MacalesterGroveland and Highland neighborhoods despite no targeted promotion in those neighborhoods.

We have done doorhanging promotion in Como, North End, Hamline-Midway, and PaynePhalen, areas that, aside from Mac/Groveland, show the highest participation rates.

Promotion of Adopt-a-Drain, 2017 Phalen Lake Pilot: Master Water Stewards hung doorhangers on 750 homes around Lake Phalen on April 10, 2017. Roughly 20 people adopted storm drains around that time. Over the year, 40 people have adopted 69 storm drains in the area.

The Master Water Stewards exceeded their initial goal to have 10% of storm drains in the pilot area adopted (15 of 150 total). In the pilot area, over 30% of drains are now adopted.

The influence spread to the rest of the Lake Phalen watershed, with 12 new participants outside the targeted area.

The Master Water Stewards found this to be a very successful project and were able to educate over 100 individuals in their neighborhood about storm water management.

In addition to their promotional efforts, Master Water Stewards delivered yard signs to new participants around Phalen Lake. This worked well, however it is unclear how to proceed with new adoptions in this area now that their capstone project is over.

Promotion of Adopt-a-Drain, 2017 Spring Facebook campaign: The City of Saint Paul sponsored an Adopt-a-Drain ad on its Facebook page from March 30-April 27. During this time, 142 people adopted drains outside of the Payne-Phalen neighborhood.

Fall Facebook campaign: The City of Saint Paul ran another Adopt-a-Drain ad on its Facebook page and Instagram page from Oct 20-Nov 15. During this time, 30 people adopted storm drains.

Summary conclusions and questions This year, we reached our goal of 300* new adoptions for the year in July. We then raised our goal to 550 for the year; a goal we a did not meet. By the end of the year, 385* people had adopted drains in 2017 in Saint Paul. (*These numbers do not include the Phalen Lake Pilot. 40 additional people signed up as part of that pilot, implemented by Master Water Stewards in the RWMWD.) In 2017, we promoted the program on social media and with doorhangers. In spring, we partnered with Urban Roots to promote Adopt-a-Drain with door hangers in the PaynePhalen neighborhood. We also piloted Adopt-a-Drain in Ramsey Washington Metro Watershed District working with Master Water Stewards for their capstone project.

We had a great response to the Facebook ads in the spring, and decided to promote Adopt-a-Drain only via social media in the fall. The result was that far fewer people signed up to adopt drains than we anticipated. We don’t have any data to explain why the response fell short in the fall, however it may be that we had captured most everyone who follows Saint Paul’s Facebook page and was going to sign up for Adopt-a-Drain with the ads we ran in the spring.

The Payne-Phalen and Phalen Lake promotions are very near to each other, and had very different rates of adoption. 700 doorhangers were delivered in the Phalen Lake pilot, resulting in 40 people adopting. 3,000 doorhangers were delivered in the Payne-Phalen area, just blocks away, and only 20 people signed up. Further analysis would be required to determine the reason for this disparity.

This year, Macalaster-Groveland and Highland Park residents continued to adopt at a high rate. We also saw high rates of adoption from both neighborhoods last year.

Recommendations for 2018 1. We recommend continuing and expanding our efforts to promote Adopt-a-Drain, including: •

Continuing to run ads on social media

•

Returning to promotion of the program with doorhangers, especially in areas that show interest, such as the Macalaster-Groveland and Highland Park neighborhoods.

•

Continuing to investigate additional promotional strategies that fall within our budget.

(For example, Joe and Jana have ideas for short promotional videos that may be possible.)

2. As the yard sign seems to be one of the most effective ways of promoting the Adopt-aDrain program (see addendum), we recommend continuing to deliver yard signs to participants. As a cost-saving measure, when our current supply of signs runs out, we recommend a slight re-design to a two-color yard sign that can be screen-printed on a slightly thinner aluminum substrate. This would afford a savings of a few dollars per sign, while still giving us an attractive and durable sign that participants will continue to want to have in their yard long-term.

3. When our current supply of printed materials runs out, we recommend moving away from postcards to email and online reporting only. Though we are sad to see them go— we love getting hand-written reports with comments from program participants—the bulk of our reports come in via email. And, if we transition to a new website by next year, participants will have a user account that will allow them to easily record the debris they collect, and to see how it’s adding to the larger rolling total of debris collected by program participants. That said, we recommend printing an additional 500 postcards to take us to that time of transition.

Addendum: First steps in evaluation of Adopt-a-Drain In addition to the work Hamline is doing as part of the contract with Capitol Region WD and the city to implement Adopt-a-Drain in Saint Paul, Hamline has taken on the project of evaluating the current Adopt-a-Drain program with an eye to: 1) more effectively serve current participants of Adopt-a-Drain; and 2) understand how to modify and market the program to reach a broader audience, specifically in underrepresented communities in Saint Paul and across the metro area.

As a first step, we hired evaluators Vanessa Perry and Emma Ramsbottom of Lune LLC to create an online survey to send to Adopt-a-Drain participants in Saint Paul. The survey was vetted (and edited) by staff at both Capitol Region Watershed District and the City of Saint Paul before it was sent, via email, to all Adopt-a-Drain participants in June. The survey was open from June 26th until August 7, 2017; during that time 275 AAD participants responded, which amounts to 41% of all participants at that time. More than half of those that responded had just signed up for the program in spring, likely as a response to ads on Saint Paul’s Facebook page, and thus survey responses should be interpreted with that in mind. (Though responders were also roughly representative of neighborhood participation rates as cited above.)

Some highlights from the survey are shared below.

This answer is most likely influenced by the fact that half of the respondents had just signed up for the program in response to ads on Facebook.

Questions 4 & 8: Participants cited “protecting water resources” as the number one reason they signed up for the program, followed by “being involved in a community effort”. Similarly, they felt the primary benefits of the program were: “cleaner water” and “cleaner neighborhoods”.

Question 7: Participants reported clearing their drains an average of 3 - 4 times per season, and twice in the winter.

Question 9: Perhaps the most extensive question pertained to various water quality actions and whether participants were already engaged in these actions, had started doing these actions since signing up for Adopt-a-Drain, or would consider doing these actions in the future. Below is an attempt to summarize.

•

Roughly 35% of survey respondents reported that they were already clearing their drains before signing up for the program, the other 65% reported clearing their drains since signing up for the program.

•

42% of respondents reported having participated in a community clean-up before signing up for Adopt-a-Drain, 15% reported having done so since signing up, and roughly 55% said they would consider doing so in the future.

•

58% of survey respondents reported they were already sweeping streets and sidewalks before signing up for the program, 33% reported doing so since signing up for the program, and 26% said they would consider doing so in the future.

•

25% of survey respondents reported they had already installed a rain garden before signing up for the program, 8% reported doing so since signing up for the program, and 72% said they would consider doing so in the future.

•

68% of survey respondents reported they had already planted natives before signing up for the program, 12% reported doing so since signing up for the program, and 32% said they would consider doing so in the future.

76% of survey respondents reported they were already minimizing their use of salt and deicers before signing up for the program, 15% reported doing so since signing up for the program, and 22% said they would consider doing so in the future.

91% of survey respondents reported that they were already picking up after their pets before signing up for the program, 9% reported doing so since signing up for the program, and 13% said they would consider doing so in the future.

10% of survey respondents reported that they had already installed pervious pavement before signing up for the program, 3% reported doing so since signing up for the program, and 87% said they would consider doing so in the future.

•

33% of survey respondents reported that they had already talked to friends and neighbors about protecting water resources before signing up for the program, 38% reported doing so since signing up for the program, and 41% said they would consider doing so in the future.

•

18% of survey respondents reported that they were already participating in neighborhood environmental committees before signing up for the program, 6% reported doing so since signing up for the program, and 80% said they would consider doing so in the future. (Nearly half of respondents left this blank, however, signifying low interest in this action.)

•

11% of survey respondents reported that they were already participating in watershed district training programs before signing up for the program, 5% reported doing so since signing up for the program, and 85% said they would consider doing so in the future. (Nearly half of respondents left this blank, however, signifying low interest in this action.)

In addition to multiple choice questions, survey respondents were given the opportunity to write in suggestions for improving the program.

By far the most popular comment was that we need to do a better job of promoting the program.

(35 responses fell into this category. The next most popular category had 9 similar responses.)

Many people said things like: This program is great. I would have signed up a long time ago, had I known about it. You need to do a better job of getting the word out! (Not a direct quote.)

Several responses (8) were suggestions for the city: to start curbside collection of yard waste, to give participants a “credit” on their bills for city services in recognition of their efforts, to do more street sweeping, to design storm drains more effectively. A big one was a request that the city allow program participants to bring waste (especially sediment) to the city waste facility.

Currently, there is nothing residents can do with toxic sediment swept up in the spring: trash collectors won’t take it, it can’t be composted (because it’s toxic), and the city won’t let them drop it off at their waste sites. One of our take-aways was to start recommending to participants that they leave the spring layer of sediment to the street sweepers.

Several participants made comments about the reporting process: they wanted it simplified, they wanted it clarified, they wanted access to the data. Our take-away here was to continue to simplify the process, especially by giving people options on how to estimate their data, and by continuing to emphasize the fact that we are asking for an estimate. We will also continue and improve our efforts to share the summarized data with participants.

Finally, some respondents said they wanted to hear from us more often, and wanted better information from us on what they are supposed to be doing as a participant of Adopt-a-Drain, and how to do it safely and effectively. In response, as a start, we created a new printed insert that we send to new Adopt-a-Drain participants: Tips on how to clear your drain and be safe while doing it. We sent this electronically to existing participants as well.

We view this survey evaluation as a first step in taking a more in-depth look at the Adopt-a-Drain program. One shortcoming of this survey is that a we only heard from a self-selected group of Adopt-a-Drain participants. Nearly 60% of program participants did not respond to the survey, nor did we hear from people who received a door hanger or saw the ad on Facebook and didn’t sign up.

In 2018, we plan to continue and go deeper with the project of evaluating the Adopt-a-Drain program by: a) working to build a new Adopt-a-Drain website that will include many new improvements, and will open the program to participation by residents in the seven-county metro area; b) conducting an in-depth evaluation of the Adopt-a-Drain program in Minneapolis, in partnership with the Center for Changing Landscapes at the University of Minnesota, that will include qualitative interviews with residents from underrepresented communities, with an eye to understanding how to broaden participation in the Adopt-a-Drain program to new communities, and a mailed survey to Minneapolis residents who received a door hanger but did not sign up for the program; 3) working to develop and pilot an Adopt-a-Drain program for businesses in Minneapolis, a program which will become available to participation by businesses in Saint Paul and other cities as early as 2019.

We expect these efforts to have a positive impact on the Adopt-a-Drain program for residents of Saint Paul.

Stormwater treatment was met through construction of a filtration/infiltration basin at Pierce Butler. CRWD also helped fund some supplemental planting in this basin, a project of the Hamline-Midway Coalition and area neighbors. The project is complete, and the site is stable. No surety was collected for this public project.

Mr. Fossum reviewed that in 2015, the District completed a Mid-Term Watershed Management Plan Review.

Recommendation #10 was: The primary focus for management of Como Lake should remain on reducing watershed loading but a greater emphasis should be placed on in-lake management practices/techniques. The board approved a two-phased approach to developing an in-lake management plan for Como Lake; phase 1 – Water Quality Drivers Analysis, phase 2 – In Lake Management Plan Development. Phase 1 was completed in 2017 and the final report was reviewed and accepted by the Board at the December 20, 2017 meeting. The Board expressed support for CRWD staff to move forward with Phase 2.

Staff have drafted a RFQ that seeks a consultant for technical assistance to complete a comprehensive Como Lake Management Plan. The goal of the management plan is to develop strategies that will fully achieve the water quality goals for the lake. The consultant will be responsible for identifying strategies for both watershed and in-lake management using a holistic approach.

Approve General Obligation Bond Sale (Eleria)

Ms. Eleria reviewed the Board of Managers approved the budget and financing plan for the 595 Aldine Redevelopment Project and adopted a resolution for the sale of $10,000,000 general obligation bonds, series 2018A. Mr. Anhut from Ehlers and Associates presented the results of the bond sale and recommended a bid for acceptance by the Board of Managers. Seven bids were received. Northland Securities came in with the lowest bid. Closing will take place Feb. 15th, 2018. Funds will be wired at the closing.

Motion 18-007: Adopt resolution awarding the sale of CRWD General Obligation Bonds, Series 2018A for the 595 Aldine Redevelopment Project to Northland Securities.

Reider/Jones Unanimously approved Administrator Doneux explained that a site plan review will occur on January 30th. The Building Permit has also been submitted. The construction manager, JE Dunn, will begin soliciting bids on January 21st. The Board Managers will meet to review and approve the guaranteed maximum price on February 21st. Ms. Bromelkamp is working on a draft of the press release with Kennedy Consulting. Administrator Doneux reviewed a sign design to announce the new office and shared renderings of the building.

Unfinished Business A) Lauderdale Stormwater Update (Eleria)

Ms. Eleria provided an updated on the Lauderdale Stormwater. CRWD was not awarded a grant from the Clean Water Fund. Ms. Eleria and staff are still moving forward with the project design. The design should be complete by March.

B) Phalen Creek Daylighting Study Update (Fossum) Mr. Fossum requested to move discussion to February meeting. The CAC was not able to provide feedback at their December meeting.

C) Victoria Park Update (Fossum) Mr. Fossum shared that a grant has been issued to St. Paul Parks & Recreation Department for Victoria Park. A final report will be ready for presentation in February. The City of Saint Paul would like to present the report. A community group will also attend the meeting when the report is given to provide feedback and consolidate the consultants time.

Background Ramsey County Public Works (RCPW) has been conducting in-lake water quality testing on all Ramsey County lakes, including CRWD’s five District Lakes (Como, Crosby, Little Crosby, Loeb, McCarrons).

At each lake, water quality data is collected twice monthly from May-September. The data collected includes chemical, physical, and biological parameters that are measured along a depth profile at set sampling locations on each lake. The data is provided by RCPW to CRWD for analysis and reporting.

CRWD has provided financial support to RCPW for lake sampling services since 2005.

Following recommendations outlined in the 2014 Monitoring Program Review and the Como Lake Water Quality Drivers Analysis Study, CRWD has worked with RCPW to increase monthly monitoring of District lakes to include April and October sampling. This extension of the sampling season is intended to capture early- and late-season water chemistry fluctuations, which helps to inform in-lake processes. Also, this year (January-March 2018) RCPW will be collecting water quality data in Como Lake through the ice at two locations to document winter dissolved oxygen concentrations. These measurements will assist in estimating internal phosphorus loading rates in Como Lake.

Overview With assistance from the Ramsey County Attorney, RCPW has developed an annual cooperative agreement for all services related to CRWD Lake monitoring. This annual contract from RCPW is being proposed for all 2018 lake water quality sampling and requires approval. The estimated cost for 2018 Baseline (Exhibit C) and Extended Baseline (Exhibit D) sampling is $38,657.73.

Staff will review and recommend approval of the agreement and key elements with the Managers.

Agreement PUBW2018-01R

RAMSEY COUNTY AGREEMENT WITH THE CAPITOL REGION WATERSHED for 2018 LAKE MONITORING SERVICES This Agreement is between the Capitol Region Watershed District, a local special purpose unit of government (“Watershed”) and Ramsey County, a political subdivision of the State of Minnesota, ("County") for the testing of water quality, within the Watershed, within Ramsey County.

RECITALS 1. County is in possession of water quality testing facilities and capability.

2. Watershed desires County, upon request, to perform water quality testing on its behalf.

3. Watershed is willing to pay County costs and expenses for such tests.

4. All tests requested by Watershed will be within the Watershed’s boundaries and within Ramsey County.

AGREEMENT 1. Scope of Agreement 1.1. County will perform a water quality testing protocol for Watershed pursuant to the 2009 Ramsey County Lake Management Program Sampling Protocol (“Baseline Request”) at the locations and according to the parameters as listed in Exhibit A. Baseline testing will be performed eight times per year at each location between the dates of May 1st and September 30th.

1.2. Upon request, and subject to staffing or other limitations, County will perform Additional Testing as directed by the Watershed. Additional Testing will be performed within 2 weeks of receiving request.

1.3. Watershed has made a special request for an extended water quality testing protocol as identified in Exhibit D (“Extended Baseline Request”).

1.4. This agreement is limited to the services requested and provided between January 1, 2018 and December 31, 2018.

2. Water Quality Testing Services

2.1. County staff will collect samples, preserve and transport samples and perform water quality tests or otherwise arrange for testing in accordance with Section 3 herein.

2.2. All tests will be performed in accordance with accepted industry standards. The designated standards for each test is identified in Exhibit B. 2.3. Nothing herein is intended to transfer any statutory duties or responsibilities.

3. Sub-contracting for Testing Services 3.1. If the County is unable to perform the testing, County may sub-contract for the water quality testing to be performed by a qualified third-party.

3.2. Qualified sub-contractors will comply with industry standards and will be solicited in accordance with state law and County procedures. The County will maintain a list of qualified sub-contractors.

3.3. Prior to submitting a sample for testing to a qualified sub-contractor, County will obtain a quote for the procedure and specific number of samples, and will provide the specific quote and the identity of the contractor to Watershed. County will not proceed with testing until it receives written approval by the Watershed to proceed.

If Watershed does not provide approval, Watershed will continue to responsible for the Baseline Request Fee, as provided in Section 5.1.

4. Test Reports and Samples 4.1. County will deliver test reports to Watershed within 30 days of availability, or when otherwise requested.

4.2. Upon transmittal to Watershed, County is not responsible for maintaining a record of the sample, the test or its results.

4.3. County and Watershed shall be considered joint owners of the tests, and may use, share or distribute the same in any non-commercial manner. The samples will be disposed of at the County’s discretion.

5. Water Quality Test Fees 5.1. Except as provided in Section 5.2, County will perform the sampling, transportation, and testing for the Baseline Request and the Extended Baseline Request, if any, at a flat rate. The flat rate is based on the quantity of testing done in the previous year and the current year’s labor and testing rates, plus a pro rata portion of the County’s identified equipment costs. The flat rate for the current year is provided and itemized in Exhibit C.

5.2. The flat rate fee identified in Section 5.1 will be credited for any test performed by a sub-contractor pursuant to Section 3. The credit will be equal to the per sample cost identified in Exhibit B. 5.3. County will perform Additional Testing, as provided in Section 1.2, at the rate provided in Exhibit B or the rate quoted by the qualified sub-contractor, for any requested collection, transportation, or testing.

5.4. Watershed will reimburse County for any testing performed by qualified subcontractor at the rate charged, with no mark-up.

6. Payment Schedule 6.1. County will invoice for the Baseline Request, and any Extended Baseline Request, fees, less any credit, in November following the testing season.

6.2. County will invoice for any Additional Testing services in November, along with the invoice for the Section 6.1 fees.

6.3. County will invoice Watershed for any third-party costs as incurred.

6.4. Watershed will pay all invoices within 60 days of receipt.

7. The Watershed shall be responsible for ensuring County has access to the property listed in Exhibit A, and grants license over any property owned by the Watershed, as needed, to perform any services under this agreement.

8. The Watershed and County shall indemnify, defend, and hold each other harmless against any and all liability, losses, costs, damages, expenses, claims, or actions, including attorney’s fees, which the indemnified party, its officials, agents, or employees may hereafter sustain, incur, or be required to pay, arising out of or by reason of any act or omission of the indemnifying party, its officials, agents, or employees, in the execution, performance, or failure to adequately perform the indemnifying party’s obligation pursuant to this Agreement. Nothing in this Agreement shall constitute a waiver by the County or the Watershed of any statutory or common law immunities, liability limits, or exceptions on liability 9. County will maintain all records pertaining to fees or costs incurred in connection with the services for six years from the date of completion of the services. County agrees that any authorized Watershed representative or the state auditor may have access to and the right to examine, audit and copy any such records during normal business hours.

10. This Agreement shall remain in full force and effect until terminated by mutual agreement of the parties. Any amendment must be in writing.

2018 Professional Services Agreement between the Ramsey Conservation District and the Capitol Region Watershed District

A.

PARTIES

This Agreement is made and entered into by Ramsey Conservation District (RCD), and the Capitol Region Watershed District (CRWD).

B.

PURPOSE

WHEREAS, the CRWD has requested continued assistance from the RCD and WHEREAS, the RCD, through its publicly elected Board of Supervisors, is authorized to enter agreements to provide such assistance pursuant to MINN. STAT. §§ 103C.331, SUBD. 3 and 7 and 103D.335, subd. 21.

NOW, THEREFORE, the parties agree as follows: C.

TERM OF AGREEMENT

The term of this agreement shall be from the January 1 to December 31, 2018 unless extended or terminated as provided herein.

D.

SCOPE OF SERVICES

The RCD will perform all services and furnish and deliver work products generally described in Exhibit A, attached and made part of this agreement. Generally, these services include: BMP design and review, biovolume and lake surveys, and site visit consultation.

E.

COST

In full consideration for services under this agreement, the RCD shall charge the CRWD for the services described in Exhibit A on a time and material basis. This agreement is not to exceed a total of $90,000.

F.

PAYMENTS

The RCD shall invoice the CRWD on a quarterly basis. Payment is due in full to the RCD within 60 calendar days of invoice date.

G.

EQUAL EMPLOYMENT OPPORTUNITY- CIVIL RIGHTS

During the performance of this Agreement, the RCD agrees to the following: No person shall, on the grounds of race, color, religion, age, sex, disability, marital status, public assistance, criminal record, creed or national origin, be excluded from full employment rights in, be denied the benefits of, _________________________________________________________________________________________ 2018 CRWD/RCD Service Agreement Page 1

or be otherwise subjected to discrimination under any program, service, or activity under the provisions of and all applicable federal and state laws against discrimination including the Civil Rights Act of 1964.

H.

DATA PRIVACY

All data collected, created, received, maintained, or disseminated, or used for any purpose in the course of the RCD’s performance of the Agreement is governed by the Minnesota Government Data Practices Act, Minnesota 1984, Section 13.01, et seq. Or any other applicable state statutes and state rules adopted to implement the Act, as well as state statutes and federal regulations on data privacy. The RCD agrees to abide by these statutes, rules and regulations and as they may be amended.

I.

AUDITS, REPORTS, AND MONITORING PROCEDURES

The RCD will: 1.

Maintain records that reflect all revenues, cost incurred and services provided in the performance of the Agreement.

2.

Agree that the State Auditor, or legislative authority, or any of their duly authorized representatives at any time during normal business hours, and as often as they may deem reasonably necessary, shall have access to the rights to examine audit, excerpt, and transcribe any books, documents, papers, records, etc., and accounting procedures and practices of the RCD which are relevant to the contract.

J.

INDEMNITY

Each party shall indemnify, defend and hold harmless the other party, its officers, employees and agents, from any and all actions, costs, damages and liabilities of any nature to the degree they are the result of any action or inaction by the first party that is the basis for that party's liability in law or equity.

K.

INDEPENDENT CONTRACTOR

It is agreed that nothing herein contained is intended or should be construed in any manner as creating or establishing the relationship of co-partners between the parties hereto or as constituting the RCD as the agent, representative, or employee of CRWD for any purpose or in any manner whatsoever.

The RCD is to be and shall remain an independent contractor with respect to all services performed under this Agreement.

The RCD represents that it has, or will secure at its own expense, all personnel required in performing services under this Agreement. Any and all personnel of the RCD or other person, while engaged in the performance of any work or services required by the RCD under this Agreement, shall have no contractual relationship with the CRWD and shall not be considered employees of the CRWD.

L.

MODIFICATIONS

Any material alteration or variation shall be reduced to writing as an amendment and signed by the parties. Any alteration, modification, or variation deemed not to be material by written agreement of the RCD and the CRWD shall not require written approval.

M.

MERGER

It is understood and agreed that the entire agreement of the parties is contained here, except as modified during the term of the Agreement by a writing under Paragraph L. above concerning a non-material change, and that this contract supersedes oral agreements and negotiations between the parties relating to this subject matter. All items referred to in this contract are incorporated or attached and deemed to be part of the contract.

N.

TERMINATION

Either the RCD or the CRWD may terminate this Agreement with or without cause by giving the other party thirty (30) days written notice prior to the effective date of such termination. If either party terminates the agreement, the CRWD shall pay the RCD for services performed by the RCD up to the date of the notice of termination.

O.

OWNERSHIP OF DOCUMENTS AND INTELLECTUAL PROPERTY

All property of the CRWD and RCD used, acquired or created in the performance of work under this Agreement, including documents and records of any kind, shall remain the property of the CRWD and RCD. The CRWD and RCD shall have the sole right to use, sell, license, publish, or otherwise disseminate any product developed in whole or in part during the performance of work under this Agreement.

Background In February 2017, Ms. Bromelkamp met with staff to identify each program’s needs for a new website. A summary of staff feedback was presented to the Board and CAC in March 2017. This information, combined with staff research, informed development of a Request for Qualifications (RFQ). A Website Committee was formed to guide the selection process and convey program priorities throughout the design process. Zenman, located in Denver, Colorado, was selected by the Committee for the project. CRWD executed a contract with Zenman in October 2017 to develop a site map and content structure for the new website and a final scope of work for the remainder of the project.

Issues The next phase of development will begin with a Creative Kick-Off meeting to bring the team up-tospeed. The site map we co-developed will be the blue print for the new 48-page website. As part of the design process, Zenman will create full visual designs for the home page and two sub-pages as well as wireframes for the remaining pages. The draft designs will be presented to the board prior to being finalized. Additional features to note include testing prior to launch, Google Analytics to determine the site’s effectiveness at reaching CRWD’s Key Performance Indicators, regular security updates, and a blog connected to social media.

The total contract including the original ($7,500) and amendment 1 ($65,000) is $72,500. The two-phased approach was preferred by the Committee because it allowed for a deeper exploration of project goals with Zenman staff prior to creating a detailed scope and budget.

STRATEGIC RECOMMENDATIONS CREATIVE MEETING

CONTENT STRATEGY & DEVELOPMENT

Upon execution of this statement of work, a two hour creative meeting will be scheduled with CRWD key players and the Zenman project team. In this meeting we will review your completed pre-discovery questionnaire and then look at competitors along with favorite examples in order to get the creative juices flowing. We want to make sure everything is on the table and that no detail is missed once production begins.

Option 1: A Zenman writer will begin by interviewing the key players at CRWD in order to understand the tone and character of the company. CRWD will then be presented with a writing sample unique to their services and given the chance to provide feedback on the writing style (1 round). Once the writing style is identified, the writer will finish the content based on the sitemap and the client will have a chance to edit and refine (1 round) before placing into designs.

Option 2: Once the discovery meeting is completed, the Zenman project team will meet to create the information architecture (IA) of the website. This IA will provide a framework for CRWD to create the copy and insert into the GatherContent software. Once all content is submitted, the Zenman writer will then comb through the content and edit for marketing and SEO purposes.

STRATEGIC RECOMMENDATIONS 48 PAGE RESPONSIVE WEBSITE Zenman will design and develop a fully-customized responsive website for CRWD. This website will be fueled by the WordPress content management system, providing the CRWD marketing team with a straightforward and powerful tool to update and expand on key content, extending the CRWD story.

The new site will be uniquely designed in a responsive format with a very intentional and strategic UI/UX to showcase key content and product imagery in order to encourage engagement with the target audience.

We will take stock of the assets that have been created to date (photography, videos, white papers, and other key content) and consider how we can leverage these existing assets. During the initial kickoff meeting we dig deep into the information architecture and determine how to thoughtfully and strategically direct users to the content (product info/recipe/etc).

An overall brand story is discussed throughout the discovery meeting, which yields key content needs and an intentional content strategy (copy/photography/ videography/white papers/downloads/etc.), which then informs the overall framework for design of how that content is displayed on the site.

User Experience The resulting responsive design is intuitive and thoughtful of modern user behavior, intentional in both informing the audience and encouraging engagement with the brand. Navigating the site will be intuitive and presented in the most natural way possible, driving interaction and promoting conversion of site visitors into buyers and clients.

Data Insights Today’s websites are more than brand storytelling platforms. They are business tools, providing invaluable insights into what is important to your target audience.

Google Analytics is used to track web traffic and user behavior, providing information about the effectiveness of the website. The CRWD website will serve as a data insight dashboard, showing critical information about the effectiveness of various digital marketing initiatives, allowing CRWD to refine and optimize where marketing dollars are spent.

Background The mission of the Ramsey County GIS User Group is to share, develop and promote GIS data and technology collaboratively throughout Ramsey County for the benefit of its citizens, local communities, government agencies, and business partners. The group is made up of 21 members including Ramsey County, cities, watershed districts, and other government organizations. Meetings are held approximately six times each year where the group reviews new technological advances in GIS technology and collaborates on collecting new information such as updated aerial photography.

Issues The Ramsey County GIS User Group is governed by a Joint Powers Agreement (JPA) approved by all members and renewed every three years. The previous agreement expired at the end of 2017. The new enclosed JPA and annual fee structure are unchanged from the previous JPA approved in 2015. CRWD’s fee for 2018 will be $1,705.97. Since CRWD is entirely within Ramsey County, and the data made available through the group supports its work, staff recommend CRWD continue to be an active member of the GIS User Group.

Requested Action Approve the 2018-2020 Ramsey County GIS User Group Joint Powers Agreement and fee structure and authorize the Board President and District Administrator to execute the agreement.

JOINT POWERS AGREEMENT AMONG MEMBERS OF THE RAMSEY COUNTY GEOGRAPHIC INFORMATION SYSTEMS USERS GROUP

This JOINT POWERS AGREEMENT (“Agreement”) is entered into pursuant to the provisions of Minn. Stat. §471.59 among Governmental Units for the purposes of forming the Ramsey County Geographic Information System Users Group (“Users Group”).

ARTICLE I. INTENT OF THIS AGREEMENT In 1995, an informal alliance, known as the Ramsey County Geographic Information System Users Group (“Users Group”), was formed among Governmental Units interested in using Geographic Information Systems (GIS) and data created and maintained by Ramsey County. This agreement is intended to establish and enable the Users Group to represent the parties to this Agreement for the purposes of undertaking negotiations and transactions.

ARTICLE II. DEFINITIONS Section 1. Members means those Governmental Units that have executed this Joint Powers Agreement and have paid the annual membership dues as provided in Article X. Section 2. Governmental Unit has the meaning set forth in Minnesota Statutes §471.59.

Section 3. Users Group means a group made up of one representative of each Member with the powers and responsibilities described in this Agreement.

ARTICLE III. GIS BOARD OF DIRECTORS STRUCTURE Section 1. There is hereby created a GIS Board of Directors (Board).

Section 2. Each Member shall appoint one person to serve as a Director. Each Member may also appoint a person to serve as an Alternate Director. Members shall notify the Board in writing if the Director or Alternate Director changes.

Section 3. The Board shall have the following officers: a Chair, Vice Chair, Secretary, and Treasurer (Officers).

Section 4 The Officers will be elected annually by the Board.

Section 5. The Officers shall serve on a voluntary basis without pay.

Section 6. A quorum will consist of at least 40% of the full membership of the Board, whether or not all vacancies have been filled.

Section 7. Decisions of the Board will be made by a majority of the quorum.

ARTICLE IV. DUTIES OF THE GIS BOARD OF DIRECTORS Section 1. The Board shall meet at least two times per year.

Section 2. The Board shall conduct an organizational meeting no later than 30 days after the effective date of this Agreement.

The organizational meeting shall include: the election of officers; the adoption of by-laws and other procedures governing the conduct of its meetings and its business as it deems appropriate; the adoption of the Users Group Budget; review of the operating procedures within this Agreement.

Section 3. The Board shall approve and adopt the formula for the distribution of Ramsey County GIS data and the funding of special projects. This formula shall be reviewed annually by the Board.

Section 4. The Board shall arrange for and facilitate regular meetings of the Users Group and for Users Group activities.

Section 5. The Chair presides at Users Group meetings. The Vice Chair will preside in the absence of the Chair. The Secretary is responsible for recording the proceedings of the Board and communicating these proceedings to all Member organizations.

The Treasurer is responsible for the funds and financial records of the Board.

Section 6. The Chair and the Treasurer must sign vouchers or orders disbursing funds of the Users Group. Disbursement will be made in the method prescribed by law for statutory cities.

Section 7. The Board may take such actions as it deems necessary and convenient to accomplish the general purposes of this Agreement.

Section 8.The Board shall purchase liability insurance on behalf of the Users Group to insure against liability of the Users Group and its constituent Members.

Section 9. The Board may: (i) Enter into contracts to carry out its powers and duties, in full compliance with any competitive bidding requirements imposed by State or local law; (ii) Provide for the prosecution, defense, or other participation in proceedings at law or in equity in which it may have an interest; (iii) Employ such persons as it deems necessary on a part-time, full-time, or consultancy basis; (iv) Purchase, hold, or dispose of real and personal property; (v) Contract for space, commodities or personal services with a Member or group of Members; (vi) Accept gifts, apply for and use grants or loans of money or other property from the state, the United States of America, and from other government units and may enter into agreements in connection therewith and hold, use and dispose of such money or property in accordance with the terms of the gift, grant, loan or agreement relating thereto; (vii) Appoint a fiscal agent.

ARTICLE V. NEW MEMBERS Section 1. Any Governmental Unit that is not a party to the initial Agreement may join as a Member at any time.

Section 2. To become a Member, a local unit of government shall adopt a resolution and shall sign this Joint Powers Agreement.

Section 3. New Members will pay the current one-time membership fee and the annual membership dues for the year in which the new Member is joining, as set by the Board pursuant to Article IV, Section 3, as calculated by the current formula. Fees will not be pro-rated for new Members who join after January 1 of each year.

ARTICLE VI. GIS DATA TO BE SUPPLIED BY RAMSEY COUNTY Section 1. It is the intent of this Agreement that the Users Group will negotiate an agreement with Ramsey County for the County GIS Data. Components will include the collection of aerial photography and maintenance of digital physical features derived from aerial photography.

Section 2. The GIS Data should consist of the following components generated and maintained by the County: (i) The Ramsey County Digital Base Map; (ii) The Ramsey County Attribute Database; (iii) The Physical Features Data.

Section 3. The Board shall determine whether it is satisfied with the content, accuracy, and timeliness of the data provided to Ramsey County.

ARTICLE VII. GIS DATA TO BE EXCHANGED AS PART OF THIS AGREEMENT Section 1. Members agree to exchange any GIS data with Ramsey County and with any requesting Member for the requesting party’s own use where that GIS data has been in some way derived and/or developed from the County GIS Data accessed through this Agreement or future agreements between the Users Group and Ramsey County. Members agree to exchange with Ramsey County and with any other Member any attribute data that it has created and maintained where that data can be associated to a parcel using a parcel identifier. Members also agree to exchange any building permit data requested by Ramsey County for the identification of future physical feature data base updates.

Section 2. The Board will negotiate with Ramsey County on behalf of the Members in all matters deemed necessary relating to supply of GIS data generated by a Member.

ARTICLE VIII. DATA ACCESS AND USAGE Section 1. All Members shall have equal rights to access Ramsey County GIS Data.

Section 2. Data generated by Ramsey County and provided to Members may not be sold in its original form to third party agencies. However, a Member may allow use of the original data by a third party for specific contracted purposes.

Section 3. Data which results from enhancement of Ramsey County GIS Data by a Member, received pursuant to this Agreement, may be made available to a third party.

Section 4. All Members will adhere to future Users Group license agreements for County or other agency GIS data.

ARTICLE IX. DATA SECURITY All Members agree to abide by the data privacy and data security standards of the Member when using Ramsey County GIS Data or any derivative or enhancement of the data.

ARTICLE X. FINANCIAL MATTERS Section 1. The fiscal year of the Users Group is the calendar year.

Section 2. The Board shall adopt an initial budget and must thereafter adopt an annual budget prior to July 1 of each year for each succeeding year. The Board will give an opportunity to each Member to comment or object to the proposed budget before adoption. Notice of the adopted budget must be mailed promptly thereafter to the chief administrative officer of each Member.

Section 3. Operational costs shall be shared according to a method agreed upon by majority decision of the Board of Directors. The costs could be met by membership dues. These costs could include Users Group administrative costs, purchase of liability insurance, and others as appropriate.

Section 4. Membership Fee: New Members shall pay a one-time membership fee of $500 to the Users Group for the calendar year in which they are accepted into the User Group. The amount of this fee shall be reviewed and set annually by the Board of Directors for new Members.

Section 5. Annual Membership Dues: Members shall commit to payment of Annual Membership Dues, except where limited by State Statutes.

Section 6. Special Projects Assessments: Members who wish to enter into special projects and consultations shall present proposals to the Board for review. Examples of special projects could be cooperative training or consortium purchase of software. Upon approval by the Board, those Members who are part of the project will be assessed to meet the cost of the project.

Section 7. Billings to the Members are due and payable no later than 60 days after the receipt of the invoice. In the event of a dispute as to the amount of a billing, a Member must nevertheless make payment as billed to preserve membership status.

The Member may make payment subject to its right to dispute the bill and exercise any remedies available to it. Failure to pay a billing within 60 days results in suspension of voting privileges of the Member Director. Failure to pay a billing within 120 days is grounds for termination of membership, but the Users Group’s right to receive payment survives termination of membership.

ARTICLE XI. TERM Section 1. The Term of this Agreement is January 1, 2018, through December 31, 2020.

Section 2. Based on the annual review of the operating procedures within the Agreement conducted by the Board, a new Agreement will be developed and circulated at least three months prior to December 31, 2020 and be agreed upon and signed on or before December 31, 2020.

ARTICLE XII. TERMINATION Each Member shall have the right to terminate its membership and participation in the Users Group by formal resolution of the Member’s organization and communicated to the Board in writing. However, the Member is still obligated to its financial commitments for the year during which termination of membership occurs.

These commitments include: (i) Any balance of the Annual Membership Dues. This commitment applies to all Members; (ii) Any balance owing on Special Projects Assessments. This commitment applies to Members which have entered into any special project agreement(s).

Termination of membership prior to expiration of the Agreement shall make the Governmental Unit ineligible to re-join the User Group during the Term of this Agreement.

ARTICLE XIII. DISSOLUTION Section 1. The Users Group may be dissolved by a two-thirds vote of its Members in good standing. Dissolution is mandatory when the Secretary has received certified copies of resolutions adopted by the governing bodies of the required number of Members requesting dissolution.

Section 2. In the event of a dissolution, the Board must determine the measures necessary to effect the dissolution and must provide for the taking of such measures as promptly as circumstances permit, subject to the provisions of this Agreement and law.

Section 3. In the event of dissolution, following the payment of all outstanding obligations, assets of the Users Group will be distributed among the then existing Members in direct proportion to their cumulative annual contributions. If those obligations exceed the assets of the Users Group, the net deficit of the Users Group will be charged to and paid by the then existing Members in direct proportion to their cumulative annual contributions.

ARTICLE XIV. ACCESS TO DOCUMENTS Until the expiration of six years after this Agreement terminates, the Users Group shall make available to the Member organizations and to the State Auditor, a copy of this Agreement and books, documents, accounting procedures and practices of the Users Group relating to this Agreement.

ARTICLE XV. HOLD HARMLESS Section 1. Each Member agrees to defend, indemnify, and hold the other Members harmless from any claims, demands, actions or causes of action, including reasonable attorney’s fees, against or incurred by such other Members, for injury to, death of, or damage to the property of any third person or persons, arising out of any act or omission on the part of the indemnifying Member or any of its agents, servants or employees in the performance of or with relation to any of the work or services provided by Members under the terms of this Agreement.

Section 2. Nothing in this Agreement shall constitute a waiver by any Member, the Users Group of any limitation of liability under Minnesota Statutes Chapter 466, or other statutory or common law immunities, limits, or exceptions on liability.

Section3. Under no circumstances, however, shall a Member be required to pay on behalf of itself and other Members, any amounts in excess of the limits on liability established in Minnesota Statutes Chapter 466 applicable to any one Member. The limits of liability for some or all of the Members may not be added together to determine the maximum amount of liability for any Member.

ARTICLE XVI. EQUAL EMPLOYMENT OPPORTUNITY The Members and the Users Group agree to comply with all federal, state, and local laws, resolutions, ordinances, rules, regulations, and executive orders pertaining to unlawful discrimination on account of race, color, creed, religion, national origin, sex, sexual preference, marital status, status with regard to public assistance, disability, or age.

ARTICLE XVII. DATA PRACTICES Section 1. All data collected, created, received, maintained, or disseminated for any purpose in the course of either the Member’s or the Users Group’s performance of this Agreement is governed by the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, and rules adopted to implement the Act. Section 2. The Members and the Users Group agree to abide strictly by these statutes, rules, and regulations.
