President Joe Collins opened the meeting at 6:00 p.m. and asked for any additions or changes to the agenda. No changes were made.

Manager Reider shared that she will not be able to attend the July 20th Board of Managers Meeting.

President Collins will not be able to attend as well.

Permit Applications and Program Updates A)

Permit #15-019, Northern Salt- Permit Closure

Ms. Hosch reviewed Permit #15-019. This permit was issued to applicant Northern Salt for building demolition, replacement building and rail road spur construction at this industrial facility. One

underground infiltration system was constructed, function verified by as-built review and onsite inspection. The site is stable and surety is available for return.

Manager Texer asked about excess chloride runoff from the site. Ms. Hosch replied that the site is covered and runoff has been greatly reduced.

Motion 16-169: Approve Certificate of Completion and $11,500 surety return for permit #15-019, Northern Salt.

Permit Program/Rules Update

Ms. Hosch had no update for permit program and rules. Manager Jones inquired about the demolition work taking place near Northern Salt. Ms. Hosch replied that Mr. Kelley is working with the City of St. Paul regarding permit requirements.

IV.

Special Reports – CRWD History Study, Pat Cavanaugh, CAC

Ms. Cavanaugh shared with the Board of Managers how she saw a need to document CRWD history.

After discussions with Administrator Doneux, Ms. Cavanaugh has a drafted work plan to develop a history of CRWD. The history would specifically focus on three eras; the pre-watershed distric (WMO); the formation period; and the period before paid staff (1998-2003).

Ms. Cavanaugh identified a Minnesota Historical and Cultural Heritage Grant that could be applied for this project from the Minnesota Historical Society. The first phase of the project would be to conduct an oral history (interviews). This first phase is estimated to cost $10,000 and would require a $500 match from CRWD. Future phases would include research and writing as well as interpretive programs and public education.

At the June 15th Board meeting the Managers authorized the Administrator to apply for a $10,000 Historical and Cultural Heritage Grant for an Oral History project and commit $500 in matching funds.

AR:

Authorize Bidding for the Willow Reserve Restoration Project (Zwonitzer)

Administrator Doneux, in place of Mr. Zwonitzer, reviewed for the Board of Managers that Saint Paul and District 6 Planning Council developed the ecological restoration plan for Willow Reserve to guide partner efforts to achieve the following goals: restore ecological integrity, maximize urban wildlife, increase native vegetative species diversity, improve pond water quality and maintain the reserve’s natural and passive setting.

CRWD staff estimates that the total cost of the Willow Reserve Project will be $190,000 spanning roughly three years (2016-2019). This is $20,000 more than the estimate in the restoration plan due to a higher number of trees identified for removal. Staff will continue to pursue grant opportunities, but currently the entire restoration cost will be CRWD’s responsibility, with the likely exception of approximately $9,000 for tree removal around infrastructure that was requested by Public Works.

Manager Jones inquired about trees being removed and harvested for other uses. Administrator Doneux replied that Applied Ecological Services has been marking and taking inventory of the trees for removal.

Administrator Doneux commented that eligible trees for harvesting could be added to a list so they can be recovered later for reuse.

Motion 16-172: Authorize solicitation of bids for the Willow Reserve Restoration Project subject to the review and approval of the contract documents by the Ramsey County Attorney.

Approve Consultant Selection for Como Lake In Lake Study Phase I (Fossum)

Mr. Fossum reviewed for the Board of Managers that in 2015, the District completed a Mid-Term Watershed Management Plan Review. Recommendation #10 was: The primary focus for management of Como Lake should remain on reducing watershed loading but a greater emphasis should be placed on in-lake management practices/techniques.

Staff envisions a two phased approach to develop and In-Lake Management Plan for Como Lake: Phase 1—Water Quality Drivers Analysis Phase 2—In-Lake Management Plan Development Phase 1 would be largely a technical effort that would rely on expert evaluation of all in-lake data. At the June 1st Board Meeting, the Managers approved distribution of Request for Qualifications for Como Lake In-Lake Study Phase I. Phase 2 will include development of an in-lake management plan and would have significant community and agency input processes and would occur after Phase 1 is completed.

Staff solicited and reviewed Statements of Qualifications (SOQs) from: Barr Engineering, LimnoTech, Wenck Associates. A review committee of City Staff (Wes Saunders-Pearce) and District Staff (Britta Suppes, Bob Fossum) met to review the SOQ’s and develop a recommended firm. The committee felt Limno Tech had a clear understanding of the plan.

Motion 16-173: Approve the selection of LimnoTech for the Como Lake In-Lake Study Phase I. Texer/Jones Unanimously approved Motion 16-174: Authorize staff to negotiate a detailed scope and budget with LimnoTech for the Como Lake In-Lake Study Phase I for subsequent contract approval by the Board of Managers.

Approve Execution of Targeted Watershed Grant Agreement (Zwonitzer)

Administrator Doneux shared with the Board of Managers that the Minnesota Board of Water and Soil Resources (BWSR) has awarded CRWD $1.76 million in Targeted Watershed grant funds for the Urban Lake Renewal project. Grant funds were awarded to treat stormwater in the Como Lake and Lake McCarrons subwatersheds. In August CRWD will received 50% of the funds upfront.

CRWD staff are working with BWSR representatives to develop a work plan for the project. It is anticipated that the work plan will be completed and approved by BWSR by July 15th. The work plan (draft enclosed) will be referenced in the attached agreement between CRWD and BWSR for the grant funds. Once the agreement has been fully executed by CRWD and BWSR, expenses for the project will be eligible for grant funds.

Manager Texer noted that the address listed on the grant agreement is incorrect.

Motion 16-175: Approve work plan for the Urban Lake Renewal Targeted Watershed grant project.

Reider/Texer Unanimously approved Motion 16-176: Approve Clean Water Fund grant agreement, authorize the Administrator to be the Grantee’s Authorized Representative, and authorize the Administrator to execute the agreement, subject to the review and approval of the Ramsey County Attorney.

Motion 16-177: Approve acceptance of Targeted Watershed grant funds totaling $1.76 million for the Urban Lake Renewal project.

Managers discussed setting a date for the budget workshop. Managers agreed to meet on Tuesday, August 2nd, 2016 at 5:00.

Unfinished Business A) FI: McMurray Transportation and Field Improvements Update (Kelley)

Administrator Doneux provided an update on the McMurray Transportation and Field Improvements.

The project is currently out for bid by the City of St. Paul.

B) FI: Snelling Midway Redevelopment Site Update (Eleria) Administrator Doneux provided an update on the Snelling Midway Redevelopment Site for the Board of Managers. Staff recommends support of a district wide stormwater management approach and a water feature. SRF is preparing examples for the ownership group to help vision the size of the water feature.

Manager Texer asked about the status of the former Ford site. Mr. Fossum replied that there is not a lot of new information available. The site has some contamination issues that are still being addressed.

Administrator’s Report (Doneux)

Administrator Doneux reviewed the June 2016 Administrator’s Report. Belinda Gardner started on June 6, 2016 as the new Administrative Assistant. Jessica Bromelkamp started on July 5, 2016 as the new Communications and Outreach Specialist.

A draft of the purchase agreement will be reviewed at the July 20, 2016 Board of Managers Meeting.

President Collins and Manager Reider will not be able to attend. Administrator Doneux encouraged the Managers to share any feedback about the purchase agreement. Attorney Mogen stated that purchase agreement reflects terms that have already been discussed.

Administrator Doneux shared an update on the diversity plan. Requests for qualifications were submitted to 5 groups. He stated he will set a time for the committee to review the two statements of qualifications that have been submitted. Administrator Doneux will send out an email to the committee to meet and review.

The Friends of the Parks and Trails of St. Paul and Ramsey County presented a Public Service Award to CRWD for work at the Trout Brook Nature Sanctuary. Ms. Schwantes and Mr. Fossum attended the ceremony to accept the award.

Background In August 2014, the Board received an update about a partnership developed with Ramsey Washington Metro Watershed District (RWMWD) and Mississippi Watershed Management Organization (MWMO) to hire a communications firm to share costs, reduce replication of communications efforts, and improve effectiveness of outreach programs. Fourth Sector Consulting and Cathryn Kennedy Consulting were selected. The Board approved a Memorandum of Understanding with RWMWD to manage the contract, in the amount of $13,242, with Fourth Sector Consulting.

In April 2015, CRWD staff provided detailed program and project descriptions for Fourth Sector Consulting including a tour of key projects. Staff also worked with the consultant team to establish interview questions to inform development of the Strategic Communications Plan. During interviews, key partners and staff were asked to identify three primary audiences, goals for the upcoming year, and effective communications strategies and tactics. The consulting team incorporated findings from CRWD’s communications research including the Community Capacity Study, completed a materials audit, and compared current practices to similar campaigns state and nationwide. The Strategic Communications Plan was completed in December 2015.

Issues One of the primary recommendations of the Strategic Communications Plan was for CRWD to develop a Crisis Communications Plan. The action plan will include four scenarios, recommended steps, and sample statements including web copy, email alerts, and social media posts. A minimum of two spokespeople from CRWD will attend a training to prepare for numerous media situations related to each of the four scenarios. The two spokespeople will be videotaped and critiqued as part of the training. They will also receive tips for future interviews. Consultant Cathy Kennedy recommends that each organization send the highest executive, communications specialist, and a technical expert. Administrator Doneux is planning to attend with Communications and Outreach Specialist, Jessica Bromelkamp, as well as the three Division Managers. Staff is also seeking participation from two Board members in the training.

Thank you so much for your interest in working with Cathryn Kennedy Consulting, Ltd. on a Crisis Communications Planning and Media Relations Training project. We understand that this would be a joint initiative serving three entities: Ramsey Washington Metro Watershed District, Capitol Region Watershed District and Mississippi Watershed Management Organization.

Below is our suggested Scope of Work, outlining how we would plan to work with you to achieve your goals of preparedness for potential crisis communications situations and resulting media relations interviews.

We envision this process having two main components: I.

Crisis Communications Plan. a. Development of potential scenarios. Based on information gathered during the joint watershed communications planning process, we will develop three crisis scenarios, covering a range of incidents. These will include: i. Pollution spill threatening watershed surface waters and potential drinking water sources. ii. Community controversy over watershed board action, such as property tax increase or denial of construction permit. iii. Watershed staff personnel scandal or workplace death. iv. Additional scenarios can be added, but these case studies should provide the basis for most types of crises. b. Draft action plan and sample statements/web copy/email alerts/social media posts for each scenario. c. Create a call-­‐down list notification chart, including cross-­‐watershed district collaboration that would be used in every crisis situation

d. Complete crisis communications training manual for all three organizations. These materials would be delivered via Word and PDF format for online filing and easy updating as needed.

II.

Spokesperson/Media Trainings. a. Selection of two spokespersons per watershed district – Ideally, two individuals from each watershed should be identified as spokespersons in the event of a crisis. In the proposed half-­‐day training session, each of these six individuals will participate in video-­‐taped interviews for critique. We can accommodate more individuals by either a) having them attend the session, but not be interviewed and video-­‐taped; or b) expanding to a full-­‐day session.

• These watershed leaders will participate in a spokesperson training to ensure that they have the skills necessary to serve as a spokesperson in numerous media engagement situations (e.g. TV interviews, radio interviews, print reporting interviews, etc.). b. The lead trainer for the media coaching session will be my colleague, Mary Milla, who has a business specializing in presentation and media coaching. She has agreed to conduct the video-­‐taped interview joint watershed training sessions at a special not-­‐for-­‐profit rate. See her website for more information at marymilla.com. c. Creation of personalized training notes/homework for each spokesperson, receiving the video-­‐taping critique.

Background The Master Water Stewards program, which is modeled after University of Minnesota Extension’s Master Gardener certification program started in 2012 as a partnership between the Freshwater Society and Minnehaha Creek Watershed District (MCWD) with funding through a Clean Water Land and Legacy grant.

The program trains, certifies and supports community leaders to install pollution prevention projects that educate community members and reduce polluted runoff. After a three-year pilot at MCWD, in 2015 Freshwater Society developed a plan to expanded the program to other Metro-area partners.

In 2015 the Board approved a partnership with Freshwater Society for one round of Master Water Stewards starting in January 2016 and agreed to revisit our participation moving forward. CRWD currently has eight Master Water Stewards who completed the training and are working on their capstone projects which include an in-ground BMP through our Stewardship Grants and an education and outreach project. The current Master Water Stewards had their last course meeting with all metro participants on Tuesday July 12. Staff will continue to work with the four teams to complete their capstone projects through the summer and fall.

Freshwater Society and other program partners recommended moving the start date of training from January to October. The schedule change allows stewards to complete the course work from October through April and have time to plan their BMP and outreach project in the spring and summer allowing more time for design and construction.

Update Staff provided an update to the Board at the May 4, 2016 meeting and requested feedback on participating in another round of Master Water Stewards to start in October 2016. The Board supported hosting another group of CRWD Master Water Stewards. Staff recommend that CRWD host up to 12 Master Water Stewards for the Fall 2016 – Spring 2017 program at a cost of $2,500 per steward.

CAPITOL REGION WATERSHED DISTRICT CONSULTANT SERVICES AGREEMENT The following is an agreement between Freshwater Society, a Minnesota nonprofit corporation ("PROGRAM SERVICES PROVIDER") and Capitol Region Watershed District (“DISTRICT”).

1. Scope of Services Both parties shall provide the services specified in ADDENDUM I, Scope of Work. A Proposal for a Master Water Stewards Program Partnership is attached hereto and made a part of this Agreement.

2. Time The services will be delivered by both parties in the form specified in ADDENDUM I between September 1, 2016 and April 2017.

3. Payment DISTRICT agrees to pay $2,500.00 per Steward recruited for 12 Stewards and not to exceed cost of $30,000.00. PROGRAM SERVICES PROVIDER will invoice for payment on or after April 24, 2017, and payment will be made within 45 days of receipt of a detailed invoice and approval by the DISTRICT Board of Managers. Interest accrual and disputes regarding payment shall be governed by the provision of Minn. Stat. Section 471.425.

4. Independent Contractor Status It is agreed that nothing contained in this Agreement is intended or should be construed as creating the relationship of agents, joint venturers, or associates between the parties hereto or as constituting PROGRAM SERVICES PROVIDER as the employee of the DISTRICT for any purpose or in any manner whatsoever. The PROGRAM SERVICES PROVIDER is independent and neither it, its employees, agents nor representatives are employees of the DISTRICT. From any amounts due the PROGRAM SERVICES PROVIDER, there will be no deductions for federal income tax or FICA payments, nor for any state income tax, nor for any other purposes which are associated with an employer-employee relationship unless required by law. Payment of federal income tax, FICA payments, and state income tax are the responsibility of the PROGRAM SERVICES PROVIDER. 5. Indemnification PROGRAM SERVICES PROVIDER shall indemnify, hold harmless and defend the DISTRICT, its officials and employees against any and all liability, loss, costs, damages, expenses, claims or actions, including attorney's fees, which the DISTRICT, its officials or employees may hereafter sustain, incur or be required to pay, arising out of or by reason of any act or omission of PROGRAM SERVICES PROVIDER, its agents or employees, in the execution, performance, or failure to adequately perform PROGRAM SERVICES PROVIDER's obligations pursuant to this Contract.

6. Insurance The PROGRAM SERVICES PROVIDER shall purchase and maintain such insurance as will protect the PROGRAM SERVICES PROVIDER from claims which may arise out of or result from operations of the PROGRAM SERVICES PROVIDER including but not limited to the following: General Liability – A minimum of $1,500,000 per occurrence and $1,500,000 aggregate. Such coverage shall include contractual liability insurance either specifically naming this agreement, or on a blanket basis the DISTRICT, its officials, and its employees shall be named as additional 1

insured, with a cross-suits endorsement in favor of the DISTRICT. Auto Liability - $1,500,000 per occurrence and $1,500,000 aggregate. Require “hired and owned” and “hired and non-owned” auto insurance.

Workers Compensation - As required by MN statute.

Professional Liability – A minimum of $1,500,000 per claim and $1,500,000 aggregate. The PROGRAM SERVICES PROVIDER will need to evidence continuation of this insurance at the required limits for at least five years after the project is completed.

The PROGRAM SERVICES PROVIDER shall not commence work until the PROGRAM SERVICES PROVIDER has obtained and filed an acceptable certificate of insurance with the DISTRICT. 7. Conflicts of Interest PROGRAM SERVICES PROVIDER shall inform its clients about any potential conflicts created by this Agreement. PROGRAM SERVICES PROVIDER shall immediately discuss with the DISTRICT any current or new obligations, which may directly conflict with the firm’s ongoing work under its agreement for consulting services with DISTRICT. 8. Audits and Record Keeping PROGRAM SERVICES PROVIDER shall maintain for at least six (6) years all books, records, documents and other evidence directly related to the performance of this Agreement in accordance with general accepted accounting principles and practices of governmental entities. Upon request and reasonable notice, PROGRAM SERVICES PROVIDER shall permit the DISTRICT to examine and copy the books, records, documents, and other evidence maintained by PROGRAM SERVICES PROVIDER. 9. Termination DISTRICT and PROGRAM SERVICES PROVIDER shall each have the right to terminate its participation in this agreement at any time without cause upon thirty (30) days written notice to the other party. In the event the DISTRIRCT terminates the agreement, the DISTRICT will pay the costs of the services satisfactorily performed prior to the date of termination, as determined by the DISTRICT. DISTRICT shall have the right to receive, use, and (subject to the provisions of the Minnesota Date Practices Act) distribute copies of all materials, work products, reports and documents prepared by PROGRAM SERVICES PROVIDER, pursuant to the agreement with DISTRICT, if such materials, work products, reports and documents were prepared prior to the termination of this Agreement. If, in the event the PROGRAM SERVICES PROVIDER elects to terminate its participation in this agreement, the DISTRICT may enter into another agreement with another service provider and will negotiate a new payment formula for the balance of the projects costs.

10. Merger Agreement It is understood and agreed that the entire Agreement between the Parties is contained herein and that this Agreement supercedes all oral agreements and negotiations between the Parties relating to the subject matter hereof. All items in this Agreement, which are incorporated or attached, are deemed part of the Agreement. Any alterations, variations, modifications or waivers of provisions of this Agreement shall only be valid when they have been reduced to writing as an amendment to this Agreement and signed by the Parties.

11. Governing Law This Agreement shall be governed by and construed according to the laws of the State of Minnesota.

Venue shall be in the state and federal courts of Minnesota.

12. Amendments, Waiver and Contract Complete 12.1 Amendments. Any amendment to this agreement must be in writing and will not be effective until it has been executed and approved by the same parties who executed and approved the original agreement, or their successors in office.

12.2 Waiver. If either party fails to enforce any provision of this agreement, that failure does not waive the provision or its right to enforce it.

13. Non-Discrimination PROGRAM SERVICES PROVIDER agrees that in the hiring of all labor for the performance of any work under this Agreement, that it will not by reason of race, creed, color, sex, national origin, sexual preference or disability, discriminate against any person who is a citizen of the United States and who qualifies and is available to perform the work to which such employment relates. The PROGRAM SERVICES PROVIDER agrees to comply with all Federal, State, and local non-discrimination laws and ordinances, in particular the applicable provisions of the Civil Rights Act of 1964, as amended by the Equal Employment Opportunity Act of 1972. The PROGRAM SERVICES PROVIDER agrees to have in effect an affirmative action program and shall furnish a certificate of compliance with this requirement to the DISTRICT, upon request.

14. Data Practices All data collected, created, received, maintained or disseminated for any purposes in the course of the PROGRAM SERVICES PROVIDER's performance of this Agreement is governed by the Minnesota Government Data Practices Act, Minn. Stat. 13.01 et seq. or any other applicable state statutes, any state rules adopted to implement the Act and statutes, as well as federal laws and regulations on data practices. The PROGRAM SERVICES PROVIDER agrees to abide strictly by these statutes, rules and regulations. The work products produced under this Contract will be the sole property of the DISTRICT and shall not be used by the PROGRAM SERVICES PROVIDER for any purpose other than the performance of this agreement or as authorized in writing by the DISTRICT. Use of a brief (e.g. less than one printed page) general description of the work and associated graphics as examples of PROGRAM SERVICES PROVIDER’s work for marketing purposes is acceptable.

ADDENDUM 1, Scope of Work

A Proposal for a Master Watershed Stewards Program Partnership August 1, 2016 Freshwater Society (FWS) and Capitol Region Watershed District (CRWD) agree to enter into a collaborative relationship for the Master Water Stewards Program for program year 2016-2017.

The Master Water Stewards program trains, certifies and supports community leaders to promote the installation of pollution prevention projects, educate community members, reduce urban runoff pollution and allow more water to soak into the ground before running into storm drain systems.

Partner responsibilities FWS will:  Develop curriculum, provide the technology platform, organize classes, hire the class facilitators, host information sessions in locations throughout the metropolitan area as part of recruiting candidates, provide Stewards with the education and support they need to develop a capstone project, provide a certification to Stewards who successfully complete the program, and track and report Stewards’ volunteer hours through the Master Water Stewards website.  Collaborate with CRWD to identify and develop meaningful volunteer opportunities for Stewards that are consistent with CRWD stormwater outreach management priorities.  Report the volunteer efforts of CRWD Stewards at the end of each program year, including number of service hours, number of stormwater projects installed, pollution reduction estimates and the number of community members reached by education efforts.  Develop ongoing activities to build and support Stewards as a community, including the offering of continuing education opportunities.

CRWD will:  Recruit and enroll a minimum of eight candidates in the 2016-2017 Master Water Stewards Program at a cost of $2,500.0 per Steward to be paid to FWS for the training and capstone project period.  Provide meeting space, organize and facilitate a watershed tour and provide subject matter experts (e.g. hydrologist) during training.  Assist FWS and Master Water Stewards in the development of capstone projects.  Provide funding for each capstone project at its sole discretion, limited to funds available, and in compliance with the goals and priorities of CRWD.  Collaborate with FWS to identify and develop meaningful volunteer opportunities for Stewards that are consistent with CRWD stormwater outreach management priorities.  Provide ongoing volunteer management support to Stewards and financial support for projects and events as needed.

Timeline September 2016: CRWD provides FWS a list of candidates.

October 2016-April 2017: FWS facilitates training courses for MWS candidates.

May 2017-November 2017: Master Water Steward candidates complete capstone projects and certification process.

Background The Building Committee has continued to evaluate properties and buildings for a future office space with our real estate consultants Kate Gillette and Mark Evenson from Avison Young. In February this year the Committee also updated the basic office criteria as way to help streamline potential site reviews and allow for more efficient ways to eliminate potential building sites without having to conduct time consuming site visits. In May of this year an update was provided to the Board on current sites under consideration.

On June 2, 2016 a letter of interest was submitted to the seller’s representative for 595 Aldine St. in St. Paul. At a closed Board Meeting on June 16th staff and the Building Committee updated the full Board on the process, sites under consideration and rational for the letter of interest for 595 Aldine St. Issues While simply referred to as 595 Aldine St. the purchase actually includes two parcels, 595 Aldine St. and 1736 Thomas Ave which is adjacent to and immediately west of 595 Aldine St. See attached property description. The primary building at 595 Aldine St. is 14,538 square feet. The size lands between the minimum of 10,000 square feet needed and the long term expansion with tenant option of 20,000 square feet. The proposed building at 14,538 square feet would effectively double the existing square footage the District currently occupies and provide for long term growth and expansion capabilities. Staff can review more of the details of potential remodel options at the meeting.

The Purchase Agreement (attached) with a total purchase price of $1,450,000 has been reviewed and accepted by the seller as well as the Ramsey County Attorney. If approved, the District will be required to deposit $50,000 in earnest money that would be forfeited after the due diligence period if the District did not close on the property. The Purchase Agreement allows for a 120-day due diligence period. Closing must occur within 60 days following the end of the due diligence period. Staff recommend approval of the Purchase Agreement.

Upon execution of this Agreement by both parties, Buyer shall deposit Fifty Thousand and no/100ths Dollars ($50,000.00) as an earnest money deposit (to be credited to the purchase price) with Old Republic National Title Insurance Company (the “Title Company”). Any interest earned on the deposited earnest money will be held and applied as the funds originally deposited. The remaining balance shall be paid in cash at Closing.

CLOSING Closing shall occur on the later of October 31, 2016 or within sixty (60) days following the expiration of the due diligence period at a location and time mutually agreed by the parties.

SELLER’S OPTION TO EXTEND POSSESSION Regardless of the date of closing, Seller shall have the option to retain possession of the Property up to and including December 31, 2016. If Seller desires to exercise this option, it shall provide written notice to Buyer on or before October 1, 2016. Seller shall have the right to vacate the Property after the Buyer’s receipt of thirty (30) days written notice, and in the event that vacation occurs on a date which is not the end of a month, the rent for the month during which vacation occurs shall be forfeited. Seller shall pay rent of Fourteen Thousand and no/100ths Dollars ($14,000.00) per month and having paid all of 2016 real estate taxes, shall be responsible on a prorated monthly basis for insurance and utilities while in possession of the Property. Buyer shall be listed on liability insurance as an additional insured and in the fire and extended commercial coverage as a loss payee in an amount not less than the full replacement cost.

CONDITION The Buyer agrees to accept the Property and Site in “AS IS” condition with the exception of matters identified through inspection and due diligence, as discussed in Section “DUE DILIGENCE PERIOD” BELOW. Furthermore, Seller agrees to transfer possession of the Property in a clean condition with any and all debris removed, any damage due to removed personal property repaired, and the Property secure to the elements.

PERSONAL PROPERTY Seller desires to remove various items of property related to its business that may ordinarily be considered affixed to the real property. Seller shall remove the items listed on Exhibit A on or before the date of closing, or if later, on or before Seller’s vacation of the Property, as described above.

DUE DILIGENCE PERIOD (INSPECTION PERIOD) The Buyer shall have one hundred twenty (120) days from the effective date of this Agreement (the date upon which this Agreement is fully executed) or from the date upon Seller’s delivery of the documents specified below, whichever is later, to review relevant documents, inspect the Property, perform such inventories, observations, tests and investigations as Buyer may reasonably deem appropriate, obtain all governmental approvals Buyer desires or determines are necessary for the development, remodel, use, and operation of an office building with interior vehicle and equipment storage on the Property (“Buyer’s Use”), and otherwise satisfy itself regarding the condition, suitability and desirability of the Property.. During the one

hundred twenty (120) day due diligence period, Buyer and its agents shall have reasonable access to the Property to make inspections and investigation of the Property. Buyer agrees that its onsite inspections shall be conducted at reasonable times with reasonable notice and shall not interfere with Seller’s use of the Property. Except as specifically set forth to the contrary in this Agreement, Buyer shall pay all costs and expenses of such inspections and investigations. Any proposed physical testing of the Property shall require the Seller’s specific approval. In the event Buyer cancels this Agreement or otherwise doesn’t proceed with the sale, Buyer shall, at its expense, repair and restore any damage to the Property caused by Buyer’s approved physical testing of the Property, to the same condition as existed prior to such activity. Within twenty (20) days of publication, Buyer will provide Seller with copies of all data and reports generated as a result of the inspections, investigations or testing.

Survey(s). Within three (3) business days from the effective date of this Agreement, Seller shall furnish to Buyer any existing survey(s) which are in Seller’s possession, including the survey dated November 4, 2005, prepared by Jason E. Rud and

certified to, among others, Aldine Street Partners and Old Republic Title Insurance Company. Buyer shall be responsible for the preparation and cost of any additional surveys.

Title. Within three (3) business days from the effective date of this Agreement, Seller shall order from Old Republic National Title Insurance Company, a Title Insurance Commitment for an ALTA Owners Title Insurance Policy and shall deliver the Commitment to Buyer as soon as available. Seller shall have no obligation to furnish an Abstract of Title for the Property.

Environmental Matters. Within three (3) business days from the effective date of this Agreement, Seller shall furnish to Buyer the Transaction Screen Report prepared by Vieau Associates, Inc., dated July 23, 2013 and shall order a Phase I Environmental Study to be performed by a consultant jointly agreed to by both parties, and addressed to both Seller and Buyer. Seller will also be responsible for the cost of any additional testing as required by the findings or results of the Phase I, including but not limited to, a Phase II Environmental Study. Buyer shall be responsible for performing (at Seller’s cost and expense) all environmental tests and inspections required by the Phase I, including, without limitation, any tests and inspections regarding the presence or absence of lead based paint, mold or other hazardous materials, the existence of any underground storage tanks, and soil and ground water conditions; provided, however, that prior to the commencement of such required environmental testing or inspections, Buyer shall furnish to Seller a written quote or estimate of the anticipated cost.

Physical Condition. Seller shall provide to Buyer within three (3) business days of the effective date of this Agreement, all records concerning repair and maintenance of the Property and a copy of any “As Built” drawings for the premises which are currently in Seller’s possession. Any further updating of existing documents or creation of new due diligence materials shall be at Buyer’s expense.

Government Approvals. Seller will cooperate and participate in any application or request of Buyer for approvals from the local municipality regarding the Buyer’s use and required permits and licenses, if any.

In the event the Buyer is not satisfied, at its sole discretion, as a result of its Due Diligence inquiries, Buyer may terminate this Agreement. In such event, this Agreement shall be terminated and deemed null and void, Seller and Buyer shall have no further obligations to each other, and Buyer’s entire Escrow Deposit shall be returned to Buyer at such time as Buyer executes a Cancellation of Purchase Agreement pursuant to Minn. Stat. §559.21.

CLOSING COSTS AND PRORATED ITEMS Seller will pay the cost of the Title Insurance Commitment and Buyer will pay any Title Insurance Premium purchased. Seller will pay transfer taxes and State Deed taxes.

Buyer will pay all recording costs. The parties shall each bear half of the cost of any fees or charges imposed by the Title Company for closing the transaction.

Seller shall pay, or cause to paid, all real estate taxes payable in the years prior to the year in which Closing occurs and all real estate taxes due and payable in 2016. Buyer shall be responsible for all special assessments levied, “pending”, deferred or constituting a lien against the Property as of the Closing Date, except that Seller shall be responsible for all installments of special assessments, including interest, payable in the year of Closing, as well as the unpaid installments for years prior to the year of Closing.

Any costs or prorations not specifically addressed herein shall be determined or negotiated based upon the custom and practice for allocation of such items in the Twin Cities area.

SELLER’S WARRANTIES AND REPRESENTATIONS At the time of Closing, Seller shall warrant and represent to Buyer that:

(a)

Seller is the fee owner of the Property and title will be marketable as of Closing and subject only to such matters, exceptions or encumbrances identified and waived in the Title Insurance Commitment. In the event that the Buyer declines to waive any such matters, exceptions or encumbrances as disclosed on the Title Insurance Commitment, Seller may obtain the Title Company’s agreement to, at no additional cost to Buyer, either: (1) delete the matters giving rise to the title objection from the schedule of exceptions to coverage in the title policy to be issued to Buyer, or (2) endorse the title policy to insure over the matters giving rise to the objection;

(b)

Seller has not received any notice of a violation of any building codes, fire codes, health codes, zoning codes, environmental laws, or other laws and regulations affecting the Property or the use thereof;

(c)

Seller has not received any notice of a condemnation, environmental, zoning or other regulation or proceeding being instituted or planned which would detrimentally affect the use and operation of the Property;

(d)

Seller has not received any notice of hearing of a public improvement project from any governmental assessing authority, the costs of which may be assessed against the Property;

(e)

Seller does not know of any wells on the Property (this statement being made pursuant to the disclosure requirements of Minnesota Statutes section 103I.235);

(f)

Seller does not know of any individual sewage treatment systems on the Property or serving the Property (this statement being made pursuant to the disclosure requirements of Minnesota Statutes section 115.55);

(g)

Seller does not know of any underground or aboveground storage tanks currently on the Property, or any underground or aboveground storage tanks formerly on the Property that had a release for which no corrective action was taken (this statement being made pursuant to the disclosure requirements of Minnesota Statutes section 116.48);

(h)

to Seller’s knowledge, no methamphetamine production has occurred on the Property;

(i)

Seller this Agreement and the documents entered into pursuant hereto have been duly authorized, executed and delivered on behalf of Seller and constitute the valid and binding agreements of Seller, enforceable in accordance with their terms;

(j)

Except as disclosed in writing to Buyer, the Property is not subject to any commitment, obligation, or agreement, including, but not limited to, any lease, purchase agreement, contract for deed, right of first refusal, or option to purchase, or easement with a third party, which prevents the consummation of the transaction contemplated herein or which might bind Buyer subsequent to consummation of this Agreement;

(k)

Except as provided in this Agreement, there are no obligations or liabilities of any kind or nature whatsoever, including but not limited to, any tax liabilities, contract liabilities or tort liabilities for which or to which Buyer or the Property will be liable or subject, except for non-delinquent real estate tax obligations and pending assessments;

(l)

the Property is free of any tenancies as of Closing (or any EXTENDED POSSESSION) and no party shall be in possession thereof;

(m)

the documents delivered to Buyer are true and correct copies, have not been amended or modified (except as noted when provided to Buyer), and if currently in full force and effect are free from default or notice of default;

(n)

Except as may be disclosed in in writing to the Buyer, to Seller’s knowledge, no toxic or hazardous substances or wastes, pollutants or contaminants (including, without limitation, asbestos, urea formaldehyde, the group of organic compounds known as polychlorinated biphenyls, petroleum products including gasoline, fuel oil, crude oil and various constituents and such products, and any hazardous substance as defined in the Comprehensive Environmental Response, Compensation and Liability Act of 1980 (“CERCLA”), 42 U.S.C. Section 9601-9657, as amended) have been generated, treated, stored, released or disposed of, or otherwise placed, deposited in or located on the Property, nor has any activity been undertaken on the Property that would cause or contribute to (i) the Property to become a treatment, storage or disposal facility within the meaning of, or otherwise bring the Property within the ambit of, the Resource Conservation and Recovery Act of 1976 (“RCRA”), 42 U.S.C. Section 6901 et seq., or any similar state law or local ordinance, (ii) a release or threatened release of toxic or hazardous wastes or substances, pollutants or contaminants, from the Property within the ambit of, CERCLA, or any similar state law of local ordinance, or (iii) the discharge of pollutants or effluents into any water source or system, the dredging or filling of any waters or the discharge into the air of any emissions, that would require a permit under the Federal Water Pollution Control Act, 33 U.S.C. Section 1251 et seq., or the Clean Air Act, U.S.C. Section 7401 et seq., or any similar state law or local ordinance. To Seller’s knowledge, no substances or conditions exist in or on the Property that may support a claim or cause of action under RCRA, CERCLA or any other federal, state or local environmental statutes, regulations, ordinances or other environmental regulatory requirements, including without limitation, the Minnesota Environmental Response and Liability Act, Minn. Stat.

Section 115B (“MERLA”) and the Minnesota Petroleum Tank Release Cleanup Act, Minn. Stat. Section 115C; and

BROKER REPRESENTATION AND COMMISSION The parties agree that Kate Gillette of Avison Young Real Estate Brokerage represents the Buyer and Eric Batiza of Colliers International represents the Seller. Seller shall be responsible for paying all commissions of Seller’s representatives.

RISK OF LOSS Except as provided herein, risk of loss to the Property shall be borne by Seller until title and possession has been conveyed to Buyer. Seller will give Buyer prompt notice of any fire or other casualty occurring between the Effective Date and Closing (or expiration of any EXTENDED POSSESSION) which involves damage to the Property and of any actual or threatened taking in condemnation affecting the Property of which Seller has knowledge. If the Property incurs any damage or actual or threatened taking, Buyer may, at its sole discretion, terminate this Agreement or accept the Property as damaged or taken.

If Buyer accepts the Property, Seller will at closing pay over to Buyer any insurance proceeds or condemnation awards received, and assign to Buyer Seller’s interest in all unpaid insurance proceeds and condemnation awards.

BOARD APPROVAL This Agreement must be formally approved by the Capitol Region Watershed District’s Board of Managers prior to execution. Such approval shall be obtained by no later than July 21, 2016 or this Agreement shall be deemed null and void, and the Earnest Money shall be returned to the Buyer.

CONFIDENTIALITY Except and to the extent required by law, Seller and Buyer agree not to disclose or use, and they shall not permit their agents, consultants or other representatives, to disclose or use any information contained within this Agreement, except in connection with an inspection, investigation or testing required under this Agreement. Neither the existence of this Agreement or its terms, provisions or conditions shall be disclosed by either party without first obtaining the written consent of the other party.

SUCCESSORS AND ASSIGNS This Agreement and any amendments thereto shall be binding upon and inure to the benefit of the heirs, successors, agents, representatives and assigns of the parties hereto.

SURVIVABILITY Except as may otherwise be expressly provided in this Agreement, all covenants, agreements, obligations and undertakings made by Seller and Buyer in or pursuant to this Agreement will survive Closing, for a period of one (1) year after closing, whether or not so expressed in the immediate context of any such covenant, agreement, obligation or undertaking.

WAIVER Except as may otherwise be expressly provided, no waiver by a party of any breach of this Agreement shall be deemed to be a waiver of any other breach of any kind or nature, and no acceptance of payment or performance by a party after any such breach by another party shall be deemed to be a waiver of any further breach of this Agreement. No failure on the part of a party to exercise any right it may have by the terms hereunder or by law upon the default of another party, and no delay in the exercise thereof by the first party at any time when such other party may continue to be so in default, shall operate as a waiver of any default, or as a modification in any respect of the provisions of this Agreement.

EXPIRATION DATE If for any reason the Closing of this transaction does not occur on or before December 31, 2016, this Agreement shall be terminated and deemed null and void, Seller and Buyer shall have no further obligations to each other, and Buyer’s entire Escrow Deposit shall be returned to Buyer at such time as Buyer executes a Cancellation of Purchase Agreement pursuant to Minn. Stat. §559.21.
