Artist/Contractor Agreement

8) This contract is a confirmation of an agreement between Carpe Diem Communications (CDC) and _______________________________; herein referred to as “the client,” that appoints CDC as the client’s manager, to act exclusively on the client’s behalf for the booking throughout the world for the duration of ________________________.

9) The terms of this contract are as follows: Ÿ CDC shall represent the client’s interests, and conduct negotiations on the client’s behalf. CDC will not commit to any agreement without the pre­approval of the client and the client understands that their responsibility, while under contract, is to refer all approaches regarding their booking/appearances to Carpe Diem Communications from the time this contract commences. Ÿ CDC and the client have agreed on the said amount of, ______________, as the flat rate for the entire duration of the contract. Ÿ The fee for the contract will be divided and disbursed to CDC as follows: 50% deposit on cost of entire contract at the commencement date and the remainder 50% of the cost at the expiration of the contract. Ÿ CDC promises to deliver the agreed services within the contract term, however, if the client is not satisfied with the performance of the CDC associate then the clint will have the right to terminate the contract within the first 90 days of the contract. CDC is then obliged to return half of the deposit amount, after the deduction of incurred expenses for CDC on behalf of the client. Ÿ The booking commission is as follows: 10% on all amounts arising from any agreement made on the client’s behalf, except that on international bookings CDC’s fees are a commission of 15% Ÿ The client understands that any normal expenses in conception with offering the booking and dealing with contracts and income arising there from shall not be charged to the client. However, extraordinary expenses shall be charged to the client but these will be billed to the client directly when payments are made and received by the client for the client’s booking and scheduled appearances. These expenses include shipping materials and other materials sent for promotional purposes, these expenses are expected by the client to be incurred, but only with

the client’s prior approval. In the event of termination of this agreement a bill for any outstanding expenses will be submitted and details of outstanding negations shall not be disclosed until payment of such a bill has been made.

10) the client warrant to me that the client have full power to make this agreement, that the client are the sole author of the client work, that the client work is original to the client, and that it has not previously been published or distributed in any form and does not infringe any existing copyright or license of any third party that it contains nothing libelous, defamatory, or in any other way unlawful, that all statements purporting to be factual are true and that any instruction, if followed accurately, will not cause damage or injury to the user.

9) This agreement may be terminated by either side by sixty days’ notice in writing.

After termination I shall cease to undertake any negotiation or representation for the client, but I shall have the right to continue to receive commission on all bookings subsequent extensions or renewals of them, I agree to serve all such bookings unless the client instruct me otherwise and my commission shall apply to any improved terms on those bookings.

10.) If after 90 days there has been no engagements booked for said client, this contract can and shall be terminated by both parties, without further obligation to either party.
