VISION Wheat Capital Management, LLC (WCM) is a South Florida based private equity real estate investment firm.

We focus on sponsoring and managing

projects via limited partnerships. Our primary strategy is development and re-development of retail shopping centers, public storage facilities and market-rate apartment rentals. We facilitate acquisition, design, development, sales and leasing facets in-house through trusted industry partners. WCM broke ground by merging an established management team from real estate and capital raising sectors. We seek to fund various limited partnerships in key markets through equity financing and deploying capital into best-inclass projects, via new or existing construction that will maximize shareholder value. DIVERSIFICATION The return on investment potential of limited partnerships for real estate projects does not erratically fluctuate like the options provided by Wall Street. Diversifying your investment portfolio is the gateway to powerfully sustaining your wealth.

CAPITAL POOLING Minimize capital outlay, maximize profit – one of the formulas made feasible by pooling capital through fractionalized ownership. There’s a unique opportunity for investors to participate in residential and commercial real estate projects that would present challenges if done individually.

TAX ADVANTAGES Limited partnerships are not a taxable entity for federal income tax purposes. Instead, the tax benefits incurred by the partnership pass directly through to the investors.

FAQS WHAT ARE REAL ESTATE LIMITED PARTNERSHIPS? A real estate limited partnership (LP) is an investment vehicle that optimizes returns through the selling and/or leasing of properties. Investors are able to enjoy the benefits of a direct investment in tangible assets without many of the complexities that normally accompany such investments. Limited partnerships not only offer higher returns than traditional real estate investment trusts (REITs) but greater tax benefits as well. As a real estate limited partnership shareholder, you own a portion of a company that is solely structured for the purpose of developing a particular property.

The ventures sponsored by Wheat Capital Management, LLC. (WCM) are generally formed as limited partnerships. The partnerships’ sponsors pool investment funds to develop projects and/or to re-develop existing properties. The general partner, who, in the case of a limited partnership is known as a sponsor, is responsible for operating and sustaining the company’s assets. Limited partners, which are the investors of the LPs, are not liable for losses beyond their original investment and do not participate in the partnership management.

WHAT IS A PRIVATE PLACEMENT?

A private placement is a type of investment offering that is exempt from registration with the Securities and Exchange Commission (SEC). Public companies must register with the SEC, which can be expensive and time consuming. Typically, real estate projects are structured as LPs and capitalized through a Private Placement Memorandum (PPM). Such PPMs still undergo standard due diligence but present an opportunity to save time and money for all parties involved.

HOW ARE WCM’S REAL ESTATE PROJECTS IDENTIFIED? WCM has identified the top markets in the U.S. that present a high demand and low supply of both commercial and residential real estate. We work with key developers that build best-in-class properties. Typically, such developers need additional equity financing to complete a project. This is where WCM comes in – we can facilitate the analysis, acquisition, financing and exit strategy of select projects. Our business model is centered by experienced in-house associates and world-renowned partners, enabling higher returns for our investors.

HOW LONG IS THE INVESTMENT CYCLE OF A LIMITED PARTNERSHIP? Our sponsored limited partnerships carry a 2-5 year cycle, though time may vary due to the market’s characteristics. Real estate is cyclical in nature and times may vary to achieve the most favorable investment positions. Every project is unique; our goal is to always exit a project as soon as possible, optimizing a return on investment and profit for all.

HOW WILL I KNOW HOW MY INVESTMENT IS PERFORMING? Wheat Capital Management is the asset manager for all partnerships.

We send out

quarterly statements and informational announcements to our investors. As an asset manager, WCM maintains accounting of all projects, where transparency is provided. Shareholders are always welcome to contact our Investor Relations department for any inquiries.

ARE REAL ESTATE LPS SUITED FOR ALL INVESTORS? Rea estate LPs are not suitable for all investors. WCM presently works only with accredited investors. In addition to meeting the financial requirements, our desired investor must tolerate a level of risk, associated with any investment, and be willing to participate in our buy and hold strategy. Our associates can discuss all facets of select LPs to help determine the suitability for all parties involved.

JOSEPH D. TOUIZER Founder, Chief Executive Officer, Managing Partner As Founder, CEO and President, Mr. Touizer utilizes two decades of entrepreneurship knowledge to Wheat Capital Management. The firm was built on Joseph’s personal passion of real estate alongside his venture capital and direct marketing experience. He has led four start-up companies within travel, computer, alternative investment and insurance industries. Joseph facilitates funding for various projects through his own networks of angel investors. His expertise in raising capital enables WCM to accelerate its leadership position in the evolving real estate investment industry. Joseph’s astute entrepreneurial skills and global vision create a new investment pathway towards residential and commercial real estate growth.

C. J. MAIER CPM, Executive Vice President, Managing Partner As Executive Vice President, Mr. Maier brings his expertise in the real estate industry to acquisitions and business development for WCM. He carries over a decade of knowledge managing projects from initiation to realization. Most of his background includes directing multi-family and commercial properties including market rate, distressed, affordable and value-add properties. C.J. was most recently Vice President at Rivergate Real Estate for numerous projects focused in Florida. Coordinating construction, due diligence, market analysis or property management, C.J. thrives with a hands-on approach to attain maximum success. C.J. has served in a capacity of President for various Condo and HOA board of directors for new construction and conversion properties.

ALEXANDRA SANCHEZ Chief Strategy Officer, Managing Partner As Chief Strategy Officer, Ms. Sanchez bridges strategy from structure and execution tactics. Alexandra seeks and develops business opportunities to accelerate top and bottom line revenue and increase shareholder value at WCM and its individual partnerships. Alexandra is a multi-faceted executive carrying over a decade of experience in direct marketing and global corporate branding. Her most recent work included consulting on direct marketing efforts for the LATAM markets in MasterCard’s Priceless campaign, B2B strategies for McCann World Group and market position strategies for a multi-national alternative investment firm. Alexandra holds a Bachelor of Science dual degree in Advertising and International Business from Florida International University. She is from Sao Paulo, Brazil and speaks fluent Portuguese and Spanish.

DIANA FUNG Head of Capital Raising, Global Markets As Head of Capital Raising in Global Markets, Ms. Fung ensures the facilitation for international investors to participate in WCM’s limited partnerships. Our international efforts allow for a full-service concierge experience where Ms. Fung aims to optimize profit potential for investors. She heightens our firm’s skill sets by sharing extensive knowledge through her private wealth brokerage journey of working at Merrill Lynch, Morgan Stanley, Bank of America and Santander Group. Diana holds a Bachelor of Science degree in Finance from the University of Miami. She is fluent in Chinese, Italian and Spanish.

SHANNA MORRIS Corporate Controller As Corporate Controller, Mrs. Morris oversees all corporate accounting and finance matters. She has performed an executive role for the last 15 years through both start-up and established organizations in the healthcare industry. Shanna is integral in establishing and maintaining billing systems and controls. She served as Controller and a member of senior management for Cinergy Health, where she helped shape the infrastructure that supported one of the most successful companies in the direct-to-consumer health insurance market. Shanna holds a Bachelor of Science degree in Accounting.

DAVID DIMLICH Corporate Counsel As Corporate Counsel, Mr. Dimlich ensures regulatory compliance is met across corporate and partnership initiatives. David received his Bachelor of Arts degree from Dartmouth College and his Juris Doctor degree from the University of Cincinnati, College of Law. He has practiced law for over two decades, primarily in transactional and corporate areas. Other experience includes corporate law practice and litigation involving telecommunications, manufacturing and condominium law. David is an integral member of WCM’s advisory council.

MICHAEL LAPAT Securities Counsel As Securities Counsel, Mr. Lapat oversees securities and compliance efforts for WCM’s funds and limited partnerships. Michael graduated from the University of Illinois at Urbana-Champaign and obtained his Juris Doctor degree from John Marshall Law School. He has practiced law for the last 40 years in Florida, Illinois and New York. He holds NASD Series 3, 7, 30 and 65 licenses, is a registered member of the National Futures Association (NFA) and a registered “associated person” of a registered commodities pool operator.

The group conveys their extensive knowledge in all real estate sectors through demand, competition, and target market analyses.
