Toast for Toys takes place December 15th at The Aliso Club, Orange County’s premier private club. Toast for Toys is the perfect lifestyle event to celebrate the holidays while also giving back to the community. uests are urged to bring a brand new, unwrapped toy for donation. All of the toys collected are provided to a local ďŹ re station, which then distributes them to underprivileged children and teenagers in the local community. This highly exclusive event, held at the prestigious Aliso Viejo Country Club, has limited vendor spaces available. The Country Club is opened to the public for the one-night annual event, providing an intimate setting to showcase top brands in the spirits and cigar industries. Every guest is a qualiďŹ ed potential consumer, with a like-minded appreciation for quality premium products. TERMS AND CONDITIONS

The amount enclosed will be used as a deposit to reserve a booth space or sponsorship. The deposit is non-refundable and must be a minimum

of

50%

of

the

total

amount

due.

Vendor

agrees

to

remit

balance

due

20

days

prior

to

the

event.

Any

Vendordor not paid by that time will forfeit their deposits and show space without recourse. Vendor further agrees to abide by the terms and conditions set forth in this Agreement between their firm (Vendor) and TOP HAT MEDIA GROUP. TOP HAT MEDIA GROUP reserves the right to reject any application. Bank Statement will show as TOP HAT MEDIA GROUP, or Lincoln Blake Media Group LBMGUSA / TOP HAT MEDIA GROUP holding company. Giving your credit card number over the phone activates these terms. NO CANCELLATION OF THIS AGREEMENT WILL BE ACCEPTED OR REFUND ISSUED LESS THAN 20 DAYS PRIOR TO THE EVENT. Vendor acknowledges that they assume entire responsibility and hereby agrees to protect, defend, and hold Event meeting sponsors, Event Management and facilities, and its employees and agents harmless against all claims, losses, and damages to persons and property, government charges and fines, and attorneys’ fees arising out of or caused by Vendor’s installation, removal, occupancy, or use of the exhibition premises or any part thereof. In addition, Vendor acknowledges that Event sponsors, Event Management and facilities do not maintain insurance covering Vendor’s property and that it is the sole responsibility of the Vendor to obtain business interruption

and

property

damage

insurance

covering

such

losses

to

Vendor.

Vendor

is

required

to

provide

Event

Management with proof of insurance 10 days prior to the event. Failure to provide such proof by the requested date allows Event Management the right to withhold booth space or sponsorship from Vendor. WE, THE ABOVE MENTIONED COMPANY, hereby consent to the usage of photographs or videos taken at Toast for Toys as promotional materials in any or all TOP HAT MEDIA GROUP publications, advertising, direct mail, video and websites. We hereby expressly waive any claims for liability on the part of the TOP HAT MEDIA GROUP Event and agree that no claim for compensation in connection with any of these publications or promotional videos produced is due, now or in the future. Rules and Regulations for Vendors on the following page are an integral part of this contract. Signed and accepted by TOP HAT MEDIA GROUP. Vendor has the unfettered right to use video, pictures, etc. taken from the event without any further consent from TOP HAT MEDIA GROUP. ADVERTISING: TOP HAT MEDIA GROUP does not endorse or promote any product or service related to an Vendor, and Vendors will not suggest otherwise. Vendors will not prior to, during, or after the Event, use the TOP HAT MEDIA GROUP trademarks, trade names, or service marks unless specifically authorized in writing by Event Management prior to any such use. DEMONSTRATIONS/SOUND: All demonstrations shall be confined to the space allowed to each Vendor. Activities which interfere with normal traffic flow or infringe on other Vendor booths are prohibited. The operation of games of chance or lottery is permitted only to the extent permitted by applicable law. Mechanical or electrical systems that produce sound must operate at a level so as not to prove disturbing to other Vendors. Event Management reserves the right to determine acceptable sound levels in such instances. BOOTH ACTIVITIES:

The Vendor is encouraged to demonstrate the firm’s equipment and make informational presentations

regarding the product line or service in the booth. Vendors will be able to market products at the Event. The distribution of surveys, questionnaires, souvenirs, or other sales or promotion activities must be conducted by Vendors only from within the booth space. Vendors shall not in any way promote or engage in activity contrary to the best interests of the Event, as determined by Event Management. SALES TAX AND PERMITS: Vendor acknowledges responsibility for compliance with any sales tax collection requirements which may be imposed by the state and/or municipality where the Event is located. Please contact Event Management for further information. SECURITY: The Vendor agrees to make provisions for the safeguarding of its goods, materials, equipment, and display at all times. General

overall

security

will

be

provided

by

Event

Management.

Furnishing

this

service

will

not

be

construed

to

any

assumption of obligation or duty with respect to the protection of the property of the Vendors, which shall, at all times, be the sole responsibility of each Vendor. The Vendor assumes the entire responsibility and liability for all losses, damages, and claims arising out of injury or damage to Vendor’s displays, equipment, and other property brought upon the property of the event facility. The Vendor must surrender occupied space in the same condition it was at the commencement of occupation. INSURANCE (more forms to follow): It shall be the responsibility of each Vendor to maintain such insurance against injury to person or damage or loss of property in such amounts as the Vendor shall deem adequate. Insurance protection will not be afforded to the Vendor by the Event, its facility or Event Management.


TERMS AND CONDITIONS

LABOR/SAFETY/FIRE CODES: The Vendor is responsible for knowledge of and compliance with all labor requirements, and fire and safety codes as established by the Host Venue. Booth decorations must be flame proofed. Electrical wiring must conform to all federal, state, and local requirements and with National Electrical Code Safety Rules. If inspection indicates that a Vendor has neglected to comply with these regulations, or otherwise incurs fire or safety hazards, the right is reserved to cancel, at Vendor expense, all or such part of the Vendor booth as may be in compliance. The Host Venue Fire Regulations will be included in the Vendor Prospectus, which will be mailed to Vendors three months prior to the Event. Vendors must observe all applicable regulations. LIABILITY AND INDEMNIFICATION (more forms to follow): The Vendor will be fully responsible for any claims, liabilities, losses, damages, or expenses, including attorneys’ fees, relating to or arising out of any loss, injury, or damage to any person or property of the Vendor, or any other party where such injury, loss, or damage is incident to, arises out of, or is in any way connected with the Vendor’s participating in the Event or results from the acts or omissions of Vendor personnel. The Vendor shall protect, indemnify, hold harmless, and defend the Event, TOP HAT MEDIA GROUP its officers, directors, agents, or employees from and against any expenses, including from

occupation of assigned space during any part of the whole of the Event period is prevented by strikes, natural occurrence, national emergency, or other cause beyond the control of the Event, then the Vendor will be charged for space only for the period the space was or could have been occupied by the Vendor; and the Vendor hereby waives any claim against the event by TOP HAT MEDIA GROUP, the Host Venue, and their respective officers, directors, governors, agents, or employees for losses or damages which may arise in consequence of such failure. FORCE MAJEURE: In the event the Host Venue or any part of the Vendor area is made unavailable for the Vendor’s use for any period of time as a result of fire, flood, tempest or any other such cause or as a result of governmental intervention, malicious damage, acts of war, terrorism, strike, lockout, labor dispute, riot or any other cause or agency over which TOP HAT MEDIA GROUP has no control, or should TOP HAT MEDIA GROUP decides that because of any such cause it is necessary to cancel, postpone or relocate the Event, or reduce the installation time, Event hours, or dismantle time, TOP HAT MEDIA GROUP shall have no liability to or responsibility to reimburse the Vendor with respect to any damage or loss directly or indirectly arising as a result thereof. If Cancelation is necessary due to force majeure there will be no refunds only company credit. If for any reason venue is cancelled you will automatically receive a full page ad in Cigar & Spirits magazine for alternative of refund. SANCTIONS FOR VIOLATIONS: If a Vendor is determined by Event Management to have violated any provisions of these rules and regulations, Event Management may impose appropriate sanctions regarding current or future participation in TOP HAT MEDIA GROUP Events. The sanctions imposed will be determined on the basis of the particular circumstances of each case, and may include the immediate closing of a Vendor booth without refund to the Vendor or the exclusion of the Vendor from future Events. SUBLETTING SPACE: No Vendor may assign, sublet, or apportions his space in whole or in part, nor exhibit any products or services other than those manufactured or handled in the normal course of his business, nor permit any agent of any exhibiting firm to solicit business or take orders in his space.
