Due Diligence Is Coming … Ready? … or Not? Due Diligence for over 10 years now.) In today’s Seller’s market, Termination Fees in NC have been as high as $75,000 — and not just on large homes. Our fellow affiliate in Asheville, Premier Sotheby’s International Realty, recently reported a Termination Fee of $30,000 — on a $350,000 property. In a Seller’s market (like we’re generally in now…) the Termination Fee is a strong indicator from Buyer to Seller as to how serious they are about closing on the property; it can be a stronger indicator than the contract price itself. The higher the Termination Fee, the less likely the Buyer will exercise their right to terminate — even if the Seller refuses to do a thing. How are Buyers and Sellers supposed to navigate this new contract if it’s new to their Realtor too? That’s an even better question. With the critical input of our In-House Counsel and contracts expert William Herlong, our company already has our strategy in place. As of June 13th, the contract of sale form used by all South Carolina Realtors will change, significantly. I’ve served on the SCR Forms Committee since 2017. Due Diligence — as opposed to a prescribed Repair Procedure — has been debated within the SCR forms committee for years. Under Due Diligence, the Buyer and Seller agree on a specified period for inspections and negotiated repairs. This is part of the executed contract and agreed during contract negotiations. The Buyer has the right during this specified time to conduct any and all inspections they desire — or none at all. The Buyer can then ask the Seller to address repairs, modifications, landscaping, maintenance issues, preventive maintenance, cosmetics, energy efficiency — whatever. There are no limitations on what the Buyer can request or deem as “necessary.” The Seller can opt to do all of the Buyer’s list, some of it, or nothing. The Seller has no obligation to do any repairs. If the Buyer is not happy with the negotiated repair results, the Buyer has the right, by 6pm on the final day of the agreed Due Diligence period, to terminate the contract for any reason — or for no reason at all. However, to terminate the contract, the Buyer must sign a termination of contract AND — (that word “and” is critically important here…) send the predetermined Termination Fee directly to the Seller. Only then, the deal is off, and the Buyer gets their earnest money back. (Earnest Money is separate from the Termination Fee.) If the Buyer does not also include the Termination Fee, the contract is not terminated, the Earnest Money is not returned, and the parties get lawyered up. What is the “standard equation” for the Termination Fee? Good question. During the Recession, Termination Fees in North Carolina were about a dollar. (NC has had straight

he Hampton-Pinckney Historic district is one of Greenville’s oldest existing residential neighborhoods, originally developed by “the Father of Greenville” himself, Vardry McBee, and his children. Hampton Avenue was the first street to be developed beginning in the 1890s, and Pinckney Street soon followed beginning in development in the early 1900s.
