CPL CONCORDIA, COMPLETE CORPORATE PRESENTATION Business profile CPL CONCORDIA is a multi-utility cooperative group, established in 1899 in Concordia sulla Secchia (province of Modena), operating in Italy and internationally with 1800 employees, 70 companies (including both subsidiaries and associated companies), and projected consolidated revenues in 2012 of 411 million euros. It operates in the fields of heat management (global service and facility management), gas (construction, maintenance, and management of methane gas and LPG distribution networks), water, district heating, electrical power, technological services (software, video surveillance, building automation), gas measurement products, and the development and application of renewable energy sources.

Socially and territorially rooted CPL CONCORDIA operates in Italy through its 12 headquarters (Melegnano, Padua, Concordia sulla Secchia, Mirandola, Bologna, Arezzo, Fano, Sant’Omero, Rome, Naples, Bari, and Nuoro) and 40 offices spread throughout Italy: there are 770 members who are joint owners of the Company and who come from every region in Italy, who have accumulated in 2012 net assets of almost 139 million euros.

Solutions: services and products The Company offers consolidated expertise in maintenance services and global service for plants and systems, including renewable energy (thermal and photovoltaic solar energy, geothermal energy, and utilization of biogas), cogeneration and trigeneration, and public lighting, as well as gas odorizing systems, remote-control systems, contact centers, invoicing, video surveillance, and building automation. Large projects in the field of gas distribution networks, water pipelines, and district heating, including the designing, maintenance, and management of methane gas and LPG distribution networks.

Customers In the field of Heat Management and Energy Service (Global Service) for the Public Administration, the following contracts and customers are worth noting: the Public Health Service of the region of Liguria, Provincial Governments (Milan, Modena, Asti, Pesaro Urbino, Ascoli Piceno, Teramo, Latina, Naples, Caserta, and Salerno), the municipality of Rome (ATER Case Popolari and Auditorium Parco della Musica), the Tor Vergata University Polyclinic and Università Roma III; ALER Case Popolari in Milan and the Politecnico di Milano, the Geovest Consortium, the Public Health Service of Modena, and Università degli Studi di Modena e Reggio Emilia. The companies Ducati Motors, Bologna Calcio, Tetrapak, and Resto del Carlino are worth noting. Special note should be taken of the integrated service of procurement and management of all the energy services of the Vega Science and Technology Park in Venice.

The following district heating network projects are noteworthy: at the Linate and Malpensa Airports in Lombardy on behalf of SEA Aeroporti; at the Predazzo (TN) power plant; in the cities of Parma, Ferrara, Mantua, and Turin (Torino Nord project); at Campus di Pesaro; and at the new Ospedale Santa Maria in Udine. More than 28 municipal governments (including Ravenna, Isernia, San Benedetto del Tronto, Cattolica, Este, and Montesilvano) have entrusted CPL to manage their public lighting, with a total of approximately 150,000 lights.

The Cogeneration sector is growing with 400 active systems installed and covered by fullservice maintenance. Of the various customers the following are noted: the 11 Telecom

Italia headquarters, Gruppo Farmaceutico Angelini, AGESP Energia, Sport Forum Center in Rome, the Parco Oltremare in Riccione, the dumps in Novellara (RE) and Francavilla Fontana (BR), the Gradella and Pollini Cesare agricultural enterprises (PV), the Brendolan and Pio Tosini prosciutto ham factories, and the Bioenergy Parks in Bondeno (FE), the largest agricultural biomass plant in Italy (4 MW of power). On behalf of the Università La Sapienza di Roma, CPL used the University Sports Center to experiment with the first cogeneration system with hydrogen fuel enhancement.

CPL CONCORDIA manages the methane gas and LPG distribution networks for 150 municipalities in Italy, Romania, and Argentina: these include the island of Ischia (for which CPL CONCORDIA laid 13 km of underwater pipelines and 45 km of urban networks), the entire Province of Ogliastra in Sardinia, and the municipalities of San Giuseppe Vesuviano and Marigliano (NA). It should also be noted that CPL is executing large maintenance contracts for water and gas distribution networks and emergency services in the south of the Province of Milan, in the province of Brescia, Bergamo, Udine, Padua, Pesaro, etc.

With regard to the designing and construction of distribution networks, the plan for the installation of methane gas distribution networks in the region of Sardinia is of particular importance: since the end of 2010 the CPL Group (through the Fontenergia companies) began work in 12 Catchment Areas whose contracts were awarded due to the methods of project financing employed. It is planned to construct a total of 1,500 km of distribution networks and make 67,000 hookups, operating in 102 municipalities in almost all the provinces of the island with an investment of more than 200 million euros.

Project financing was initiated also for the underwater gas pipeline of the island of Procida (NA) and the municipality of Favara (AG), with amounts of 17 million euros each.

International presence CPL CONCORDIA takes Italian technology beyond the national borders in execution of a development plan whose goal is to achieve 30% of revenues internationally within the next 10 years. CPL is present in Romania, where it possesses (together with Filiala Cluj Napoca) the gas distribution in 25 municipalities with a potential customer base of 22,000 consumers. In Algeria the CPL Group operates directly through the company AIPOWER (ISO 9001 certified) to design and install gas-related technology (skids and gas pressure regulating stations, gas chromatographs, etc.) for the largest Algerian companies (Cameg, Sonelgaz, Sonatrach), also by means of a specialized workshop owned by Blida (15 km from Algiers). Of particular importance is the turnkey project for using gas to fuel the most important power plant in Algiers, the Hamma power plant, located at the capital’s port, and the operations at the new electricity generating plant in Illizi, where CPL provided the “poste de gaz.” CPL’s Oil&Gas and Power Service, which performs maintenance services for “rotating machinery,” together with a team of 150 people, is handling the overhaul of a turbine at the 850MW Sonelgaz heating plant in Marsat El Hadjadj.

Also in Tunisia the subsidiary TiPower is operating through the Tunis office to provide gas technology. In Greece CPL Hellas handled the construction of water and gas distribution networks; in 2004 in Athens it constructed the water and gas distribution networks for the Olympic Village (20,000 athletes) and supplied the gas that fueled the Olympic flame.

In Argentina CPL manages the gas distribution networks for more than 55,000 consumers in the cities of San Francisco and Paranà. In France and Spain CPL handled a series of technological orders at the gas turbine plants on behalf of ENEL and the French company EDF (Edison’s partner) and is present also in Croatia and in the Balkans performing gas-related

activities. In Poland it initiated the construction and management of cogeneration systems and biogas power plants: in Wroclav, for example, it is constructing a methane gas cogeneration system ordered by the French company EDF. In India CPL Energy India Private Limited operates as a joint venture with local companies to export technology in connection with gas distribution and the production of renewable energy: it was awarded the contract for providing gas odorizing systems and services in the capital New Delhi and the surrounding area (33,000 square kilometers) on behalf of IGL, the largest Indian gas distributor.

In the United States, CPL Italy has acquired all G3 Partners interest in “CPL Distributed Generation Group, Inc.” (CPL DG) and in its fully owned brand “New York Generator”. This ownership change reflects the desire of the Company to more effectively focus on distributed generation business expertise and offerings, while continuing to provide their customers with superior services in the rapidly expanding North American market.

Certifications and Corporate Social Responsibility In December 2011 CPL CONCORDIA Soc. Coop. received OHSAS 18001:2001 Certification for its Worker Occupational Safety and Health System. This certification is in addition to the certifications it has already obtained: UNI EN ISO 9001:2008 (Quality Management System certification) and UNI EN ISO 14001:2004 (Environmental Management System certification).

Also, since 2001, every year the Cooperative prepares its Report on Sustainability, which is publicly presented in the offices in the areas where it operates, with public events dedicated to its stakeholders and working members.

CPL CONCORDIA: RENEWABLE ENERGY AND ENERGY EFFICIENCY In 2007 the Company began operating in the field of large-scale photovoltaic power systems for the municipality of Carano in Val di Fiemme (TN) with the construction of a 500kW photovoltaic solar array (625,000 kWh per year) employing 2,946 stationary and mobile monocrystalline silicon sun-tracking photovoltaic solar panels. At the time it was the largest system of its kind in Italy constructed by a public administration, able to prevent the emission into the atmosphere of more than 330 metric tons of CO2.

Operations grew by means of a large number of 1MW systems in Turi (BA) and the largest system in Abruzzo (1 MW), which was constructed for the municipality of Torano Nuovo (TE); operations were then extended to the regions of Tuscany, Veneto, Emilia Romagna, and the Marches. The innovative projects in Padua (1 MW on a waste disposal site with boxes) and in the flood plains of Navicelli, Pisa, where 15,600 solar panels are installed with a power capability of 3.7 MW, with annual energy production of more than 5 million kWh, are particularly important from a technical point of view: this is the largest system in Tuscany and one of the largest in Italy. In 2012 the Company surpassed the threshold of a total of 45 MW installed since it began operating in the field of photovoltaic solar energy, also due to the installation of the 27 systems with a total of 6.2 MW of rated power, which was completed in just 40 days, on the roofs of the Agrifood Center in Bologna.

In addition to the public customers, the following large private customers are noted: Alival (dairy production in Tuscany, 1 MW), Pentair Water (USA multinational company, 1 MW on

roof with asbestos replacement), and WAM Group (multinational mechanical engineering company in the province of Modena, 1 MW on facility’s roof).

CPL CONCORDIA also installed several photovoltaic power systems at its own headquarters in Concordia (MO), Sant’Omero (TE), Padua, and Melegnano (MI).

The Company is committed not only to reducing pollution, but also to improving efficiency and energy savings by means of two main methods: • at the time the heat management contract is stipulated, the use of systems of energy generation from renewable energy sources such as thermal and photovoltaic solar energy (municipality of Castenedolo (BS), high schools in Asti, Social Security in Città di Castello (PG)); biomass from waste (dumps in Novellara (RE) and Francavilla Fontana (BR)), wood chips (Terranuova Bracciolini (AR)), livestock sewage (Azienda Fontana), agricultural products (Bioenergy Parks in Bondeno (FE), Azienda Pollini Cesare), and waste treatment sludge (Hera Cesena); and geothermal energy (for example, the High School for Scientific Studies in Carpi (MO), the heating conduit in Piancastagnaio for ENEL Green Power); and • the application and development of remote-control and building automation systems (for example, the schools in the province of Modena).

CPL is also involved in developing other types of energy systems based on savings and efficiency: -

micro and macro cogeneration (the combined production of heat and power) with more than 400 systems installed and covered by full-service maintenance in shopping centers, fitness centers, hotels, swimming pools, condominiums (Lungofoglia in Pesaro), etc.; trigeneration (combined power, heating, and cooling production) by means of cogeneration combined with lithium bromide absorbers powered by hot water (TYFON CPL), or other machines powered by superheated water and steam (from approximately 100 kWf to more than 2,000 kWf). The Telecom Italia headquarters, the Parco Oltremare in Riccione, the Salov Oil Mill, the hospital in Sassuolo (MO), and ASUR delle Marche in Ascoli Piceno possess complete trigeneration systems. district heating (distribution of heat by means of superheated water to be used for heating and as tap water), which makes it possible to centralize water heating for entire towns (Predazzo in Val di Fiemme), neighborhoods (Turin, Milan, Bergamo, Parma, and Mantua), airports (Malpensa and Linate), business complexes (Hypo Bank in Udine), school complexes (Pesaro Campus), and hospitals (Udine); detection of water and gas leaks, performed with ultrasound and satellite technologies, remote control, and mapping the networks: the goal of all of this is to not waste precious raw materials.

In the field of Public Lighting the Company handles the public lighting systems of more than 28 Italian municipalities including Ravenna, Isernia, San Benedetto del Tronto, Este (PD), Montesilvano (PE), Conegliano Veneto (TV), Cattolica (RM), and Monteparano (TA), with a total of approximately 150,000 lights. With regard to its management services, CPL promotes:

* non-polluting lighting technologies (LED lights, solar-powered street lights, etc.); * efficient products (flow regulators, peak electronic power supply, etc.); and * integration with video surveillance and Wi-Fi service coverage systems.

CPL CONCORDIA's current core business also includes the promotion of all uses of methane gas, the fossil fuel that pollutes the least: * the construction, maintenance, and management of gas distribution networks in 150 municipalities in Italy and internationally; * designing methane gas fueling stations for public and private vehicles (to supply the bus fleets of Naples, Alessandria, Bergamo, and Pescara; the vehicles of AMSA in Milan; etc.); and * incentives and promotions for converting civil and industrial systems to methane gas, which have involved hundreds of thousands of residents, condominiums, public institutions, administrations, and businesses in the last 30 years.

NATIONAL AND INTERNATIONAL AWARDS EnergyMed Napoli: Energy efficiency With regard to Heat Management, in 2007 CPL CONCORDIA received an important award at EnergyMed in Naples, an Exhibition and Conference on Renewable Energy Sources and Energy Efficiency targeted at local institutions. In fact, on March 8, 2007 in conjunction with “Energy savings at the Public Administrations,” the province of Modena received a Special Mention in the field of Energy Efficiency for the “Assignment of the heat management service” project. The reason for the award: “For several years the province of Modena has successfully launched initiatives with the goal of energy savings and the use of renewable energy sources in the buildings it owns.”

This is in reference to the Heat Management service, for which CPL CONCORDIA was the contractor from 2004 to 2012. Specifically, two important projects were inaugurated in 2006: the first regards the startup of the geothermal energy plant at the new wing of the Fanti High School for Scientific Studies in Carpi, the only one of its kind in Emilia Romagna. The second innovative system regards the building automation system at the Enrico Fermi Technical High School in Modena: efficiency and energy savings are achieved by means of a sophisticated remote-control system that allows active heating (temperature control of the room based on whether there is someone present in the room) and intelligent lighting (the lighting automatically turns off when the rooms are not being used, and the level of natural solar irradiation is regulated).

Legambiente's “Comuni Rinnovabili” Award (Municipalities with Renewable Energy) In conjunction with the “Comuni Rinnovabili” Award presented by the national Legambiente, of the experiences that were presented with an award by Legambiente in 2009, the award for most innovative project (for municipalities of less than 1000 residents) was presented to Carano (TN) for the construction of a 500kW photovoltaic power system above an old porphyry quarry, which is able to generate enough electricity to meet the needs of threequarters of the residents of the small municipality in the province of Trentino. The project

carried out by CPL CONCORDIA on behalf of the municipality required the availability of an area of more than 15,000 square meters that is no longer used and that required environmental redevelopment in light of its past exploitation due to mining operations.

“Serie A-Solare” Award In 2009 the municipality of Carano was one of the winners of the “Serie A-Solare” energy savings championship organized by the B.I.M. Consortia in Trentino in cooperation with Europe Direct Alpi of the Edmund Mach Foundation. Carano’s victory was due to a photovoltaic power system with 3,000 solar panels on the former pasture of the “Corozis,” in the town of Calvello, constructed by CPL CONCORDIA in just six months in 2007 and currently managed by CPL personnel. The initiative is part of the project “Un pieno di energia” (An energy fill-up), which began in January 2008 and was promoted in cooperation with the Ministry for the Environment, Land, and Sea to raise people’s awareness regarding the use of renewable energy and energy savings.

RSI Award (social responsibility award) from the Province of Modena In February 2009 in Modena the third RSI Award (corporate social responsibility) from the Province of Modena was presented. CPL CONCORDIA’s Social Report was awarded first prize for the “accounting” section (cooperative enterprises category), with the following opinion: “CPL Concordia is being given this award due to its ability to achieve continuous improvement in social responsibility; it has demonstrated a progressive involvement of its human resources both inside and outside the cooperative (employees, members and nonmembers, credit institutions, etc.) by means of itinerant presentations of its social report at the various company offices and questionnaires used to redefine its goals for improvement.”

“Innovazione ICT” Award at SMAU Business in Bologna At the SMAU Business Trade Show in Bologna in June 2010, with regard to the 2010 “Innovazione ICT” Award, CPL CONCORDIA was honored as the finalist company in the category “IT Architecture” of the virtualization of its data centers, due to a project executed in cooperation with first-rate technological partners such as Infracom and IBM. The purpose of the architecture was to focus attention on the costs, in relation to the quality of the service offered by CPL for providing its IT services to its customers and to the other companies of the group.

“Sei2Sei” Award for safety at the company In conjunction with the “Ambiente Lavoro Convention” 2010, the national meeting of occupational safety and health officers which is held in Modena, the fourth edition of Workshop 2010 of the “Club Sei2Sei Awards” took place. CPL CONCORDIA received the award for information systems adopted in relation to company safety. The Cooperative adopted a dedicated management software platform to coordinate and monitor, in a concrete and reliable manner, the actions taken and the requirements with regard to health and safety, and applied it to a corporate structure consisting of more than 1,100 people and 11 operational facilities located throughout Italy.

Pimby Award The Navicelli photovoltaic solar power project in Pisa, commissioned by Toscana Energia Green and constructed by CPL CONCORDIA, was presented the Pimby Award in

November 2010 by the Pimby Association for the construction of large sustainable works for the development of the area, in observance of the needs of the local residents and the environment. In fact, it was decided to construct a large-scale photovoltaic solar array over an area of more than 85,000 m² of flood plains. The innovative solutions adopted for executing the project made it possible to guarantee the functionality of the hydraulic structure while not consuming any new land. This system possesses power capability of 3.7 MW, annual production capability estimated at more than 5,000,000 kwh (equivalent to the needs of 3,000 families), and an environmental benefit of approximately 3,750 metric tons per year of CO2 emissions prevented.

“Airces Quadrofedele” Award for the best financial statements In January 2012, for the second consecutive year CPL was presented with the AIRCES Quadrofedele Award for the best financial statements of all the Italian cooperatives.

The Quadrofedele Award, which is competed for on a national level by all the Cooperatives that belong to Legacoop, has a jury chaired by AIRCES (Associazione dei Revisori contabili del Sistema Cooperativo [Association of Certified Public Accountants of the Cooperative System]) and supported by Ferpi, the company that organizes the “Oscar di Bilancio” (Financial Statements Oscar Awards).

“Best Practice Patrimoni Pubblici” Award at Forum PA in Rome In conjunction with the "6° Forum Nazionale sui Patrimoni Immobiliari Urbani Territoriali Pubblici" of Rome, in May 2012 in Rome was held the sixth edition of the "Best Practice Patrimoni Pubblici" Award, which honors the most innovative experiences promoted and developed in partnership between Public Institutions and Private Enterprises for the management and improvement of public territorial and urban assets.

The Politecnico di Milano received First Prize in the category “Assets management” due to the integrated services of heat management and maintenance of the buildings performed by CPL CONCORDIA. Our Company received a further honor as the partner of the “USL 8” Local Public Health Center, which received a Special Mention.
