RETAIL LEASES ACT

WHAT YOU NEED TO KNOW TRADITIONALLY INVESTING IN INDUSTRIAL PROPERTY HAS MEANT THAT MOST LEASES FALL OUTSIDE THE RETAIL LEASES ACT. This has been beneficial for landlords, providing flexibility and less restrictions; however a recent court case has had the effect of including many more industrial uses under the Retail Leases Act, and this has left Landlords vulnerable to legal action should their leases not be correctly executed when it comes to the property usage. The Retail Leases Act determines that should the premises be used, or are to be used, wholly or predominantly for the sale or hire of goods by retail, or the retail provision of services, the lease will then be subject to the Retail Leases Act. Examples of such uses in certain circumstances are: • Panel Beaters and motor mechanics • Business to business sales • Any service industry If a lease is subject to the Retail Leases Act, a landlord; 1. Cannot charge Land Tax 2. Cannot charge for lease preparation 3. Cannot have a ratchet clause in the lease (or a cap and collar) on rent reviews 4. Must hold security deposits in an interest-bearing account in favour of the tenant 5. Must provide to a prospective tenant a disclosure statement, draft lease and statement of tenant’s rights

If a landlord does not comply with the requirements under the Retail Leases Act penalties can apply. With the popularity of internet purchases many businesses with usages traditionally defined as warehousing and distribution may now be subject to the Retail Leases Act, with the products stored in their warehouse being sold online to the public, even though the public do not physically buy directly from the premises. It is important for the reasons above to determine if the tenant falls under the Retail Leases Act.
