We hold a Quality Management Standard BS EN ISO 9001: 2008 for manufacturing. All products are manufactured in accordance with the CE marking requirements under the Construction Products Directive, and to product standard: BS EN 13162: 2008 and BS EN 13172 Evaluation of Conformity.

Order Acknowledgement For each new order or amendment, an acknowledgement is emailed back to you. Please check all order acknowledgements and, in the case of any discrepancies, contact the Customer Service Centre on +353 (0) 1 6298444.
Order Amendments Deliveries
Orders for delivery can be amended up to 2 hours before collection vehicle arrives. Please be aware that we load some orders early to ensure we can deliver on time.
Collections Orders for collection can be amended anytime prior to the lorry arriving at our depot.
Order Cancellation Isover reserve the right to charge a cancellation fee, of £21 per pallet, in cases where orders are cancelled after they have been despatched. 4

Under normal trading conditions, for stock items, the lead-times are: Full loads:

Place your order before 1pm for next day delivery.
Half loads:
Place your order before 1pm and we will deliver within 2 working days (e.g. Order on Monday we will deliver before the close of business on Wednesday).
Part loads:
Place an order before 1pm and we will deliver within 3 working days (e.g. Order on Monday we will deliver before the close of business on Thursday).
Time Deliveries: Are available on request. Specific delivery dates will be supplied at the time of order placement if required. For deliveries containing products of mixed stock status, the date of dispatch will be calculated from the product with the longest lead time. Product lead times will be advised at time of order.
What do we mean by full loads, half loads and part loads?
Our delivery service is provided with 40ft curtain side trailer units (22 pallets capacity) that require forklift off-loading. To provide off loading assistance in cases where forklifts aren’t in use, two rigid trucks (12 pallet capacity) complete with tail lifts, are available upon request. This service requires 2 - 3 days notice, and a surcharge of £42 applies for this service.
Delivery Timings To suit all your delivery requirements, we can offer flexible deliveries by prior arrangement to suit your needs. Current offer is part loads delivered in 3 days.
Site delivery Site delivery is offered free of charge. Site must be accessible and for off loading refer to the above. When off-loading, we must observe relevant health and safety practices. We will therefore be unable to off-load at sites that contravene these regulations, e.g. parking restrictions, limited turning circles, etc.

Full loads are made up of 20 or 22 pallets (depending on product selection). Half loads are made up of 10 pallets or their equivalent. Part loads – any other quantity is referred to as a part load. *Please note, standard attic insulation e.g. Spacesaver range are sold by the pallet (24 rolls) except in special circumstances. 5

Primary product packaging is 100% recyclable, but must be sorted by type. Please see individual product pack for type.
In the unlikely event that you are not wholly satisfied with our products due to damage prior to or on delivery, incorrect quantity or product supplied, please ensure that you contact our Customer Service Centre.
Recycling We are a member of Repak – Ireland’s producer recycling fund. This ensures that we meet our responsibility to the environment and to the Irish public by contributing to the cost of recycling the packaging we supply to our customers. Together with other Repak members, through packaging recycling, we achieve a saving of over 600,000 tonnes of CO2 emissions each year, equivalent to the emissions of 320,000 cars.
Palletisation All Isover products are delivered on wooden pallets. These wooden pallets come from suppliers who can demonstrate Chain of Custody certification. This means that 100% of the wood used is sourced from certified sustainable sources. The product on pallets is weather-proofed with plastic covers to offer the option of outside storage. Standard pallets are: 1200 mm x 1200 mm, enabling faster loading and unloading with less handling to decrease the chance of damage. Some specialist products are packed on non standard pallets.

Any claims for damage, shortage or errors in delivered stock must be endorsed on the delivery docket retained by the haulier at the time of delivery. Claims must be directed through your Isover Area Sales Manager or Customer Service Centre within 3 working days. Goods may be returned to Isover if they have been wrongly despatched, have been damaged prior to or during delivery, or have a product quality issue that needs investigating. All returns must be inspected by the ISOVER Area Sales Manager prior to despatch or collection from the customer premises.

Standard Conditions of Sale
ISOVER Ireland Standard Conditions of Sales 1. Definitions “Company” means Isover Ireland, a trading name of Gypsum Industries Ltd and any subsidiaries thereof. “Contract” means any contract between the Company and the Merchant for the sale and purchase of the Products, and incorporates these Terms and Conditions. “Merchant” means any individual, firm, partnership or company buying Products from the Company and shall include the Merchant’s successors, heirs, executors and administrators. “Products” means all articles, services and commodities manufactured and/or sold by the Company. “Terms and Conditions” means these terms and conditions of trading. “Materials” means a quantity of Isover Product or combination of Products. 2. Storage of Products The Merchant must provide appropriate storage for Isover products. Fully sealed pallets can be stored outside in a dry secure area; all pallets once opened must be stored indoors. The Merchant shall permit inspection of the storage space by the Company’s representative on request. 3. Orders The Company will accept orders for its Products, in writing, on the Merchant’s official billhead or order form, or by email or facsimile or verbally. Verbal orders will be processed only if accompanied by a valid Merchant Purchase Order number. Each order or acceptance of a quotation for Products by the Merchant from the Company shall be deemed to be an offer by the Merchant to buy Products subject to these Terms and Conditions. The Company’s Terms and Conditions of trading shall prevail over any conflicting Terms and Conditions notified by the Merchant and, except as implied by law; no other

terms and conditions shall have effect in relation to the Contract. The Contract, except in the event of fraud, represents the entire understanding of the parties in relation to the Products. Variations to these Terms and Conditions shall not have affect unless expressly accepted by a director of the Company in writing No order placed by the Merchant shall be deemed to be accepted by the Company until the merchant Purchase Order Number is confirmed in writing or (if earlier) the Company delivers the Products to the Merchant. Purchase Order Acknowledgements will only be issued to the Merchant on request. Not withstanding the fact that the Company may submit a sample of the Product to the Merchant as an indicator of the quality, colour or type of the Product in question, no order for Products or acceptance thereof by the Merchant shall be deemed to constitute a sale by sample. Orders for collection Orders for collection ex Kingscourt works are by full pallet only, by prior appointment. Orders for delivery The Products will be delivered by the Company in accordance with the Company’s current delivery policy (available on request) to the Merchant’s store at the request of the Merchant at the prevailing delivered prices. To ensure prompt delivery, the standard minimum order quantity is 1 pallet; exceptions to this are covered on request and with appropriate service charges. Any dates specified by the Company for delivery of the Products are intended to be an estimate and time for delivery shall not be of the essence. If no dates are so specified, delivery shall be within a reasonable time. The Company may deliver the Products by separate installments. Each separate installment shall be invoiced and paid for in accordance with the provisions of the Contract. Subject to the minimum, each installment shall be a separate Contract and no cancellation or termination of any one Contract relating to an installment shall entitle the Merchant to repudiate or cancel any other Contract or installment.
Quotations for site deliveries are available on request. The Company reserves the right to decline acceptance of Merchant’s request to effect site delivery where the Company considers that site road conditions, site storage conditions, off-loading facilities are unsatisfactory or any other factor is considered not conducive to the efficient and economic delivery of the Products. If for any reason the Company fails to receive satisfactory off-loading conditions or facilities on site the Merchant is required to arrange to accept the consignment into its store. Where a consignment or part thereof is returned to works for any reason the Company reserves the right to debit the Merchant’s account with the inward and outward haulage, loading and off-loading charges involved and any related costs and expenses. 4. Off-Loading The Merchant is required at all times to provide sufficient labour for off-loading the Products from the Company’s provided transport and where the Company undertakes to deliver direct to building site at the request of the Merchant, the Merchant is required to arrange that similar off-loading facilities are provided at the site. Labour provided for this purpose shall be at the entire risk of the Merchant or its customer. The Merchant shall be responsible for employer’s liability and public liability insurance in respect of the labour. Any claim for injury or otherwise shall be the liability of the Merchant or its customer in such instances. Materials delivered must be off-loaded on arrival at destination, otherwise demurrage will be charged to the Merchant at the then current cost per hour for operating a Company vehicle, and offloading discounts, otherwise applicable will be disallowed. The following are the times allowed for off-loading vehicles (a) Merchant Stores Mechanical - One (1) hour Manual - One (1) hour (b) Sites - One (1) hours
The Company reserves the right to reject requests for site deliveries where there is evidence that the maximum off-loading time is being exceeded.

5. Stock Conditions The Company shall not accept responsibility for the condition of Products incorrectly stored at Merchant’s premises or on building site or for materials retained in Merchant’s store or on building site. 6. Damage in Transit If the Merchant alleges that the Products delivered to his store or to building site at his request, by Company provided transport, were damaged in transit or otherwise defective, the Merchant is required to notify the Company in writing of such allegation at the point of receipt of goods or by close of business the next working day. The alleged damaged or defective Products must be held for examination by the Company’s representative and if the Company is satisfied those Products were so damaged or otherwise defective the Company will affect collection and replacement of such products free of charge. Returns: The return of products to the Company for credit or replacement is subject to prior examination of the Product or Products concerned by a representative of the Company. If satisfied that there are grounds for return of the Product or Products, the Company will advise the Merchant and arrange credit or replacement, whichever is applicable. No return of material can be accepted by the Company without a valid material return order number(s). 7. Exclusion of Warranties and Conditions (a) The Company gives no warranty as to the description of Products sold and the Merchant, having had an opportunity of inspecting the Products prior to purchase, shall be deemed to have purchased, and hereby acknowledges that he has purchased the same, with full knowledge of their state, condition and quality and has accepted such state, condition and quality. 23

(b) Without limitation to the provisions of clause 7(a) above, the provisions of section 13, 14 and 15 of the Sale of Goods Act, 1893 as amended by the Sale of Goods and Supply of Services Act 1980 shall not apply to the Sale of Products by the Company. The Merchant acknowledges that it purchases Products in the course of business and that the exclusion of warranties as herein provided is reasonable. (c) The Merchant acknowledges that it has not relied on any statement, promise or representation made or given by or on behalf of the Company which is not set out in these Terms and Conditions. 8. Passing of Risk and Acceptance of Products
1. The risk in the products shall remain with the Company until delivery and shall pass upon delivery to the Merchant, with the exception of collections at company sites arranged on behalf of the merchant or carried out directly by the merchant.
Delivery shall be deemed to have taken place as follows: (a) At the Merchant’s store by a representative of the Merchant handing to the Company’s lorry driver a signed receipt docket or on completion of the off-loading of the Merchant’s order, on production of a valid name if signature is missing or illegible, or on production of GPS data for the delivery vehicle (b) At the premises of the Company by the Merchant’s representative or the Merchant’s carriers of agents handing a signed receipt docket to the Company’s representative, on production of a valid name if signature is missing or illegible. Or on production of company data detailing merchant vehicle or merchants agents vehicle(s) on site including gross and tare weight (c) At building site at the nearest hard road surface to requested point of discharge and then by the representative of the Merchant’s customer handing a signed receipt docket to the Company’s lorry driver, on production of a valid name if signature is missing or illegible or on production of GPS data for the delivery vehicle 24
2. The handing of a signed receipt by the Merchant’s representative or the Merchant’s carriers or agents to the Company’s representative or the lorry driver delivering the Products will certify that the Products have been received in good order, condition and quality and the signed receipt will be conclusive evidence of such good order, condition and quality and the Product shall be deemed to have been accepted by the Merchant at such point. Subject to Clause 6, the Company shall not be liable for any claims arising through damage in transport through any cause whatsoever.
Note: Lorry crews are NOT obliged to do more than to present the Products to the side of the delivery vehicle for receipt by the Merchant’s or building site off-loading personnel.
9. Reservation of Ownership Notwithstanding delivery, and the passing of risk in Products or any other provision of these Terms and Conditions, the property in and legal title to Products shall not pass to the Merchant until the Company has received, in cash or cleared funds, payment in full of the price of Products (including any interest thereon due under clause 12 hereof) and of all or any other monies owing to the Company by the Merchant under all contracts between the Company and the Merchant together with any Value Added Tax payable by the Merchant in respect of any such payment. Until such time as the property in and legal title to Products passes to the Merchant the Merchant shall: (a) Hold Products as the Company’s fiduciary or bailee; and (b) Keep Products separate from all other merchandise of the Merchant and Third Parties and keep Products properly stored (at no cost to the Company), protected and clearly marked and identified as the property of the Company; and (c) Insure Products (at no cost to the Company) for a sum not less than the full price of Products (including Value Added Tax) and any monies received by the Merchant on foot of any insurance policy in respect of the damage to, deterioration, loss or Destruction of Products shall be held in trust for the Company.
The Merchant shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the Products which remain the property of the Company but, if the Merchant does so, all monies owing by the Merchant to the Company shall (without prejudice to any other right or remedy of the Company) forthwith become due and payable. Until such time as the property in and legal title to Products passes to the Merchant (and provided Products are still in existence and have not been resold) the Company shall be entitled at any time to revoke the Merchant’s right of sale by notice to the Merchant and require the Merchant to deliver up the Products to the Company and if the Merchant fails to do so forthwith, to enter upon any premises of the Merchant (or any third party where Products are stored) and repossess Products and, if necessary, to sever Products so long as they remain identifiable and retrievable from any other Product, land, vehicle or vessel into or onto which they may have been incorporated or attached PROVIDED ALWAYS THAT nothing in this clause shall confer any right upon the Merchant to return Products or to refuse or delay payment therefore.
10. Limits on Liability Notwithstanding any other provision in these Terms and Conditions, the Company’s liability to the Merchant in respect of breaches of these Terms and Conditions (whether in contract, for breach of statutory duty or otherwise) shall be limited to the price of the Products.

Until such time as the property in and legal title to Products passes to the Merchant, the Merchant shall be entitled to resell or use Products in the ordinary course of its business at market value, and any such sale shall be a sale of the Company’s property on the Merchant’s own behalf and the Merchant shall deal as principal when making such a sale. The Merchant shall hold the proceeds of any such resale as trustee for the Seller. The Company shall be entitled to recover payment for the Products notwithstanding that ownership of any of the Products has not passed from the Company. However, the Merchant’s said power of sale shall automatically cease if a receiver is appointed over any or all of its assets or a winding up order is made against the Merchant or the Merchant goes into voluntary liquidation (otherwise than for the purpose of reconstruction or amalgamation) or calls a meeting of or makes any arrangement for composition with its creditors or commits any act of bankruptcy.
The Company shall not be liable for loss, injury (save where as a result of the negligence of the Company), damage, or claim of any kind whatsoever including consequential loss arising out of or in connection with the use or misuse of Products supplied by the Company whether or not the Products were manufactured by the Company and whether or not such loss, damage or claim be occasioned by the negligence of the Company or of any person for whom the Company may be responsible. The Company shall not be liable for failure to deliver or delay in delivery of Products by any particular date or for any direct, indirect or consequential loss (all three of which terms include, without limitation, pure economic loss, loss of profits, loss of business, depletion of goodwill or similar loss), costs, damages, charges or expenses sustained by the Merchant or his customer as a result of such failure or delay. 11. Force Majeure In the event of an act of God, Governmental direction or other authoritative direction or intervention, strikes, lock-outs, disputes or refusal of labour or other industrial, civil or international unrest (whether the same effects the Company, its suppliers or agent) or any other cause of whatsoever nature beyond the control of the Company (a “Force Majeure Event”) the Company shall not be liable for any delay in delivery, non-delivery, destruction or deterioration of all or any part of the Products or for any other default in the performance of the Contract arising there from and the Company shall have the option to cancel the Contract either wholly or partially or postpone delivery until the end of the Force Majeure Event. In the event of any such cancellation or postponement by the Company the Merchant shall have no claim whatsoever against the Company. 25
12. Credit Terms
Standard Conditions of Sale
New accounts are strictly payment in cash with order but after a period (to be determined at the Company’s sole discretion) Merchants who comply with the conditions and qualification and undertake to purchase Products in each calendar year with a minimum aggregate invoice price of €20,000 (or, where applicable, the sterling equivalent) may be considered for an approved credit account. All credit accounts shall be settled in full within the terms set out by the Company. Failure by the Merchant to discharge accounts within the prescribed period shall entitle the Company to suspend supply, and continuous late payment may lead to termination of credit facilities by the Company. The Company shall be entitled to interest and compensation on late payments in accordance with the EC (Late Payment in Commercial Transactions) Regulations 2002 and the Merchant will also be held responsible for the payment of any legal or other expenses incurred in the collection of overdue accounts. No payment shall be deemed to have been received until the Company has received cleared funds. 13. Price Variation The Products are invoiced and deemed to be sold at the prices prevailing at the date of collection or delivery. The price for the Products shall be exclusive of any value added tax and where there are any additional costs or charges in relation to packaging , unloading, carriage and insurance, the Merchant shall pay for same in addition to when it is due to pay for the Products. 14. Trade Discount/Rebates The Merchant shall be entitled to receive trade discount and/or rebate in accordance with the Company’s prevailing structure for Products delivered or collected. The Company reserves the right to set off any trade discount and/or rebate that may have accumulated against the Merchant’s account at any time without the Merchant’s prior approval. A credit note will be issued to the Merchant for any amount set off. 15. Cancellation The Company reserves the right to terminate its trading association

with a Merchant on failure of the Merchant to comply with these Terms and Conditions. 16. Proper Law and Jurisdiction This contract and any contract formed under its terms shall be governed by and construed in all respects, including the formation thereof and the performance hereunder, in accordance with the laws of the Republic of Ireland and all disputes arising in relation to this contract shall be submitted to the jurisdiction of the courts of the Republic of Ireland save that the Company retains the right to take proceedings in any other court of competent jurisdiction. 17. Assignment The Company may assign any Contract or any part of it to any person, firm or company. The Merchant shall not be entitled to assign any Contract or any part of it without the prior written consent of the Company. 18. General Each right or remedy of the Company under the Contract is without prejudice to any other right or remedy of the Company whether under Contract or not. Failure or delay by the Company in enforcing or partially enforcing any provision of the Contract shall not be construed as a waiver of any of its rights under the Contract. Any waiver by the Company of any breach of, or any default under, any provision of the Contract by the Buyer shall not be deemed a waiver of any subsequent breach or default and shall in no way affect the other terms of the Contract. If any provision of the Contract is found by an court, tribunal or administrative body of competent jurisdiction to be wholly or partly illegal, invalid, void, voidable, unenforceable or unreasonable it shall to the extent of such illegality, invalidity, voidances, void ability, unenforceability or unreasonableness be deemed severable and the remaining provisions of the Contract and the remainder of such provision shall continue in full force and effect.
