It is evident that the Federal Republic of Iraq – a nation for whom I have such great respect and affection – is now steadily generating more outstanding opportunities for international commercial partnership. It is an honour to chair such a strong and cohesive body of major international companies who share the common goal of taking up such partnership opportunities for the benefit of all – not least the millions of Iraqi people whose desire and determination to gain skills, start businesses and forge international links is so much to be admired. It is a particular privilege to be working so closely in this essential endeavour with the government of Iraq and with the government of the United Kingdom. I warmly welcome the generous words, contained within these pages, from Prime Minister Nouri al-Maliki and Prime Minister

Foreword by His Excellency Nouri al-Maliki Prime Minister of the Republic of Iraq

Dear Baroness Nicholson and friends of the Iraq Britain Business Council It is my pleasure to share with IBBC, the vision, the policies and the strategies drawn by the Iraqi government as part of its overall efforts to modernise the Iraqi economy. Having realised the importance of a sustained economic growth through private investments, we have embarked on a mission aimed at rebuilding the country by attracting local and foreign direct investments. We believe such investments will contribute to the transfer of technology required to improve the quality of life in Iraq. The year 2011 witnessed the signing of a number of bilateral agreements with several countries in order to facilitate the smooth entry of investors into Iraq and to protect their rights and privileges drawn by Law 13 of 2006 (Investment Law). This is part of a new economic vision that will contribute positively to the achievement of significant growth in all economic sectors.

Positive developments As a result we witnessed, over the past few years, many positive developments. For instance, the Iraqi government has succeeded in developing and implementing a set of policies to efficiently control inflation and government spending. The Iraqi government has also made good progress in its effort to restructure its state-owned banks to be in line with what is happening globally. Iraq has agreed to a set of policies with the IMF and the Paris Club to reduce the sovereign debts of the country. New legislative measures have also helped the economy from being heavily dominated by the public sector to a market

economy driven by the supply and demand of products and services from both private and public enterprises. As a result of these policies Iraq’s economy will be among the fastest growing economies in the world over the next few years.

Oil and gas sector It is well known the oil and gas sectors are the most promising. This stems from Iraq having proven oil reserves of up to 143 billion barrels and probable oil reserves estimated to significantly exceed the proven reserves. Iraq also has very large reserves of natural gas of up to 126.7 trillion cubic feet. Foreign investments in this sector have grown significantly over the last few years and we believe this sector will continue to lead the other economic sectors for the foreseeable future.

Electricity sector Iraq has yet to realise its need for electric power and hence a significant investment is required in order to meet domestic demand. We aim to more than double the country’s generated capacity. At present, Iraq generates about 7500MW which is almost half the current domestic demand for electric power. This demonstrates the need for significant investment in this sector to meet the growing demand which is expected to be 20000MW by the year 2015.

Housing sector As for the housing sector, the five-year development plan 2010-2014 published by the Ministry of Planning in Iraq indicated that there is a need to build two million housing units as well as supporting infrastructure. As a result, the

telecom networks. These opportunities include the modernisation of the country fibre-optic backbone network, the licensing of a fourth mobile operator and the introduction of 4G mobile services.

Transport sector In the transport sector, the road and railway networks need a significant improvement which generates tremendous investment opportunities to construct roads, bridges, airports and ports throughout Iraq. The opportunities include the development of the Grand Faw Port in Basrah, building a new airport in the Middle Euphrates region of Iraq and the construction of new highway and railway networks as well as the modernisation of existing land transport networks and rehabilitating the airports of Baghdad, Mosul and Basrah.

Telecoms sector It is well recognised that the Iraqi telecommunication market is the fastest growing in the region and that large investments are needed in order to meet growing demands for fixed landline and mobile services. The demand for more bandwidth generates fascinating opportunities for investors to improve the

Industrial sector The publicly owned industrial sector currently consists of 76 state-owned enterprises which own and operate more than 220 factories and production lines. Based on the current government policy which aims at encouraging private-public partnership (PPP), the Ministry of Industry and Minerals has announced many private-public partnership opportunities for rehabilitating and operating a number of these factories. Finally I would like to take this opportunity to invite international investors to expand their presence in Iraq and take advantage of the wide range of investment opportunities in all sectors of the economy. I am delighted to contribute to this Iraq Britain Business Council (IBBC) publication. Given the importance of building our trade relations, we need to keep highlighting the potential for UK companies working in Iraq.

its historic position as a major economic force in the Middle East. We therefore have commercial sections within the British Embassy in Baghdad, the Consulate General in Erbil and the office of the British Embassy in Basrah.

Financial sector is key

IBBC link

The Iraqi economy is heavily reliant on oil; it has the fourth-largest oil reserves in the world and recent estimates show it could now move into third place ahead of Iran. This sector traditionally provides more than 90% of foreign exchange earnings and is a sector where British excellence is widely recognised.

UKTI has had a long-standing association with the IBBC. After all, we have a shared desire to enhance trade, investment and economic cooperation between Britain and Iraq. Building and maintaining longer-term business relationships is one key to success. The consistent message we have heard from the Iraqi government is that British companies are very welcome but that they need to be more visible and proactive.

Substantial role for UK companies The British government wants to see UK companies play a substantial role in the reconstruction of Iraq’s essential infrastructure. British firms are active in Iraq in a range of other sectors, including power, water, health, telecommunications, construction and education and training. UK Trade & Investment (UKTI), in full collaboration with Foreign Office colleagues, will continue to advise and work with British businesses on how they can best contribute to the development of Iraq for the benefit of the Iraqi people. Historic opportunity

Working with Iraq

While there are still security issues, the rebuilding of the country could prove to be one of the biggest global investment opportunities since the start of this century. Yet the Iraqi Government keeps advising that they are not seeing UK companies on the ground, unlike European competitors such as those from Germany, France and Italy. The UK is committed to Iraq’s development, as shown by UK companies contributions to this publication. We look forward to working with the IBBC and with the Iraqi Government to ensure UK companies can play their full part in the construction of the New Iraq.

Let me say it is a real pleasure to be asked to contribute to this important IBBC brochure. I would also like to thank Baroness Nicholson and all IBBC members for your contributions to the rebuilding of Iraq – a nation whose future looks staggeringly prosperous.

Economic growth The signs are good. While much of the developed world struggles to drag itself out of recession Iraq is registering real growth of around 9% a year with the IMF predicting growth at a higher rate in 2013. Iraq may have its difficulties, but that does not include low growth. And investors should know that right now there is a tremendous imbalance between the potential wealth of Iraq and its current situation in terms of both consumer goods and infrastructure. So the catch up is going to be immense. Clear sighted major global corporations are already positioning themselves for this. I would say Iraq has all the ingredients and determination to become one of the most successful economies in the world. The workforce is well educated and available to investors needs. Iraq’s cost base is one of the most competitive globally, and even after the generous tax free period of at least 10 years, corporation tax is just 15%. I would also mention the ample opportunities and benefits of partnering with Iraqi state-owned enterprises, service providers, and established independent companies - apart from tax benefits local partners can expedite and navigate the legal and regulatory landscapes as well as provide vital market knowledge.

What we can do for you As Chairman of Iraq’s National Investment Commission (NIC) it is my mission to help foreign companies and investors to become part of the massive and historic reconstruction effort. To this end we are supporting some changes to Iraqi law with exemptions, incentives and guarantees being made available to foreign investors. The NIC works on a national and provincial level – acting as a one-stop shop to help foreign companies enter and operate efficiently in Iraq and help investors obtain licences, tax exemptions and land. What is IBBC? The IBBC facilitates business, trade, investment, human resources, training and transfer of technology and know-how into the Republic of Iraq, seeking to bring together Iraqi, British and international companies and public sector bodies through a joint platform identifying mutual interests and common goals. It is a powerful network of the most important Iraqi, British and international business organisations enjoying high-level support from both Governments and the EU. Committed to a free, prosperous and diverse Iraq, The IBBC has created strong relationships that benefit business, industry and the people of Iraq. The IBBC is fully supported in its goals by Prime Minister Nouri al-Maliki, and, through him, the National Investment Commission. The IBBC is more than a business initiator, aiming, in co-ordination with the Iraqi Government to promote best practice and international standards to facilitate business in Iraq, which is

a high potential, emerging market. Following considerable improvements in security and the successful creation of democratic institutions, Iraq needs to revive and expand her economic base to bring economic security and prosperity to her people. The IBBC, funded privately by its Members, operates through an independent secretariat in London and is playing a major role in the development of UK trade and investment with Iraq. In addition to the monthly Executive Board, the bi-annual Business Council, and the bi-monthly Sector Table meetings, IBBC Events include: • Two major conferences in London each year, as well as two receptions in the House of Lords • An annual weekend is held at Cumberland Lodge in Windsor, where invited speakers add to a discussion about a topic of relevance • Irregular round-table dinners (between four and six per year) held at the Reform Club in London • Occasional seminars and study groups on subjects of high value (such as the fight against corruption and the impact of the Bribery Act) • Frequent Trade Delegations are arranged – a minimum of four each year – varying in location between Baghdad, Basrah and Erbil The IBBC is broadly based and driven by the private sector, working closely with Iraqi and British Governments.

The Iraq Britain Business Council has, at its core, a limited number of Sector Tables led by Founder Members; each Table consisting of a small group of companies that have a business interest in the relevant sector. Founder Members are invited to recruit new members and define the goals they would like to achieve.

Oil and gas: With oil reserves of over 115 billion barrels, Iraq has the world’s third largest oil resources. In more recent years, these reserves have been estimated at over 350 billion barrels, and, if these reserves are proven, Iraq would have the largest untapped source of oil globally: but Iraq’s petroleum industry has been starved of capital and technological investment for decades. Chaired by John Scott of Foster Wheeler, the Oil and Gas Sector Table assists Iraq in the sustainable development of its petroleum reserves in order for Iraq to be able to enjoy the best possible economic and social development that such natural resource wealth will bring. The following companies are part the Oil and Gas Sector Table: AMEC, BP, CCC, Chevron, Dome, ExxonMobil, Foster Wheeler, Genel Energy, Gulfsands Petroleum, KBR, KCA Deutag, Kuwait Energy, Mott MacDonald, Penspen, Petrofac, RPS Energy, Saipem, Shell, SNC Lavalin, Swagelining, Vitol, Wood Group and Weir Group.

Financial and professional services: The Financial and professional services table aims to work with its Iraqi counterparts to support the promotion of a business environment that simplifies and eases the operation of Iraqi and non-Iraqi companies in Iraq. The sector table is chaired by Mrs Hamdiyah Al Jaff of the Trade Bank of Iraq and Alistair Kett of PwC. The following companies are part of the Financial and Professional Services Table: Clyde & Co LLP, Control Risks, Erbil Chamber of Commerce, Ernst & Young, G4S, Olive Group, PwC, SKA International and the Trade Bank of Iraq.

Construction and infrastructure: With a focus on assisting Iraq in the effective and sustainable development of her infrastructure, the Construction and Infrastructure Sector Table is chaired by Hani Akkawi of CCC. Through identifying and categorising the need and best route to market for

IBBC MEMBERSHIP PROFILES The Iraq Britain Business Council (IBBC) was founded in 2009 and today we are very proud of the size of membership which represents a remarkable collection of world class companies. At present our membership operates broadly across four sectors: oil and gas, construction and infrastructure, financial and professional services and education and training. We are also launching sector tables in IT and telecommunications, health, agriculture, manufacturing, security and tourism. We also have plans for non sector specific tables in areas such as: corporate social responsibility, legal environment and sports. These are exciting and challenging times for Iraq and for our growing collection of IBBC members whose long term goal is to cover all sectors of the Iraqi economy.

In September 2012 a joint venture was established between BIOGH and the Free Zone Authority (FZA), an independent authority under the Ministry of Finance. BIOGH will develop a highly secure dedicated oil and gas Free Zone close to Basrah International Airport and adjacent to port Khor Al Zubair. The Free Zone will extend to 11 square kilometres of mixed use industrial, logistics, oil and gas storage, commercial and residential accommodation and a variety of ancillary uses. The project will provide substantial benefits to the local population and businesses. The oil and gas Free Zone is predicted to employ or train

some 10,000 Iraqi nationals in the first 12 years of operation and Iraqi employees’ salaries will be 50% free of income taxation. There are significant and direct benefits to the tenants at the Basrah Oil and Gas International Free Zone. All international imports and exports, including all imported machinery, equipment, raw materials and intermediate goods, will be exempted from customs duties. To further benefit the tenants, the project will have its own dedicated customs and administration facilities and an attractive banking and finance system exempting the tenants from the capital gains tax, foreign exchange and permitting off-shore banking and the free repatriation of gained capital.

BP IRAQ BP is one of the world’s largest energy businesses, renowned for its intrepid exploration, frontier engineering and technological innovation. The company has a long history of exploration and production in Iraq and is a key partner in the transformation of the Rumaila oilfield in Southern Iraq. BP has long been involved in the exploration and production of oil in Iraq. In 1953 the Iraq Petroleum Company (IPC), of which BP was a key partner, discovered oil in Rumaila, near Basra in southern Iraq. In more recent times, we became one of the first International Oil Companies to enter Iraq in 35 years. Alongside China National Petroleum Corporation and the State Oil Marketing Organisation, BP is working through a Technical Service Contract with Iraq’s state-owned South Oil Company to re-develop Rumaila and through it, support the development of a modern Iraq. The contract was signed in November 2009. Prior to that, BP supported the field’s operation through a three year memorandum of understanding to provide technical assistance. The contract has a 20year lifetime and will aim to nearly triple production in the second half of the next decade, making Rumaila the second largest producing oilfield in the world. We believe there are still considerable reserves to be accessed some 60 years after it was first discovered and new horizons are expected to be found that will keep Rumaila in production well beyond the 20 year contract. Rumaila will benefit from over 100 years of BP experience in pioneering technologies and working at the frontiers in the most challenging environments.

The Rumaila oilfield – a supergiant in all respects Rumaila is the largest oilfield ever discovered in Iraq and is currently the fourth largest in the world. SHELL Shell’s presence in Iraq dates back to the early days of the development of the Iraqi oil and gas industry, including the discovery of the Kirkuk oil field in 1927. Hans Nijkamp, Shell

In recent years, Shell has been actively supporting the Iraqi Ministry of Oil, by conducting detailed reservoir studies in the Kirkuk field and in Missan region, as well as a joint Gas Master Plan for the country.

Majnoon field Shell Iraq is the lead operator of the Majnoon field and holds a 45% share. Majnoon is one of the largest oil fields in the world, estimated by the Iraqi government to have about 38 billion barrels of oil. Shell and the Iraqi Ministry of Oil signed a final agreement in late 2011 to set up a joint venture: Basrah Gas Company, to capture gas produced with oil from fields in the south. This gas is currently flared. Once the new venture begins gas will be used to generate electricity and sent to the national grid. The rest will be exported to earn revenue for the government.

Working with local communities In 2011, we continued to work with local communities to help them share the benefits of energy production. We have provided an estimated 1100 jobs for local people, mostly on construction related activities and oil field services.

Shell also worked with the AMAR International Charitable Foundation and the Basrah Health Directorate to set up a scheme to train 50 Iraqi women volunteers in health education.

TRADE BANK OF IRAQ Trade Bank of Iraq – wholly owned by the Government of Iraq – was established in July 2003 to facilitate Iraq’s international trade and the reconstruction of the country after the expiration of the UN Oil-For-Food Programme. Hamdiyah al-Jaff, Trade Bank of Iraq

The bank quickly developed into a highly credible and effective organisation. In a short period of time, TBI built relationships with an international network of 134 prime banks – the consortium banks being at its core – covering 63 cities in 39 countries. This gave TBI a truly global reach, a competitive advantage and the ability to provide a diverse range of services.

TBI achievements TBI started with a relatively humble capital of US$ 96.1 million in 2003. The paid up capital was increased to US$ 427.35 million in 2008. The shareholders’ equity increased to US$ 1.5 billion as at the close of 2010. An early success was signing agreements with 17 of the largest export credit agencies around the world. Another was the fact that TBI was one of the

first Iraqi banks to receive lines of credit from major international financial institutions. TBI has a prudent credit policy in place, and among the many other ‘firsts’ the bank can claim is the introduction of Iraq’s first fully automated online banking system, being the first Iraqi bank to issue VISA credit cards, and the development of the first nationwide network of ATMs in the country. Presently, we are rolling out ATMs across the country. TBI is also the most experienced Iraqi bank in the issuance of letters of credit and letters of guarantee.

TBI awards TBI has been voted in 2007, 2008, 2009 and 2011 as best trade bank in the Middle East by Trade and Forfaiting Review Magazine, London and GTR has nominated TBI as the best bank in business continuity in 2010 after the bank was a target of terror attack and then it was able to return to normal working within in less than 2 working days.
