BYLAWS OF DAUFUSKIE MARSH TACKY SOCIETY A NON-STOCK, NOT-FOR-PROFIT CORPORATION
Executed by the undersigned, whom are citizen(s) of the United States, for the purpose of defining the guiding principles and policies between the membership and organization of Daufuskie Marsh Tacky Society, a South Carolina non-stock, not-for-profit corporation (the "Organization") under the Non-Profit Corporation Laws of South Carolina, do hereby certify: Article I. Name and Place of Business 1. The name of this Organization shall be DAUFUSKIE MARSH TACKY SOCIETY, herein in this Constitution and Bylaws called the Organization. 2. The business office of the Registry shall be DAUFUSKIE MARSH TACKY SOCIETY, with a physical address of 58 Freeport Rd and a mailing address of Box 87, Daufuskie Island, SC 29915. Article II. The Purpose of the Organization 1. This Organization is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. 2. The Organization exists for the protection, preservation and conservation of the critically endangered Marsh Tacky horse through breeding, training and sales. Furthermore the Organization exists for raising awareness and promotion of the critically endangered Marsh Tacky horse to the public though educational and special events programming.These purposes and objectives shall be maintained with an emphasis on the Marsh Tacky horse in the context of its historical roots and native habitat on Daufuskie Island, SC. 3. To cooperate with other organizations and/or institutions whose databases can supply an accurate count of existing Marsh Tacky horses, and/or provide information such as color, offspring, date of birth, awards, strain information and other pertinent data to ensure carefully selected breeding practices that guarantee the breed’s integrity. 4. To provide inclusive access to Daufuskie Marsh Tacky Society programs and/or events designed to spotlight and/or benefit the Colonial Spanish Marsh Tacky horse. Article III. Membership and Dues 1. An eligible member shall be any individual or entity attesting their support with the purpose and objectives of the Organization by payment of annual dues as provided in the Bylaws. All memberships shall be granted upon majority vote of the Board. 2. Organizations which use the majority of their resources to promote the Colonial Spanish Horse in any manner may request membership in writing at no charge. 3. The Organization shall be composed of members which have the privilege of attending and participating in the meetings and sponsored events of the Organization. 4. Membership levels will be clearly defined in writing to include fees and associated benefits, including whether or not the membership runs with the legally enforceable right to vote.
