THE ENGLISH-SPEAKING UNION OF THE COMMONWEALTH Annual General Meeting 2011 The Annual General Meeting will be held at 6.30vpm on Thursday 17 November 2011 at Dartmouth House, 37 Charles Street, London W1J 5ED. AGENDA 1. Chairman’s Report 2. Auditor’s Report and adoption of the Accounts for the year ended 31 March 2011 3. Chairman’s Announcement The Chairman will announce that she is calling a poll of members in respect of Items 4 and 5 of this Agenda. A ballot paper together with biographies of candidates will be posted to all ESU members following the AGM. The closing date for votes will be 5 pm on 21 December 2011. 4. Election of Honorary Officers Pursuant to Bye-Law 37, Mr Jonathan Dye (Deputy Chairman), Sir Peter Jennings (Deputy Chairman) and Mr Alan Cox (Hon Treasurer), having been elected during the year by the Board of Governors to fill casual vacancies must retire from office but are eligible for re-election. There is one additional vacancy for a second Honorary Treasurer. The names of nominees who have been duly proposed and seconded for the FOUR Honorary Officer positions appear on the ballot paper. 5. Election of Governors a) Pursuant to Bye-Law 50, Mr Alexander Finnis, Ms Jennifer Hibbert, Mr Steven Isserlis CBE, and The Lord Watson of Richmond CBE, having completed six years in office, retire and are not eligible for re-election. b) Pursuant to Bye-Law 37, Mr Derek Morgan, Mrs Gill Prior, Mrs Holly Shakespeare and Mr Roger Tilbury, having been elected during the year by the Board of Governors to fill casual vacancies must retire from office but are eligible for re-election. c) Twelve additional Governor positions remain unfilled. The names of nominees who have been duly proposed and seconded for the TWENTY vacant governor positions appear on the ballot paper. 6. Co-opted Governors (For information only) Pursuant to Bye-Law 37, the Board of Governors at its meeting on 29 September 2011 co-opted Mr David Cheeseman to the Board of Governors. 7. Auditor’s Remuneration Pursuant to Bye-Law 78, the Board of Governors seeks authority to fix the Auditor’s remuneration for the ensuing year. 8. Any other business
