SECTION ONE PROCESS I PEOPLE I SERVICES I

DESIGN PROCESS HOK’s process for designing the Equinox Brickell Heights Fitness Center and Spa would be highly collaborative, utilizing the best expertise of HOK, our consultant team and the Equinox team. Our goal would be to combine the extensive expertise of the Equinox team in having developed over 50 Equinox locations with the creativity and design expertise that HOK has in developing unique environments that respond to the brand and functional requirements of our clients. The process would start with having a Kick-Off Meeting to take a deep dive into understanding the: Equinox brand, design philosophy, Equinox design standards, goals for this project and review the program and block plans developed. We would discuss team roles, lines of communication, schedule expectations and budget. HOK would ask the right questions to clearly understand Equinox’s goals and priorities for this project and document those to guide us throughout the design process. Initially, we understand that there are early decisions to be made and coordination with the base building. This team has experience with this, and is prepared to work diligently with our consultants to resolve these issues. As we move into Schematic Design, we would start by conducting a site visit with our consultant team to thoroughly understand the design opportunities and constraints of the site. We would review the mood boards supplied by Equinox as well as gather inspirational imagery that responds to the culture of Miami. HOK would review the design opportunities, constraints and imagery with Equinox, and with your feedback, would then launch into a design charette. We would model the space three dimensionally in REVIT to be able to study the design and volumes of space. In collaboration with the Equinox consultants and our engineering/ consultant team, we would develop all of the plans, elevations and sketches required to define a strong, creative design concept that embodies the Equinox brand. We would review the approved space plan with the City of Miami officials to ensure that there were no code issues. HOK would produce a pricing package that would then be used to review with the cost estimator to develop a cost

model and ensure that we are designing within budget and make any necessary adjustments. In Design Development, we would work closely with the Equinox Consultants and our engineers and consultants to fully develop the design. This would involve developing: floorplans, reflected ceiling plans, elevations, millwork design, lighting design, finish palettes, and interior vignettes of key areas. We would present the design to Equinox at two presentations and incorporate your input to refine the design. The Design Development will be documented in a Pricing Set to once again insure that we are designing within budget and make any necessary adjustments. During Construction Documentation, HOK will be finalizing the drawings in coordination with our engineers and consultants. HOK will review the Equinox Design Standards to incorporate as many of your typical details as possible making necessary modifications for this specific design. We will develop a thorough set of construction documents and specifications needed to permit, bid and build the project. The HOK team will conduct two coordination and review meetings during this phase as well as one final presentation in New York. While the Bidding and Negotiation process is taking place, HOK and our engineers will respond to all requests for information from the general contractors and make adjustments to the documents or specifications to meet Equinox’s budget. During Construction Administration, HOK will attend weekly construction meetings and conduct site visits to ensure that the design is being built as documented and per our specifications. We will provide progress photos of the site visits to Equinox and the team. HOK will review all submittals, shop drawings and respond to all requests for information in a timely manner to make sure that the general contractor has the information he needs to keep the process moving. Our attitude during construction is to be very much a team player, be proactive in resolving issues quickly and stay one step ahead of the general contractor. As the construction is completed, HOK will conduct a site walk with the general contractor for him to document a punch list and we will review it again to ensure that every detail is complete and meets Equinox’s expectations.


HOK will fulfill all of the scope and deliverable requirements as defined in the Equinox RFP below:

PHASES OUT OF SEQUENCE SERVICES AND SPECIAL CONSTRUCTION

(TO PROTECT THE PROJECT’S INTERESTS DURING THE DESIGN AND CONSTRUCTION/RENOVATION OF THE BASE BUILDING. AND DUE TO THE BUILDING’S DEVELOPMENT AND CONSTRUCTION SCHEDULE, SOME ELEMENTS OF OUR TI WILL NEED TO BE DESIGNED AND COORDINATED EARLIER THAN TRADITIONALLY SCHEDULED SUCH AS COORDINATION OF INTERNAL STAIR DESIGN, SLAB PENETRATIONS AND DEPRESSIONS, ANYTHING THAT AFFECTS BASE BUILDING ELEMENTS OR SYSTEMS, MPOE LOCATIONS COORDINATION, MAJOR INFRASTRUCTURE SYSTEMS DESIGN, ETC. PLEASE PROPOSE A SEPARATE LUMP SUM, NTE FEE TO COVER THESE ISSUES.) 1.Design and resolve all LL/tenant design and coordination issues as spelled out in the work letter such as the following in advance of complete TI design in order to protect Equinox’s interest • •

Acoustical Separation – Structural Engineer to review and advise on the hertz of the structure, Acoustical Engineer to prepare proposed isolation strategies coordinating with the Structural Engineer MEP Design – MEP Engineer to review base building design and advise as to whether it meets Equinox’s needs, as outlined in work letter, if not, detailed recommendations need to be made on Equinox’s behalf, as well as development of any TI design needed to inform the MEP Design including all pathways for services in and out, louver locations and sizing and provisions for hot water Any required slab depressions or openings for MEP or other connections to be identified and coordinated with LL’s architect for incorporation into the base building design, once reviewed and approved by Equinox Any Code Issues such as ADA access, Emergency Egress including all Stairs and Vestibules, occupancy etc Entry Doors and Window Details, Including Glazing System and Louver Locations as they relate to our Blocking Plans, Design Goals and MEP needs Grade levels as they relate to proposed Entries and Exits Viability of Proposed Internal Stair Design and Location from an Architecturaland Structural Standpoint Achievable Ceiling Heights to underside of slab and various beam heights

2. Attend bi-weekly meetings with LL/Developers design team for duration of project until LL delivery of space 3. Review and comment on all issuances of Base Building Construction Documents and Shop Drawings as they relate to the Project Space/Design 4. Make field visits to observe construction progress of the Base Building as it involves the Project Demised Area 5. Alert Equinox immediately and modify the Project’s Construction Documents as required to accommodate conditions that differ from those anticipated by Base Building Documentation. 6. Prepare sketches or documents expeditiously as needed to communicate design intent or coordination with the Base Building Architect in order to prevent schedule delays. 7. Deliverables will vary but every meeting must be minuted for record by Interior Designer/Architect sign intent or coordination with the Base Building Architect in order to prevent.

SCHEMATIC DESIGN

(CONFIRMATION AND DEVELOPMENT OF EQUINOX BLOCKING, EGRESS, PROJECT KICK OFF, CONSULTANT ENGAGEMENT, TEAM IMMERSION) 1. Review of Equinox Progress Plans and Base Building Progress plans 2. Prepare and Present Detailed Milestone schedule that maps out weekly meetings, Key Presentations, Interim Review and Decision Dates, and Drawing Issue Dates – All dates must follow Equinox’s project schedule. 3. Host a 1 Day Kick off Meeting to Review Equinox Design Standards, Project Expectations, and Milestone Schedule. (Discussion to include previous project Lessons Learned) 4. Prepare BOMA SF Calculations (Usable and Rentable, and any Lease required SF calculations) for Project Space – compare against Lease Outline Drawings. 5. Review work letter for project to confirm any areas of concern. 6. Confirm and Review location of “Jack Slab” floors (if needed for acoustical isolation/vibration), isolated ceiling assemblies or other program elements to be acoustically isolated. 7. Develop plan layouts and significant feature details based on Equinox Blocking Plans. 8. Coordinate and Review all work with Equinox’s consultants and design team. Deliverables: • • • •

Schematic Design Drawings – Digital Files on Compact Disc, .FTP or Flash Drive with drawings in PDF and ACAD format (typically bound files are preferred), Printed sets if requested Milestone Schedule Floor Plans at 1/8”=1’-0”, indicating room area SF, locker counts and other pertinent program information provided on Equinox Blocking plans. Preliminary Reflected ceiling plans with elevation markers in each room indicating anticipated finished ceiling height with proposed locations of MEPS indicated. Signoff will be required on these to move into design development. This will be referred to as the “high / low diagram.” Plan diagram with proposed acoustical assemblies for each area,prepared in coordination with acoustical consultant. Overall cross sections at 1/8”=1’-0”. Five (5) black and white 3-D Vignettes of major design elements.(Review views with Equinox in advance).

9. Schedule: approximately 4 weeks 10. Meetings: This phase will include one (1) Equinox presentation, (to review the high low plans with MEP engineer) and weekly interim meetings via teleconference or videoconference IN ADDITION to any required coordination meetings with consultants. Architect is also expected to attend any needed landlord coordination meetings. Architect to issue agendas 48 hours in advance of meetings and writeminutes of all meetings to be issued for record within 48 hours of meeting.

Architect and Engineers are also expected to attend any needed landlord coordination meetings. Architect to issue agendas 48 hours in advance of meetings and write minutes of all meetings to be issued for record within 48 hours of meeting.

1. Prepare and Review a drawing list and cartoon the full drawing set for the

final CD set for Equinox review and approval. 2. Develop Floor Plans, Reflected Ceiling Plans, and Elevations. Develop critical interior details that are integral to the design intent of the project. Develop all cabinetry and millwork details describing the overall design intent of these built in elements. 3. Coordinate and Review all work with Equinox’s Consultants and design team. 4. Work with Equinox Design Team to Develop a materials and finishes schedule outlining specific products and their typical application. 5.Develop a lighting package of decorative fixtures in conjunction with the Lighting Designer, outlining specific fixtures and their typical application. 6.Deliverables: • • • • •

Enlarged floor plans on sheets for Key areas including Retail, Juice Bar, Sales Office, Spa, both Men’s and Women’s locker rooms with locker type, clearances and count – 1/4” = 1’-0” Reflected Ceiling Plans - These should include refined and developed “highlow” diagrams into reflected ceiling plans to better coordinate mechanical routing with ceiling heights. Ceiling design should be inclusive of all diffusers, sprinkler head locations, lighting fixtures, audio speakers, anticipated access panels, and all other ceiling devices that effect aesthetics (such as egress signage.) These elements should be delineated for further coordination with the mechanical, electrical, plumbing, and fire protection engineers for their finalization in the CD phase. Overall cross sections at 1/8”=1’-0”. Detail section at locker rooms at ¼”=1’0”. 4-5 3D Vignettes of key design areas rendered with finishes Progress Finish Plans in Equinox format. Sample drawing will be provided. Key details and features. Reutilize as much as possible of Equinox standard details for mirrors, railings, waterproofing, showers,millwork, etc., but modify as needed for relevant changes to finishes, construction conditions, acoustical criteria. Equinox standards and ACAD drawing samples will be provided. Required Acoustical Details for Equinox review and approval. Outline specification book for all trades including all materials,finishes and lighting selections Provide ¼” Scale drawings for the Cardio and Strength areas for Equinox internal coordination of equipment layouts, power, data and CATV. (Midway through DD) Completed Check List – Equinox to provide template Preliminary Pricing Set w/narrative for budgeting of any areas or trades not yet documented.

Schedule: Approximately 12 Weeks 8. Meetings: This phase will include two (2) Equinox coordination and review meetings,one (1) final presentation in New York, and weekly interim meetings via teleconference or videoconference IN ADDITION to any required coordination meetings with consultants. Architect is also expected to attend any needed landlord coordination meetings. Architect to issue agendas 48 hours in advance of meetings and write minutes of all meetings to be issued for record within 48 hours of meeting.

BUILDING DEPARTMENT REVIEW / LANDLORD REVIEW 1. Once the Owner releases the documents for permit and landlord review, provide clarifications to the documents as required. Assist the Owner in any meetings, reviews, and make minor adjustments to the documents and specifications in order to achieve approvals. 2. Ongoing communication in person, via email or via phone. 3. Deliverables • Clarification to Construction Documents, required in writing within 5 days of request. • Formal response to any comments in writing, within 5 days of receipt. • Minor adjustments to documents and specifications due to clarifications 4. Meetings: eight to ten (8-10) meetings are estimated during this Phase. (These are not inclusive of meetings required during the SD/DD/CD phases.) BIDDING AND NEGOTIATION 1. Once the Owner releases the documents for bidding, provide clarifications to the Contractors as required. Assist the Owner in the negotiations with the selected general contractor, including bid walks, and make minor adjustments to its documents and specifications in order to meet the Owner’s budget. 2. Ongoing communication in person, via email or via phone, quick turn around times are expected. 3. Deliverables • Clarification to Construction Documents, or response to RFIs from bidders, required in writing within 3 days of request • Minor adjustments to documents and specifications due to clarifications or to meet Owner’s budget 4. Meetings: six to eight (6-8) meetings are estimated during this Phase CONSTRUCTION ADMINISTRATION 1. Regular on site coordination, including at stud framing 2. Updated Plan Issued to Equinox of full club once framing is reviewed with overall dimensions and Program SF for each space to confirm consistency with signed off plans and design 3. Examine construction process and alert Equinox to any derivations from Construction Documents 4. Examine the construction of the Project at its conclusion 5. Deliverables: • Provide sketch drawings and general clarification to the Contractor in order to further clarify interior construction details if requested in the normal construction process. • Review shop drawings and material sample submissions within 10 days of receipt (Equinox Design Team to receive shops in parallel and be included in reviews as needed, however AOR to be responsible, any derivation from approved construction documents to be approved by Design Team in writing.) • Create and provide a punch-list of unsuitably finished elements in order to assure an acceptable level of quality control. • Provide project manual and supporting documents created during the project.Provide weekly photos and written summary of construction progress todesign team (these can be shared via email or shared site.) 6. Meetings: Attend weekly (at minimum) scheduled site meetings to evaluate construction, review progress and answer questions from the General Contractor. MEP Engineers are required on site as needed – weekly at the inception of the project for any coordination. Acoustical consultants to include at lease 3 field site visits and inspection reports to confirm that our acoustical details are followed during construction – these visits should be coordinated by the Architect

Claims for Consequential Damage The Client and Consultant waive consequential damages for claims, disputes or other matters in question arising out of or relating to this Agreement. Termination This Agreement may be terminated by either party upon not less than seven days written notice. All documents produced by Steven Feller, P.E., PL under this agreement shall remain the property of Steven Feller, P.E., PL and may not be used by the Client for any other endeavor without the written consent of Steven Feller, P.E., PL. Fees are due 30 days upon billing and are not subject to project proceeding into construction, project financing or any other reason. ALL FEES MUST BE PAID TO 90% OF CONSTRUCTION DOCUMENTS PRIOR TO SIGNING AND SEALING OF PLANS PROVIDING CLIENT HAS RECEIVED BILLS FOR THIS SERVICE IN A TIMELY MANNER. In recognition of the relative risks, rewards and benefits of the project to both the Client and the Firm, the risks have been allocated such that the Client agrees that, to the fullest extent permitted by law, the firm’s total liability to the Client for any and all injuries, claims, losses, expenses, damages or claim expenses arising out of this agreement from any cause or causes, shall not exceed our fee. DAVID KOTCH Since 1998, David Kotch has worked in nearly every aspect of the audio industry. From 1998 to 2004, David designed and optimized live sound systems, specifically for Broadway Theater. After 2004, David focused his energy on acoustical consulting, and had the opportunity to work for four global design firms: Walters-Storyk Design Group (WSDG), Engineering Harmonics (EH), Masque Sound, and a-‘ku-stiks. David’s breadth of knowledge and experience extends to many types of projects, including fitness facilities, performing arts, hospitality, education, recording studio design and broadcast facilities. His extensive portfolio offers him the ability to draw from his acquired skill set to provide creative solutions for specific situations. David’s skill set includes sound and vibration isolation, acoustical measurement, systems optimization and design, and computer aided acoustical modeling. David was educated at Lehigh University, where he graduated with honors with an architecture degree. David has presented multiple times at the AES national conference. In 2010, he won the Pro AV Spotlight Award for his work on the Dolan Studios at NYU. David is a member of the Audio Engineering Society (AES), Acoustical Society of America (ASA), Institute of Noise Control Engineering (INCE) as well as an approved noise consultant with the New York City Department of Environmental Protection (NYC DEP).

SAM NEFF Sam Neff has over five years of hands-on experience in architectural acoustics and noise control. He specializes in complex noise isolation, acoustical measurement and computer modeling projects. Sam graduated with a B.S. in Computer Science from the University of Colorado – Boulder in 2003 and returned to the University of Colorado – Denver to pursue a M.S. in Recording Arts in 2008. In 2010, Sam was hired at Walters-Storyk Design Group (WSDG) and had the opportunity to work on numerous highprofile projects in New York City and elsewhere. In 2012, Sam joined Criterion Acoustics which has afforded him the opportunity to further expand his skill set. Since joining Criterion Acoustics, he has had the opportunity to utilize his experience on a number of project types, ranging from performing arts centers and educational facilities to nightclubs and recording studios. SCOPE OF WORK FOR EQUINOX BRICKELL HEIGHTS - 6/6/2014

1) Scope of Project

The project requires acoustical consulting services for a new fitness center in Brickell Heights Miami, FL. Acoustical design and consulting will include the following:  Sound and vibration isolation design  Internal room acoustic treatment specification These services will be provided for the following spaces:  Cardio Floor  Group Fitness Studio  Yoga Studio  Pilates Studio  Cycling Studio  Strength Floor  Multi-room Spa

2) Architectural Acoustics Consulting

1. Criterion Acoustics (CA) will meet with the owner and design team to review the objectives for the project. In this meeting we will identify the essential acoustical elements and requirements for the outlined the spaces. 2. Prepare an acoustical program narrative and report that describes the essential acoustical features and design strategy for the spaces. This narrative will include: i. Overview and description of the acoustical program. ii. An outline of the wall, floor, and ceiling assemblies that will be needed to meet the required sound and vibration requirements. iii. Preliminary recommendations for the acoustic treatments needed to meet the required Reverberation Time (RT) goals. This will cover issues such as appropriate types of construction materials and the requirements for any special materials. iv. Provide preliminary recommendations to meet the outlined Noise Criteria (NC). This will include recommendations to reduce the bothersome noise generated by mechanical systems. 3. Conduct computer modeling, as required, to confirm the acoustical design strategy for the indicated spaces. 4. CA will provide design and documentation of all applicable architectural details in AutoCad and/or Revit. 5. CA will work closely with the design team to integrate the acoustical design concept into the design for the spaces. These will be refined as the design develops and evolves. 6. Review the drawings and specifications prepared by the design team to assess the degree to which the recommendations have been properly implemented.

3) Sound Isolation Design Overview

1. The primary focus of this design is to isolate bothersome noise, sound and vibration between spaces. 2. Boundary system design for sound isolation will include the following: i. Documentation of typical ambient sound levels. ii. Definition of daily operating sound levels in the spaces. iii. Boundary system modeling to ensure desired isolation is achieved and ambient levels are not exceeded in the neighboring spaces. iv. Working closely with the structural engineer to ensure the natural frequency of the structural systems is adequate 3. Design and documentation of all architectural details in AutoCad and/or Revit including but not limited to: i. Plan and sections ii. Partition types iii. Ceiling construction details iv. Decoupled floor construction details v. Penetration details vi. Door and window details vii. Speaker mounting details 4. Review the drawings and specifications prepared by the design team to assess the degree to which the sound isolation recommendations have been properly implemented and determine how the designs might otherwise affect the isolation performance of the completed facility.

4) Internal Room Acoustics Treatment Design Overview

1. Calculations and modeling can determine the required reverberation time (RT) and ensure appropriate reverberation times are achieved to maximize speech and music intelligibility. 2. Specify the acoustic treatments, which will be a joint effort between the architecture/interior design team and CA. Design and documentation of the mounting details and locations will be issued in AutoCad and/or Revit. 3. CA will review the interior design drawings and specifications prepared to assess the degree to which material recommendations have been properly implemented.

5) Architectural Acoustics Construction Administration

1. Close supervision of the acoustic aspects of the construction work is critical to the success of the completed project. CA will closely monitor the required aspects of the work to assess whether they meet the design intent in the drawings and specifications. This will be achieved through site visits and digitally submitted photographs.

2. During construction, CA advises the architect in monitoring those parts of the construction contract that relate specifically to acoustical requirements and acoustical aspects of the work. This includes the following tasks: i. Review contractor submittals and shop drawings. ii. Respond to RFIs. iii. Maintain required submittal logs. iv. Ensure compliance with the relevant aspects of the construction drawings and specifications. v. Conduct site visits to examine the progress of the work and advise the architect with respect to the acoustical aspects of the work. These visits will be documented with a letter of findings. vi. Upon substantial completion of construction, conduct a final site visit. Document this visit by providing a punch list that identifies relevant aspects of the construction work that deviate from the drawings and specifications.

6) Design Meetings & Site Visits

1. CA works closely with the design team to coordinate the design work with that of other disciplines. Design meetings are needed to facilitate the design process, offering essential opportunities for the design team to discuss and resolve a wide range of overlapping and possibly conflicting design goals. 2. Site visits during construction site provide CA with essential information about the progress of the work and allows CA to assess whether the work is being properly performed. 3. TERMS AND CONDITIONS FOR EQUINOX BRICKELL HEIGHTS – 6/6/14 Services. During the Term of this agreement (this “Agreement”) CA agrees to perform for Customer the services (the “Services”) which are described on the attached Scope of Work. This Agreement consists of the Scope of Work and these Terms and Conditions.

Performance. CA shall perform the Services with the care, skill, and diligence that are reasonably expected of a consultant in CA’s position. CA makes no other warranty, either express or implied, with respect to the Services. CA is an independent contractor and will have sole control over the method, details, and means of performing the Services. All work related to the Project other than the Services are sole responsibility of Client. CA and its associated consultants are not licensed engineers or architects, and CA’s and its associated consultants’ drawing and design documentation including structural, mechanical, architectural, and electrical information are strictly for CA’s use only. The structural, mechanical, architectural, and electrical engineering work for the Project are the sole responsibility of Client. CA shall not be prevented from rendering services for and on behalf of any person, firm or corporation in addition to Client. Client agrees that the Services, all tasks, duties, results, inventions and intellectual property developed or performed by CA pursuant to this Agreement shall be the sole property of CA for all purposes, including, but not limited to, copyright, trademark, service mark, patent and trade secret.

Payment. As consideration for performance of the Services, Client agrees to pay CA as follows (the “Fee”): See section 7 for a schedule of professional fees and hourly rates. CA may require that Client pay for materials, services and supplies at the time they are ordered from a third-party. Otherwise, CA’s invoices are due and payable at CA’s address set forth above in lawful money of the United States, without setoff, deduction or demand, within thirty (30) calendar days of Client’s receipt of such invoice. In addition to any other rights and remedies provided under law and equity, all of which shall be cumulative, any unpaid amounts shall accrue interest at the rate of 12% per annum (or, if less, the maximum rate allowed by law) beginning 10 days after the same is due until paid. No endorsement or statement on a check or letter accompanying a check or payment shall be considered an accord and satisfaction, and CA may accept the check or payment without prejudice to CA’s right to recover the balance or pursue other available remedies.

Term. The term of this Agreement (the “Term”) shall begin on the date on which both Client and CA have executed this Agreement (the “Effective Date”) and, unless terminated sooner in accordance with this Agreement, shall terminate on the completion of the Services, but no later than one (1) year after the Effective Date. This Agreement may be terminated by either party at any time, with or without cause, by giving written notice to the other party not less than thirty (30) calendar days before the effective date of termination, provided that, in the event of a termination for cause, the breaching party shall have the right to cure the breach within the notice period. Upon termination of this Agreement, Client shall compensate CA under the terms of this Agreement for the Services performed and expenses incurred through the effective date of termination. Termination of this Agreement as identified herein shall not

terminate any liability arising out of conduct prior to the actual date of termination and the obligations of both parties contained herein shall survive termination, cancellation or expiration of this Agreement. Client Responsibilities. Client shall reasonably cooperate with CA in the performance by CA of the Services, including, without limitation, providing CA with reasonable facilities and access to data, information, property and personnel of Client. Client shall be responsible for the performance of its personnel and agents and for the accuracy and completeness of all data and information provided to CA for the performance by CA of the Services. Client agrees that CA’s performance is dependent upon the satisfaction of the Client’s responsibilities hereunder and decisions and approvals of Client in connection with the Services. CA shall be entitled to rely on all decisions and approvals of Client. Client shall be solely responsible for, among other things: (a) making all management decisions and performing all management functions; (b) designating a competent management member to oversee the Services; and (c) evaluating the adequacy and results of the Services.

Indemnification. CA shall indemnify, defend and hold harmless Client, its affiliates and related entities and each of their principals, officers, directors, partners, agents, affiliates, related entities and employees (“Related Parties”) from any and all claims, liabilities, and expenses (“Claims”) arising out of or relating to the negligence or willful misconduct of CA in providing the Services or any breach of this Agreement by CA. Client shall indemnify, defend and hold harmless CA and its Related Parties from any and all Claims arising out of or relating to the negligence or willful misconduct of Client or any breach of this Agreement by Client.

Governing Law. This Agreement shall be governed by, and construed in accordance with, the laws of the state where the Project is located (without giving effect to the choice of law principles thereof). Any action based on or arising out of this Agreement or the Services shall be brought and maintained exclusively in any court of such state or any federal court of the United States, in each case located in the county or district in which the Project is located. Each of the parties hereby expressly and irrevocably submits to the jurisdiction of such courts for the purposes of any such action and expressly and irrevocably waives, to the fullest extent permitted by law, any objection which it may have or hereafter may have to the laying of venue of any such action brought in any such court and any claim that any such action has been brought in an inconvenient forum.

Interpretation. This Agreement sets forth the entire agreement and understanding of the parties relating to the subject matter hereof, and supersedes all prior agreements, arrangements and understandings, written or oral, relating to the subject matter hereof. No representation, promise, or inducement has been made by any party that is not embodied in this Agreement, and no party shall be bound by or liable for any alleged representation, promise or inducement not so set forth. If any provision of this Agreement is found by a court of competent jurisdiction to be unenforceable, such provision shall not affect the other provisions, but such unenforceable provision shall be deemed modified to the extent necessary to render it enforceable, preserving to the fullest extent permissible the intent of the parties set forth herein.

No waiver or modification of this Agreement, including any change orders, shall be valid unless in writing and signed by the parties to this Agreement. Force Majeure. Except for the payment of money, neither party shall be liable for any delays or nonperformance to the extent, and for so long as, such delay or nonperformance is caused by or results from circumstances or causes beyond its reasonable control, provided that the affected party makes commercially reasonable efforts to avoid such delay or nonperformance and resume full performance as soon as reasonably able, including, without limitation, acts or omissions or the failure to cooperate by the other party (including, without limitation, entities or individuals under its control, or any of their respective Related Parties), acts or omissions or the failure to cooperate by any third party, fire or other casualty, act of God, shortages, strike or labor dispute, war or other violence, or any law, order, or requirement of any governmental agency or authority.

Enforcement. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys’ fees and costs incurred, in addition to any other relief to which such party may be entitled. In the event of default or nonpayment by Client under this Agreement, CA shall have the right to file and perfect a lien against any real and personal property and fixtures related to the Project to the fullest extent permitted by law, and to take all such actions as may be advisable or necessary under applicable law to enforce and foreclose such lien as part of CA’s remedies hereunder.

Notices. Any notice given related to this Agreement shall be given in writing and shall be delivered either by hand to the party, by certified mail, return receipt requested, or by commercial overnight courier (e.g. FedEx) to the party at the party’s address stated above. Any party may change its address stated herein by giving notice of the change according to this paragraph.

Assignment. Neither party may assign or transfer any or all rights under this Agreement without written consent from the other party; provided, however, that CA may assign payment rights and subcontract the Services in a manner deemed appropriate by CA.

LIMITATION OF LIABILITY. IN RECOGNITION OF THE RELATIVE RISKS AND BENEFITS OF THE PERFORMANCE OF THE SERVICES BY CA, CLIENT AGREES, TO THE FULLEST EXTENT PERMITTED BY LAW, THAT THE LIMIT OF LIABILITY OF CA AND ITS RELATED PARTIES FOR ANY AND ALL CLAIMS OF ANY NATURE WHATSOEVER SHALL NOT EXCEED THE AMOUNT OF THE FEE ACTUALLY RECEIVED BY CA FOR THE SERVICES. SUCH CLAIMS AND CAUSES INCLUDE, BUT ARE NOT LIMITED TO, NEGLIGENCE, STRICT LIABILITY, BREACH OF CONTRACT, TORT AND WARRANTY. IN NO EVENT SHALL CA AT ANY TIME BE LIABLE FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, USE OF CAPITAL, CLAIMS OF CUSTOMERS, COST OF PURCHASED OR REPLACEMENT PROPERTY.

Waiver of Jury Trial. CA and Client hereby irrevocably waive, to the fullest extent permitted by law, all rights to trial by jury in any action, proceeding or counterclaim relating to this agreement.

Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which taken together shall constitute one and the same instrument. Signatures to this Agreement transmitted by facsimile, email, portable document format or by any other electronic means intended to preserve the original graphic and pictorial appearance of this Agreement and shall have the same effect as the physical delivery of the paper document bearing original signature.

Authorization. CA is authorized to begin the Services upon receipt of signed copy of this proposal. The individuals signing below on behalf of each party represent and warrant that each has the power and authority to execute this Agreement on behalf of such party, and to bind, such party hereto. In no event shall this proposal be binding on CA unless and until it has been signed by Client and countersigned by CA.

IN WITNESS WHEREOF, both parties acknowledge and agree that they have read and fully understand the entire contents of this Agreement. The parties have had the opportunity to discuss the contents of the Agreement with their respective consultants and attorneys and each other and agree that entering into the Agreement is in their respective best interests.

DAVID KOTCH Since 1998, David Kotch has worked in nearly every aspect of the audio industry. From 1998 to 2004, David designed and optimized live sound systems, specifically for Broadway Theater. After 2004, David focused his energy on acoustical consulting, and had the opportunity to work for four global design firms: Walters-Storyk Design Group (WSDG), Engineering Harmonics (EH), Masque Sound, and a-‘ku-stiks. David’s breadth of knowledge and experience extends to many types of projects, including fitness facilities, performing arts, hospitality, education, recording studio design and broadcast facilities. His extensive portfolio offers him the ability to draw from his acquired skill set to provide creative solutions for specific situations. David’s skill set includes sound and vibration isolation, acoustical measurement, systems optimization and design, and computer aided acoustical modeling. David was educated at Lehigh University, where he graduated with honors with an architecture degree. David has presented multiple times at the AES national conference. In 2010, he won the Pro AV Spotlight Award for his work on the Dolan Studios at NYU. David is a member of the Audio Engineering Society (AES), Acoustical Society of America (ASA), Institute of Noise Control Engineering (INCE) as well as an approved noise consultant with the New York City Department of Environmental Protection (NYC DEP).

SAM NEFF Sam Neff has over five years of hands-on experience in architectural acoustics and noise control. He specializes in complex noise isolation, acoustical measurement and computer modeling projects. Sam graduated with a B.S. in Computer Science from the University of Colorado – Boulder in 2003 and returned to the University of Colorado – Denver to pursue a M.S. in Recording Arts in 2008. In 2010, Sam was hired at Walters-Storyk Design Group (WSDG) and had the opportunity to work on numerous highprofile projects in New York City and elsewhere. In 2012, Sam joined Criterion Acoustics which has afforded him the opportunity to further expand his skill set. Since joining Criterion Acoustics, he has had the opportunity to utilize his experience on a number of project types, ranging from performing arts centers and educational facilities to nightclubs and recording studios. Sam is a member of the Audio Engineering Society (AES), Acoustical Society of America (ASA), Institute of Noise Control Engineering (INCE) as well as an approved noise consultant with the New York City Department of Environmental Protection (NYC DEP).

Lighting concepts will be presented using sketches, plans, and renderings as required. − After approval of our design concepts, and consistent with our scope, we will prepare preliminary lighting plans for all project areas. − We will prepare a preliminary lighting fixture schedule and catalog cuts for coordination with other team members, and for budget pricing. − We will develop preliminary Control Intent strategies. − We will prepare preliminary specifications for lighting in CSI format. Construction Documents − We will revise our design to conform to the Owner’s budget through the interim construction document submission. − We will perform lighting calculations as required to validate our design concept. − We will develop detailed lighting control strategies including recommendations for automatic lighting controls (e.g. daylight sensors, occupancy sensors, etc.) in public areas. Control equipment will be specified by the electrical engineers. − We will prepare Comcheck calculations for project areas within the scope of work and designed by One Lux Studio for inclusion into the Architect’s or Engineer’s drawings.

Construction Phase − We will review lighting-related shop drawings submitted by the Contractor, and recommend action to the Architect. − We will respond to the Contractor’s requests for information. − We will visit the jobsite and prepare a list of lighting-related construction deficiencies for inclusion in the Architect’s punchlist. − We will direct the aiming of adjustable light fixtures, and the programming of lighting control systems. Please note that we have no professional registration. Any documents we prepare, if required, will have to be certified by the Architect or Engineer. Lighting drawings will be produced using the latest version of AutoCAD, on AutoCAD backgrounds provided to One Lux Studio by the Architect. Drawings are to be developed by the Architect and are to be delivered to One Lux Studio, LLC (hereafter “One Lux Studio”) in a timely manner and will be inclusive of all work by other sub consultants. One Lux Studio shall not be responsible for delays arising out of any failure of the Architect to deliver drawings and any other work product necessary for the completion of One Lux Studio’s work in a timely manner. One Lux Studio will be provided with a complete ½-size drawing set of all architectural and electrical drawings after each major drawing issuance. Project meetings will be held, and Owner-provided information and decisions will be given, in a timely manner. Emergency lighting selections will be by the engineers. Additional Services Additional Services will include those out of scope items of work required by Owner. This work will only proceed upon prior written authorization. The following items of work are included within Additional Services: − − − − − − − −

Daylight design services or daylight analysis. Design services related to LEED certification for the project. Submission of lighting calculations to local authorities to verify compliance with local building code and/or zoning requirements. Certification of lighting design documents or energy code compliance calculations by a registered design professional. Progress inspections for lighting energy code compliance. Redesign of lighting and controls systems due to a material change to our scope or the lighting program. Revision of documents (drawings, fixture schedule, etc.) after issuance of Interim Construction Documents due to Owner-driven changes or value engineering. A cumulative delay of more than 6 months in project completion compared to the schedule outlined above.

In the event that the project is suspended in whole or in part for more than sixty (60) consecutive days or ninety (90) days in total and subsequently restarted, our fee for basic design services shall be equitably adjusted. Payment Schedule Once work has commenced, invoices for basic services, additional services and reimbursable expenses will be submitted on a monthly basis. Invoices will be considered correct as submitted if not questioned in writing by your office within fifteen (15) days of the invoice date. Payment is due within 30 days of the invoice date. Payments shall not be dependent on project financing. Properly submitted invoices which are unpaid sixty (60) days after invoice date may result in a suspension of services or the termination of this Agreement by One Lux Studio. One Lux Studio reserves the right to suspend all work on the project if payment is not received when due. In the event of such suspension, the Owner and the Architect will waive all rights, claims, etc. which they might otherwise have against One Lux Studio as a direct or indirect result of such suspension. Terms and Conditions In the event that One Lux Studio is bound by the terms of a prime agreement with the Owner, the Architect shall provide One Lux Studio with a complete copy of this agreement for our review and comment, prior to the execution of the agreement. Notwithstanding the foregoing, Architect acknowledges that One Lux Studio will not be required to execute any instrument that increases its obligations or reduces its rights as specified in this letter of agreement, without additional compensation.

_____________________________________________________________________________________ No deductions will be made from the compensation on account of any penalty, liquidated damages or other sums withheld from payments to any Design Professional or Contractors, or on account of scope changes in the project. In the event of any dispute, claim, question or controversy arising out of this agreement, its performance, interpretation and/or alleged breach (hereafter, cumulatively, “Claim”) and not exceeding $50,000 in value (determined by aggregating all such Claims which then are in controversy between the parties), the parties agree such Claim initially shall be subject to non-binding mediation. Such mediation shall be pursuant to the Construction Industry Arbitration Rules of the American Arbitration Association, utilizing a single mediator. Requests for mediation shall be filed in writing with the other party. Unless mutually agreed by the parties, any mediation that does not result in either a mutually agreed resolution of the Claim or a recommendation of the mediator within sixty (60) days of the date when the request for mediation is filed shall be deemed unsuccessful or terminated. The parties shall share the mediator’s fee and any filing fees equally. The mediation shall be held in New York City, unless another location is mutually agreed upon. Agreements reached in mediation shall be enforceable as settlement agreements in any court having jurisdiction thereof. The mediator shall have no power to bind the parties absent their consent, or otherwise to impose any resolution upon either party. All proceedings in mediation shall be by way of settlement discussions and shall not be used or admissible in any subsequent judicial proceeding, for any purpose. Except to the extent expressly stated above, any Claim between Owner or Architect and One Lux Studio not resolved by negotiation or mediation between the parties shall be resolved by submission to the Supreme Court of the State and County of New York, wherein exclusive jurisdiction and venue shall lie. For purposes of this provision, both the Owner or Architect and One Lux Studio agree that any Claims arising hereunder may be brought therein. The parties agree that this Agreement shall be governed by the laws of the State of New York, without regard to its conflicts of law’s provisions. One Lux Studio will not be responsible for or be liable in any way for the discovery, presence, handling, removal, disposal of or exposure of persons to hazardous materials in any form at the project, including but not limited to asbestos, asbestos products, mercury, lead, polychlorinated biphenyl (PCB) or any other toxic substances, and the Owner shall defend, hold harmless, and indemnify One Lux Studio in connection with any claim or action arising in connection therewith. The Owner understands and agrees that products or building materials that are permissible under current building codes and ordinances may, at some future date, be banned or limited in use because of presently unknown hazardous and/or defective characteristics. The Owner agrees that if any such product or material specified for this project by the One Lux Studio shall, at any future date, be suspected or discovered to be defective or a health or safety hazard, then the Owner shall waive all claims as a result thereof against One Lux Studio. One Lux Studio will not be responsible for the acts or omissions of the Contractor, subcontractors or any other persons performing any of the work or for the failure of any of these parties to carry out the work in accordance with construction documents. This agreement may be terminated by either party upon fourteen (14) days written notice in the event that the other party fails substantially to perform its obligations under this agreement through no fault of the

One Lux Studio will be paid for all services rendered up to and including the date of termination. Should One Lux Studio terminate this Agreement for non-payment, One Lux Studio shall be compensated for all unpaid sums then due and owing under the terms of the Agreement in addition to all remaining sums due under the terms of the Agreement (“Termination Fee”). Drawings, calculations and specifications as instruments of service are and will remain at all times the exclusive property of One Lux Studio, whether the project for which they are made is executed or not. The instruments of service are not to be used by the Owner for other projects or extensions or other modifications to this project except by written agreement between and with appropriate compensation to One Lux Studio. Notwithstanding the foregoing, Owner agrees to indemnify, defend, and hold harmless One Lux Studio from any liabilities arising out of any modifications made to One Lux Studio’s instruments of service by any third-party without One Lux Studio’s prior input and written approval of such modification. Prior to commencing work under this Agreement, One Lux Studio shall provide Owner or Architect, at their request, with an insurance certificate evidencing One Lux Studio’s insurance coverage limits, including errors and omissions coverage, then in effect. One Lux Studio’s policy for professional liability insurance shall be available for inspection by the Architect or Owner, subject to redactions of application and/or business information required by the insurer, at all reasonable times upon request. Owner and Architect agree that One Lux Studio’s liability under the terms of this Agreement shall be limited to its available insurance coverage. It is specifically understood and agreed that there shall be no personal liability on the part of One Lux Studio, its successors and assigns or its directors, officers, members, shareholders, employees, or agents of the foregoing entities with respect to any of the terms, covenants, obligations and conditions of this Agreement. This Agreement constitutes the entire agreement and understanding of the parties with respect to the subject matter hereof and supersedes any and all prior or contemporaneous written or oral understandings. This Agreement may be modified only by an instrument signed by both parties.
