INFORMATION FOR BUYERS 1

Introduction. The following informative notes are intended to assist Buyers, particularly those inexperienced or new to our salerooms. All sales are conducted on our printed Conditions of Sale which are readily available for inspection and normally accompany catalogues. Our staff will be happy to help you if there is anything you do not fully understand.

Agency. As auctioneers we usually contract as agents for the seller whose identity, for reasons of confidentiality, is not normally disclosed. Accordingly if you buy your primary contract is with the seller.

Estimates. Estimates are designed to help buyers gauge what sort of sum might be involved for the purchase of a particular lot. The lower estimate may represent the reserve price and certainly will not be below it. Estimates do not include the Buyer’s Premium or VAT (where chargeable). Estimates are prepared some time before the sale and may be altered by announcement before the sale. They are in no sense definitive.

Buyers Premium. The Conditions of Sale oblige buyers to pay a buyer’s premium at 25.2% inclusive of VAT on the hammer price of each lot purchased.

VAT. (†) indicates that VAT is payable by the purchaser at the standard rate (presently 20%) on the hammer price as well as being an element in the buyer’s premium. This imposition of VAT is likely to be because the seller is registered for VAT within the European Union and is not operating the Dealers Margin Scheme or because VAT is due at 20% on importation into the UK. The double symbol (**) indicates that the lot has been imported from outside the European Union and the present position is that these lots are liable to a reduced rate of VAT (5%) on the gross lot price (i.e. both the hammer price and the buyer’s premium). Lots which appear without either of the above symbols indicate that no VAT is payable on the hammer price. This is because such lots are sold using the Auctioneers’ Margin Scheme and it should be noted that the VAT included within the Premium is not recoverable as input tax.

Conditions of lots. Please note carefully the exclusion of liability for the condition of lots contained in the Conditions of Sale. Intending buyers have ample opportunity form inspection of goods and neither the seller nor we as the auctioneers accept any responsibility for their condition. In particular, mechanical objects of any age are not guaranteed to be in working order. However, in specified circumstances lots mis-described because they are ‘deliberate forgeries’ may be returned and repayment made. There is a 2 week limit. (The expression ‘deliberate forgery’ is defined in our Conditions of Sale).

Condition reports. We may be able to assist buyers unable to view by providing a condition report, but these reports are based solely on our own opinion and are for guidance only and no responsibility is accepted for their accuracy. Intending buyers are strongly encouraged to view. (Please see our Conditions of Sale). All sizes are approximate.

Export of goods. Buyers intending to export goods should ascertain (a) whether an export licence is required and (b) whether there is any specific prohibition on importing goods of that character because, e.g. they may contain prohibited materials such as ivory. Ask us if you need help.

Bidding. Bidders may be required to register before the sale commences and lots will be invoiced to the name and address on the registration form. Some form of identification may be required if you are unknown to us. Please enquire in advance about our arrangements for telephone bidding.

10 Commission bidding. Commission bids may be left with the auctioneers indicating the maximum amount to be bid excluding buyers’ premium. They will be executed as cheaply as possible having regard to the reserve (if any) and competing bids. If two buyers submit identical commission bids the auctioneers may prefer the first bid received. Please enquire in advance about our arrangements for the leaving of commission bids by telephone or Email. 11 Methods of Payment. As a general rule any cheques tendered will need to be cleared before removal of the goods is permitted. Please discuss with our Office in advance of the sale if other methods of payment are envisaged (except cash). We accept card payments provided that your registered address is the same as the card address. There is a surcharge of 2.5% plus VAT on credit cards but no charge on debit cards. 12 Collection and storage. Please note what the Conditions of Sale state about collection and storage. It is important that goods are paid for and collected promptly. Any delay may involve the buyer in paying storage charges which are currently set at £5 plus VAT per lot per day.

EXPLANATION OF PICTURE CATALOGUING TERMS Any statement as to authorship, attribution, origin, date, age, provenance and condition is a statement of opinion and is not to be taken as a statement of representation of fact. The Auctioneers reserve the right, in forming their opinion, to consult and rely upon any expert or authority considered by them to be reliable. The forename(s) and surname of the artist: In our opinion a work by the artist. The initials of the forename(s) and the surname of the artist: In our opinion a work of the period of the artist which may be wholly or in part his work. The surname only of the artist: In our opinion a work of the school or by one of the followers of the artist or in his style and of uncertain date. English School’, ‘Italian School’: etc: In our opinion a work executed at a later date that the style may suggest. Signed’: Has a signature which in our opinion is a recognised signature. Dated’: Is so dated and in our opinion was executed at that date. The term ‘bears’ a signature and/or date and/or an inscription: Means that in our opinion the artist’s name and/or date and/or inscription have been added by another hand. Famous singer, actress, composer, socialite of the 19th century. 1808 Born in Paris of Spanish descendancy. 1815 Commenced lifelong friendship with Gioachino Rossini. 1825 Aged 17 made an exciting stage debut in Rossini’s “Barbiere” in London. 1825-27 First American opera star: “The Signorina”. 1828-32 Marriage with Eugène Malibran Return to Paris and London to embark on a splendid career in European cultural capitals. 1832 First of many triumphal visits to Italy. 1833 Encounter and friendship with Vincenzo Bellini. 1836 Marriage after long liaison with the famous Belgian violinist Charles de Bériot. 1836 Death in Manchester following a spectacular riding accident. In July 1836, Malibran fell from her horse and suffered injuries from which she never recovered. She refused to see a physician and continued to perform. In October 1836 Malibran was in Manchester participating in a music festival at the collegiate church and Theatre Royal on Fountain Street. She collapsed on stage while performing encores at the theatre, but insisted on performing in the church the following morning where she died. Her body was temporarily buried in the church after a public funeral before being moved to a mausoleum in Laeken Cemetery, near Brussels in Belgium. Maria Malibran had been one of the most famous singers of all times, who during her short life personified the spirit of Romanticism. Like her father, she was a passionate and brilliant singer. She was immortalised in numerous works of art as ‘La Malibran’, the last name she kept from her short-lived first marriage. § Vilmo Gibello (1916 -2013) Italian school, still life with cat, signed and dated 97, oil on canvas Gibello was born in Piedmont Italy , he studied in Rome and Paris, held his first solo exhibition in Vienna in 1948, and was active into old age . In 1966 he was commissioned by the Sunday Times in London, along with artist Edward Pirotta, to produce blackamoor figures. Art experts of the day were asked to establish an attribution while the figures were on show at Knight Frank and Rutley’s saleroom in London, the general consensus was that they were genuine 18th C carvings. SURREY AUCTIONEER REAPS REWARD OF SECOND GROUND BREAKING BEIJING SALE Ewbank’s initiative fosters closer ties with Chinese collectors Chris Ewbank’s vision of introducing Chinese collectors to the joys and rewards of Western fine art and antiques – purchased with the guarantees ensured by the British auction system – took a further step forward with a second sale held in Beijing. The sale, held under the auspices of the Association of Accredited Auctioneers (Triple-A), of which Mr Ewbank, the principal of Surrey’s premier fine art and antiques auctioneers, is chairman, raised a total of £300,000. It was conducted in association with Infinity Auctions Beijing, and held just before Christmas at the prestigious International Landmark Hotel in the city’s in Chaoyang District. Mr Ewbank’s ground-breaking initiative of forming Triple-A, representing 20 leading UK fine art and antiques auctioneers, followed his visit to China in September 2012 in his role as a member of Governing Council of the Royal Institute of Chartered Surveyors. The aim of the association is to build relationships with Chinese buyers, giving them easy access to the market for Western art and antiques. In April last year, the historic first Triple-A sale, held in a Chinese Freeport, raised £1.5 million. Triple-A’s stringent code of practice includes the provision of a certificate of authenticity, guaranteeing the age and catalogue description of every item sold in the same way that auctioneer members guarantee UK sales. The December sale, comprising Western silver and objects of vertu, mantel clocks and works of art, was supported by a number of Triple-A member firms whose clients had consigned a total of 260 lots. Leading the entry by Ewbank’s clients was an extensive canteen of French silver cutlery sufficient for 24 place settings by the Paris maker Leverrier, dating from the late 19th century. Contained in two original canteens, each marked Leverrier, 50 Boulevard Malesherbes, Paris, it sold for the yuan equivalent of £15,750. A similarly extensive canteen of Italian silver cutlery for 12 place settings, in a fitted mahogany box, sold for £13,500.

A fine Victorian silver centrepiece by John Charles Eddington, (London 1849) modelled as a female figure supporting a pierced bowl holder and decorated with flowers, foliage and scrolls dominated the English silver. Complete with both clear and an alternative blue glass bowl, she sold for £12,000, while a group of 12 George III circular dinner plates by various makers sold for £15,000. A further group of 12 George III silver soup plates which dated from 1776 to 1784 were by leading silversmiths James Young (London 1784) and Andrew Fogelberg (London 1776). Each with gardrooned borders and engraved with coats of arms, they also sold for £15,000. A good late Victorian silver gilt Armada pattern claret jug by Sheffield smiths Martin, Hall & Co, assayed in 1897, sold for £6,000. In clocks, a small but pretty mid-19th century French Gothic gilt mantel clock garniture and candelabra, the clock movement by Japy Freres, sold for £2,000, while a French Empire portico clock, in a birchwood Biedermeier style case, sold for £1,200.

In the days preceding the sale BBC Antiques Roadshow silver expert Ian Pickford delivered presentations on items included in the auction to Chinese bankers and VIPs at the popular Lan Club in Beijing’s twin towers. The well attended lectures further demonstrated the appetite of Chinese buyers to learn more about Western antiques and auction practice. Mr Ewbank added: “Triple-A has again made Chinese auction history with this ground-breaking venture in China’s political and cultural capital. This second auction has allowed more Chinese collectors to

RECORD AUCTION TOTAL AND NEW SALES CALENDAR SEES EWBANK’S INVESTING FOR FUTURE GROWTH Top Surrey auctioneer to open second saleroom at Burnt Common With the new year comes a new calendar at Ewbank’s, Surrey’s premier auctioneers of fine art and antiques, offering more sales tailored to appeal to collectors in specialist fields, in a brand new, purpose built saleroom at the Burnt Common headquarters. The move comes as the auctioneers celebrate annual turnover of £2.7 million – a new record. “With the country appearing to have turned the corner from the dark days of the recession, we have embarked on expansion and investment in the future,” Ewbank’s principal Chris Ewbank said. “Despite the harsh financial circumstances in which we have operated, our annual turnover has risen year on year from £2 million in 2011, £2.3 million in 2012 to £2.7 million last year. Now is the time to invest for further growth.”

Work is all but completed on the creation of a second saleroom on a mezzanine floor of the Burnt Common building, previously used for storage. Now designed purposely with specialist lighting and illuminated cabinets, it will be used for a string of specialist sales which complement the calendar. The reception area is also being refurbished “The specialist sales will be held in conjunction with our two-day monthly sales of antiques and collectors’ items, and will include silver and jewellery every month,” Chris Ewbank said. “Other specialist sales include Entertainment and Memorabilia in April, July and October; Asian and Eastern Art in May and November; 20th century Art and Design in February and October, and a sale of Militaria in July to commemorate the 100th anniversary of outbreak of the First World War. “All this is in addition to our traditional series of two or three-day flagship quarterly fine sales of works of art and antiques, held respectively in March, June, September and November. Highlights among the 18,000-plus lots offered over the year were many and various. The most valuable proved to be a previously unloved and unwanted bronze sculpture which sold for £33,000. Despite having lain unloved in a cupboard drawer in a house in Yately and included in the Autumn 2013 fine sale at the last minute, the executors casually asking during a routine house visit if it was worth selling, the 11-inch bronze study of a lion, standing on a green marble base, after a model by Giambologna, sold to a Yorkshire dealer prepared to pay a multiple of its presale estimate. The year opened on a high note when canvases cut from Francis Bacon’s “Screaming Pope” paintings sold for a total of £35,800. The canvases originated from the studio of Lewis Todd from Cambridge,

Most valuable showed the yellow, white and black edge and leg of a chair, and some of the white papal clothing, on a black and blue ground. It measured 36 by 24 inches, with an additional 3 by 4 inches obscured where the canvas was wrapped and nailed to stretchers. The “right” side showed a still life painted by Todd in 1958, and was signed and inscribed verso, ‘The Studio at Orchard Avenue’. It sold to a telephone bidder from the United States for £22,000, the top lot in the March sale. In 2007, Ewbank’s sold a group of rejected and damaged Bacon paintings retrieved from a skip outside the artist’s London studio by electrician Mac Robertson. Valued at about £50,000, that collection sold for £1 million. The March sale also saw an important 19th century commode, discovered in a house in Farnham, sell for £12,000. The fine French ormolu-mounted mahogany commode à vantaux”, the description translates as “cupboard with doors enclosing drawers”, was after the model by Guillaume Benneman”, a prominent Parisian ébéniste who famously furnished Louis XVI’s apartments at Compiègne in Fontainbleau in 1786. He was also the last cabinet-maker to French royalty before the French Revolution. The Farnham family who were downsizing had acquired the commode some 70 years ago, having purchased it in a country house sale. It was purchased by a South Coast buyer. The same price was paid for oil painting by Francesco Zanin (1843-1890), an artist whose work

(1917-1998), the composition of which included an ostrich egg under a glass dome, a seagull and a pink egg cup, sold for £9,500, just shy of the presale high estimate. The oil on canvas, which had been purchased from the Thackeray Gallery in London, was signed and dated [19]87. Born in Aberdeen to Italian parents, Morrocco was most renowned for his still lifes and figurative paintings, which celebrate his flamboyant and colourful personality. has been compared to that of Canaletto, from a single-owner collection of 250 lots dispersed in Autumn fine sale in September. The third such work by the artist sold by Ewbank’s in recent years, the intricately painted scene showed masked carnival figures with gondolas by the Scuola Grande di San Marco and the Campo Santi Giovannie Paolo in Venice. In the same sale, a still life by Alberto Morrocco

In the pre-Christmas sale, a view of Venice, an unframed oil on panel by Franz Richard Unterberger (1838-1902) overturned its estimate to sell for £9,500. Unterberger was born in Innsbruck and studied in Munich and Dusseldorf. He made his first trip to Italy in 1858, spending a number of months in Milan. In 1864, he established himself in Brussels, where he made the Venetian landscape the focal point of his artistic output. Dominated by the basilica Santa Maria Della Salute in the background, the painting showed gondolas moored in St Mark’s Basin on the Grand Canal with elegantly dressed Venetians promenading in the foreground. The painting came from a Surrey home and was purchased by a Buckinghamshire picture dealer. The most valuable item of jewellery sold was one of six pieces on the cover of the June sale catalogue, which sold for a total of £23,200, underlining the demand for fine privately-owned jewellery in a market in which demand currently outstrips supply. Most wanted was a charming bracelet decorated with square-cut sapphires and small brilliant-cut diamonds, all set in a graduated geometric linear formation of decorated links, probably in platinum. It had been purchased by its Surrey owner from top people’s Oxford Street shop Mappin and Webb and sold to a Tyneside jeweller from for £9,200, three times its presale guide price. A group of four gold snuff boxes, meanwhile, originally purchased by their private owner from auctioneers Christie’s in London, sold for a total of £26,500. Sharing top honours at £8,000 each were a late 18th century Swiss box decorated in blue enamel, the top with a scene depicting two maidens and Minerva, the Roman goddess of wisdom, and another, monogrammed F J, the top further painted with a scene depicting a romantic couple seated in a rural landscape with two doves, surrounded by an

Not everyone can identify – or appreciate – Art Deco furniture, but it was clearly in demand at Ewbank’s first specialist sale of 2014, the February 26 auction of 20th Century Art and Design. Fortunately, a walnut serpentine coffee table destined to be carted away in a skip was shown first to Ewbank’s specialist Andrea Machen. The inquiry was simple enough: “Is this worth anything, or shall I let it be dumped.” The table, with shelves and two opposing cupboard drawers sold to a private collector for £1,100. “The advice is equally simple,” Chris Ewbank said. “Ask specialist advice if you’re uncertain about an object before disposing of it. People are frequently pleasantly surprised by the result.”

Most valuable was a sideboard with three central drawers with bog oak handles, flanked by cupboards, standing on eight octagonal legs, which sold to a Cheshire buyer for £3,600. Close behind was a dining table with pegged joints bearing a Broadway workshop label handwritten with the name of cabinet maker C. Beadle, dated May 29th 1929, while the accompanying set of six chairs, each with a copper Broadway workshop label, sold for £1,800. Happily, table and chairs will remain together having been purchased by a Warwickshire private collector. Gordon Russell was chairman of the government’s Utility Furniture Design Panel, becoming director of the Council of Industrial Design (COID) (later renamed the Design Council) in 1947. He was also the first chairman of the Crafts Council and was knighted in 1955 for services to design.

A new venture for Ewbank’s as a stand-alone but regular event, the results proved how successful the sale was at reaching collectors of Arts and Crafts, Art Nouveau, Art Deco, Modern Design and Contemporary Art both at home and overseas. Stylish furniture from the turn of the 20th century was in strong demand, the results also underlining the global reach of Ewbank’s auctions via the Internet. A two-tier fruitwood table, inlaid with floral decoration, by the leading French Art Nouveau decorator and cabinetmaker Louis Marjorelle (18591926), sold to a buyer in Western Australia for a mid-estimate £4,200. The table was decorated with inlay of flowering wisteria, each tray top supported by sinuous legs capped by bronze mounts. It came from a Bournemouth home. An Art Deco walnut, rosewood and satinwood inlaid

Top priced lot in the sale was a pair of carved ivory figures by Ferdinand Preiss (1882-1943), one modelled as a small boy holding a bow, the other a young girl feeding a dove, each on hardstone bases. They sold for £4,500 against an estimate of £2,500-3,500. The figures had been sent for sale by a Guildford lady and were purchased by a collector living in Monaco, bidding on the Internet. Pictures were well received, the most valuable proving to be a silk screen print titled “Three Reds in Magenta” by Patrick Heron (1920-1999), number 73 in a limited edition of 100, which was purchased by a London dealer for an above estimate £2,700. The print was signed in pencil and dated 1970. Close behind at £2,500 was a colour serigraph by Canadian artist David Alexander Colville, (19202013), titled “Sunrise”. Number 35 of an edition of 70, the picture showed a lone canoeist with the sun rising in the background and was signed and dated 1970. Fittingly, it was purchased by a dealer in Vancouver, British Columbia. “Life is Just a Bowl of Cherries”, a screen-print numbered 66 from a limited edition of 70, by Sir Terry Frost (1915-2003) doubled its estimate to sell

for £2,200, while a landscape in the distinctively simplified style of Sheffield-born Harry Epworth Allen (1894 - 1958) titled “A Lane Nr Clifden” sold for £1,900. Both were snapped up by private collectors. A paint-spattered easel which once belonged to one of the great 20th century British artists, Francis Bacon, sold for £2,600. It was sent for sale by the man who was head packer at the Battersea shipping and storage company T. Rogers & Co., used by Bacon’s dealer the Marlborough Gallery. It had been given to him sometime in the 1980s by Miss Valerie Beston, who worked at the Mayfair gallery for 50 years. The easel was purchased by an Irish dealer. Among works of art, a Naiades clock by French

glassmaker René Lalique (1860-1945) given as a prize to 14-year-old Alice Farr in a 1927 swimming competition, sold for £1,700. The moulded glass case of the clock was decorated appropriately with a swirling design depicting the Naiads who, in Greek mythology, lived in freshwater wells, springs and streams. The clock was purchased by a Devon collector, while a Kent collector paid £1,000 for a Lalique glass car mascot “Tete d’Epervier” (head of a hawk), Most valuable in ceramics was a two-handled vase by William Moorcroft, decorated with the Claremont design, which sold to another Devon collector for £1,600, followed by a pair of Persian pattern vases from the Zsolnay factory established by Miklós Zsolnay (1800–1880) in Pécs, Hungary, which sold to a Hungarian collector living in Kent for £1,100. Prior to the sale, on Wednesday February 5, Ewbank’s specialists were in attendance at a special valuation day at the iconic and fittingly modern Guildford Cathedral, offering their services to visitors to raise money in aid of the £7 million restoration appeal. Cathedral spokeswoman Caroline Simcox said: “The cathedral’s future is at risk due to the deterioration of the acoustic plaster in the ceiling vaults. We need to remove the plaster and also want to make much needed upgrades to our lighting and sound systems as well as improving accessibility and facilities for visitors.

The affordability of the sales was amply illustrated in the January sale when a set of eight Chippendalestyle mahogany dining chairs fit to grace any home sold right on the guide price for £850. They were purchased by a member of the dealer community well used to finding stock in the saleroom. Private buyers secured a 17th century oak draw leaf dining table for a mid-estimate £650 and a 19th century ebonised and brass inlaid breakfront credenza by Edwards & Roberts for £500, while a South Coast dealer took the most valuable picture in the sale: an oil on canvas landscape by Samuel Lawson Booth, dated 1918. From a deceased estate, it sold for £650. However, the most attractively priced paintings offered were by the Kent artist Keith Burtonshaw (1930-2008) a highly competent self-taught amateur artist, influenced by Constable, Gainsborough and Reynolds. Dozens of his unframed landscape views of areas of natural beauty from around the country were sold in lots of as many 30-40, each selling for prices in the low hundreds. The collection, which came from directly the artist’s studio, raised a total of £5,030, just short of double the presale low estimate. A large collection of books, mostly children’s

annuals, sold for over £3,500, more than double the presale low estimate. Sales currently open for entries are the Spring sale of Sporting and Entertainment Memorabilia and Posters, which closes on March 28, the Asian Art auction in May, the Summer Fine Jewellery, Silver and Fine sale in June, as well as the new regular monthly Antique and Collectors’ sales. EWBANK AUCTIONEERS In 1994 we acquired the Burnt Common Auction Rooms, which are situated just off the A3, under ten minutes away from junction 10 on the M25. It is a very prominent site in an out of town location giving easy access and acres of parking. Woking main line station is 4 miles with trains to Waterloo (25 minutes). Throughout our time in Guildford, we have had the privilege of advising thousands clients on the valuation and sale of Antiques and Fine Art and have conducted well in excess of a hundred Antiques and Fine Arts auctions and over three hundred General Sales. When we started in 1990 we held six auctions a year and we are now expecting to hold up to 24 in the next twelve months If they are to succeed, businesses like ours must give clients and buyers an efficient and friendly service and, over the years, we have always tried to maintain the highest standards, adhering to the principles of probity and ethics of the Royal Institution of Chartered Surveyors and the Society of Fine Art Auctioneers and Valuers, of which we are Members. As the costs of selling by Auction in Central London have rocketed we have benefited from the general trend in recent years for more important items to be sold outside the capital. Catalogues are produced and circulated to prospective purchasers by post and E-mail and full details, including digital illustrations of almost all lots in our quarterly Antique and Fine Art auctions, are included on the internet. Buyers are attracted from all over the world. We have an agreement with artfact.com, who list our antique sales on Ebay, take commission bids from prospective buyers and facilitate active participation in the auction from a PC anywhere in the world at the time that the sale is actually in progress. This gives a far greater global marketing ability. We are trail-blazing in this field as there are only a handful of other Antique and Fine Art salerooms in the UK who also list on eBay. We see this as being the way forward for the future and it will maximise our ability to achieve the best possible prices for our clients. In our first internet linked auction in 2005 there were nearly 20000 visits to our online catalogue generating over 500 specific enquiries and the figures have risen markedly since then. Ewbank Auctioneers has grown from humble beginnings holding six sales a year, to the position that we hold today, with our own salerooms and some twenty sales a year. Turnover since 1990 has increased by over 800%. Building refurbishment works have just been completed, which include, a new mezzanine floor doubling our existing floor space, a new entrance, offices, a new heating system and external face-lift. Chris Ewbank has taken a very active part in the leadership of the profession within the UK. He has been a member of the Fine Arts Advisory Panel of the Royal Institution of Chartered Surveyors and Chairman of its Art and Antiques Professional Group. He is also an elected Member of its International Governing Council ( the highest decision making body in the Institution). TERMS OF CONSIGNMENT FOR SELLERS 1.

Interpretation. In these Terms the words 'you', 'yours', etc. refer to the Seller and if the consignment of goods to us is made by an agent we assume that the Seller has authorised the consignment and that the consignor has the Seller's authority to contract. Similarly the words 'we', 'us', etc. refer to the Auctioneers.

Commission is charged to sellers calculated per lot, as follows: 15% up to £1,000 - 10% thereafter. Marketing and Internet Listing charge on each lot (sold or unsold) £10. Catalogue illustration / late entry charge on each lot (sold or unsold) £10. Loss and damage warranty 1.5%. All the above are subject to VAT at current rates

Removal costs. Items for sale must be consigned to the sale room by any stated deadline and at your expense. We may be able to assist you with this process but any liability incurred to a carrier for haulage charges is solely your responsibility.

Loss and damage warranty (a) All goods on our premises are warranted against fire, theft or accidental damage while on our premises and sellers are charged at the rate of 1.5% of the hammer price plus VAT or our best estimate of what the hammer price would have been had the goods sold.

Illustrations. Almost all lots in our sales are illustrated on the internet. There are is a £10 plus VAT marketing and internet listing charge. Many lots in our Quarterly Fine and Specialist sales have an illustration in a physical catalogue. Where this is the case, or where a lot is entered for sale after the published catalogue closing date, then there is a £10 plus VAT catalogue illustration charge. The copyright in respect of such illustrations shall be the property of us, the auctioneers, as is the text of the catalogue.

Minimum bids and our discretion. Goods will normally be offered subject to a reserve agreed between us before the sale in accordance with clause 7. We may sell Lots below the reserve provided we account to you for the same sale proceeds as you would have received had the reserve been the hammer price. If you specifically give us "discretion" we may accept a bid of up to 20% below the formal reserve.

Reserves. (a) You are entitled to place prior to the auction a reserve on any lot consigned, being the minimum hammer price at which that lot may be sold. Reserves must be reasonable and we may decline to offer goods which in our opinion would be subject to an unreasonably high reserve (in which case goods carry the storage and Loss and Damage Warranty charges stipulated in these Terms of Consignment). (b) A reserve once set cannot be changed except with our consent. (c) Where a reserve has been placed only we may bid on your behalf and only up to the reserve (if any) and you may in no circumstances bid personally.

Electrical items. These are subject to detailed statutory safety controls. Where such items are accepted for sale you accept responsibility for the cost of testing by external contractors. Goods not certified as safe by an electrician (unless antiques) will not be accepted for sale. They must be removed at your expense on your being notified. We reserve the right to dispose of unsafe goods as refuse, at your expense.

Soft furnishings. The sale of soft furnishings is strictly regulated by statute law in the interests of fire safety. Goods found to infringe safety regulations will not be offered and must be removed at your expense. We reserve the right to dispose of unsafe goods as refuse, at your expense. The rights of disposal referred to in clause 8 and 9 are subject to the provisions of The Torts (Interference with Goods) Act 1977, Schedule 1, a copy of which is available for inspection on request

10. Descriptions. Please assist us with accurate information as to the provenance etc. of goods where this is relevant. There is strict liability

for the accuracy of descriptions under modern consumer legislation and in some circumstances responsibility lies with sellers if inaccuracies occur. We will assume that you have approved the catalogue description of your lots unless informed to the contrary. Where we are obliged to return the price to the buyer when the lot is a deliberate forgery under Condition 15 of the Conditions of Sale and we have accounted to you for the proceeds of sale you agree to reimburse us the sale proceeds. The liability to reimburse the sale proceeds shall not arise where you are acting reasonably and honestly and are unaware of the forgery but we are or ought to have been aware of it. 11. Unsold and withdrawn items. If an item is unsold it may with your consent be re-offered at a future sale. Where in our opinion an item is unsaleable you must collect such items from the saleroom promptly on being so informed. Otherwise, storage charges may be incurred. We reserve the right to charge for storage in these circumstances at a reasonable daily rate. 12. Withdrawn and bought in items. These are liable to incur a charge of 10 % plus VAT on being bought in or withdrawn after being catalogued. Minimum charge £10. 13. Conditions of Sale. You agree that all goods will be sold on our Conditions of Sale. In particular you undertake that you have the right to sell the goods either as owner or agent for the owner. You undertake to compensate us and any buyer or third party for all losses liabilities and expenses incurred in respect of and as a result of any breach of this undertaking. 15. Authority to deduct commission and expenses and retain premium and interest. (a) You authorise us to deduct commission at the stated rate and all expenses incurred for your account from the hammer price and consent to our right to retain beneficially the premium paid by the buyer in accordance with our Conditions of Sale and any interest earned on the sale proceeds until the date of settlement. (b) You authorise us in our discretion to negotiate a sale by private treaty not later than the close of business on the day of the sale in the case of lots unsold at auction, in which case the same charges will be payable as if such lots had been sold at auction and so far as appropriate these Terms apply. 16. Warehousing. We disclaim all liability for goods delivered to our saleroom without sufficient sale instructions. and reserve the right to make minimum warehousing charge of £5 per lot per day. Unsold lots are subject to the same charges if you do not remove them within a reasonable time of notification. If not removed within three weeks we reserve the right to sell them and defray charges from any net proceeds of sale or at your expense to consign them to the local authority for disposal. 17. Settlement. After sale settlement of the net sum due to you normally takes place 21 days after the sale (by crossed cheque to the seller) unless the buyer has not paid for the goods. In this case no settlement will then be made but we will take your instructions in the light of our Conditions of Sale. You authorise any sums owed by you to us on other transactions to be deducted from the sale proceeds. You must note the liability to reimburse the proceeds of sale to us as under the circumstances provided for in Condition 10 above. You should therefore bear this potential liability in mind before parting with the proceeds of sale until the expiry of 21 days from the date of sale.

CONDITIONS OF SALE Ewbank’s carries on business with bidders, buyers and all those present in the auction room prior to or in connection with a sale on the following General Conditions and on such other terms, conditions and notices as may be referred to herein. 1. DEFINITIONS In these Conditions:

(a) "auctioneer” means the firm of Ewbank’s or its authorised auctioneer, as appropriate; (b) “deliberate forgery” means an imitation made with the intention of deceiving as to authorship, origin, date, age, period, culture or source but which is unequivocally described in the catalogue as being the work of a particular creator and which at the date of the sale had a value materially less than it would have had if it had been in accordance with the description; (c) “hammer price” means the level of bidding reached (at or above any reserve) when the auctioneer brings down the hammer; (d) “terms of consignment” means the stipulated terms and rates of commission on which Ewbank’s accepts instructions from sellers or their agents; (e) “total amount due” means the hammer price in respect of the lot sold together with any premium, Value Added Tax chargeable and any additional charges payable by a defaulting buyer under these Conditions; (f) “sale proceeds” means the net amount due to the seller, being the hammer price of the lot sold less commission at the stated rate, Value Added Tax chargeable and any other amounts due to us by the seller in whatever capacity and however arising; (g) “You”, “Your”, etc. refer to the buyer as identified in Condition 2 (h) The singular includes the plural and vice versa as appropriate.

2. BIDDING PROCEDURES AND THE BUYER (a) Bidders are required to register their particulars before bidding and to satisfy any security arrangements before entering the auction room to view or bid; (b) the maker of the highest bid accepted by the auctioneer conducting the sale shall be the buyer at the hammer price and any dispute about a bid shall be settled at the auctioneer’s absolute discretion by reoffering the Lot during the course of the auction or otherwise. The auctioneer shall act reasonably in exercising this discretion. (c) Bidders shall be deemed to act as principals. (d) Our right to bid on behalf of the seller is expressly reserved up to the amount of any reserve and the right to refuse any bid is also reserved. 3. INCREMENTS Bidding increments shall be at the auctioneer’s sole discretion. 4. THE PURCHASE PRICE The buyer shall pay the hammer price together with a premium thereon of 25.2% inclusive of VAT [or incremental] at the rate imposed by law. 5. VALUE ADDED TAX Value Added Tax on the hammer price is imposed by law on all items affixed with a ‘†’ or double asterisk. Va l u e Added Tax is charged at the appropriate rate prevailing by law

at the date of sale and is payable by buyers of relevant Lots. (Please refer to “Information for Buyers” for a brief explanation of the VAT position). 6. PAYMENT (1) Immediately a Lot is sold you will: (a) give to us, if requested, proof of identity, and (b) pay to us the total amount due in cash or in such other way as is agreed by us. (c) Any payments by you to us may be applied by us towards any sums owing from you to us on any account whatever without regard to any directions of you or your agent, whether express or implied. 7. TITLE AND COLLECTION OF PURCHASES (1) The ownership of any Lots purchased shall not pass to you until you have made payment in full to us of the total amount due. (2) You shall at your own risk and expense take away any lots that you have purchased and paid for not later than 3 working days following the day of the auction or upon the clearance of any cheque used for payment after which you shall be responsible for any removal, storage and Loss and Damage Warranty charges. (3) No purchase can be claimed or removed until it has been paid for. 8. REMEDIES FOR NON-PAYMENT OR FAILURE TO COLLECT PURCHASES (1) If any Lot is not paid for in full and taken away in accordance with these Conditions or if there is any other breach of these Conditions, we, as agent for the seller and on our own behalf, shall at our absolute discretion and without prejudice to any other rights we may have, be entitled to exercise one or more of the following rights and remedies: (a) to proceed against you for damages for breach of contract; (b) to rescind the sale of that Lot and/or any other Lots sold by us to you; (c) to resell the Lot (by auction or private treaty) in which case you shall be responsible for any resulting deficiency in the total amount due (after crediting any part payment and adding any resale costs). Any surplus so arising shall belong to the seller; (d) to remove, store and insure the Lot at your expense and, in the case of storage, either at our premises or elsewhere; (e) to charge interest at a rate not exceeding 1.5% per month on the total amount due to the extent it remains unpaid for more than 3 working days after the sale; (f) to retain that or any other Lot sold to you until you pay the total amount due; (g) to reject or ignore bids from you or your agent at future auctions or to impose conditions before any such bids shall be accepted; (h) to apply any proceeds of sale of other Lots due or in future becoming due to you towards the settlement of the total amount due and to exercise a lien (that is a right to retain possession of) any of your property in our possession for any purpose until the debt due is satisfied. (i) We shall, as agent for the seller and on our own behalf pursue these rights and remedies only so far as is reasonable to make appropriate recovery in respect of breach of these conditions

THIRD PARTY LIABILITY All members of the public on our premises are there at their own risk and must note the lay-out of the accommodation and security arrangements. Accordingly neither the auctioneer nor our employees or agents shall incur liability for death or personal injury (except as required by law by reason of our negligence) or similarly for the safety of the property of persons visiting prior to or at a sale. 10. COMMISSION BIDS Whilst prospective buyers are strongly advised to attend the auction and are always responsible for any decision to bid for a particular Lot and shall be assumed to have carefully inspected and satisfied themselves as to its condition we will if so instructed clearly and in writing execute bids on their behalf. Neither the auctioneer nor our employees or agents shall be responsible for any failure to do so save where such failure is unreasonable. Where two or more commission bids at the same level are recorded we reserve the right in our absolute discretion to prefer the first bid so made. 11. WARRANTY OF TITLE AND AVAILABILITY The seller warrants to the auctioneer and you that the seller is the true owner of the property consigned or is properly authorised by the true owner to consign it for sale and is able to transfer good and marketable title to the property free from any third party claims.

(2) Private treaty sales made under these Conditions are deemed to be sales by auction for purposes of consumer legislation.

15. FORGERIES Notwithstanding the preceding Condition, any Lot which proves to be a deliberate forgery (as defined) may be returned to us by you within 21 days of the auction provided it is in the same condition as when bought, and is accompanied by particulars identifying it from the relevant catalogue description and a written statement of defects. If we are satisfied from the evidence presented that the Lot is a deliberate forgery we shall refund the money paid by you for the Lot including any buyer’s premium provided that:-

(1) if the catalogue description reflected the accepted view of scholars and experts as at the date of sale

- or (2) you personally are not able to transfer a good and marketable title to us, you shall have no rights under this condition. The right of return provided by this Condition is additional to any right or remedy provided by law or by these Conditions of Sale GENERAL 16. We shall have the right at our discretion, to refuse admission to our premises or attendance at our auctions by any person. 17. (1) any right to compensation for losses liabilities and expenses incurred in respect of and as a result of any breach of these Conditions and any exclusions provided by them shall be available to the seller and/or the auctioneer as appropriate.

12. AGENCY The auctioneer normally acts as agent only and disclaims any responsibility for default by sellers or buyers.

13. TERMS OF SALE The seller acknowledges that Lots are sold subject to the stipulations of these Conditions in their entirety and on the Terms of Consignment as notified to the consignor at the time of the entry of the Lot.

18. Any notice to any buyer, seller, bidder or viewer may be given by first class mail or Swiftmail in which case it shall be deemed to have been received by the addressee 48 hours after posting.

14. DESCRIPTIONS AND CONDITION (1) Whilst we seek to describe Lots accurately, it may be impractical for us to carry out exhaustive due diligence on each lot. Prospective buyers are given ample opportunities to view and inspect before any sale and they (and any independent experts on their behalf) must satisfy themselves as to the accuracy of any description applied to a lot. Prospective buyers also bid on the understanding that, inevitably, representations or statements by us as to authorship, genuineness, origin, date, age, provenance, condition or estimated selling price involve matters of opinion. We undertake that any such opinion shall be honestly and reasonably held and accept liability for opinions given negligently or fraudulently. Subject to the foregoing neither we the auctioneer nor our employees or agents nor the seller accept liability for the correctness of such opinions and all conditions and warranties, whether relating to description, condition or quality of lots, express, implied or statutory, are hereby excluded. This Condition is subject to the next following Condition concerning deliberate forgeries and applies save as provided for in paragraph 6 ‘information to buyers’.

(2) Such rights and exclusions shall extend to and be deemed to be for the benefit of employees and agents of the seller and/or the auctioneer who may themselves enforce them.

19. Special terms may be used in catalogue descriptions of particular classes of items in which case the descriptions must be interpreted in accordance with any glossary appearing at the commencement of the catalogue. 20. Any indulgence extended to bidders buyers or sellers by us notwithstanding the strict terms of these Conditions or of the Terms of Consignment shall affect the position at the relevant time only and in respect of that particular concession only; in all other respects these Conditions shall be construed as having full force and effect. 21. English law applies to the interpretation of these Conditions.
