PLANNING FOR THE HD ONE LEISURE DEVELOPMENT AT THE JOHN SMITH’S STADIUM IS NOW AT AN ADVANCED STAGE. THE HD ONE IS A 240,000 SQ. FT. MIXED LEISURE DEVELOPMENT AT THE JOHN SMITH’S STADIUM. IT INCLUDES BOWLING, TRAMPOLINING, KIDS LEISURE, FAMILY RESTAURANTS, A BAR, SPORTS RETAIL, A HOTEL AND ADDITIONAL PARKING All of these elements are important. However, one of the most exciting elements is the Snow Sports Centre. Historically there are two types of ski slope in this country: old style plastic slopes and more recently indoor snow domes. The first of these two are hard and often uncomfortable to ski on and the latter can be quite limiting beyond the beginner stage. Our slope will be neither of these. As anyone who is local knows, there is a bedrock of important industry in Kirklees, much of it globally category leading. We are therefore very excited to have formed a partnership

with one such company. You might well expect a category leading artificial ski surface developer to be based in the Alps, or the Rockies, however, world leading Briton Engineering Developments Ltd. is based in Kirklees! Their Snowflex technology is much softer than traditional plastic slopes. Briton’s sophisticated matting technology with integrated lubrication and water recycling system combine to make it gentle to learn on, but at the same time, using their unique design and build capabilities, it is challenging for more advanced skiers and boarders. Briton has successfully built slopes across America and Europe, including the world’s biggest artificial slope currently in Ankara, Turkey. We now have our investor line up confirmed and also have the official endorsement of the British Ski and Snowboard Federation, (BSS), for our project. Snow Sports are becoming ever more popular in the U.K. Team GB has had its most successful medal hauls at
each of the last two Winter Olympics, some of it down to Team GB’s elite freestyle athletes learning and training on Snowflex! BSS want world leading facilities like ours to allow young talent to train in world class conditions in this country. The fact that we will also have trampolining and a hotel on site, as well as the pre existing gym and pool, means that we have a real chance of gaining an official centre of excellence accreditation from the sport’s governing body. However, part of the vision for the Snow Sports Centre has also always been to provide access to the local community and in particular, discounted access for disadvantaged groups. As with the rest of The HD One, we now expect to start construction of the Snow Sports Centre within the year; exciting times for us all!
JERMAINE MCGILLVARY: MY WORLD CUP EXPERIENCE Huddersfield Giants Jermaine McGillvary was in explosive form at the 2017 Rugby League World Cup as he scored 7 tries to help take England to their first World Cup Final in 22 years. The Giants winger finished the tournament with the most metres made, tackle busts, clean breaks and carries of the competition, which led to him being nominated for the prestigious Golden Boot award. “One of the highlights was probably travelling around Australia and New Zealand seeing all the different cultures, animals, people and the weather. Then also being around such a special group of people that made a little bit of history, not the best history we could have made since we didn’t win it, but being around that group of people was something special. “After getting that first try in the opening match we felt that we could have been on for something special and I always felt that we were due to beat Australia, especially when we got that first try, we felt we were going to go on and get a result. “It was a tough game, they played really well and got some good tries, the last one probably flattered them a bit. They are a quality side and it’s always good to play against a team like that. It’s a special thing and when I look back at my career, playing against Australia in Melbourne for the opening game of the World Cup and scoring the opening try I’ll have some very fond memories. “I enjoyed every game but my favourite game has to be the World Cup Final. You don’t get to put on the England top many times and it’s not like a Club shirt that you can wear two or three hundred times. I know that I don’t have many years to wear the England shirt but I’ve loved every time I have worn the England top.

“It was really disappointing to lose in the final as I feel the game was there for the taking. I thought both defences were really good, their attack was decent but ours wasn’t great. We had a couple of chances but just came up with a couple of errors, but I can’t fault the boys effort. “Everyone worked really hard, even the Aussies were dropping to the floor at the final whistle because it was such an intense game. I’ve never been a part of a game of that intensity in my life and it was a bit disappointing how we lost such a close game. It’s one of those where hopefully it’s inspired the next generation and with a bit of luck in four years time they can take over and go one better.” “I was pretty surprised to be honest (by the Golden Boot nomination). The first time I saw it was on Twitter and I just thought someone was messing about! It’s an honour to be listed alongside the likes of Cameron Smith and Jason Taumalolo, they’re world class players. Obviously, I didn’t win it but just to be nominated with such names was really good. “In the games I just tried to keep it simple and to do what I usually do, even in that final, I wasn’t nervous or anything like that as it’s just another game. I just went out there and tried to do my best, it’s nothing different to what I try to do at the Giants. I try to take the load off the forwards and try to run as hard as I can and that’s what I’ve done for England as well. “I was thinking that there was a lot of other players in my position playing well that could have been called up for England, I’m always confident in myself, but you never know what the Coach is thinking so after getting picked I knew that I needed to repay that faith and hopefully I did that.”
Huddersfield Giants Club Player Welfare, Safeguarding and Education Manager, Steve Hardisty has completed this years London Marathon. After completing the 2017 London Marathon, Steve had made a difference, and decided that he would like, once again, to raise much needed funds for Headway and take on the challenge of the 2018 London Marathon. The event took Steve 4 hours 49 minutes to run and he raised a staggering amount of £1800, with contributions still coming in. The event coincided with celebrating the life of Ronan Costello. Ronan tragically lost his life in June 2016 representing the Huddersfield Giants Academy doing something which he loved, playing Rugby League. Ronan epitomised the Ethos of the Academy and embraced every aspect with pride, passion and unquestionable commitment. Ronan’s passing left a huge hole in everyone’s lives who were fortunate enough to work with him every day and shared his burning ambition to become a professional athlete. Headway provide a specialist service for people, and their families, who have sustained an Acquired Brain Injury (ABI). Ronan’s immediate family were recipients of this welfare during the darkest period of their lives which included the immediate aftermath of Ronan’s injury, up to and including his passing. The Costello family subsequently nominated Headway as one of Ronan’s two charities who they wished to be beneficiaries of any fundraising as gratitude of the charities ongoing holistic care.

THE BIG SLEEP OUT THE OFF-FIELD PROGRESS OF THE LAST SEASON Huddersfield Town Chairman Dean Hoyle, alongside Town Foundation trustees Janet Hoyle and Sean Jarvis, joined local dignitaries and supporters alike to brave the outdoors for a night at The John Smith’s Stadium to raise money for charity. The ‘Big Sleep Out’ saw The John Smith’s Stadium open its doors to fundraisers in March, to raise money for charities supporting homeless people in our local community, under the banner of the Town Foundation. Participants were tasked with braving the conditions by spending a night in one of the stands. The challenge took place on the evening of Friday 9th March 2018 into the morning of Saturday 10th March 2018, with Huddersfield Town hosting Swansea City later that day. Participants were asked to fundraise at least £100 to take part and 100% of funds raised were used to support the local homeless causes. The Charity raised £55,258. From the very moment that Christopher Schindler converted that winning spot kick in last year’s Championship Play-Off Final at Wembley Stadium, Huddersfield Town were presented with a global opportunity to put both the Club and the local area on the map. The Premier League has a huge global appeal, with a TV audience of around four billion viewers worldwide. The trickle-down effect of this was well illustrated from a recent game against Manchester City, as it was beamed live to 166 different countries around the world from The John Smith’s Stadium. Significant infrastructure changes were required to cope with this increase in demand, the most notable of which was the complete redevelopment of the TV gantry to facilitate the additional camera crews on a match day. TV Interview rooms were also introduced to allow up to five post-match interviews to be conducted simultaneously. 2017/18 Season Cards sold out and match tickets have only been available at a select few games over the course of the season. The advertising revenue the Club received increased by 1890% whilst retail sales also grew by 318% in July and August against the same period the previous year. The Club also welcomed a new shirt sponsor in Chinese Sports Company, OPE Sports, providing yet another illustration of the global reach of the Club, as their brand showcased to the millions of viewers on a match day in China.

This sponsorship also gave mutual benefits, allowing the Club to work on activations to help further boost the Club’s presence in China. The Club held a Chinese themed game against Bournemouth and the Fireworks display that drew a big crowd to PPG Canalside – the Club’s dedicated training ground and community facility - as a celebration for Chinese New Year, which was the ‘Year of the Dog’.
Interest in the Club on social media also grew significantly with Twitter followers rising by 59% and ‘Likes’ on the Huddersfield Town Official Facebook page up by 71%, both measured against the figures as at the final week of the Championship season. Despite the significant international growth, the Club has continued to stick to its roots and engage with businesses in the local area. The Club played host to a ‘Breakfast Brief’ at The John Smith’s Stadium where 250 local businesses attended an event to discuss the impact that promotion has had on the local and surrounding Yorkshire region. This also gave businesses the chance to network and pull together, as one, to help seize the opportunity. The Club’s very own Charity, the Town Foundation, has worked tirelessly since formation in 2012 to benefit the local surrounding Kirklees area; with the Charity taking extra steps this year to further benefit the local community. This year saw the Town Foundation host its first Big Sleep Out at the Stadium, when over 150 people slept out in one of the stands and raised over £55,000 in total for homeless causes in the local area. Pedal for Pounds 9, in association with Made by Cooper, also took place as 175 cyclists cycled back from France via Belgium visiting the graves of the six Huddersfield Town players who were killed during service in WW1 on its 100th year anniversary. The bike ride raised money for the Yorkshire Air Ambulance and the Club’s three other official charity partners.

HEINEKEN SPONSORS FOOTBALL MATCH
The John Smith’s Stadium hosted a football match for the second year running for naming rights sponsor Heineken. The event saw a Lancashire Brewery, that brews Fosters, take on a Yorkshire Brewery, that brews John Smith’s, in a white rose and red rose battle. Heineken UK has gone some way to answering the question of ‘which is better, bitter or lager?’ With a good old fashioned football match this was going to answer the question. The winning team was John Smith’s Tadcaster and we look forward to the re-match next year. The event was organised by Heineken UK as a way to give something back to their staff and to celebrate the extension of naming rights deal with the Stadium.

Steve Cram CBE, acted again as host at the annual dinner, interviewed Michael Vaughan OBE who assured his place in cricket history with England’s historic Ashes victory in 2005 and has gone on to become one of the sport’s most respected commentators. Tyrone Nurse, a British boxer who won the British super lightweight title in 2015. From Huddersfield, Nurse made his professional debut in March 2008 with a win over Kristian Laight. Karen Pickering MBE, has won 35 major championships medals and 38 national titles. She was 4 times World champion, broke 2 World Records and competed at 4 consecutive Olympic Games.
With the help of private donations from guests and the evening’s auctions, the dinner raised an amazing £14,000 for the hospice. Director of Fundraising, Diane Webster said, ‘We would like to extend a huge thank you to our sponsors and guests for once again making this annual event a huge success. We rely entirely on the generosity of our supporters to allow us to care for children living with life-shortening conditions, and their families, across West Yorkshire and without them, we simply couldn’t continue

It’s generally preferable to buy trade and assets over shares, as the commercial risks are reduced. Buying an existing limited company means you take on its past history, and further work will be needed to establish any tax and other liabilities you may pick up. 2) O nce you’ve decided what to buy, consider how to buy it. What will the business structure be? You may want to create a group or have a series of standalone acquisitions. It’s usually easier to create a group in the future than it is to split up an existing group. 3) H ow will you fund the acquisition? If external borrowing is required, consider the structure used to make the acquisition to ensure tax relief is obtained for the interest and related costs. If funding will come from the business’s future profits, consideration needs to be given to cash flow and getting the cash into the correct company to service the debt. 4) T he complexities of UK tax law make it increasingly important to carry out proper tax due diligence if you choose to buy a limited company. This will help identify current or future tax issues which may lead to a tax liability post acquisition. These can then be dealt with by an adjustment to the price, through a tax indemnity included in the sale agreement, or by calling off the acquisition! 5) W hether you are buying trade and assets or shares in a limited company, it is important to make sure that everything is fully documented via a sale and purchase agreement (SPA). The wording of the sale proceeds within the SPA will be critical to determining the tax treatment. It can be tempting to think that this is not essential, particularly when the parties are friendly, however this is never the case. Instructing solicitors at an early stage is always advisable. 6) C onsider tax cashflow at an early stage. VAT incurred on purchase costs could be significant, so review your position to ensure optimal VAT recovery is achieved. Also does a new company need to be added into the existing
VAT group? If no VAT group exists, consideration should be given to whether to create one. 7) C orporation tax cashflow should also be considered. This will include reviewing the tax position of the combined entity and how this will impact on the tax payable. For instance, larger groups can be required to pay corporation tax by quarterly instalments in advance. 8) D on’t forget the people. When you are acquiring an existing business, its people are often key to the success post-acquisition. It pays to think how to retain and incentivise them as you need to, and there are many tax efficient ways you can do this. 9) C onversely, there may some need for staff rationalisation. The tax rules applied to redundancy payments have changed very recently, so make sure that you take advice before making any decisions. 10) T ake tax advice. It is never too early to take tax advice and as early as possible in the acquisition process is the best plan – it can save thousands of pounds in the future.
