BENEFIT CORPORATION: WHAT’S ALL THE BUZZ ABOUT “B” CORP’S? Imagine a corporation that was designed to do good for society while simultaneously doing well for its shareholders. This is a new phenomenon that is as old as time. The difference between what industrialists like Rockefeller and Carnegie did with their extreme wealth and what today’s business owners can do, is due to modern regulations and laws that require businesses to act solely for the ultimate purpose of maximizing the financial returns to shareholders.
The mission to do good while doing well
So, why is the idea of a company that focuses on more than just profits back in the conversation? Well, it turns out that being a spontaneous and thoughtful philanthropist is no longer enough, and can even get you into challenging legal situations. Today, if you use corporate profits to help your employees and your community it can be considered a violation of your fiduciary duty to make a profit for your shareholders. Plus, there are a plethora of tax rules and limitations - not to mention tons of compliance that can get in the way. Now, the idea of establishing a business that is profitable for all “stakeholders” and not just the “shareholders” has become a reality by legislation all over the country. This makes it possible to do good while doing well without the higher risk of being sued for being “too kind” as a business owner.

Benefit Corporation vs B Corp
While many Certified B Corporations are also benefit corporations (I.e. Patagonia) this is not a requirement. While B Corp is a voluntary certification that can be dropped at any time, a benefit corporation involves permanent changes to the company’s structure. Some examples of benefit corporations are Kickstarter, King Arthur Flour and food giant “Danone”, who is on a mission to become the world’s largest international benefit corporation by the year 2030. On the other hand, B Corps are held to a higher standard due to outside accountability. A B Corporation must meet strict criteria regarding verification, transparency and recertification set by B Labs in order to keep the title. A few examples of B Corps are Ben & Jerry’s, Patagonia, Etsy, Warby Parker & KickStarter. These are very profitable and successful companies, built around specific missions while choosing to hold themselves accountable in every aspect of their business.
What’s the point?
Whether it is through a benefit corporation, a B Corp or both, the common goal is creating businesses that center around a mission and a purpose. Entrepreneurs are imagining a world that strives for more than just profits. As business writer John Elkington coined in 1994, these companies are focused on a “triple bottom line”; People, Planet & Profit.
Over the past decade, 34 states have created legislation to allow for a new type of business structure, similar to an LLC or a C Corp, that keeps all stakeholders in mind. Such entities, called “Benefit Corporations”, agree to take responsibility for their impact on all stakeholders, including the environment, community, and workers.
Whether you are a B Corp or not, the message is clear: If you do good for the society as a whole, you, in turn, will or can do well for the corporate bottom line. We believe this is something everyone can embrace.
A driving force behind this rise in benefit corporation legislation is a non-for-profit called “B Lab”. B Lab has developed model legislation and offers a free reporting tool to help companies meet transparency guidelines. This the same company that has also created the “Certified B Corporation” with the goal of using “business as a force for good.”
