Empire State Cannabis Update: Best Practices for Preparing Adult-Use Cannabis License Applications

ON OCTOBER 4, 2023, the New York Office of Cannabis
Moreover, applicants proving control through a lease agreement should make certain that the lease contains terms that protect themselves. For example, applicants should seek to negotiate contingencies allowing the tenant to terminate the lease in the event that the they are not awarded a license. Among other terms, applicants should also ensure that their lease permits the use of the premises as a cannabis business pursuant to their specific license type in compliance with applicable state law and regulations.
OCM broke the application window into two parts: (1) an expedited, “priority” application period open between October 4th and November 17th for adult-use retail dispensary and microbusiness applicants who could prove control over real estate; and (2) a general application period for all other available licenses open October 4th through December 18th.
DO YOU QUALIFY FOR SOCIAL AND ECONOMIC EQUITY STATUS? IF SO, PROVE IT!
Management (“OCM”) opened the window for cannabis entrepreneurs to apply for permanent licensure in the state’s adult-use market. Unlike prior application periods that were limited to applicants who met certain eligibility criteria and only offered a single license type (e.g., CAURD), any person or business could apply for an array of licenses, including indoor cultivation, processing, distribution, dispensary, and microbusiness.
As outlined in New York’s Cannabis Law, OCM is required to attempt to award at least half of adult-use cannabis licenses to those businesses who qualify for social and economic equity (“SEE”) status. Applicants qualify for this designation if the member(s) that make up a majority of the applicant’s ownership structure (i.e., at least 51% of the applicant) qualify in one or more groups: individual(s) from a community disproportionately impacted (“CDI”) by prior cannabis enforcement, a minority-owned or women owned-business (“MWBE”), distressed farmers, or service-disabled veterans.
Our team assisted clients in their preparation of many of these “permanent” license applications. Below we highlight a few lessons learned from this first permanent license application window along with corresponding best practices for those considering applying in a future application window.
REAL ESTATE: LOCK IT IN EARLY AND NEGOTIATE PROTECTIVE TERMS
One of the first tasks for anyone intending to apply for an adult-use cannabis license should be locking in real estate for the operation of the business. Outside of those applying for provisional dispensary and microbusiness licenses, every applicant was required to demonstrate on its application that it has “control over the premises” at which the applicant intends to operate. Notably, OCM’s 48-page “General Licensing Application Frequently Asked Questions” document stated that control must be proven through “an executed deed if you own the property, or by uploading an executed lease agreement if you are leasing the property.” Additional guidance from the OCM provided that an option to lease or option to purchase was also sufficient, provided that such option fleshed out the full terms of the future transaction. Critically, however, OCM made clear that a simple letter of intent (“LOI”) to lease a property – a common legal document prepared in connection with the lease of commercial properties – was not sufficient to prove “control over the premises.” This came as a surprise, as a healthy majority of applicants and professional advisors felt that an LOI would be enough.
Proving CDI status was a major hurdle for many applicants who sought to qualify in the first (continued on next page)

To that end, many applicants were forced to enter into lease agreements for spaces that they are unsure whether they will be licensed to operate out of. This alone is something for future applicants to be aware of going into the process. What’s more, especially for priority review dispensary and microbusinesses, these lease agreements were often negotiated in a time crunch, putting landlords in a stronger negotiating position. It goes without saying that negotiating a purchase agreement or lease agreement can, and often does, take time. The greater the time crunch you are under, the more leverage that sellers and landlords have to gain favorable terms for themselves, and, often unfavorable terms for their buyers or tenants. To that end, it is critical that applicants commence these negotiations as soon as possible.

the first things applicants should do at the commencement of their application is to see if any of their past addresses qualify as a CDI address. This can be done by using the interactive map provided by OCM: leaflet (ny.gov). If an applicant has one or more qualifying addresses, their next step should be to see whether its member(s) lived at the address(es) for five years before turning eighteen, or for seven years total. If so, the applicant should immediately start gathering the appropriate documentation to prove that they resided at the CDI address(es) for their application.
While it may seem like the hard part is over when an applicant hits submit on its application, true party of interest (“TPI”) disclosures will arrive shortly thereafter to debunk that theory. The individual designated on the application to complete the applicant entity’s disclosure will be required to complete the first disclosure at the entity (or company) level. The entity-level TPI requires the applicant to confirm the entity’s structure, upload several of the entity’s organizational documents, disclose financial information about the entity, and most importantly, disclose any TPIs of the entity. At the entity level, TPIs can get complicated in terms of understanding who qualifies as a TPI and how to properly disclose the interest in the applicant. The best approach for completing this portion of the application is to take it slow and call for help if needed, especially if the profits of your company will be distributed differently than in proportion to the equity ownership of your company. Additionally, it is well advised for applicants to consider the extent of this disclosure when forming their entity. Overall, the TPI disclosure process is meant to weed out an entity structuring that seeks to either skirt the Cannabis Law’s prohibition on vertical integration or take advantage of SEE initiatives while distributing profits in a manner inconsistent with the proposed ownership structure. Put simply, applicants shouldn’t get cute with their ownership structure, unless they are prepared to answer to OCM about it.
OCM accepts proof such as tax returns, education records (i.e., school transcripts), mortgages, leases, deeds, DMV history/lifetime abstracts, employment records, utility bills, and more. Finding acceptable proof can be more complicated and time consuming than expected, especially for an individual attempting to prove that he or she resided at an address before the age of 18 and/or as long ago as in 1980. Qualifying for SEE (especially through CDI status), at least in this first window, both prioritized review and approval of an application from non-SEE applications and saved applicants money through reduced application fees ($500 vs. $1,000). Additionally, after receiving licensure, SEE licensees will have access to certain business coaching and mentorship opportunities, ancillary support services, and compliance programming coordinated by OCM. The earlier an applicant can identify whether its ownership is eligible for the program, and, if so, begin assembling the substantiating documents, the better off the applicant (and hopefully licensee) will be throughout the process.
After entity disclosures, each owner of the company will be required to submit an individual TPI disclosure. These individuals should check their emails regularly to make sure they are ready to go when the individual TPI disclosure process commences.

All told, after a significant waiting period, New Yorkers have much to be optimistic about for the adult-use cannabis industry in 2024. We expect to see the first round of general licenses handed out in the first months of the year, with a much more robust and widely available marketplace of products available to customers shortly thereafter. It is an exciting time to dive in, but equally important that future applicants take every step to be prepared for the application process. OCM is limiting the number of licenses it awards to attempt to ensure its businesses are successful from the start. Accordingly, if you are considering applying for an adult-use cannabis license, it is important to understand the nuances of the application process and to begin preparing early.

non-hallucinogenic therapies to treat broader central nervous system conditions. The deal was unanimously approved by the boards of both companies and is expected to close soon. It marks Otsuka’s first acquisition of the year and comes as the company is cashing in on the successful development of two antipsychotic agents. Otsuka’s investment in psychedelics reflects the growing interest in these compounds as potential treatments for a variety of mental health conditions. With the first crop of psychedelics inching closer to FDA approval, Otsuka is positioning itself to be a leader in this emerging market.
