News Briefs San Francisco Wins National Planning Grants Two public-housing sites in San Francisco will start the design process to build new mixed-use developments after receiving grants from the federal government. Mayor Ed Lee, city officials and community leaders joined the U.S. Department of Housing and Urban Development on Friday to announce that San Francisco was awarded two $300,000 Choice Neighborhoods Planning Grants. With the money, Bridge Housing Corp. and Sunnydale Development Co. will be able to develop new plans for mixed-use housing at sites in Potrero Hill and Sunnydale. Once the plans are complete, the projects will be eligible for more funds from HUD through the Choice Neighborhoods implementation grants — such as the $30 million The City was awarded last year for the Alice Griffith Public Housing Development. In Potrero Hill, the plan is to convert the Potrero Terrace and Potrero Annex sites into a community that has 1,600 units of public, workforce and market-rate housing, according to Amy Tharpe, director of policy and planning for the Mayor’s Office of Housing. The site currently has 606 public housing units that date back to 1941, according to HopeSF. In Sunnydale, the 785 units of public housing will be converted to include 1,000 affordable rental units and 700 affordable and market-rate for-sale units, planning documents show. Preliminary plans also call for new park space and revitalized street corridors.

October to its strongest level since June 2006 as more serious buyers expressed interest in buying new single-family homes. The one-point gain in the National Assn. of Home Builders/Wells Fargo Housing Market Index doesn’t seem like much. But the increase was the sixth straight monthly upswing for the measure, bringing it to a level of 41. Still, any number less than 50 shows that more builders consider sales conditions to be poor. Measures of sentiment toward current sales conditions and prospects over the next six months both stayed at less-than-optimistic levels. Confidence levels improved in three regions and stayed the same in the Northeast, but remain depressed. A component in the National Assn. of Home Builders index showed that, according to builders’ reports, prospective buyer traffic soared five points to 35 — that gauge’s highest level since April 2006. Builders last month started construction on single-family houses and apartments at the fastest rate in more than four years, the Commerce Department said Wednesday. And they laid plans to build homes at an even faster pace in coming months—a signal of their confidence that the housing rebound will last.

The pace of construction has grown steadily in the past year, and analysts expect it to keep rising. The increase has been fueled by recordlow mortgage rates, more stable home prices and a shortage of previously occupied homes for sale.

Proposals Sought For Block 9 in San Francisco Developers are lining up to take on block 9, the Transbay District parcel in San Francisco that is slated for 580 units of market-rate and affordable housing. Proposals are due December 12. The Successor Agency to the San Francisco Redevelopment Agency recently held a workshop where prospective developers could ask questions about the project. Builders in attendance included Meg Spriggs of AvalonBay, Steve O’Connell of Grosvenor, Glen Ceridono of BRE Properties, Don Lusty and Julia Bennett of Related California, Drew Sullins of Jackson Pacific, and Eric Tao of Avant Housing. The nonprofit developers attending the block 9 meeting include MidPen, Bridge Housing, Chinatown CDC, and TNDC. Transbay block 9 is a 31,000-squarefoot site on Folsom Street between First and Essex streets. The project will include a 400-foot tower and a shorter podium building. At least 20 percent of the units must be affordable to families earning less than 50 percent of the area median income, currently $51,500 for a family of four. The request for proposals comes about 10 months after Golub & Co. and Mercy Housing were selected to develop two other parcels, Transbay District blocks 6 and 7. Diede Construction Wins Fire Station Contract

Apartment Complex Work In San Jose To Begin Soon

The Manteca City Council has approved a $3.2 million design build agreement with Diede Construction for a 7,173-square-foot fire station designed by LDA Partners of Stockton. The city is currently negotiating the sale of the old Carpenter’s Hall at Union Road and Louise Avenue they bought a few years back for possible conversion to a fire station. With the proceeds from that sale plus what fire facility fees have been collected from growth there would be a $1.3 million shortfall of the $3.579 million needed to build the station.

A mixed-use apartment project in San Jose’s midtown should start construction within weeks now that the developer has closed on a $42 million construction loan. The four- to five-story building will wrap around a five-story parking garage and feature 36 studios, 96 one-bedrooms and 86 two-bedrooms.

The architecture mirrors that off the Del Webb community. The fire station planned for the northeast corner of the future intersection of Madison Grove at Lathrop Road just west of Raley’s will employ cement plaster and stone veneer for the exterior walls and use warm earth tones. The elevations will also include aluminum windows and a tile roof. It is part of a two-pronged plan the Manteca City Council implemented in June to bolster public safety by tapping an $8 million endowment fund set up using developer fees. The fund paid for the restoration of a four officer gang unit in July. It also is fronting $1.3 million in the form of a no-interest loan to help cover the construction costs plus $165,000 a year to help cover additional staffing along with utilities and upkeep. That funding - along with the shifting of manpower from the 100-foot aerial platform engines that is one of two

Republic Urban Properties is now ready to start constructing 218 rental units and 15,800 square feet of ground-floor retail that have long been planned for the 3.5-acre site at 1400 West Carlos Street. Crews will soon begin prepping the site for construction, and build out is expected to take about 24 months. San Jose-based Barry Swenson Builder is the contractor on the $68 million, design-build project. Sacramento City Unified School District Asks Voters For $414 Million For Construction The Sacramento City Unified School District is asking voters to approve two school bonds totaling $414 million to address a host of construction projects as well as health and safety issues. Those costs would be in addition to bonds previously approved by voters in 1999 and 2002. Property owners in the school district are currently paying $83 per $100,000. Money from those bonds has been allocated or spent, district Superintendent Jonathan Raymond said.

“Giving our kids the best education we can means providing them with the equipment, technology and learning environments essential to acquiring the skills they need,” Raymond said. The primary bond up for a vote is Measure Q for $346 million in construction, rehabilitation or replacing school facilities, primarily at district high schools. Projects include modernizing classrooms, science labs and computers; fixing leaky roofs and gutters; and replacing heating and air conditioning units. Measure R for $68 million is focused on student health and safety at all grade schools by fixing old playgrounds and athletic fields, improving physical education facilities and upgrading kitchen facilities. School bond money cannot be used for operating expenses, including administrator, teacher or janitor salaries. Raymond said Sacramento City Unified schools, on average, are 50 years old and badly in need of renovation. School district officials said they will benefit from low interest rates and competitive bidding, which are bringing down construction costs. Sacramento City trustee Patrick Kennedy said the district will also be aggressive about looking for matching grants for money spent. “We can turn this $400 million into a lot more,” Kennedy said. “We have a history of doing that.” Talk to us! Begin Your Year-End Planning Now An early start allows time to take proactive steps and better position your company for tax time Contractors who consider CPAs to be merely singularly focused, boring number crunchers probably have hired the wrong CPA. An engaged construction CPA is actually similar to a circus ringmaster who introduces important aspects of the show while directing the audience’s attention and focus. Expert construction CPAs understand how to simultaneously keep the focus on three key financial areas—working capital, net worth and income—throughout the year in order to be positioned for success at year’s end. This kind of year-long planning enhances a company’s ability to take advantage of tax-savings opportunities and

improves financial statement position before year-end. It is especially vital for construction companies whose financial statement “audience” includes the usual entities: banks and sureties. In many states, a contractor has to maintain working capital and net-worth requirements simply to keep a contractor’s license. And, most importantly, surety companies make decisions regarding allowable work programs based on these financial statements. The sooner you start planning, the more you improve your range of options and, therefore, your potential for better outcomes. Here we examine the three primary factors that contractors and their CPAs should focus on as the year progresses. Working Capital Working capital—defined as the sum of current assets (such as cash, receivables, inventories, marketable securities and under-billings) minus current liabilities (such as accounts payable, accrued expenses, taxes payable and over-billings)—is one of the most important metrics used by surety companies to determine a contractor’s bonding capacity. However, surety companies discount a contractor’s working capital to create a true picture of items that will become cash. Understanding this formula allows you to calculate working capital from the surety’s perspective (and perhaps develop a plan for improvement). Generally, sureties exclude from the equations prepaid expenses, employee

and related-party receivables, old accounts receivable and claims receivable. They also discount the value of assets like marketable securities, depending on the market conditions and type of investment. Investments in government bonds may not be discounted at all, while publicly traded equity securities may be discounted up to 40 percent. Other items, such as inventory, may be discounted depending on the nature of the contractor’s business. Some noncurrent assets are typically added back to working capital. Monitoring “bonding working capital” allows enhancement opportunities prior to year-end. Suggested actions may include the following: • Refinance notes payable and lines of credit maturing in the next 12 months into a long-term position. • Refinance equipment purchases made with cash to long-term debt to free up cash and enhance working capital. • Have related parties and owners repay any money owed to the company. • Work older receivables for collection • Limit investments in marketable securities. Of course, surety companies change their perspectives each year depending on the market. The point is to maximize planning opportunities to satisfy both the surety and the banker while minimizing taxes.


Net Worth In addition to working capital, many state licensing boards, as well as sureties and bankers, have net worth or equity requirements. Net worth, also called equity or capital, is simply the company’s assets less liabilities. Most state licensing boards have minimal requirements for net worth—especially compared to sureties and banks, which also use net worth to test a company’s debt-to-equity ratio. Debt-to-equity (net worth) is usually calculated two ways: total debt (meaning every liability) divided by total equity, for a goal of three (or less) to one, and hard debt (bank and finance company loans) to equity, for a goal of one (or less) to one. With the construction market downturn, the focus on net worth has become more intense. If this issue is noticed early, then improvement opportunities may exist and may be acted upon using the following steps: • Have owners invest more money into the company. • Add owners by selling new interest (often as part of a good succession plan). • Have owners loan the company money under a subordination agreement with a surety company or bank—as long as state licensing isn’t an issue. • Sell idle equipment to pay off debt (if

debt levels are a problem). These choices may have tax consequences and should be reviewed with a construction CPA. Income Many contractors assume that income is the most important factor to monitor because it is the driver of income tax liability when performing year-end planning, but income is the factor over which you have the least control. If financial statements are generally strong despite a loss, then it may also be the least important to your surety and banker. The key is to communicate openly with the banker and surety to avoid any surprises. Depending on the company’s tax structure, contractors should evaluate ways to minimize taxes without hurting financial statements. It’s a feat that requires careful balance, but you shouldn’t feel as if you are walking a tightrope. Examples of this balancing process include the following scenarios: • Exploiting the difference in tax depreciation versus financial statement depreciation. Equipment purchases may help minimize taxes without negatively impacting financial statements. However, equipment should never be purchased solely as a tax decision. • Managing contract completion to minimize taxes without hurting financial position. For example, completed-contract

taxpayers may be able to slow a job to delay completion into the next tax year with minimal negative impact on the financial statements. • Avoiding tax payments on profit that will note be earned. Percentage-of-completion taxpayers should ensure they are not being overly optimistic regarding profitability of jobs in progress. By looking at these three key financial areas prior to year-end, contractors and their CPAs can capitalize on planning opportunities or, if there is no way to accomplish favorable options for both financial statements and tax, at least prioritize. Occasionally, due to timing, downturns in volume, or mandatory changes in tax method, contractors may choose tax strategies that hurt profitability or working capital. If faced with this choice, alert your bonding agent and surety about the available options and the choice that was made. Communication can help. We have yet to meet a construction company owner who asked to pay the government an extra dime in taxes. However, contractors should always seek to avoid short-sighted decisions for tax savings that hurt working capital and curtail bonding capacity. It may seem like a three-ring circus, but when an experienced construction-specific CPA has time to evaluate all options prior to yearend, everyone wins.

Bonding Education Program The Surety & Fidelity Association (SFAA) and United States Department of Transportation (DOT) Bonding Education Program (BEP) is composed of two interrelated components.

The Educational Workshops Component offers a set of up to ten workshops, including an introductory workshop on intake and logistics; eight comprehensive workshops, each of which is designed to provide information to the contractors related to improving their company’s operations and thereby making it easier to be bonded or to increase their bonding capacity; and a closing workshop focused on networking and next steps. In some instances, the DOT Small Business Transportation Resource Centers (SBTRC) have chosen to combine certain workshops in order to shorten the overall time for implementation of this component. Following are brief descriptions of these ten workshops:

• Business Planning, Management and Marketing for Construction This workshop focuses on such areas as assessing or reassessing the legal form of the company, developing a succession/business continuation plan, managing/controlling growth and assembling a business team. Areas covered include legal and corporate structures, certifications/licenses/permitting, establishing goals and objectives under a business plan, and issues related to company management, policies and procedures, and staffing. The marketing portion of this workshop focuses on such areas as identifying core company capabilities and determining company capacity, developing a marketing plan, identifying targets of opportunity, and making sales calls and visits.

• Kick-Off: Program Description and Initial Intake This workshop includes an overview

workshop describes the importance of choosing the right construction lawyer, accountant, banker, insurance agent and producer; how to identify them; why they are important; what role these individuals would play and how they interrelate, what they would expect from the contractor, and how their involvement contributes to overall business success. • Construction Accounting and Financial Management This workshop focuses on basic construction accounting concepts and will provide an overview – from job costing to financial reporting – as well as construction-specific practices that introduce the contractors to construction accounting fundamentals. for capital equipment financing, how to determine working capital requirements, the use of lines of credit and establishing a banking relationship. • Bonding and Insurance for New and Emerging Contractors This workshop focuses on what surety bonds are and the various types of surety bonds, how to begin the process of obtaining a bond, the role of the agent/producer and underwriter, the prequalification process, the 3 “C’s” – capital, capacity and character, the costs of bonding, and how to develop a surety bond relationship. On the insurance side, the workshop covers the various types of insurances required (commercial general liability, Workers Compensation, etc.) and what to look for in an insurance agent relationship. The workshop also covers such programs as the SBA Bond Guarantee and Loan Programs, relevant state bond guarantee and loan programs, and any local bonding or financial support programs that might be available for emerging contractors. • Estimating, and Bidding This workshop covers methods of computing measurements, including off-the-shelf estimating software, metric conversions and essential mathematical formulas for estimating and planning construction projects, and preparation of bid documents. • Project Management and Field Operations This workshop focuses on projectspecific activities, including hands-on advice at the job site. The workshop covers such topics as plan reading, estimating and bidding, types of contracts (lump sum, cost plus fee, etc.), common contract forms, project planning methods, job costing and scheduling, management of subcontractors, the proper expedition of change orders, and measuring project performance. On the field opera-

tions side, the workshop covers setting up the job site and on-going job site operations. • Legal Issues, Claims and Dispute Resolution This module focuses on such areas as construction contracts, mechanic’s liens, the claims process under Miller Act payment bonds, the various mediation services and approaches available to a contractor in a dispute, the arbitration provision in standard form construction contracts and what it means, and when and under what circumstances does one consider litigation. • Managing Growth - Why Some Contractors Succeed and Others Fail This workshop identifies the most common reasons why contractors, especially small contractors, fail. The workshop also provides suggestions and approaches as to how to avoid these situations and the various management approaches and techniques that help to ensure contractor success. In conducting this workshop, the instructor will present “real world” examples of contractors who have succeeded, what pitfalls they were able to avoid and how. • Conclusion of Workshop Component and Opportunity Networking This workshop represents the conclusion of the educational component of the program and focuses on solidifying the bondability of the contractor and exploiting contracting opportunities through contacts and networking. The Bond Readiness Component consists of one-on-one interactions with surety bond producers, underwriters and other professionals who work with the contractors on a caseby-case basis in assembling the materials necessary for a complete bond application and in addressing

any omissions and/or deficiencies that might deter the successful underwriting of a bond. In this component, SFAA joins with the SBTRC and uses the network of both the National Association of Surety Bond Producers (NASBP) and local surety associations (LSAs) to identify one or more surety professionals in the various local areas who volunteer to assist these companies in becoming bondable or increasing their bonding capacity. In addition, the SBTRC is encouraged to identify the resources to assign a full-time staff person with surety experience or contract with a surety consultant to coordinate the program at the local level. Under this component, the local surety association member(s) work with the SBTRC and its staff/consultant to establish a bond readiness team ideally comprised of a surety bond producer, a representative of the jurisdiction/organization, and other professionals as needed such as an accountant, banker, attorney or technical assistance provider. The team would first develop procedures for review of bonding applications and establish protocols to ensure the confidentiality of the contractor information that they would be reviewing. Next, the team or an individual team member (usually a bond producer) would meet with each contractor on an individual basis to assemble a profile of the company, including financials and job performance history. Should this information be incomplete, the team or bond producer would assist the contractor in assembling a more thorough package for assessment. The team or bond producer would then review aspects of the contractor’s financials and/or performance history that might lead to a bonding denial. After this step, the team or bond producer would identify those factors that would potentially make the contractor bondable and develop a strategy continued on next page

Bonding Education Program continued from last page to address each of these factors, including referring the contractor to specialized project management, accounting or financing assistance, if needed. Lastly, the bond producer would help the contractor to identify and secure bonding for subsequent projects. A similar approach would be taken for those contractors who need an increase in bonding capacity in order to bid as prime contractors or to take advantage of larger subcontracting opportunities.

Capitol Connection Q&A Resource For Contractors By Shauna Krause and David Kalb Capitol Services, Inc. While we often share answers offering good news to contractors in a jam sometimes it’s ‘un- possible’. Common wisdom says most rules have an ‘exception’ but you shouldn’t ever count on getting a second, and sometimes you just can’t fix what is ‘brokered’… Q: I am a Sole Owner, roofing contractor with no current employees. I missed a payment to State Fund and they cancelled my policy. At this point they completed another routine audit and they say I owe them $43,000. I don’t have that kind of money. They say they won’t insure me until I pay it. If this is the case my license is now suspended and I can’t work until I have Worker’s Comp and they are the only company who writes for small roofing companies. What can I do to get my licensed un-suspended so I can get back to work? If I can’t work I won’t be able to pay that and I will need to go out of business A: Thank you for contacting Capitol Services. Your situation is an unfortunate one because it is my understanding that State Fund is the major market for small roofing companies and without any employees, it is unlikely that you will be able to obtain a policy elsewhere. Since roofing contractors are required to have Worker’s Compensation Insurance, even with no employees, the CSLB will not ‘un-suspend’ your license until you have a new policy in place. This insurance requirement is very heavily enforced for roofing contractors. If it is at all possible for you to put

someone on payroll, opening the door to policies at other potential insurers, then you can contact an insurance company other than State Fund to write you a new policy. Or, I see that you have a “C-33” Painting classification on your license. As an option, and I have to assume that you don’t want to do this, you could remove the “C-39” Roofing classification from your license so that the Worker’s Comp insurance is not required, and just operate your painting business.

A: I understand your predicament - you may not be completely happy with your original name choice, but you want your returning customers to be able to find you. But, since you are a Sole Proprietor, Smith Construction is already considered a dba, so you cannot add a second dba of West Coast Builders to the license.

I’m sorry that I can’t give you better news, but unfortunately there just aren’t many options for small roofing companies when it comes to Worker’s Comp.

Q: I am a solar broker, meaning I sell solar energy system to residential and small commercial clients, as well as design the system. Can I hire a sub-contractor (specialty/electrical) to do the installation for my clients, without having General / Prime contractor license myself, since I would not provide any kind of fabrication or labor?

Q: I have a sole owner license issued in the name of Smith Construction. I’d like to do business as West Coast Builders, but I’d also like to keep the original name on the license since it’s been around so long and many of my old customers know me as Smith Construction. Can I change my business name to Smith Construction dba West Coast Builders?

A: Thank you for contacting Capitol Services Inc. Even if you are subcontracting out the work to a specialty contractor, you cannot sign contracts for any type of solar/electrical installation without a contractor’s license. Both the individual/ entity signing the contract as well as the individual/entity performing the work need to have the appropriate contractor’s license.

The Significance Of A Site Safety Inspection By law, California employers must provide safe work places for their employees. Failure to do so can not only threaten the life or health of workers, but employers may incur steep penalties for non-compliance and even criminal prosecution. Implementing regular safety inspections using site-specific checklists can help keep workers safe by identifying and correcting hazards in the workplace before they cause an illness or injury. Keep in mind that hazards may be present in any work process, and can be created by: • Physical, biological, or chemical factors in the workplace. • Mishandling of materials and equipment by workers. • Management practices, such as inadequate training, or providing improper Personal Protective Equipment (PPE). When creating your site safety inspection checklist, focus on the following: • Review your administrative records and postings at your workplace. Check to see that safety programs, procedures, trainings, Material Safety Data Sheets (MSDS), and other records are up to date and accurate. Employer postings required by Cal/OSHA must be placed where they can be seen by all employees. • Observe workers to see if they are practicing good housekeeping. Check to see that items and debris are kept off floors and out of walkways, and that stored items are stacked properly on shelving units firmly attached to the wall. • Inspect floor surfaces to ensure they are clean and free of slip hazards such as dirt, granular substances, equipment parts, water, or oil. covered with non-slip materials and holes in the floor, sidewalk, and carpet should be repaired properly, or covered. • Test your safety and emergency systems and equipment such as fire alarms and sprinkler systems annually and make sure that your fire extinguishers are charged monthly and recharged annually. Periodically inspect all first aid kits and replenish or replace supplies as needed. • Examine power cords to determine if they are intact, need repair, or should be replaced. Check the condition of equipment and tools to ensure they are in working order. Take out of service or tag defective equipment. • Ensure areas under desks and tables are accessible to allow proper ergonomic seating and access in case of an earthquake. Aisles and walkways need 36” clearance in an office and 44” in a shipping area. Some sites may need checks at every shift and others may need daily, quarterly or annual inspections depending on the workplace and its hazards. After any inspection, document the observations, identified hazards, and corrective actions taken. Finally, encourage workers to make daily site and equipment safety inspections and to report observed hazards

Your supervisor should take the time necessary to explain the safety requirements for the work you will be doing. Here are several safety topics to think about. First Aid & Emergency: Where is the first aid station located? Where are the first aid supplies? Who is certified to provide first aid? Where are emergency phone numbers posted? Housekeeping & Sanitation: Where is the waste disposal area? Are there any materials which must be disposed of in a special manner? What are the procedures for daily cleanup? Where is drinking water located? Personal Protective Equipment: Are hard hats required at this work site? Are soft soled shoes prohibited? Check eye and ear protection requirements! What other kinds of Personal Protective Equipment are needed?

Hand & Power Tools: Are you qualified to use the tools you will be using on this job? Are all the required guards in place? Are your tools properly grounded? Ladders: Is the ladder the right one for the job? Is it in good condition? Be sure the ladder is properly set up and secured. Always check a ladder prior to using it. Hazcom: Are you going to have to work with chemicals? Do you understand all of the precautions which must be taken? Find out where Material Safety Data Sheets are kept, as well as where the main chemical inventory list is located. As a new -- or seasoned -- employee there are many safety topics that you need to think about. Some other subjects which may be of particular importance on your job are: working around cranes and heavy equipment, excavations and trenching, motor vehicles, scaffolds, fall protection, and electricity. As the new guy on the block there is a lot of information that you need to comprehend. If you have a question -- ask. As a supervisor you need to be able to answer any questions a new employee may have.
