The matters in this Annual Report represent some highlights of the group's undertakings in the past year, when our real estate professionals participated in a breadth of sophisticated, community-defining and transformative real estate projects. We advised our clients on the purchase and sale of a wide variety of commercial properties, including office, multifamily and mixed-use projects. We assisted a diverse array of capital markets clients in negotiating, structuring and documenting complex transactions, including syndicated loans, public finance and private development matters. We also guided clients through sophisticated land use entitlements – supported by the strong working relationships that we maintain with local elected officials, their aides and senior staff – all while navigating the pandemic. ABBHI CAPITAL Holland & Knight advised an affiliate of Abbhi Capital in its purchase of the property that houses Christy's Restaurant, which has been a Coral Gables landmark for more than 40 years.
In a separate matter, Abbhi Capital, via affiliated entities, purchased two lots in Miami Worldcenter that neighbor a planned mixed-use apartment project. Abbhi Capital's affiliate is a partner on the apartment project, which will feature 450 apartments, 10,000 square feet of retail space and 20,000 square feet of co-working space.

CITY OF CORAL GABLES Holland & Knight represented the City of Coral Gables in the acquisition of a parking lot from a church located on Sunset Drive. The firm negotiated the purchase and sale agreement, reviewed all title and due diligence matters, served as title and escrow agent, and negotiated the closing documents. The City intends to use the property to build a firehouse and public park.
In a separate transaction, Holland & Knight represented the City of Coral Gables in a land-swap transaction that resulted in a new Public Safety Building at 250 Minorca Avenue, which has been under construction since 2017 and has now been completed. Prior to this transaction, the City owned the property at 2801 Salzedo Street and a real estate investment firm owned the property at 250 Minorca Avenue. Holland & Knight handled every aspect of this transaction on behalf of the City – from the Letter of Intent phase to the contract drafting phase, due diligence and title review periods, and through closing. The firm served as title agents on behalf of the City in connection with its acquisition of the Minorca property and prepared the closing documents on the City's behalf for the Salzedo property sale. www.hklaw.com | 4
ELION PARTNERS Holland & Knight has continued our working relationship with Elion Partners throughout 2020, aiding the company in its property acquisition and disposition work in multiple jurisdictions. Elion’s investment strategy is focused on last-mile logistics real estate, targeting core, urban logistics hubs near large population centers in infill coastal markets. The recent acquisitions that Holland & Knight aided are part of a series that Elion has planned for its portfolio aggregation strategy across key coastal logistics markets. During the second half of 2020, Elion acquired seven additional last-mile industrial distribution assets in key logistics markets, including Seattle, San Francisco, Southern California, New Jersey and South Florida. Holland & Knight represented Elion in all of these transactions. In addition to the series of last-mile acquisitions, Holland & Knight aided in the sale of 12 last-mile distribution assets in the summer 2020. The portfolio represented 700,000 square feet of space across South Florida and was the market’s largest industrial sale of the year.

FISHER ISLAND HOLDINGS LLC Fisher Island is a members-only, luxury South Florida real estate development that has one of the most expensive ZIP codes in the country. Throughout the past decade, including 2020, Holland & Knight has served as lead real estate and development counsel to the master developer of Fisher Island regarding the development and unit sales of the 10-story, 43-unit Palazzo del Sol and 10-story, 50-unit Palazzo della Luna. Our attorneys advised on a record number of closings in 2020, with unit prices ranging from $6.5 million to $35 million or more than $2,100 a square foot – making them some of the most expensive homes in South Florida. Holland & Knight also served as part of the core legal team representing the developer in obtaining entitlements to complete the remaining two parcels of Fisher Island, which are planned as a 57-unit, 10-story condominium building and 12 single-family homes.

GLOBAL CITY INVESTMENTS Holland & Knight represented Global City Investments in the acquisition of two adjacent properties – a farmhouse and farmland – in Mt. Juliet, Tennessee. The firm negotiated the purchase and sale agreement; reviewed all title and due diligence matters; reviewed, revised and negotiated all loan documents; and negotiated the closing documents. The client intends to develop the land as a residential community.

GROVE BAY Holland & Knight served as lead counsel in negotiating a long-term lease agreement with the City of Miami for the redevelopment of significant portions of the waterfront in Coconut Grove. After completion of the negotiations with the City and the approval of the lease agreement by referendum of the electorate, Holland & Knight has worked hand-in-hand with the developer to secure necessary entitlements, complete the initial construction financing and address construction-related matters. The firm now serves as counsel negotiating the various leases to subtenants within the new development.

INVIVAS Holland & Knight represented Invivas, a Spain-based real estate investor, in the $12 million acquisition of the two-story, mixed-use historic Chandler Building in South Beach's entertainment district, one block from Española Way. The property is commercial/retail on the ground floor and studio apartments on the second floor. The client expressed interest in future redevelopment of the site.

MIDTOWN OPPORTUNITIES Holland & Knight advised on the $26.4 million acquisition of a nearly 5-acre vacant parcel in the Midtown neighborhood of Miami. The acquisition was strategic as the client already owned certain air rights above the property as well as a liner tract contiguous to the property. The consolidated parcels and rights permit will allow for substantial development on the property.
In a separate matter, Holland & Knight represented Miami-based developer Midtown Opportunities, an affiliate of Midtown Development, in the purchase of The Shops at Sunset Place. Our attorneys represented Midtown in a "sign and close" acquisition completed in a span of 10 days. Midtown paid $65.5 million for the open-air, 10-acre mall, marking a 40 percent discount off its previous purchase price in 2015. The mall is currently anchored by a 24-screen theater and bookstore, and is home to retailers, local specialty shops and several restaurants.

THE LUCKY COMPANIES Holland & Knight represented The Lucky Companies, a privately held real estate investment firm based in South Florida, in connection with the $13 million sale of a 121,933-square-foot industrial building located at 10700 NW 36th Avenue in Miami.

ATLANTIC SAPPHIRE Holland & Knight advised U.S. and Danish subsidiaries of Atlantic Sapphire, a company traded on the Oslo Stock Exchange in Norway, on a $210 million senior secured syndicated financing arranged by the New York branch of DNB ASA, Norway's largest financial services group. The financing is tied to the company's development of a world-class, above-ground salmon farm in Homestead, Florida. Atlantic Sapphire is a land-based Atlantic salmon farming company with production operations in Hvide Sande, Denmark, and Homestead. Atlantic Sapphire uses its "Bluehouse" production technology, which was developed in collaboration with a wide range of supply chain partners to optimize growing conditions for Atlantic salmon by eliminating exposure to lice, algae and other diseases, as well as producing the salmon closer to the end-consumer. The $210 million refinancing allows Atlantic Sapphire to continue the next phase of construction on its salmon farm in Homestead, just south of Miami. The main building consists of a 390,000-square-foot, climate-controlled facility where salmon will be hatched, raised and harvested. The facility will be one of the largest salmon farms in the world when it is completed. 15 | www.hklaw.com
BANKUNITED Holland & Knight represented BankUnited N.A. in connection with a $50 million term loan to refinance existing debt on 17 commercial real estate buildings totaling 704,598 square feet of office and industrial space. The properties are located in Miami-Dade County.

CANADA LIFE ASSET MANAGEMENT A team of South Florida Holland & Knight attorneys acted as U.S. counsel to Canada Life Asset Management (CL), a company incorporated in England and Wales, in connection with a $371.6 million loan to the borrower. The representation included three different stages. In Stage 1, our attorneys assisted CL in connection with an increase to the existing loan. As part of this representation, the team provided CL with guidance regarding three U.S. properties – one located in Illinois and two located in New York. These properties served as additional collateral to the loan. The firm negotiated modifications to mortgages and assignments of leases and rents, an amended and restated guaranty, and additional related documents. Stage 2 involved the corporate reorganization of the three U.S. entities that owned the properties granted as collateral to the loan. The reorganization involved creating a new U.S. vehicle that acquired the shares of the entities that owned the U.S. properties. This stage involved the drafting and negotiation of an amended and restated guaranty and new pledge agreements, as well as review of a variety of corporate documents related to the reorganization, including stock powers and ledgers. As part of Stage 3, CL obtained a mortgage on another property in New York that served as additional collateral to the loan. In this stage, to save on mortgage tax, the existing lender agreed to assign the existing mortgage on the property to CL. Accordingly, in addition to drafting typical loan finance documents (e.g., amended and restated mortgage and assignment of rents and leases), our attorneys also reviewed all the assignment documents related to the transaction. Holland & Knight's representation in all three stages involved the review of all due diligence related to the properties and applicable U.S. entities. The agreement evidencing the loan debt is governed by U.K. law. Therefore, as part of the representation, our team worked closely with a U.K. law firm.

GOMEZ DEVELOPMENT Holland & Knight represented 275 Fontaineparc, a Delaware limited liability company, in refinancing a $27.55 million loan. The collateral property is located at 275 Fontainebleau Boulevard in Miami.

GROVE BANK & TRUST Holland & Knight represented Grove Bank & Trust as construction lender's counsel in connection with a $12 million loan to demolish an existing Bank of America building and drive-through facility and replace it with a freestanding Bank of America branch, ABC Fine Wine & Spirits Store and a retail shopping center.
M&T BANK Holland & Knight represented M&T Bank as lender's counsel in connection with a $26.9 million construction loan for the development of a supermarket-anchored shopping center and related improvements in Boynton Beach, Florida.

MARQUIS BANK Holland & Knight represented Marquis Bank in modifying an existing $11 million loan to 7300 Kendall Drive and Kendall Drive Joint Venture and secured by a commercial office building located at 7300 North Kendall Drive in Miami. The firm prepared and negotiated the loan documents, reviewed the title to ensure a proper endorsement to the existing loan policy was issued and reviewed various proper due diligence on the client's behalf.
OCEAN BANK Holland & Knight represented Ocean Bank in connection with the financing of 13 commercial properties in Boca Raton, Deerfield Beach and Plantation, Florida. These properties included strip malls, multi-tenant office buildings, a grocery-anchored neighborhood center, multi-tenant industrial warehouses, single-tenant flex buildings, a single-tenant fast-food restaurant and a retail center. The sizes of the properties ranged from 18,750 to 411,565 square feet.

SANTANDER BANK Holland & Knight represented Santander Bank in connection with a $57 million syndicated construction loan for a 338-unit apartment project with ground-floor retail located on Ludlam Trail in Miami.

ASIA CAPITAL REAL ESTATE MANAGEMENT LLC Holland & Knight represented Asia Capital Real Estate Management in a joint venture for the acquisition and financing of approximately 2.14 acres of land in Hillsborough County, Florida, known as Central Park Village. The purchase price was $4.66 million. The joint venture obtained a $39 million loan from Citizens Bank for the development of the property into a 291-unit residential complex. Our attorneys assisted the client in analyzing title, local permitting and zoning due diligence to confirm project approval. The firm also assisted in preparing and negotiating the corporate joint venture transaction documents and the loan documents.
GOMEZ DEVELOPMENT Holland & Knight represented our client in the negotiation of a joint venture agreement to own and develop certain residential properties located at 1515-1543 NW South River Drive in Miami. Our attorneys also advised the joint venture in negotiating a $4.62 million loan with a Florida limited liability company.

KING STREET REAL ESTATE Holland & Knight advised King Street Real Estate in multiple joint ventures in the $120 million purchase of the 221-room Shelborne South Beach condo-hotel in Miami Beach and the acquisition of 30 condo units for an additional $20 million. Holland & Knight client and real estate investor King Street Real Estate is the real estate arm of the $18 billion-plus global investment management firm King Street Capital Management, with offices in New York, London, Singapore, Tokyo and Charlottesville, Virginia. King Street teamed up with Canadian-based property developer Westdale Properties and London-based hospitality firm Cedar Capital Partners in the acquisition. Opened in 1941, Shelborne South Beach is an art deco-style condo-hotel with 275 total units. The hotel, which was recently renovated, is located at 1801 Collins Avenue.

AHS RESIDENTIAL Holland & Knight represented a real estate developer in obtaining the entitlement approvals for a 420-unit residential community, the largest multifamily development approved in Miami Gardens, Florida, since its incorporation. Because approval occurred during the COVID-19 pandemic, negotiations with city officials had to be completed virtually. This was one of the only investments that the client pursued during the pandemic in 2020.

DEZER DEVELOPMENT Holland & Knight represented Dezer Development in land use matters in its proposed redevelopment of the Intracoastal Mall, located in North Miami Beach. The city granted approval of the mixed-use project, including 2,000 residential units; 375,000 square feet of retail, restaurant and entertainment uses; 200,000 square feet of office use; and a 250-room hotel. The buildings will be up to 45 stories tall and the project will feature the creation of a new waterway.

FUSE GROUP Holland & Knight attorneys are working with Fuse Group on approvals of a multiparcel development spanning more than seven city blocks that includes a total of up to 700 apartments and up to 250,000 square feet of office, lifestyle, restaurants, entertainment and retail space. The effort will reestablish the Sistrunk Corridor in Fort Lauderdale, Florida, as the focal point of the neighborhood. Among other items, our attorneys sought approvals for rezoning a 3-acre city block from industrial to a mix of residential and commercial use, as well as obtaining governmental incentives to help fund this redevelopment effort north of downtown Fort Lauderdale.

THE RELATED GROUP Holland & Knight represented the Related Group in zoning and land use approvals for its One Island Park mixed-use office project on Terminal Island. One Island Park was designed by the award-winning international architecture firm, Arquitectonica. The project will consist of two, five-story, 75-foot-tall Class A office buildings, dining options including a cafe and a rooftop restaurant, an exclusive mega-yacht marina, and a private bay walk. Located at 120 MacArthur Causeway, One Island Park will share Terminal Island with the U.S. Coast Guard Base Miami Beach and the Fisher Island Ferry, which transports residents and guests to and from the luxury island. www.hklaw.com | 32

COMMITTED TO OUR COMMUNITIES Holland & Knight Founder Chesterfield Smith (1917-2003) instilled in our lawyers a sense of community purpose and recognition that we have a duty to provide needy people and groups with free legal services. Today, that charge remains woven into the fabric of our firm. Holland & Knight annually contributes an amount of time equal to at least 3 percent of the firm’s billable hours to pro bono legal service. The variety of cases we take on is as broad as the needs of the communities in which we practice. In addition, members of the firm serve in leadership roles in governmental bodies, nonprofit organizations, civic initiatives, higher education institutions and economic development groups. As active members of our bar associations, we have many opportunities to leverage the resources of our firm with other law firms in community service. From cultural events to public education programs, our attorneys share their talents and resources to improve the quality of life in communities where we work and live. Holland & Knight also coordinates large-scale national and local service days and regular service engagements with the firm’s community partners.
OUR PUBLIC AND CHARITABLE SERVICE DEPARTMENT Holland & Knight’s Public and Charitable Service Department was created in 2009 to integrate the firm’s global pro bono, community service and charitable giving initiatives to make deeper investments in communities in need. Our firm is proud to provide legal and organizational assistance to these positive forces for social change.
Veterans and the Military Active-duty military service personnel often face complicated legal issues while they serve our country. We’ve joined the American Bar Association’s (ABA) Military Pro Bono Project to help these individuals and their families with a variety of legal needs. As a result of this work, the ABA again honored Holland & Knight with its annual ABA Military Pro Bono Project Outstanding Services Award. Holland & Knight is the only law firm or company to receive the Military Pro Bono Project’s annual Outstanding Service Award each year since the award’s inception in 2012. We dedicate significant resources to initiatives that benefit military veterans, including supporting the Wounded Warrior Project, providing legal services for the United Way’s Mission United Initiative to assist veterans with civilian re-acclimation, and partnering with the ABA’s Section of Taxation and the Internal Revenue Service to coordinate a Military Volunteer Income Tax Assistance program.
Social Entrepreneurship The nonprofit organization MyGoodDeed was founded in 2002 to carry forward the remarkable spirit of service and unity that arose on and after Sept. 11, 2001. The organization was co-founded by Jay Winuk, the brother of Glenn Winuk, a Holland & Knight partner and volunteer firefighter and EMT, who lost his life in the line of duty as a rescuer at the World Trade Center on 9/11. Day Observance. This is now a federally designated National Day of Service and Remembrance, in large part due to the organization’s efforts. As MyGoodDeed has grown by leaps and bounds and spread its message worldwide, Holland & Knight has helped build the organization’s infrastructure to maximize the impact and sustainability of its call to service. Serving as general counsel, we provide pro bono legal services that range from corporate governance guidance to transactional and intellectual property strategy.
Civil Rights Best Buddies International is the world’s largest program dedicated to ending the social, physical and economic isolation of people with intellectual and developmental disabilities (IDD). Holland & Knight has supported the organization for more than 20 years by serving as outside general counsel, on its board of directors and for local advisory boards; providing financial support for Best Buddies’ awareness events that promote disability rights to a wider audience; and employing individuals through the Best Buddies Jobs program. We applaud Best Buddies’ commitment to advocate for the rights of people with IDD.
Human Rights When Florida mandated Holocaust education in the state’s public schools in the mid-1990s, Holland & Knight assisted in preparing the first curriculum. Since then, we have focused on creating awareness about the Holocaust and genocide, and promoting the lessons learned from extraordinary stories of human courage and compassion. Our attorneys teamed up with Bet Tzedek to help hundreds of Holocaust survivors recover thousands of dollars in reparations from the German government and gain access to pro bono legal services. The firm works with the United States Holocaust Memorial Museum’s Lawyers Committee, which provides professional development initiatives to study the legal ramifications of the Holocaust. We also support other organizations that are active in this area of focus, such as Facing History and Ourselves and the Anti-Defamation League.
Children and Education Through the Holland & Knight Charitable Foundation’s Opening Doors for Children program, the firm’s attorneys and staff help students who are at risk of never realizing their full potential. We partner with schools and nonprofits in socioeconomically disadvantaged neighborhoods to provide tutoring, serve as mentors and enhance their curricula. For example, at Charles R. Darwin Elementary School in Chicago, students who are struggling with reading get help from our volunteers during “power lunches” held in the classrooms. Through a Reading Is Fundamental program, they take home a minimum of three books per year to spark their interest in reading. Many of these students also learn about the history of the United States and are introduced to the legal system through a partnership with the Constitutional Rights Foundation. www.hklaw.com | 40
