KIWI TRIO PRIMED FOR ITM 500 AUCKLAND Boosted by a stunning debut for Volvo in the hands of 20-year-old Scott McLaughlin in Adelaide, the Kiwi trio are primed and ready to shine at the ITM 500 Auckland at Pukekohe Park Raceway at the end of this month - 24th to 27th April. McLaughlin, who guided the new Volvo to second in race two at the Clipsal, created the headlines. However it proved a superb weekend for New Zealand drivers, with Shane van Gisbergen taking podiums in two of the three races. Fabian Coulthard completed an outstandingly consistent weekend with two fourth and one fifth placing, to lie in second place overall in the championship. “Now I am massively looking forward to Pukekohe. I had that amazing race win there last year but we are coming there with a better car and the aero package is pretty good too and we will definitely be a contender,” said McLaughlin. McLaughlin became the youngest ever winner in V8 Supercars when he stood on top of the podium in the first race at Pukekohe last year, with fellow Kiwi drivers Fabian Coulthard and Shane van Gisbergen enjoying success as well. “It is great for the New Zealand public we have three drivers that are capable of winning races. I hope the fans turn up at Pukekohe again and support it. “Nothing beats being in front of your home fans, with them cheering and waving the New Zealand flag. When I got out of the car last year at Pukekohe when I won it was incredible,” McLaughlin exclaimed.

Coulthard echoed the comments. “It was a really good start for us and for the other two Kiwi boys. But no doubt we are all focussing on coming back to Pukekohe and doing well again in front of our fans.” Motorsport fans will be able to experience support category action on Thursday 24 April, before an afternoon start on Anzac Day with V8 Supercars race action including the first 100km race. Can a licensed builder withHold a record of work? A “record of work” is something that a licensed building practitioner (“LBP”) must hand over to his client and the local territorial authority, when he completes his work. He only has to do this if he is doing “restricted building work” under a building consent. enough to affect the structural integrity or weathertightness of the building, or its fire safety systems. It includes bricklaying or blocklaying, carpentry, external plastering, foundations, and roofing. Whether the LBP personally carries out that work, or merely supervises it, he must, on completion of his restricted building work, provide a record of work in a special form. The form itself is pretty basic. It simply states what restricted building work he carried out or supervised. You might ask, what is the need for such a form? Surely everyone involved in the project already knows what the builder did and didn’t do? But the answer isn’t quite that simple. When the 2004 Building Act first came out, the document now referred to as a “record of work” was originally referred to as a “certificate”, and later as a “memorandum”. Originally, the “certificate” required the LBP to confirm that his restricted building work complied

with the building consent. There was an outcry about that, so the requirement to certify building consent compliance, now only applies to design work. The “record of work” is now simply a record of what restricted building work the licensed building practitioner carried out or supervised. THE REASON FOR THE REQUIREMENT The purpose of a record of work is to enable building owners to identify who did the work, so that if defects emerge later on, they can track them down and hold them to account if necessary. This is because experience (particularly during the leaky building crisis) has shown that defects often take a long time to emerge, transfers of ownership of buildings increase the likelihood that knowledge of who performed the building work will be lost, and the territorial authority records were not always as thorough as they should be.

The “record of work” is now simply a record of what restricted building work the licensed building practitioner carried out or supervised.

There are two important points to note about the requirement. First, there are no exceptions to the rule. You simply have to hand over a record of work, no matter what. Secondly, the time when you have

to hand it over, is “on completion of the restricted building work”. There is no definition of “on completion”, so logically the builder is allowed a reasonable period to put it together and get it to the owner and the territorial authority. In cases where the owner has barred the LBP from the site before the restricted building work is finished, the LBP arguably still has to provide a record of work for the work that he has been able to finish. There are many reasons why a builder might not hand over a record of work – some more justifiable than others. At one extreme, he might have suffered a heart attack or a stroke and be incapacitated, or he might have had to leave the country urgently to deal with some family crisis. At the other extreme, he might be completely indifferent about complying with his statutory obligations, or he might be withholding it as leverage to extract something out of the client that he otherwise wouldn’t be entitled to. In between those two extremes there are a lot of reasons that might be justifiable to some degree – he might be preoccupied trying to cope with unexpected crises at home and at work, or he might be suffering from a mental breakdown or depression, or he might be withholding the record of work because an unscrupulous client is trying to extract something out of him that he otherwise wouldn’t be entitled to.

The purpose of a record of work is to enable building owners to identify who did the work, so that if defects emerge later on, they can track them down and hold them to account if necessary.

YOUR JUSTIFICATIONS DO COUNT Even though the Building Act says that you have to hand over a record of work regardless of the circumstances, there is no specified penalty for failing to do so. However, it is one of the grounds on which the Building Practitioners Board can discipline the LBP under the Building Act, and the penalties the Board can impose range from cancelling, suspending or restricting his licence, ordering him to undertake training, fining him, or reprimanding him. But the Board can only choose to discipline the builder if the builder has failed “without good reason” to provide a record of work. This is where

the LBP’s reasons for withholding the record of work become relevant. The most common situation in which a builder is going to withhold a record of work, is where he is in dispute with his client and the client has withheld payment of one or more of his invoices. Particularly in cases where the builder is honest and diligent and the client has either jumped to unjustified conclusions or is himself a dishonest person, the builder understandably is going to wonder why he has to toe the line when there is no such pressure on the owner.

The most common situation in which a builder is going to withhold a record of work, is where he is in dispute with his client and the client has withheld payment of one or more of his invoices. After all, just as the builder is obliged by the Building Act to hand over the record of work, so is the client obliged by centuries of judge-made law to pay his due debts. In those cases, this is what I would recommend to builders. You can take the stance that you have a “good reason” for withholding the record of work if you like, and argue your case before the Building Practitioners Board, but it is a risk. If you don’t want to gamble with your livelihood, then provide the record of work regardless of the dispute. Disciplinary proceedings before the Board are not pleasant for any builder, and they should be avoided at all costs. There are plenty of other ways to resolve your dispute with your client and recover the money that is owed to you - including my preferred option, which is adjudication under the Construction Contracts Act.

Setting up a building business Running your own business has a lot of appeal for New Zealanders, and that’s particularly true for builders. In this issue we begin a series of articles about how to set up and run your own building business. Article 1 in a series of articles promoting THE Building Basics: Your Business book from branz

Being your own boss means you choose the jobs you work on, make the decisions and keep the profits. But how do you start out? Over 2014, this publication will run 6 articles about setting up and running your own business, adapted from the BRANZ book Building Basics: Your Business. This issue starts with choosing the business structure and business contracts. Coming issues will cover: • Business planning and pricing • Employing staff and buying insurance • Tools and health and safety • Working with clients and settling disputes • Working with subcontractors. Self employed, partnership or company? Businesses with fewer than 20 employees make up around 95% of all New Zealand firms. This article focuses on the three most common business structures in the building industry – sole traders, partnerships, and companies. Sole traders Sole traders are self-employed people. There is no legal process required to set up the business. The owner takes all profits and is personally liable for taxes and debts. Many sole traders don’t pay themselves a wage but take money from the business when needed for personal use.

+ Advantages: • A simple way to start in business with relatively little paperwork. • Some tax benefits – losses can be offset against other income. - Disadvantages: • The owner is liable for the debts of the business. Personal assets are at risk. • Personal guarantees or security over personal assets are often needed when borrowing money. • A sole trader business can be hard to sell. Partners In a partnership, two or more people run a business together. Partners share responsibility for debts, and share profits or losses. A partnership agreement is a good idea. + Advantages: • More than one owner should mean more skill and experience. • Start-up costs are relatively low. • Partnership losses can be offset against other personal income. • Finance can be raised by introducing a new partner. - Disadvantages: • All partners are liable for debts, regardless of which partner incurred them, and personal assets are not protected.


Limited liability company A limited liability company is a legal entity in its own right, registered with the Companies Office and separate from its shareholder/owner(s). In small companies the shareholders are often the directors and run the business. + Advantages: • If a company fails, shareholders are not liable for its debts unless they have offered personal guarantees or are also directors who have traded recklessly. • Companies can have any number of business owners/ shareholders. • Clients and suppliers often prefer doing business with a company. • Companies don’t need Inland Revenue approval to pay wages to relatives. • Directorship/ownership changes do not mean the end of the company – part or all of the company can be sold by selling shares. • Shareholder lending to the company can be secured. - Disadvantages: • A director can be held personally liable for company debts if they continue trading when the company is insolvent. • Business losses have to remain in the company.

• If a partner pulls out the business ceases to exist. • Personal guarantees or security over personal assets are often needed when borrowing money.

quake study aims to improve seismic performance A major research project has been launched to improve the resilience of the types of homes that performed poorly in the Christchurch earthquakes. Engineering experts from BRANZ, with research support from EQC, will use computer modelling to assess the impact of simulated seismic action on modern homes with more complex configurations. The research has been prompted by findings that less complex homes in Christchurch performed better in the quakes than those built beyond the limits of New Zealand Standard 3604. BRANZ and EQC expect the learnings from the research will be used to develop new guidelines for houses built outside the scope of NZS 3604 in order to mitigate the potential damage in earthquake events. A common phenomenon observed during the Canterbury earthquake sequence was the damage at the junctions where bracing systems changed or where the layout of the building was changed during renovations. “We found that many older buildings, pre-NZS 3604 Standard light timber framed houses with small windows and smaller rooms, had performed better than many modern buildings with complex seismic resisting systems,” said project leader Angela Liu. “The team observed more severe earthquake damage in homes which often had a mixture of different seismic resisting systems, either because of the presence of bigger rooms at one end of the dwelling or larger windows included on one side for a better view. “Currently, it appears there is often a mismatch between the mixed stiffness bracing elements resulting in some parts of the house moving more than others in an earthquake.

“We repeatedly found that cracking had appeared at the points where the stiffer and the more flexible bracing met. We also found that the more flexible bracing associated with the desire to take advantage of the view resulted in significant cladding and window damage to the extent that the dwelling was uninhabitable. “We are aiming to find better ways to improve the performance of these more complex houses,” said Ms Liu.

INTRODUCING THE EARTHQUAKE RESILIENCE KITS Much of the damage to the existing housing stock in Canterbury was due to the dwelling being shaken off their piles and hot water cylinders being ripped off their mountings. The Earthquake Resilience Kit, manufactured by Pryda New Zealand for New Zealand conditions, is available in two variations - one for concrete piles and one for timber piles. Both kits contain the necessary fasteners to attach the wooden or concrete piles to the subfloor structure as well as Plumber’s Strap to restrain hot water cylinders and header tanks. The remaining strap can also be used to ensure the roof structure is adequately fixed down to supporting walls. It is recommended that these kits be installed by Licensed Building Practitioners however competent DIY’er home owners may also be capable of undertaking this task.

The Building Code was reviewed in 1978 and updates were made to the pile-to-bearer connections to ensure they could withstand sizeable earthquakes. These fixings should be checked from time to time as they may be liable to corrosion. CONTRACT WORKS INSURANCE A Contract Works policy provides cover on the property insured during the construction period. We explain some common issues to be aware of. Whether you’re building new or doing an alteration, extension or renovation, your contract will require contract works insurance be arranged to cover the work. The policy provides cover for sudden and accidental loss or damage to the works specified in the contract, including from: • • • • •

Fire Theft Vandalism Construction collapse Natural disaster – earthquake, flooding, landslip, tsunami, storm • Other accidental damage to the contract works There are some common issues with claims under contract works insurance that builders should be aware of: Faulty workmanship. Damage caused directly by defective workmanship is not covered by the policy. A common problem at claim time is deciding whether damage was caused accidentally or by faulty workmanship. If your claim is declined for this reason you may be able to claim on your public liability policy, but only if it includes cover for faulty workmanship, such as that from Builtin. Scratched windows. If this is deemed to be faulty workmanship the cost of replacement may not be covered. The typical scenario is that “someone” scratches the glass when cleaning off splashes of paint. There is a New Zealand standard for cleaning glass (NZS 103.12.6.2) and some insurers

are now declining claims if these standards weren’t followed when the damage occurred. You should make your sub-contractors aware of this problem and ensure they take extreme care when cleaning glass by following the standard. Who pays the excess? The excess for damage caused by natural hazards has increased substantially since the Christchurch earthquakes. Insurers all calculate it differently; it could be a percentage of: A. the total contract value when complete B. the value of the work completed at the time the damage occurred C. the value of the actual damage Let’s say you’ve done $200,000 of work on a $500,000 contract when an earthquake hits, causing $20,000 of damage. Depending on what it says in your policy the excess could be: A. $5,000 up to $50,000 (in earthquake prone areas) B. $2,000 up to $20,000 C. $1,000 (the minimum excess) Unless your contract says otherwise you could be responsible for paying the whole excess. We recommend you specify who pays the excess in your contract. When does the policy expire? Regardless of the end date on your policy, and depending on your

insurer’s specific terms the cover will stop on the earlier of: • • • •

Practical completion When the owner starts using the building If it’s a spec, when 95% of the budget is spent The end date on the policy

So you may not have cover if the owners move in, or even just start storing their stuff in completed parts of the building. If the project is delayed you must remember to extend the policy. Most policies include cover for the maintenance period, either automatically or as an option. This covers damage you’re responsible for that happened during the contract period but is only discovered later, or damage that happens while you’re carrying out work during the maintenance period. Who should arrange it? If it’s a new build most contracts will require the builder to arrange the policy. Make sure you include the value of any materials supplied by the owner/principal, and if required list the sub-contractors that need to be covered too. You should also check that the allowances, such as for demolition, removal of debris and cost inflation reflect the requirements of your contract too. If it’s an alteration, renovation or in any way involves an existing structure, you should ensure that the owner arranges the contract works insurance. Most contracts will specify this and it’s for their protection as well as yours:

• It’s best arranged by the same insurer who already covers the existing structure. The current insurer must be notified that work is going on, usually in writing, as they may decline cover if there’s a claim and they weren’t told. • If you arrange it and don’t include cover for the existing structure, or don’t arrange enough, you may be liable for any damage that occurs, say from water damage that affects other parts of the house. What if I have an annual policy? These can be very convenient and cost effective if you build new homes that are all in a similar price range. You don’t have to apply for cover for every job, or remember to extend it if a project is delayed. They’re not recommended if you do mainly alterations and renovations, for the reasons explained above. Annual policies come with a maximum contract value. This means contracts below this amount are automatically covered. However, any jobs that exceed this amount will have no cover at all. For those you’ll need to arrange a separate policy.

The ITM Fishing Competition: Whitianga 2014 It was an action packed weekend for anglers. The waters were teeming with game fish, and the local club enjoyed record catches. There were also plenty of snapper, kingfish, kahawai, and tuna landed but most importantly, the elusive marlin was finally caught! The tournament emphasis is on taking photos, measuring the length and releasing, rather than using weight to work out the best fish. An initiative of Matt Watson, it proved an excellent format for an exciting competition with the $50,000 worth of prizes getting shared around the teams.
