Growth puzzle, 4-layered Butterfly

The butterfly growth puzzle is based on the life cycle of a peacock butterfly. Peacock butterflies lay their eggs on the underside of stinging nettle leaves. For the caterpillars that later come out of these eggs, the nettle is the most important food. When the caterpillars are bigger, they will cocoon. After the caterpillar has turned into a butterfly, it will come out of the cocoon. Then its wings first need to uncrease and dry up, but after that it is ready for its first flight.

Turtle

Building plan With Building plan a situation has to be created on the basis of verbal instructions. There are a number of different ways in which to play this: 1) A player takes the board and erects the partition. The second player takes a task card and tells the first player what he or she has to build. They check together to see whether the task has been carried out correctly. 2) Each player takes a board and to put up the partition. The players then take it in turn to place an element on the board and tell the other player where they have put it. They then remove the partition and see whether they have built exactly the same situation. 3) Each player takes a board and erects the partition. Count to 10 Using and handling various materials is an excellent way of developing arithmetical skills. “Count to 10” gives pre-schoolers insight into quantities and teaches them that counting is easier when quantities are structured. Each task is carried out on large game boards. Pre-schoolers visually explore quantities and then see them increase. Each counting exercise is constructed in the same way: 1. A card with an unstructured quantity is placed in the top left-hand corner of the game board. Then counting starts. 2. Discovery furniture

General Sale Delivery and Payment Terms and Conditions of Rolf bv having its registered office and principal place of business in Ochten, the Netherlands Registered with the Chamber of Commerce under number 001093

Definitions 1. We, Rolf bv, seller, the user of the General Terms and Conditions; 2. The seller’s opposite party, the buyer, the purchaser, the client; every legal entity or natural person which/who wishes to enter into or has entered into an agreement with our business, and also the authorised representative(s), holder(s) of a power of attorney, legal successor(s) and heirs of the same. Agreement between us and the buyer. General 1. All our offers, agreements and the performance thereof will be governed exclusively by these Terms and Conditions. Any deviations must be the subject of an explicit written agreement with us. 2. The buyer’s own terms and conditions will remain unaffected, insofar as they do not conflict with these terms and conditions. In that case, our terms and conditions will prevail at all times, even if stipulated otherwise. 3. If we conclude multiple agreements with the buyer, these general terms and conditions will apply to all subsequent agreements, irrespective of whether same have been explicitly declared applicable. 4. If any provision of these terms and conditions is declared null and void or is voided, the remaining provisions will remain in full force and effect. In such case, the null and void or voided provision will be replaced by a valid provision, the purport of which will correspond as closely as possible to that of the invalid provision. Offers 1.Unless expressly stated otherwise, all offers made by us, in whatever form, will be free of obligation. 1A. If an offer is accompanied by budgets, plans, catalogues or other documents, those items will continue to remain our property and must be returned to us at our first request. Those items may not be reproduced or disclosed to third parties without our permission. 2.The dispatch of offers and/or other documentation will not oblige us to accept an order. We will notify the buyer of non-acceptance as soon as possible, but in any event within 30 days. 3. We reserve the right to refuse orders without stating the reasons, or to effect delivery on a cash-on-delivery basis. 4. We will not be obliged to supply at the price stated in the offer if that price is based on a typographical or clerical error. 5. In the case of an order placed by telephone or fax, we will not be liable for any incorrect supply and/or invoicing as a result of statements made by telephone or fax. This will not be affected by any written confirmations of orders placed by telephone or fax after the items ordered by telephone or fax have already been delivered. Agreements 1. Without prejudice to the following provisions, an agreement with us will not be concluded until we have accepted or confirmed an order in writing, in which respect the confirmation date is controlling. The order confirmation will be considered to reflect the agreement fully and accurately, unless the buyer immediately provides a written statement to the contrary. 2. Any supplementary agreements or amendments will only bind us if we have confirmed such in writing. 3. In the event of transactions concerning which offer or order confirmation has been sent due to the nature or scope of the transactions, the invoice will be presumed to reflect the agreement fully and accurately, unless a complaint is lodged within eight business days. 4. If a natural person concludes an Agreement on behalf or at the expense of another natural person and/or legal entity, his/her signature on the agreement will be deemed to be a representation that he/she is authorised to sign such agreement. This person, in addition to the other natural person or legal entity, will be jointly and severally liable for all obligations ensuing from the agreement. 5. A composite quotation will not oblige us to supply a part of the products included in the offer or quotation in exchange for a corresponding part of the price stated.

6. We enter into each agreement subject to the suspensive condition that the buyer appears to be sufficiently creditworthy to fulfil its financial obligations under the agreement, with such determination to be made at our sole discretion. 7. We will be entitled, upon making the agreement or after the agreement is made, and before performing the agreement or continuing such performance, to request the buyer to pledge security for the fulfilment of payment and other obligations. 8. We will be entitled – if we consider such to be necessary or desirable for a correct performance of the order for which we have been commissioned and after consulting the buyer – to engage the services of third parties for the performance of the agreement, the costs of which will be recharged to the buyer in accordance with the quotation submitted. 9. The buyer will be obliged to provide us with all information and documents necessary for the correct performance of the agreement, and to do so in a timely fashion.

deadline in writing. If a term is exceeded, the buyer must provide us with written notice of default and grant us a reasonable period of time to meet our obligations. Transport/risk 1. If we have not received any further instructions from the buyer, the manner of transport, dispatch, packaging and such will be determined by us with due care and in accordance with commercial practice. Unless agreed otherwise, the buyer will accept all risks in this respect, including any negligence or omission on the part of the carrier. 2. Any specific wishes on the buyer’s part regarding transport or dispatch will only be complied with if the buyer declares that it will bear any extra costs associated with those wishes. 3. We will be entitled to charge an amount for sustainable packaging materials, which amount will be stated on the invoice. 4. If we charge such an amount, the amount will be set off following return of the packaging in good condition.

Prices 1. Unless stated otherwise our prices will be: - based on delivery ex our works, warehouse or other storage space; - inclusive of Dutch VAT, but exclusive of other taxes, levies and duties; - exclusive of the costs of packaging, loading and unloading, transport and insurance; and - denominated in euro. 2. In the event of an increase in one or more cost-price determining factors, we will be entitled to charge the buyer a higher sales price corresponding to the rise in costs, without the buyer being entitled to dissolve the agreement or to have same dissolved, while we will under no circumstances be liable to pay any damages on the basis of the above; all of this will be subject to the due observance of any existing relevant statutory provisions, on the understanding that any future price increases of which we are already aware must be reported at the time of the order confirmation.

Force majeure 1. In the event that, after the conclusion of an agreement, our performance proves problematic or impossible pursuant to a situation of force majeure, we will be entitled to dissolve the orders or suspend their performance, to the extent they have not yet been performed, at our discretion, in which case the buyer, taking into account the circumstances of the case, will be informed as soon as possible. 2. The term ‘force majeure’ will be understood to mean: every situation in which we are unable to perform all or part of our obligations due to circumstances that have occurred through no fault of our own and which circumstances cannot be attributed to us either pursuant to the law, any warranty or guarantee we have issued or generally prevailing opinion. 3. The concept of force majeure will in any event include, but will not be limited to, the following circumstances: - natural disasters; - wars, national or international armed conflicts and preparations for same; - measures imposed by domestic, foreign or supranational government authorities, including, though not limited to, decisions relating to import quota systems; - the discontinuation of supplies of necessary parts, materials, raw materials and/or semi-finished products; - blockades or obstructions in transport routes, including traffic jams; - strikes and situations of labour unrest; and/or - disruption in supplies from energy and utility companies. 4. If we believe that the force majeure situation will be temporary in nature, we will be entitled to suspend performance of the agreement until the circumstance causing the force majeure is no longer present. 5. If, in our opinion, the situation of force majeure is of a permanent nature, we will be entitled to dissolve the agreement without being obliged to pay any damages. We will be entitled to demand payment for the partial performance we have rendered with respect to the relevant agreement before the situation of force majeure first occurred. 6. The party that believes that it is or will find itself in a situation of force majeure must so inform the other party immediately.

Supplies 1. The buyer will bear the risks associated with the items purchased from the time that the agreement is concluded. Unless agreed otherwise, delivery will be made to the buyer’s home/business. Carriage-paid delivery will only be effected if and insofar as we and the buyer have agreed to this and such agreement is stated on the invoice or in some other way. 2. The buyer will be obliged to take delivery of the goods either when we deliver them or have others deliver them, or when the goods are made available to the buyer in accordance with the agreement. 3. If the buyer refuses to take possession or fails to provide information or instructions that are necessary for the delivery, we will be entitled to store the items at the buyer’s risk and expense. 4.If the buyer does not take delivery of the goods within one week, we will be entitled to sell the goods to another party. If we are unable to do so, we will be entitled to destroy the goods. The loss we incur as a result of such resale or destruction will be borne by the buyer. 5. The buyer will be obliged to inspect the items delivered and the packaging immediately upon delivery, but in any case within eight business days, for possible shortfalls and/or visible damage, or to conduct this inspection after we have provided notification that the goods are available to the buyer. 6. Any shortfalls and/or damage to the delivered items or the packaging that are present upon delivery must be reported by the buyer (or another party it instructs to do so) on the consignment note, the invoice and/or the transportation documents, failing which the buyer will be considered to have approved the items delivered. No complaints regarding the goods will be accepted or processed after that time. 7. We will be entitled to deliver in parts (partial deliveries), which we may invoice separately. 8. Any delivery period we state will be considered an estimated delivery period. A stated delivery date may therefore never be considered a firm deadline, unless the parties have agreed on a firm

Intellectual property 1. We will continue to be the owner of any intellectual property rights, including copyrights and/or model rights, regarding illustrations, drawings, designs, models, templates, lithographs, accounts, calculations, and other descriptions including catalogues or prospectuses produced by us or on our behalf in the context of performing the agreement. 2. The buyer is not permitted to use the rights referred to in paragraph 1 in the broadest sense of the term – including but not limited to making reproductions – without our written permission to do so.


3. The buyer indemnifies us against any third-party action based on the infringement of intellectual property rights arising in the context of our fulfilment of an order the buyer places with us. Liability 1. We will not be liable for any damage ensuing from the performance of the agreement. 2. In the event that we are nevertheless liable for any damage, that liability will be limited to that part of the invoice amount corresponding with the part of the performance of the agreement to which the liability pertains, and will be limited to the invoice amount, or in any event to the total amount due for the order, or to the amount paid out by our insurer. 3. We will under no circumstances be liable for indirect loss, including consequential loss, loss of profits, loss of savings or any loss due to an interruption in business operations. 4. We will under no circumstances be liable for any deterioration of the good due to improper storage, processing, use or maintenance by the buyer or a third party. 5. We will under no circumstances be liable for loss ensuing from incorrect use of the good, from use that is not in accordance with the instructions for use or our directions, or from use for a purpose other than that for which the good is intended. 6. Under no circumstances will we be liable for loss resulting from any advice given. Advice will always be given on the basis of the facts and circumstances known to us and in mutual consultation, in which respect we will always use the buyer’s intention as a guideline and starting point. 7. The buyer will indemnify us against any claims from third parties that may incur loss attributable to the buyer in connection with the agreement’s performance. 8. By the mere receipt of the delivered items by or on behalf of the buyer, we will be indemnified against all possible claims on the part of the buyer and/or of third parties for damages, irrespective of whether the loss or harm occurred as a result of composition and/ or manufacturing faults or as a result of any other cause. 9. The buyer must ascertain in advance whether the purchased good is suitable for the purpose for which it intends to use same. Should it emerge in retrospect that the purchased good is not suitable for its intended use, then we cannot be held liable for any ensuing loss or harm. 10. The liability limitations for direct loss included in these terms and conditions will not apply if the loss is the result of an intentional act or omission or gross negligence on our part or on the part of our staff. Complaints 1. We will only process complaints if we receive them directly, and in writing, within eight days of delivery of the performance in question, with an accurate statement of the nature and the basis for the complaints. 2. Complaints regarding invoices must likewise be submitted in writing and within eight days of the date of the invoice date. 3. After the end of this term, the buyer will be deemed to have approved that which has been delivered or the invoice. In that case, we will no longer process any complaints received after that time. 4. The buyer will bear the burden of proving that the products delivered do not conform to the agreement. 5. In the event that the buyer submits any complaints to us regarding the goods delivered, then the buyer must offer us the opportunity, without delay, to inspect and examine the goods, or to have others do so. We will conduct such examinations in the least burdensome manner, which the buyer must enable us to do, if necessary by making the goods available to us. All costs reasonably incurred for the necessary examinations will be borne by the buyer if the complaints prove to be unfounded. 6. Minor deviations in the goods delivered, as well as those regarding volume, colour, shape and packaging, cannot serve as a justification for the buyer to cancel the order for all or part of the goods or to refuse to pay for all or part of the goods or to claim damages from us. 7. If we consider the complaint to be valid, we will be obliged only to deliver the agreed performance. 8. Only if and insofar as the complaint is considered well-founded will such suspend the buyer’s payment obligation, until the date on which the complaint has been settled. 9. Items delivered may be returned to us only with our prior written consent, and subject to the terms and conditions to be set by us.

Warranty 1. Taking the restrictions set out below into account, we grant a sixmonth warranty regarding the goods we deliver. This warranty will be limited to manufacturing defects and will therefore not include defects that are caused by any type of wear to the delivered item or consumption-related components thereof. 2. We will not grant warranties with regard to components and additions acquired from third parties for periods longer than the guarantee period granted to us by the third-party supplier. 3. The warranty will expire if the buyer and/or third parties engaged by the buyer use the delivered item in an injudicious or careless manner. 4. The warranty will likewise expire if the buyer and/or third parties engaged by the buyer perform work on or make alterations to the delivered item. 5. If we replace components in order to fulfil our warranty obligation, the parts we replace will become our property. 6. If the buyer fails to fulfil any obligation arising from the agreement concluded between the parties or fails to fulfil it in full or on time, we will not be obliged to provide a warranty as long as that situation continues.

any possible interest and any collection costs incurred by us and subsequently to settle the oldest outstanding invoices. 3. If the buyer: a. is declared bankrupt, assigns its assets or files a request for a suspension of payments, or if attachment is levied on all or part of its assets; b. dies or is placed under guardianship; c. fails to fulfil any of its obligations pursuant to the law or these terms and conditions; d. fails to pay an invoice amount or a part thereof within the period set for that purpose; e. discontinues or transfers its business operations or a significant part thereof, which includes the contribution of its business operations to an existing company or a company to be incorporated, or initiates a change in its company’s objects; we will be entitled, by the mere occurrence of one of the circumstances listed above, to dissolve the agreement, to demand full and immediate payment of any amount owed by the buyer on the basis of services rendered by us, without any warning or notification of default being required, all without prejudice to our right to compensation for costs, losses and interests.

Article 13 Retention of title 1. Any goods supplied will remain our property until the buyer has made payment to us, including any interest and expenses, for all the deliveries we have made, or will make, and all the work we have performed, or will perform, pursuant to the agreement. In the event that the buyer is granted a suspension of payments, is admitted to statutory composition, or is involuntarily wound up, or, if the buyer is a natural person, in the event of the buyer’s death, we will be entitled to dissolve the order, either wholly or in part, without any notification or a court order being required, and to demand the return of the unpaid part of the delivery. Cancellation and recovery will not prejudice our right to compensation for loss or harm. In these cases, all our claims against the buyer will be immediately due and payable in full. 2. Goods covered by our retention of title may only be resold by the buyer in the context of its normal course of business. 3. The buyer will be obliged to keep all goods supplied subject to the retention of title with due care and recognisable as our property and to insure them at their replacement value against all standard risks. Any damages paid out by the insurer will be presumed to replace the said goods and will accrue to us. 4. If the buyer fails to perform its obligations towards us, or in the event of a justified fear that the buyer will fail to do so, we will be entitled to recover the goods delivered subject to the retention of title from the buyer, or from third parties holding the goods for the buyer, or to have others do so. The buyer must grant us its full cooperation for this purpose, failing which the buyer will forfeit a penalty to us of 10% of the amount the buyer owes us, for each day or part of a day that the buyer remains in default towards us in this respect, without prejudice to the buyer’s obligation to surrender the goods. 5. In the event that third parties wish to establish or enforce rights with respect to the goods covered by our retention of title, the buyer undertakes to notify us thereof forthwith, and to notify those third parties of our retention of title. 6. The buyer undertakes to lend its cooperation, within reasonable bounds, with respect to all measures we take in order to protect our proprietary rights to the goods. 7. With respect to goods delivered, the title to which has passed to the buyer pursuant to payment and which are still in the buyer’s possession, we hereby reserve rights of pledge as referred to in Section 237, Book III, of the Dutch Civil Code [Burgerlijk Wetboek] as additional security for any claims other than those referred to in Section 92(2), Book III, of the Dutch Civil Code, which we may have, on whatever basis, with respect to the buyer. The buyer will, at our first request, lend its cooperation to the creation of such rights of pledge by having same registered.

Interest and expenses 1. If payment is not made within the term specified in the preceding Article, the buyer will be in default by operation of law and will owe interest on the outstanding amount at a rate of 1% per month or part of a month as from the invoice date. 2. All judicial and extrajudicial costs incurred will be borne by the buyer.The extrajudicial collection costs will be fixed at a minimum of 15% of the amount owed by the buyer, including said interest.

Payment 1. Unless agreed otherwise in writing, payment should be made in cash upon delivery, without discount, or by means of payment into or transfer to a bank or giro account designated by us, within 30 days of the invoice date. The value stated in the bank or giro statements will be decisive and will therefore be considered the date of payment. Objections to amounts stated in invoices will not suspend the corresponding payment obligation. 2. All payments made by the buyer will serve primarily to settle

Applicable Law 1. All our offers and agreements and the performance thereof will be governed by Dutch law. 2. We expressly reject and exclude the applicability of the Uniform Law on the International Sale of Goods. Disputes 1. All disputes, including any that are regarded as such by one party only, arising from or related to the agreement to which these terms and conditions apply or the relevant terms and conditions themselves or their interpretation or application, be they factual or legal in nature, will be resolved by the civil court within whose jurisdiction our domicile is located, unless the Sub-District Court has jurisdiction over the matter. We will nevertheless be entitled to submit the dispute to the competent court in accordance with law or to an arbitration board. 2. We will nevertheless be entitled to have such a dispute settled in arbitration proceedings, in which case we will so inform the buyer in writing.The buyer will then have a one-month period to indicate whether the buyer would prefer to have the dispute resolved by the civil court. 3. If the dispute is to be resolved by arbitration, three arbitrators will make an award in accordance with the principles of reasonableness and fairness. Each of the parties will appoint one arbitrator and the third arbitrator will be appointed jointly by the two arbitrators already appointed. The costs of the arbitrators and their fees will be charged to the parties in a manner to be decided by the arbitrators. To the extent that no provisions to the contrary are set out above, the provisions of Book IV of the Dutch Code of Civil Procedure [Wetboek van Burgerlijke Rechtsvordering] will apply.
