KEEPING THE BUSINESS IN THE FAMILY! Over two thirds of companies in the UK are family owned. They are an economic power house, responsible for employing over half the UK workforce. But many founders stumble when it comes to handing over the reins. Typically, only 30% pass on to a second generation, and half as many again will succeed to the third generation. Hardly surprising then, that many business owners end up deferring retirement because they can’t (or won’t) hand over the reins. David Kirkwood, of local accountants, tax and business advisers Vantis, highlights some of the issues involved and shares his tips for exiting your own business successfully. You have worked hard over the years to build up your business and at some point you’ll want to scale down, move on, or retire. Whether you’re thinking of handing over to a family member or selling up, you’ll want to structure a deal that makes sense for you and your dependants. What are your options? • Hand over to the next generation. • Sell the business to its senior management (MBI/MBO). • Sell the business to a third party, maybe a competitor; or • Wind it up and walk away. Each option has different implications, and to make sure you maximise the benefits, you may need to take action several years ahead of your planned exit. You should work on needing 1-3 years to put everything in place for a successful business handover (although this could be less for a sale).

Identify areas for training and development, and help your successor get access to it. • Encourage your successor to find a coach or mentor outside of the family. This person can help them develop their own leadership style.

Tips for success • Use tax-efficient incentives such as share option schemes to encourage good candidates to go with you. • Put in a good management structure well before you plan to exit and give your managers the freedom to manage. • Follow the tips for Selling to a third party as well. • Get professional help with putting the finance in place. • Take advantage of the Enterprise Management Incentive Scheme.

• This may be a better option if your business relies totally on you as an individual. If you personally are the principal asset of the business, then it will be difficult to sell. In that instance, you can wind up the business, and extract any reserves which have built up over the years.
• If your business has saleable assets and healthy profits then winding it up could mean missing out on sale proceeds. If in doubt, seek professional advice. • Winding up a business incurs additional professional fees and redundancy payments for staff.
Tips for success • Save tax by exploiting higher contributions to pension plans after April 2006. • Save tax by extracting funds as capital rather than income. • Save costs by obtaining professional assistance in advance.

Will cost an arm and a leg? I spent this weekend locked away in Norfolk with my five partners as Foskett Marr undertook its annual practice review, in which we deal with budgets and projections for the forthcoming year. I came away with four dates written in large letters across my notes -10th 15th 20th June 2006 and 1st June 2007. The first three of course are the dates of the first three England matches in the World Cup. However, whilst it is still some way off, the date in June 2007 may have a more long term impact as this is date when the Government intend to introduce their Home Information Packs (HIPS). From that date it will not be possible to sell a residential property without a house sellers pack, which must contain all the information needed for a property transaction including the terms of sale, legal searches and title deeds and a Home Condition Report (HCR). This is a compulsory change to the present conveyancing system which will radically alter the way people buy and sell houses in England and Wales. Whilst the idea behind it is good (to better inform purchasers at the point of interest about the house they are buying and cut down the time between offer and exchange), there has long been concern over the HIPS programme and I for one am not convinced it will solve the problem it seeks to challenge, which is the one of delays in the process of buying and selling property. The HIPS Programme is being driven by the Office of the Deputy Prime Minister who seek credit for solving a problem without having taken the time to understand the problem at all. Our present system is not perfect and can prove frustrating. Delays in sales and purchases arise mainly from the wait for mortgage finance to be agreed and for legal searches to be returned. Mortgage lenders are getting better at processing mortgages, if we are tracking a problem where a mortgage offer does not appear we usually find it is something external to the lender that caused the delay, whether it be that the surveyors are oversubscribed and can't prepare their report or an employer hasn't dealt with a reference request. Legal Searches are notoriously slow but all Local Authorities are now gearing themselves up for the separate system of electronic

conveyancing, which will allow almost immediate results on line. Even with these improvements it has to be understood that a major delaying factor in house sales arises from the chains created and the whole chain can only proceed at the pace of the slowest person. Chains are almost unique to England and Wales, other countries avoid the problem largely by adopting a culture whereby parties move into rented accommodation while they choose a house. The English just love to queue! Whilst HIPS is designed to put some of this information in the buyers hands immediately they identify a property, the package remains flawed. The Home Condition Report is not a survey and the Council of Mortgage Lenders (CML) who represent most mortgage lenders has made it very clear that it will not accept a seller's report and a valuation will still have to be obtained, paid for by the potential buyer. So far no insurer has confirmed it is prepared to offer cover for purchasers who rely on an HCR. The reports will be prepared by fully trained Home Inspectors. It takes two years to qualify from scratch to become one and over 7,000 of these will be needed in the first year. With a year to go only 196 inspectors have been approved, and only another 4,000 are being trained at the moment. The average cost to a seller of a HIPS package is estimated to be between ÂŁ600 and ÂŁ800 and it is expected It will take up to a fortnight for a report to be done, and thus for a Hip too be prepared. This prevents the seller placing his home on the market and any delay in putting up a house for sale will restrict the supply of property to the market, forcing prices up even further. I think most solicitors hoped the proposals, which have already been delayed would go away, but with a year to go we are now having accept it will proceed. Whilst it looks to me as if the HIPS system will bury the property market in an avalanche of paperwork and will ultimately fail to improve the home-buying process, we are having to invest a considerable amount of time and money and prepare for that change now - but not during the World Cup

Haven House Foundation has provided short-term respite care and support for over 250 children and their families since we opened our doors on19th August 2003. All the services that we provide, are available to our families ‘free of Care is provided in a ‘home-from-home’ environment, with each
