The doom and gloom-mongers are in their element. Britons can barely move for being bombarded with news of mortgage meltdowns and an impending housing collapse. But are things really as bad as they say, or could any ‘problems’ simply be blown out of proportion?

The Silver Lining to the Mortgage Cloud For all the recent mud-slinging at residential property, those that invest in it have beaten returns from the stock market for the last decade. Clerical Medical’s Asset Watch, a biannual study which tracks five asset classes over ten-year periods, said the average profit from residential property has been 17.8 per cent compared to stocks and shares at 5.3 per cent.

FEAR AND FORECASTS There is a famous joke within the media that goes like this: A journalist holds up two mock front pages for the editor to choose which one to print. One headline is “housing prices plummet” and the other says “housing prices soar.” The Editor says, “We’ll go with the one we didn’t run yesterday.” The point I am driving at is that we are all interested in property stories – as hit TV shows featuring Kirstie Allsopp, Phil Spencer, and Sarah Beeny testify – and the media simply feeds that desire. So, during these tumultuous times for mortgage lenders and a slowing in the economy, it is unsurprising that there has been an almost constant flow of media reports charting ‘expectations,’ ‘forecasts’ and ‘anticipations’ about the direction of house prices. It can be easy to forget that these words indicate commentary about what could happen, not what has happened. One example is the “house-price fear” gripping “recession virgins” – a press release widely reported on from personal finance website Fool.co.uk. It stated that a quarter of homeowners are “worried about experiencing negative equity as a result of falling property values in 2008,” yet the Council for Mortgage Lenders’ own data showed that UK housing wealth has more than trebled in the last ten years. The official figures show that free equity held by homeowners equates to 68 per cent of housing wealth and 45 per cent for those on mortgages, by the end of 2008. The CML stated: “Some commentators have been bearish [negative] in their forecasts for housing prices. Even if house prices fall by 5 per cent this year, there will only be a modest impact on overall levels of housing wealth. That ensures that most borrowers are able to cope, no matter how the market develops in the short term.”

no longer borrow 100 per cent-plus loans. I am afraid that this is the rub of it: If you receive 100 per cent loan from the bank to buy your property then you do not own any of it, the bank does. When the lenders decide for various reasons that they no longer want to offer 100 per cent or even 125 per cent loans (negative equity from the get-go) on a property’s value, then everyone is up in arms for the poor prospective first time buyer. The truth is 100 per cent-plus mortgages only come into favour when lenders get greedy and competitive, as in the early 1990s and again throughout the 2000s. While it may be tough to save a deposit, inflation is still historically low – even if it inches above the Bank of England’s target to reach 3 per cent, saving rates are very good thanks to the ‘credit crunch’ (banks now need more money under their management for regulatory reasons) and it is still possible to get moderately-priced guarantor mortgages or joint mortgages with friends and family members. All is not lost for the first-time buyer; it is just a matter of realigning expectations.

MORTGAGE AVAILABILITY Part of that realignment of expectations will involve tidying up personal credit reports and tackling unsecured debt head-on before trying for a mortgage in the present climate. This is no bad thing – it was and is unsustainable to offer 100 per cent mortgages on properties based on four to five times the individual’s income, while they still have hefty credit card bills and other debts coming in. A mortgage is a loan, so best minimise other debts before taking on the largest lump sum debt most of us will possess that could cost your home if you fall behind on repayments. For remortgagers, the knight on a white horse is HSBC’s product which extends your existing fixed rate mortgage deals, which are likely to be unbeatable on today’s market, for a competitive £499 fee. While there has undeniably been a significant decrease in the number of mortgage products available - 6,526 last month April down from 27,159 in April 2007 – there is still plenty to go around. Even those with imperfect credit and wanting higher loans (under 90 per cent) should be able to secure something

but for any extra risk the lender takes, you will pay for via the repayment rate offered or the up-front fee. Mortgaged homeowners would also be wise to double check whether they are eligible for payment holidays or other flexible features which may give them some welcomed breathing space.

ECONOMIC OUTLOOK Most house price forecasts (educated guess/estimations) expect house prices to “flatten” – i.e. not leap but not plummet during this year. The same goes for the economy; the clear message from government and business organizations is a slowdown, not a fall-down. In fact, the CML data shows house prices at completion in the South East area remained pretty steady throughout last year and into 2008. There is a risk that talk of generic house price fluctuations mask the reality for different geographic areas. Greater London and the South East, for example, is relatively affluent and more highly populated than some of the less protected areas. First-time buyers are also likely to keep their role as the “lifeblood” of the property market, jumping in to keep prices buoyant as soon as property prices start to flag at the lower end of the spectrum. There is also continued demand for rental properties, giving comfort to those already with healthy buy-to-let portfolios and encouragement to prospective buy-to-let investors who will also prevent a ‘crash’ in the property market by snapping up competitively-priced deals and taking a long-term investment view on their value. For those that wish to move home quickly, their price expectations may need to be adjusted as buyers aim to capitalize on what has switched back into a ‘buyer’s market’ for the first time in perhaps a few years. For those buying, negotiation is the buzz word.

THE COMPANIES ACT 2006 What does it mean to YOU as a Director or Shareholder? INTRODUCTION At over 1,200 sections and 16 Schedules, the Companies Act 2006 is the single largest piece of legislation ever to hit the Statute Book. The Act is intended to be both a codification and reform of existing legislation, but beware, many old common law provisions will continue to apply and have not been carried into the Act. The Act is being implemented in stages between the 1st April 2007 and 1st October 2009.

OBJECTIVES The major objective of the Act, according to the Government, has been to simplify Company Law and to apply a “light touch” to the regulation of small private companies, it being recognised that over 90% of registered companies have five or fewer shareholders. To this end, for example, private companies will no longer need to have a Company Secretary, and will no longer be obliged to hold Annual General Meetings. The Act also seeks, for the first time, to codify Directors’ duties and to provide what the Government refers to as “shareholder engagement”.

DIRECTORS DUTIES The Act attempts to codify Directors’ duties and is intended to replace the current combination of Directors’ statutory and common law duties. However confusingly, regard will still need to be had to common law rules and equitable principles in interpreting and applying the new statutory duties. These duties, which have been in force since the 1st October 2007 are :• To act in accordance with the Company’s Constitution Self evident really, but regard should always be had to the Constitution, that is to say, to the Articles of Association. • To promote the success of the Company for the benefit of its members as a whole On the face of it uncontroversial but this duty attracted most comment during the passage of the Bill through Parliament. The reason for this was that in exercising this duty, the Director is to have regard (amongst other things) to the interests of the Company employees, the need to foster the Company’s business relationship with suppliers and customers, and the impact of the Company’s operations on the community and the environment. Concern has been expressed as to how Directors are to show discharge of the duty. Some commentators suggest that agenda papers should map out the way in which these matters have been taken into account, other commentators suggest nothing more than a Minute to the effect that the matters were considered.

the general knowledge, skill and experience that may reasonably be expected of a person carrying out the functions carried out by a Director in relation to the Company and (b) the general knowledge, skill and experience which he, the Director has. These are cumulative, not alternative standards so the “I know nothing, I’m from Barcelona” excuse will not do. • To avoid conflicts of interest A Director must avoid a situation in which he has or can have a direct or indirect interest that conflicts or possibly may conflict with the interests of the Company and this applies in particular to the exploitation of any property, information or opportunity and it is immaterial whether the Company can take advantage of the property, information or opportunity. However, the Act permits Board authorisation of most conflicts of interest arising from third party dealings. This is a dilution of the previous position, and there is clearly now an increased risk that Directors will improperly authorise each others’ personal exploitation of corporate resources to the prejudice of shareholders. • Not to accept benefits from third parties There is no de minimus provision, the only proviso being that the duty will not apply where the acceptance of the benefit cannot reasonably be regarded as likely to give rise to a conflict of interest. • To declare interests in proposed transactions or arrangements with the Company The declaration must be made in writing, but it only has to be made to the other Directors. There is an obvious risk here that the Directors may feel (although incorrectly) that they are immune from criticism when entering into a contract with the company that may create a conflict of interest if that contract has been the subject of a declaration to the Board.

With a little help... anything is possible! In the current property market with the press reporting nothing but doom and gloom buyers can easily become disheartened about ever getting a foot on the property ladder. In more and more cases first time buyers are seeking the assistance of their parents in purchasing their first property. However, parents often raise concerns as to whether their money is protected and whether they will ever get it back. Whilst many parents are happy for their child to have the cash they are also concerned that if their child has purchased a property jointly with their partner, what happens if they split up? Would the parents cash be protected? Would the parents ever get the money back if they needed it? Parents can protect their investment very easily by having a Declaration of Trust drawn up. This is a legal document which sets out the contributions made by the parties to the purchase and their intentions as to how the money should be distributed once the property is sold. This will ensure that the parents get back the money they invested for the purchase.

A simple scenario would be: • Jim buys a property for £300,000.00. His mother lends to him £30,000.00 (10%) as a deposit and Jim obtains a mortgage for the balance of the price.

Using the second option means that not only has mother helped Jim onto the property ladder; she has also made a profit from her investment. Similar Declarations of Trust can be used when friends or unmarried couples are buying a property together particularly when they are contributing unequal amounts to the purchase price. Not only can the Declaration of Trust provide for the distribution of the sale proceeds it can also make provision for other circumstances, for example where one party may want to sell the property and the other does not. When people invest money into buying property they often find it difficult to think that anything would go wrong. The reality is that quite often it does and unfortunately many buyers have lost money after falling out with their purchasing friend or partner. The good news is that if you have purchased a property without a Declaration of Trust there is no need to worry! Declarations can be drawn up with the agreement of all parties at any time following the purchase. Getting the deal done... with Sharon Gayer Sales Progressor

Trying to progress a property sale to a conclusion that satisfies both the vendor and buyer has never been an easy task. Once a negotiator has succeeded in getting the parties to agree the sale terms, the file is quickly passed over to me and my job is to ease the passage of the sale and to iron out any problems that might arise along the way. These can be as trivial and routine as trying to book a survey on a date that suits the vendor, through to involved negotiations which might result from a down-valuation or adverse survey. Most sales have an emotional element and inevitably when there are delays and unforeseen problems, tempers fray and stress takes its toll. Sadly, all logic and sanity disappears and it generally takes a lot of patience and empathy to restore the calm and move the sale along. Times are changing fast: Six months ago we could loosely predict that a survey would be instructed within a week of the buyer submitting their mortgage application form. Now, not only is there a delay arising from buyers struggling to find a mortgage on affordable terms, but we are also faced with lenders working to a far longer turn around period for mortgage applications which, automatically causes concern from the vendor’s point of view. Should a revised mortgage offer be required there also regularly seems to be a delay in lenders returning this to the Solicitor. You may think that with less properties being sold, Solicitors would be under less pressure and might be inclined to return phone calls more promptly. Sadly, this doesn’t seem to be the case with certain Solicitors. I have always advised vendors and buyers that choosing the right Solicitor is just as important as choosing the right mortgage. Of course one should shop around to get a favourable quote, but to choose an "old family friend" who is not familiar with the local area can do more harm than good. It is advisable to choose a Solicitor who will work quickly and pro-actively on your behalf rather than the "call centre� type Solicitors where the sale is simply administered by assistants. Generally, the present state of the market means that most vendors are anxious about keeping their buyers, and live in fear that the buyers will be swayed by the huge media coverage that we are experiencing and will pull out of a purchase, even after spending good money on Surveyors and Solicitors. With this in mind vendors really need to be assured that all parties are working towards an early exchange of contracts and that their Solicitors in particular, are working furiously to achieve this. On a positive note, despite the enormous amount of scepticism about the HIP, I can report that most Solicitors and lenders are accepting the personal search included in the HIP pack and this has cut down the number of chaser calls to local authorities that are needed. In most cases ten working days have been saved. So, sales progressing has become more time consuming and more important than ever as delays in exchanges become more frustratingly frequent. On many occasions I can speak or liaise by Email to vendors four or five times a day and a relationship develops over this period. There is certainly nothing more satisfying for me than making the call to my vendor and purchaser informing them that they have finally exchanged and the relief and gratitude in their voice makes the whole job feel worthwhile.
