Role of the Board & Its Committees

Page 1

Board of trustees, not board of directors

Holding the school, its mission, and its future “in trust”; as opposed to “directing the operation”

School’s mission statement & strategic goals ◦ Use as a guidepost for making board decisions

Bylaws – School’s Corporate Constitution ◦ Facilitates the work of the board and serves as a reference point for major procedures

Compliance with applicable laws and regulations ◦ Make sure that appropriate risk-management policies are in place and be vigilant in assessing potential risks

Accountability for both the financial stability and the financial future of the institution ◦ Strategic financial planning; Preservation of capital assets and endowments; Oversee operating budgets; Participate actively in fund-raising

Head of School ◦ Select, Support, Evaluate

Primary work is future-focused and strategic ◦ Create the school from which our grandchildren will benefit tomorrow ◦ Not centered on managing their kids’ school today
