ICALEO 2019 Exhibitor & Sponsor Agreement This ICALEO 2019 Sponsor & Exhibitor Agreement (hereinafter referred to as the “Agreement”) is made by and between LIA and your company (hereinafter referred to as “Sponsor” and/or “Exhibitor”). This Agreement is a commitment by the Sponsor/Exhibitor to sponsor or exwhibit at ICALEO (hereinafter referred to as the “Event”) at the designated venue (hereinafter referred to as the “Facility”) as described herein. This application and agreement for sponsorship and/or exhibition space becomes an official Agreement when signed by both parties. The parties agree to the following: 1. EXHIBITOR SPACE RESERVATIONS. Prospective exhibitors may request a one-time reservation period (hereinafter referred to as the “reservation period”) of three (3) business days for selected space(s) in order to accommodate order processing. In the case that an executed agreement and required payment of exhibitor fees is not received within the three (3) day Reservation Period, reserved space(s) will be released as available inventory. 2. EVENT FLOORPLANS & EXHIBITOR SPACE ASSIGNMENTS. Sponsor/Exhibitor space allocated for exhibits (hereinafter referred to as “Exhibitor Space”) shall be assigned in the space allocations described in the Sponsor & Exhibitor Prospectus for the Event. Specifications for any Exhibitor Space(s) shall be provided in the Event Sponsor & Exhibitor Guide. LIA reserves the right to modify the Event floorplan and any assignment of Exhibitor space(s) at any time as necessary. LIA is not liable to the Exhibitor for any reimbursement related to such modification(s). 3. FEES & PAYMENTS. Sponsor/Exhibitor fees may be found in the Sponsor/Exhibitor brochure and Event website. LIA reserves the right to modify pricing for sponsorships or exhibitions at any time without notice. LIA will issue an invoice for all Sponsor/Exhibitor Agreements received. Payments for deposits and all other balances shall be due as indicated in the invoice issued by LIA. Agreements will not be processed until required payments indicated in the invoice have been received. Methods of payment include Visa, MasterCard, Discover, American Express or electronic bank transfer (e.g. ACH, wire transfer, SWIFT, etc.). A deposit of twenty-five percent (25%) must accompany all agreements for orders placed on or before April 7th, 2019. All agreements for orders placed after April 7th, 2019 must be accompanied with payment for the full amount due as indicated in the invoice. Any unpaid balances after April 7th, 2019 will be subject to a late fee of five percent (5%). Any default in payments due after June 7th, 2019 will result in cancellation of the order and subject to the Cancellation Policy provided in paragraph twenty-seven (27) of this Agreement. Any request for additional exhibition space or additional sponsorship options will be quoted at the time of the request. Any reduction in the Exhibitor’s space will result in a loss of any quoted or delivered discounts. 4. EXPEDITED GRAPHIC DESIGN FEES. An Expedited Graphic Design Fee of five percent (5%) of the total Sponsor/ Exhibitor invoice amount shall be added to the invoice for any graphic artwork received by LIA after August 7th, 2019. 5. THIRD PARTY ORDERS. If you choose to contract work to a display, exhibit house and/or drayage company and/or require such services from LIA, the fee provision in paragraph two (2) herein shall apply. LIA must be notified, in writing, by Sponsor/Exhibitor of any other display or third party involved in the set up or breakdown of exhibits. The Sponsor/Exhibitor is responsible for all payments due to LIA or any third party for quoted services. 6. RIGHT OF REFUSAL. LIA reserves the rights to reject, eject or prohibit any exhibit in whole or in part, with or without giving cause. Any shown liability for rejection without giving cause shall be limited to a refund to Sponsor/

Exhibitor in the amount of fees unearned at the time of refusal. However, if Sponsor/Exhibitor is rejected, ejected or prohibited for violation of provisions herein or for any other stated reason for cause, no fees will be returned.

space and related common areas. Should such auxiliary aids be required, Sponsor/Exhibitor may, at LIA’s sole discretion, be responsible for paying any charges or fees associated with the acquisition, rental or provision of such aids.

7. CORPORATE MEMBERSHIP DISCOUNTS. Discounted corporate membership pricing is available at prescribed rates to members in good standing upon execution of this agreement and through the duration of the Event (hereinafter referred to as the “Discount Period”). A corporate member shall be deemed in “good standing” when all membership dues are current. If, for any reason, the corporate membership of the Sponsor/Exhibitor does not remain in good standing throughout Discount Period, the discounted corporate membership pricing shall be waived and the Sponsor/Exhibitor member shall be immediately liable for the difference between the prescribed rates for such discounts and the prevailing rate/fee. Any failure of a corporate member who is not in good standing and does not pay the difference in the discounted and prevailing rate may result in the reassignment of Exhibitor space(s) and/or Sponsorship packages at the sole discretion of LIA.

11. AUDIO VISUAL & RIGGING SERVICES. All rigging designs, labor and chain hoists (hereinafter referred to as “Rigging Services”) required for Exhibit set-up must be approved by LIA in writing. Requests for Rigging Services must be submitted on or before August 7th, 2019.

8. INSURANCE. Exhibitor shall, at its own expense, secure and maintain through the term of this Agreement, including move-in and move-out days, the insurance referenced herein and as may be required by Federal, state and municipal law or by business necessity. All such insurance shall be primary of any other valid and collectible insurance of Exhibitor and shall be written on per occurrence basis. Claims made policies are not an acceptable form of coverage for this Event and do not constitute compliance with Exhibitor’s obligations under this paragraph. Required Coverages are as follows: (a) Comprehensive General Liability Insurance with limits not less than one million ($1,000,000) USD each occurrence and two million ($2,000,000) USD aggregate, combined single limit for bodily injury and property damage, contractual, and operation of related equipment, products and liquor liability (if applicable); (b) Worker’s Compensation insurance. Exhibitor shall name LIA as an additional insured on its general commercial liability insurance and provide LIA with evidence thereof in the form of a certificate of insurance from their carrier, on or before September 7th, 2019. Exhibitor acknowledges that LIA has no obligations to maintain insurance on Exhibitor’s behalf. 9. SHIPMENT TO WAREHOUSE OR EVENT SITE AND/ OR LABOR: All due payment must be made prior to any shipment of freight to a drayage provider or warehouse location. THE FACILITY DOES NOT HAVE ANY CAPACITY FOR STORAGE AND WILL FORWARD OR RETURN ANY INADVERTANT DELIVERIES PRIOR TO MOVE-IN TO THE SPONSOR/EXHIBITOR’S DRAYAGE PROVIDER OR SPONSOR/EXHIBITOR DIRECTLY. All charges for freight, assembling, disassembling, shipping, handling and any other must be paid by the Sponsor/Exhibitor. If adjustments or additional charges are required during or after the Event, such charges must be paid within ten (10) business days of the last date of the Event. LIA is not responsible or any damage or loss of your freight, please secure round trip insurance from your company insurance carrier. All transportation costs, and any other costs related to Sponsor/ Exhibitor setup not explicitly offered above by LIA, are to be paid by the Sponsor/Exhibitor. 10. AUXILIARY AIDS. The Facility represents to LIA that, beginning on January 1, 1992, and continuing thereafter in accordance with the compliance dates established or required under Title III of the Americans with Disabilities Act and the regulations promulgated thereunder (“ADA”), the Facility being rented to LIA under the corresponding agreement, including guestrooms, common areas and any provided transportation services, shall be in compliance with the public accommodation requirements of the ADA. Sponsor/Exhibitor agrees that, within a reasonable and sufficient time period to accommodate, it will furnish a written request of any auxiliary aids needed to access or occupy its Exhibitor Space(s), function space, meeting

12. ELECTRICAL REQUIREMENTS. All requests for the provision of electrical service to the Exhibit Space(s) must be made directly to the electrical services provider for the Facility as noted in the Sponsor & Exhibitor Prospectus and Sponsor & Exhibitor Guide. The cost of any electrical service is not included in the purchase of Exhibitor Space(s) or other Sponsorship packages and Sponsor/Exhibitor acknowledges the responsibility of obtaining those services directly as indicated in the Sponsor & Exhibitor Guide. 13. FIRE & SAFETY LAWS AND RELATED SITE REQUIREMENTS. Federal, state and municipal laws and regulations must be strictly observed. Any electrical or physical display must comply with fire department and site requirements. Smoking in exhibits is forbidden. Crowding will be restricted by regulation. Displays and exhibits cannot block aisles and fire exits. A full listing of these fire and safety regulations can be requested by the Sponsor/Exhibitor. 14. SPONSOR/EXHIBITOR ATTENDEE REGISTRATION. While Sponsor/Exhibitor packages include certain Event registrations as indicated in the Sponsor & Exhibitor Prospectus, all Sponsor/Exhibitor attendees must individually register to gain access to the Event. For the purpose of this Agreement, “Attendees” is defined as Sponsor/Exhibitor staff, which includes its individual employees, contractors, invited guests and/or other assigns (hereinafter referred to as “Attendees” or “Personnel”). 15. ADEQUATE REPRESENTATION OF SPACE ASSIGNMENT(S). Sponsor/Exhibitor must ensure that Personnel and any related and/or required materials are present at the Exhibition Space(s) during the hours of the Business Conference at the Event. 16. VISUAL AND AUDIO RECORDING RIGHTS. All visual and audio recording rights for the Event are reserved to LIA and/or its affiliates. Any displayed item within display or exhibition space may be recorded by Show or its affiliates for future use. No recording of booths by Exhibitors/Sponsors, other than their own, is permitted at any time. Sponsors, Exhibitors, displays, exhibitions and related personnel may be recorded by LIA or its affiliates before, during or after the commencement the Event. Please do not display confidential intellectual property in your space if you do not want such items photographed or recorded. 17. USE OF TRADEMARKS. Sponsor/Exhibitor grants a nonexclusive, right to use the Sponsor/Exhibitor’s company or organization trademark(s) for the limited and explicit purpose of promoting the Sponsor/Exhibitor’s attendance and participation at the Event, industry awards where the Sponsor/Exhibitor may be nominated as a finalist or recipient, and as otherwise indicated in the purchase of specific Sponsor and/or Exhibitor packages related to the Event. Use of the trademark(s) shall include, but not be limited to printed materials and publications, Event signage, electronic correspondence, digital media and publications, social media, press releases and third-party news and information mediums. 18. MUSIC & VIDEO LICENSING. No copyrighted music or videos may be played in the Event area (including but not limited to: background music on video or audio presentations) without appropriate documented permissions and/or licensing, which is the responsibility of the Sponsor/Exhibitor to obtain as well as pay any and all associated fees.

described in this paragraph. 19. FOOD & BEVERAGE. Food and beverage served at the Event must be supplied and served by facility catering services only. If Sponsor/Exhibitor wishes to serve additional food and beverage items at the event, it must obtain written permission from LIA along with a signed service agreement from the facility. 20. RULES OF CONDUCT. Anyone indicating disorderly, threatening, or unprofessional conduct may be removed from the premises by LIA management. In addition to the conditions of this Agreement, all Sponsor/Exhibitor Attendees are subject to Event registration terms and conditions which include Rules of Conduct. See Event registration terms and conditions for more detail regarding any additional Rules of Conduct. 21. SOLICITATION. The Event, including the Business and Technical Conferences and related workshops and meetings, is restricted to organizations with products and/or services related to the industry served by the Event. Direct sales and/or delivery of non-related, retail or consumer products are prohibited without prior written approval from LIA. If a Sponsor/Exhibitor or their staff, which includes employees, contractors or other assigns, violates this restriction, the exhibit of the violating Sponsor/Exhibitor will be removed and Sponsor/Exhibitor staff will leave Event without a refund of any kind. 22. ANTITRUST POLICY. LIA is a 501(c)(3) non-profit professional society dedicated to fostering lasers, laser applications and laser safety worldwide. It is the policy of the LIA to comply with applicable federal and state antitrust laws. The fundamental objective of the antitrust laws is to protect and promote free and fair competition. The LIA supports the public policies embodied in these laws. Through the adoption and issuance of the LIA’s Antitrust Policy, LIA affirms its commitment to abide by the spirit and the letter of all antitrust laws. LIA board directors, officers, employees, conference exhibitors and sponsors along with their representatives are expected to follow the policy and guidelines contained herein as part of their ongoing obligations to LIA. This policy is intended to provide basic guidance on the antitrust laws that may be applicable to the activities of LIA. Legal counsel should be consulted in all cases involving specific situations or interpretations. Any director, officer or employee found in violation of this policy or the applicable antitrust laws will be subject to appropriate disciplinary action. The antitrust laws can be of unclear applicability, and in certain circumstances unlawful agreements among competitors can be inferred from circumstantial evidence. Therefore, at all LIA-sponsored events, including executive and board, committee task force, and working group meetings, the following will not be discussed: current or future prices; what constitutes a “fair profit level”; possible increases or decreases in prices; standardization or stabilization of prices; pricing procedures or formulas; cash discounts; credit terms; confidential future marketing plans; allocation of customers or geographic division of markets; refusal to deal with a company because of its pricing or distribution practices; whether or not the pricing practices of any LIA participant are unethical or constitute an unfair trade practice; information concerning any individual member company’s costs, profits, inventory, market share, or other commercial information of a nonpublic nature. 23. ASSUMPTION OF RISKS & RELEASE. Sponsor/Exhibitor expressly assumes all risks associated with, resulting from or arising in connection with its participation at the Event including, without limitation, all risks of theft, loss, harm, damage or injury to the person (including death), property, business or profits of exhibitor, whether caused by negligence, intentional act, accident, act of God or otherwise. Sponsor/Exhibitor maintains sole responsibility for its property or any theft, damage or other loss to such property (whether or not stored in any courtesy storage area), and waives any subrogation claims that Sponsor/ Exhibitor’s insurer may have. LIA accepts no responsibility, nor is a bailment created for property delivered by or to Sponsor/Exhibitor. LIA shall not be responsible for any damage to Sponsor/Exhibitor’s property or lost shipments arriving or leaving the Event, nor for transportation or storage costs. Damage to inadequately packed property is Sponsor/Exhibitor’s responsibility. If exhibit materials, fixtures or equipment fails to arrive, Exhibitor is nevertheless responsible for the Event space assignment reserved in accordance with this Agreement. Sponsors/Exhibitors are advised to insure themselves against these risks. LIA shall not be liable and Sponsor/Exhibitor hereby releases LIA with respect to any and all risks, losses, damages and liabilities

24. INDEMNIFICATION. Sponsor/Exhibitor shall indemnify, defend (with legal counsel satisfactory to LIA), and hold LIA, its related companies, staff, employees, officials, representatives, agents, agent’s contractors, contractors, sub-contractors and members, and any other of its affiliates harmless from any claims, demands, suits, liabilities, damages, losses, costs, reasonable attorneys’ fees and expenses which result from, or arise out of or in connection with: (a) participation or presence at Event of Sponsor/Exhibitor and of all staff, employees, officials, representatives, agents, agent’s contractors, contractors, sub-contractors, affiliates and invitees of Sponsor/Exhibitor (collectively, “Sponsor/ Exhibitor Parties”); (b) any breach by Sponsor/Exhibitor or any Sponsor/Exhibitor Parties of any provisions, covenants, promises or other obligations under this Agreement; (c) any matter for which Sponsor/Exhibitor is otherwise responsible under the terms of this Agreement; (d) any violation or infringement (or claim of violation or infringement) by Sponsor/Exhibitor or any Sponsor/Exhibitor Parties of any law or ordinance or the rights of any party under any patent, copyright, trademark, trade secret, or other proprietary right; (e) any libel, slander, defamation or similar claims resulting from Sponsor/Exhibitor’s or any Sponsor/Exhibitor Parties’ actions; (f) harm or injury (including death) caused by Sponsor/Exhibitor or any Sponsor/Exhibitor Parties; and (g) loss of or damage to property caused by Sponsor/ Exhibitor or any Sponsor/Exhibitor Parties; and (h) loss of or damage caused by Sponsor/Exhibitor or any Sponsor/ Exhibitor Parties to Sponsor/Exhibitor’s or other Event participant’s business, business activities or profits, whether caused by negligence, intentional act, accident, act of God, theft, mysterious disappearance or otherwise. 25. SALES TAX. When and where applicable, city, county and state sales tax will be included in the price. If any Exhibitor is exempt from paying sales tax, it is the Sponsor/ Exhibitor’s responsibility to provide LIA with its tax exempt number prior to beginning of show. 26. EVENT CANCELLATION. In the case that the Facility for the Event is shall become, in the sole discretion of LIA, unfit for use or occupancy, or in the event the holding of the Event or the performance of LIA under this Agreement (of which these Rules and Regulations are a part) are substantially or materially interfered with by virtue of any cause or causes not reasonably within the control of LIA, this Agreement and/or the Event (or any part thereof) maybe terminated by LIA. LIA shall not be responsible for delays, damage, loss, increased costs, or other unfavorable conditions arising by virtue of cause or causes not reasonably within the control of LIA. If LIA terminates said Contract and/or the Event (or any part thereof) as aforesaid, then LIA shall not be liable to the Exhibitor other than for a prorated refund of such Exhibitor’s space price payment determined on the basis of the number of Event days remaining. For purposes hereof, the phrase “cause or causes not reasonably within the control of LIA” shall include, but not by way of limitation: fire, casualty, flood, epidemic, earthquake or inclement weather; explosion or accident; blockade or embargo; governmental restraints; restraints or orders of civil defense or military authorities; terrorism or threat of terrorism, act of public enemy, riot, or civil disturbance; strike, lockout, boycott, or other labor disturbance; inability to secure sufficient labor, technical, or other personnel; failure, impairment, or lack of adequate transportation facilities; inability to obtain, or condemnation, engineering failures, requisition, or commandeering of necessary supplies or equipment; local, state, or Federal law, ordinances, rule, order decree, or regulation, whether legislative, executive, or judicial, and whether constitutional or unconstitutional; or Acts of God. 27. CANCELLATION & SPACE ASSIGNMENET REDUCTION POLICY. Any cancellation, space assignment reductions, or requests for modifications to this Agreement must be made in writing to LIA and is subject to the following fees: Cancellations or reductions in space assignment for orders on or before April 7th, 2019 are eligible for full refund. Cancellations or reductions in space assignment for orders between April 8th, 2019 and June 7th, 2019 will result in forfeiture of deposit or the equivalent of twenty-five percent (25%) of the total order amount indicated in the invoice provided by LIA. Cancellations or reductions in space assignment for orders on or after June 8th, 2019 will result in forfeiture of all paid amounts – no refund. LIA shall retain the right to resell cancelled space to any party at the prevailing rate.

28. ACCONTS RECEIVABLE & COLLECTION POLICY. Accounts 30 days past due will pay current Sponsor/ Exhibitor pricing and Sponsor/Exhibitor will lose any prior discounts unless otherwise agreed upon in writing between the parties. Accounts past due will be assessed 1.5% interest per month. In the event this contract is turned over to an attorney for collection or dispute, LIA will be entitled to reasonable attorney fees. 29. SEVERABILITY. In the event that any of the provisions of this Agreement shall be held to be illegal, invalid or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision. 30. MODIFICATION. This Agreement may only be amended or modified by a written instrument duly executed by both parties. 31. ENTIRE AGREEMENT. This Agreement constitutes the final and entire agreement between the First Party and the Second Party with respect to the subject matter hereof, and supersedes any prior communication (whether written, verbal or electronic) or agreement between the parties regarding the subject matter herein. 32. EXECUTION & TRANSMISSION OF AGREEMENT. This Agreement may be executed in counterparts. Any accurately executed version of this Agreement transmitted by either telefax or e-mail by either party shall be deemed an equivalent, original, legal and binding version of this Agreement. 33. ASSIGNABILITY AND BINDING EFFECT. This Agreement shall bind and inure to the benefit of the parties hereto and their successors and assigns. This Agreement and each party’s rights and obligations hereunder shall not be assignable by party without the express written consent of the other party, and any purported assignment not permitted hereunder shall be void. 34. REMEDIES; CHOICE OF LAW; VENUE. The parties hereto acknowledge that money damages are an inadequate remedy for breach of this Agreement because of the difficulty of ascertaining the amount of damage that will be suffered by the in the event that this Agreement is breached. Accordingly, the parties agree that in addition to any other available remedy, each party shall have the right obtain specific performance of this Agreement and injunctive relief against any breach hereof. The prevailing party in any litigation between the parties shall be entitled to the recovery of reasonable attorneys’ fees from the other party. This Agreement shall be governed by, and construed in accordance with the laws of the State of Florida and the parties hereto consent to the exclusive jurisdiction of the district courts of Orange County, Florida for any suits, actions or proceedings arising out of or related to this Agreement and waive all objections to such jurisdiction.
