7th September & 8th September Two Day Conference on Independent Directors of Today and Tomorrow The Chamber under the auspices of the Company Law /Corporate Affairs Committee organized a two day Conference on Independent Directors of Today and Tomorrow on 7th and 8th September 2018 at Welcom Hotel. This Conference was organized to empower the “Independent Directors of Today and Tomorrow� on the various roles and responsibilitiesto keep themselves abreast in the changing scenario, especially with a plethora of new legislations and swift changes to the existing laws governing the Corporate. Mr. RamkumarRamamoorthy, President of the Chamber welcomed the Chief Guest and the Participants. In the inaugural session, the Chief Guest Mr. T.N. Manoharan, while delivering the key note address appreciated the Chamber for organizing an appropriate programme for Independent Directors. He added that it is the need of the hour, as the Governance norms are undergoing changes in the present day context and more responsibilities will be thrusted up on the Independent Directors He stated that the Independent Directors spend least time with the Governance of the Company in general unless they are involved in audit and risk management committees which may involve additional time and efforts. The time and involvement and knowing the nuances of the organization are limitations to the Independent Directors. He cited Satyam as an example and the lessons learnt from Satyam episode which has made the Government bring stringent laws. It was with the Companies Act 2013, that the conduct,role, responsibilities and duties of the Independent Directors underwent a major change which stated that the reappointment would be based upon the evaluation of the Directors. The role of Independent Directors was no longer casual and every Independent Director has to discharge the duties meticulously. He informed that the formation of a committee to check out offences under the act that has a criminal liability and to change the same to civil liability is a good sign in the present scenario. Further, the Kotak Governance Committee has made it mandatory for the appointment of one Independent Woman Director in the top 500 listed companies on or before 1st April 2019. The Government is contemplating to have examinations for new Independent Directors and orientation for the existing Directors. With the above changes, Mr.Manoharan stated that the abundant care and caution have to be exercised on becoming an Independent Director. Once the professionalism and credibility of the company is known, it is necessary to apply the prudence and putin the best efforts and time in due proportion to the role and responsibilities assigned. He also added that

there was no need to worry of fear if professionalism is executed. He further emphasized that their contribution should enhance the decision making, procedures and control despite being mortals. He concluded that they would feel the sense of satisfaction while rising as an Independent Director. Dr. D.Ravi proposed the formal vote of thanks. 17th September 2018 How to make Chennai a Financial Hub – Brainstorming Session A brainstorming session on how to make Chennai a Financial Hub was held on 17th September 2018 at the Chamber. Mr. T.S.Mahalingam moderated the session attended by more than 15 senior representatives. A presentation was made outlining some preliminary points and implementation roadmap was discussed. Further discussions would be held to take this initiative forward.

26th September 2017

Chamber Day The Chamber celebrated its 182nd Chamber Day on 26th September 2018 at Hotel Le Royal Meridian on 29th September 2018. Mr. Ramkumar Ramamoorthy, President of the Chamber in his welcome address gave an overview of the Chamber’s different initiatives with are in line with the changing times. Further, he touched upon Demonetization and GST which are the challenges faced by the Industries, especially the manufacturing sector.He also added that the country has a reasonable GDP growth despite these factors. He outlined on the vision of the Chamber and stated that in the next three years, the Chamber will identify 50 to 100 industry leaders, including CXOs from member companies, to be on the Academic Council, Senate and Syndicates of Universities and educational institutions of higher learning and research to impact every facet of academia and truly bridge the gap. Mr. Gopal Srinivasan, Managing Director, TVS Capital Funds Pvt Ltd., thanked the Chamber for inviting him to this important occasion while addressing the crowd. He stated that he conversed with Mr.V.Sriram, Historian, Author of the Coffee Table Book of the Madras Chamber who took him through the history of Madras. He said he was awestruck by the enormous efforts of the leaders who had worked hard to make Chennai a beautiful city. He also mentioned that though the city has become business friendly in the recent times, the entrepreneurs are finding it difficult to face the roadblocks, whereas tougher roadblocks were surmounted by the persevering efforts of leaders on those days. He appreciated the Chamber for speaking the truth and narrated how the Chamber had opposed the introduction of income tax and then the powers had been given to the authorities. With regard to the growth of Tamil Nadu, Mr. Gopal Srinivasan stated that the GDP has risen more than 14 times in the past 20 years . The State is richly talented and caters to the needs of the top IT companies. He thanked the Governor for the introduction of the Private University Bill. There is so much of activity in Tamil Nadu, where the start ups, stand ups and grow ups benefit due to the private equity investments, he stated. However, in the recent times, there is a steady dwindling of investments and there have been only 1% of the total investments in the entire country that has been invested in Tamil Nadu. Though there is a development in terms of Business facilitation Act, Chennai Metro rail development, Salem – Chennai highway, the progress in the Industrial development are not in pace whereas our neighbouring States are active. The Madras Chamber which has been instrumental in bringing the harbour to Chennai and led to many industries such as Ashok Leyland, Chennai Petroleum, Ford, Industrial Estates, Clusters to come into existence has to take charge now and make a difference. He concluded

by stating that Success begets Success and it is time for the Chamber to repeat what it had done earlier to make Chennai regain its position. Speaking on the occasion, the Hon’ble Governor of Tamil Nadu, Shri.BanwarilalPurohit lauded the Chamber for the 182 years of commendable service in promoting Commerce & Industry. He stated that Tamil Nadu has a diversified manufacturing sector and features among the leading states in several industries like automobiles, components, engineering, pharmaceuticals, garments, textile products, leather products, chemicals, plastics, etc. It ranks first among the states in terms of number of factories and industrial workers. Tamil Nadu’s entrepreneurial ecosystem is the envy of many states across the country.The current statistics state that three cars are produced every minute and one truck every 2 minutes and amotorcycle for every 6 seconds in Chennai, proving the accelerated growth of the automotive Industries in Tamil Nadu. This shows the huge stride, the automotive industry has made in the State. He also added that he thought that Maharashtrato be the best state as he hails from it but Tamil Nadu is faring better. He spoke about his experiences of travelling to 24 districts and about his simplicity to travel in economy class and thus creating himself an example for not wasting public money. He adjudged the statistics of Tamil Nadu as follows:• Tamil Nadu ranks 2nd in India in the computer, electronics and optical products manufacturing accounting for 16% of national production and offers excellent opportunity for investors to set up electronic manufacturing facilities. Chennai is thsecond largest electronic hardware manufacturing hub in India with a presence of 20+ electronic hardware technology parks based in major IT centric SEZs of Sriperumbudur, Oragadam, & Mahindra World City. • Tamil Nadu being the second largest software exporter, has the bandwidth to realize the objective of this scheme to empower every citizen with access to digital services, knowledge and information. Our state has 20 operational IT SEZs and provides employment to more than 400,000 professionals • Tamil Nadu proudly claims as a good infrastructure which is the basic requirement for doing business. The 3 ports and 4 major Airports in Tamil Nadu with 40 stretches of national highways and 4027 km of railways lines in terms of route kilometers boost the connectivity. • Tamil Nadu is one of the largest producers of skilled workforce in India and has excellent educational infrastructure and has 66% of the population lying between the age group of 15-59 years. It boasts of having the highest number of colleges of over 1900 with 2 Central Universities, 22 State Universities, 700 Arts & Science Colleges, 1018 Engineering Colleges (AICTE approved) 560 Industrial Training Institutes, 509 Polytechnic Institutes and 29 Govt. Medical Colleges.

• We are aware that Chennai leads in the health care sector and is considered the “Health Capital of India”. Chennai attracts about 45% of all health tourists arriving in India from abroad. He recommended the Chamber for promoting trade and Industry and transforming the industrial complexion of Tamil Nadu and for playing a catalytic role in policy making of the Government. He narrated his experiences about paying taxes and requested the participants to pay taxes regularly. He added that “Every Penny should be accounted for” and transparency in business should be the mantra. He also added that even vices should not be hidden. Further, he stated that as Chancellor of Universities in Tamil Nadu, he selects the best for his Universities and asked everyone to follow such policies in businesses. He concluded his address by requesting the participants to be honest and to do the best in whatever they do. Mr. Srivats Ram, Managing Director, Wheels India Ltd. and Vice President, proposed the formal vote of thanks. The meeting was attended by more than 200 participants whichconcluded with dinner.

Move afoot to bridge industryacademia gap – The Hindu – 30th Sep Chamber of commerce to identify leaders for the purpose On the occasion of its 182nd founding day, the Madras Chamber of Commerce and Industry (MCCI) announced that over the next three years it would identify 50 to 100 industry leaders, to be on the boards of studies, academic councils, senates and syndicates of universities and institutions of higher learning and research in Tamil Nadu. The objective was to bridge the industry-academia gap and accelerate the shift to Industry 4.0. This would include CXOs from member companies who are passionate about shaping higher education in the State. “With newer digital technologies and business models impacting every industry, there is a crying need for greater levels of industry-academia collaboration,” said Ramkumar Ramamoorthy, president, MCCI and executive director, India, Cognizant. “Across disciplines of study such as engineering, management and humanities, there is a need to synchronise curricula with shifts in the marketplace, empower faculty to cope with the velocity of change, reimagine teaching-learning models and align assessments to learning outcomes. These industry leaders will act as the bridge between the industry and academia and play a catalytic role in the entire life-cycle, including curriculum development, faculty orientation and assessment methodologies,” he said. To ensure that students and faculty members were in tune with rapid changes and stayed relevant to market needs, MCCI would leverage its general committee and chairpersons of its 15 plus expert committees. Governor Banwarilal Purohit said, “This Chamber has contributed tremendously towards transforming the industrial complexion of Tamil Nadu. It has played a catalytic role in policy-making, representing business and industry in government bodies and providing a platform to businessmen for discussion and interacting and working with the government to resolve problems faced by the industry.”

23rd to 27th September 2018

Delegation to Northern Ireland Mr. Ramkumar Ramamoorthy, President, MCCI led a delegation to Northern Ireland, representing the IT, Manufacturing and the Logistics Sector. The Chair persons of the respective Expert Committees of the Chamber, namely, Mr. L.Ashok, Mr. S.Sarathi, Mr. Uday Bhaskara Reddy and Ms.Saraswathi were part of the Delegation to visit ABC region. Mr. Ramkumar stated that it was a good experience and there were b2b discussions, visits to select industries and interaction with the Lord Mayor and the economic heads of ABC Council. He added that despite being a small region, they are aggressive because of brexit which has had a great impact on their labour and are looking at India as a prospective nation in providing the necessary talent and manpower. He stated that a few business relations were established during this visit. He appreciated their hospitality in his speech.
