In this issue, you will notice several articles about starting a new business. It was October a year ago, that I was approached by Dana Simson to take over the Chesapeake East Calendar Guide. ...Can I let you in on a secret ?

There is a hidden shop in Downtown Pocomoke that few know about. Even when you walk into Market Street Boutique, you don’t know it’s there. It’s not illegal or anything like that, but it’s tucked away; a shop inside a shop. This was all created by design, by owner Kim Jackson. When I first met her, we hit it off immediately. I loved that she carried American Made fashions that are colorful, affordable, fluid and fun. She has really cool artisan made jewelry. Handbags too. I love meeting new business owners and hearing all about their plans and dreams – watching their passion unfold as their business grows. Kim was showing me around her store and took me into the back room where she plans to expand. Then turning again she said – oh, and here is my fitting room. Let me tell you, it wasn’t just a fitting room. This really caught me off guard. It was almost the size of a small bedroom – huge by any standard for a single dressing room. And there against the far wall – an elegant display with bras. I was puzzled. Sometimes, nicer stores will have high heels in a dressing room but not bras. Clearly, I was clueless. Kim then explained she is a mastectomy fitter and these were bras for women who have had mastectomies. With joyful exuberance, I wanted to take a few photos. Kim told me absolutely not.

Usually, storeowners can’t wait for me to snap, snap away. But Kim went on to explain how she had wanted to create something unique and discrete. A boutique with handbags, clothing, and jewelry for women. But most important, one where women who have had breast cancer could enjoy a full shopping experience! Something that other women may take for granted. Kim was inspired by her own mother. A breast cancer survivor of 22+ years who expressed her frustration with having to leave clinics with a shopping bag. That was no fun. Why could she not shop like other women? Now she can. Now she can shop like other women do for a new top, or a new handbag and a pretty bra! All in a very discrete setting. Well there you have it friends. Her secret is out.

I remember it as a cold, rainy, miserable February Saturday. We had the Food Channel on, and one of the celebrity chefs, maybe it was Mario Batali, was in Naples sitting next to a beehive-shaped earth and brick oven preaching the virtues of pizza baked with wood fire. It was sunny in Naples. He had a big glass of red wine. He had ridden to the restaurant on a beautiful powder blue Vespa. Outside, the rain was steady and a fog was drifting across the creek behind our house. I looked at my wife and said “I wonder if there’s a woodfired pizza oven within an hour of here,” never thinking that there would be, or that it would be open in the off season. Mario took the first pizza from the oven with a long wooden peel. The cheese was bubbling on a classic quattro formaggi pizza. The crust was black at the edges. We could taste it. Lo and behold, there was a big, domed wood-fired oven, and as we were watching Mario put down his first slice the wood was probably blazing in it. We headed to Mancini’s, in Fenwick Island, and have returned countless times since. We have had pizza in Rome, “pizza rustico” on the Italian coast, pizza in New York’s Little Italy. Mancini’s was up to the mark. Now there are at least eight such ovens on Delmarva. What makes wood-fired pizza so good? Higher cooking temperature is one thing. The masonry walls of the oven soak up the heat, and the domed design radiates it evenly throughout the oven. Temperatures can reach 800˚ (at our favorite Baltimore pizza place, Joe Squared, the coal-fired oven reaches 1200˚ at the top, 800˚ on the oven’s floor). Pizzas cook in 2 or 3 minutes. The intense heat crisps the outside of the dough quickly, preventing it from becoming soggy. The edges puff up high and blacken slightly. Toppings cook evenly and quickly and the vitamins are not slowly cooked away. A unique smoky flavor - smoky, but not burnt – is imparted to the pizza. Every flavor is enhanced by the masonry environment (compared to your kitchen oven). Because the high heat destroys the flavor of olive oil, pizza makers sprinkle a little of the very best quality EVO onto the pizza after it comes emerges the oven, keeping the pizza from becoming oily and soggy CONTINUEDÊONÊPAGE 22 23 and preserving the oil’s luscious flavor.

Local wood-fired pizza houses offer a wide variety of styles, from the classic Margaritas to creative styles like jerked chicken BBQ, or Hawaiian with ham and pineapple.  The Bloxom Winery (Mason Road; Bloxom, Virginia; 757-665-5670; www. bloxomwinery.com) serves wood-fired pizza on Saturdays. Winemakers Robert and Francesca have been producing estate bottled wines on the Virginia Eastern Shore since 2004. The pizza is simple and classic, exactly what you might expect from a country winery with a distinct Mediterranean flavor.  J&J’s Wood Fired Brick Oven (12445 Ocean Gateway, West Ocean City MD; 410-213-0303; www.ocitalianfood.com) is just across the bridge from the Boardwalk. The pizza menu covers all the Neapolitan favorites, including a white pizza and one loaded with veggies.  Mancini’s Brick Oven Pizzeria and Restaurant (907 Coastal Highway, Fenwick Island DE; 800-213-4224; www.mancinisbop.com) lit the first fire in their oven in 1995. Chef Gabriel Mancini adheres to the guidelines of the Associazione Verace Pizza Napoletana. The dough is hand-rolled and baked at 800 ˚ and only traditional Italian ingredients are permitted. Don’t come to Mancini’s expecting a strawberry-and-goat-cheese pizza.  Out of the Fire (22 Goldsborough Street, Easton MD; 410-770-4777; www. outofthefire.com) features all the Italian classics, plus gluten-free options and an interesting fig-jam-prosciutto-and-goat-cheese pizza. Would Mario turn up his nose? Who cares.  Mr. P’s Wood Fired Pizzeria (1004 King’s Highway, Lewes DE; 302-6451900; www.chrisandjenna.com/pizza) has what owners Rick and Ray Thomas call the “Ferrari of Ovens.” In it, they bake over 20 varieties of pizza and calzone and offer a huge selection of toppings.  Si Culi (104 N. Main Street, Berlin MD; 410-629-0550; www.siculiberlin. com) is one of Berlin’s newest restaurants. The wood-fired oven sits right in the dining room, and from it come not only the standard Italians like pizza bianco and pizza siciliana, but also some interesting specials. The lamb ragu pizza is one of them, but not so far afield that Mario would object.  Stoked (413 Muir Street, Cambridge MD; 443-477-6040; www. stokedwoodfiredeatery.com) is Chef Patrick Fannings’s newest Cambridge restaurant. The pizza menu is adventuresome, with a “Braised and Blue” pizza with braised short ribs and crumbled blue cheese, and a “Spicy Chicken Cheesesteak” pizza. Look for all the classics as well. None of these restaurants are going to be advertising free breadsticks or litresized bottles of soft drink for free with any order (though some have half-price pizza nights or lunches on the off-season). You aren’t going to be handed a coupon for a cheap pizza from a wood-fired pizzeria when you leave the ballpark. They don’t have to. But you’ll think twice about ordering carryout from the Pizza Shack or Papa-What’s-His-Name’s after you’ve had your first crispy, wood-fired pizza, black around the edges, puffy with bubbling cheese and fresh ingredients, delivered to your table.

The 43rdAnnual Waterfowl Festival An Eastern Shore Tradition

The Waterfowl Festival returns to historic Easton, Md. for its 43rd year on November 7-10, 2013. More than 18,000 visitors are expected to experience a time-honored Eastern Shore tradition that pays homage to the annual migration of geese through the Atlantic Flyway and supports wildlife and habitat conservation throughout the region. The Festival kicks off with Opening Ceremonies and the Premiere Night Party on Thursday, November 7th and then opens to general admission guests on Friday, November 8th. As part of Thursday’s Premiere Night Celebration, the Festival debuts the new Premiere Night Party at the Tidewater Inn, which will follow the established Opening Ceremonies, Downtown Gallery Tour and Cocktail Decoy Auction and begin at 7:00pm. This new addition will offer live music, open bar, stationed buffet, and an exclusive live auction featuring sculpture and paintings by renowned Festival artists, exciting “in-the-field” conservation adventures and destination sporting and hunting experiences. Also new this year is 2013 Waterfowl Festival Featured Artist, painter Richard Christian, and his signature piece, Kaleidoscope, which is this year’s poster image and the inspiration for the 2013 promotional materials. The original piece, along with other pieces of Christian’s work will be on display in the Featured Artist Pavilion on Harrison Street. The Masters Gallery at the Avalon Theatre will also host the exclusive Celebrating the Chesapeake Collection – a series of plein air maritime, agricultural and waterfowling scenes by longtime Festival artist, Heiner Hertling, inspired by the heritage and landscape of the Eastern Shore. The Festival also debuts the new Craft Brew Pub at the Easton Elks Lodge that will feature local and national craft beer tastings and traditional Chesapeake Fare. The Festival is also proud to add the inaugural World Championship Team Goose Calling Contest to the four established competitions taking place Friday-Saturday of the Festival weekend at Easton High School. Perennial favorites will also return this year including the popular Dock Dogs Competition at Easton Middle School, the Retriever Demonstrations at the Bay Street Ponds, and the Waterfowl Chesapeake and Wine Pavilions

Starting a new Business by John Hickman Starting a new business is both exciting and risky. A prospective business owner needs to ask a lot of questions, and carefully review the answers. The first focus should be the ownersâ&#x20AC;&#x2122; questions to themselves. These include: Am I a self-starter? How well do I plan and organize? Can I work long hours? How will the business affect my family? They also need to look at the business operation and their skills: Can I work in an environment of uncertainty? Do I have the energy to manage many aspects of a business at the same time? These include marketing and sales, human resources, accounting, operations, and basically anything that happens in the business.

Owners need to review important finance questions, such as: Do I have enough money to fund the start-up? Will the business generate enough profits to allow me to draw a salary? What are the options for financing the operation? If I need to borrow, do I have sufficient credit and collateral? Finally, they need to look at the business and if it is viable. Some viability questions include: Who are my competitors? What barriers are there to opening the business? Can the new business deliver better quality, service, or price? What need will the business fill for potential customers? How will the new business communicate with potential customers? As a potential entrepreneur starts to answer these

questions, they are beginning to develop a business plan. A business plan is a formal process that assists the entrepreneur in evaluating the potential of the enterprise, and to communicate with lenders or investors about the viability of the proposed business opportunity. The Small Business and Technology Development Center at Salisbury University is available to help entrepreneurs at every stage of their business. They offer a free class that will help aspiring entrepreneurs answer the questions raised above and more. The class is: “Ready Set GO” and is offered monthly. After the entrepreneur is sure this if the right path, they can attend additional courses, and receive no-fee counseling throughout the lifecycle of their business for one of the SBTDC’s expert consultants. Dear Ann, There is a local business for sale by owner. The business owner wants to sell the business, including all of the inventory and the commercial property as a package deal. Is this smart or will this be a problem in getting a loan? Looking for your wisdom & advice before proceeding. Thanks again! Dear Potential Business Buyer, The smart way to decide whether or not to buy this business is to rely on your own accountant, choose your own appraisers, and make sure your own attorney represents you in this transaction. Before you make any decision, you and your accountant need to review all of the business books and records. This includes profit and loss statements, bank records, and tax returns. If the business owner is reluctant to provide you with complete and accurate financial information, you should be very reluctant to purchase the business. I have counseled far too many business buyers who thought they were getting a profit-making venture, only to find out too late that the customer lists were inflated and outdated or that the costs of

Check, double check, and triple check the status of the businesses taxes. These include not only income taxes, but federal and state withholding taxes, state sales taxes, property taxes – potential tax liabilities make up a long list. Depending upon how ownership of the business is transferred, you, as the new business owner, could become personally liable for certain unpaid taxes. Because the seller wants to sell the business including all of the inventory and the commercial property as a package deal, I infer that the business itself, the inventory, and the commercial property are owned by the same legal entity, such as an LLC or a corporation. If so, be sure you have accurate information about the business entity and its owners. Your attorney needs to verify that the LLC or corporation is in good standing. You need to know who the LLC members or corporate shareholders are and who has the right to sell the business, Review with your attorney the Operating Agreement of the LLC or the Shareholder’s Agreement of the corporation. You also need to determine how to value the business. The business owner may have a price in mind

when offering to sell. But you need to know if that price is a good one, or a bad one, for you. Again, carefully review the financial records. Also, rely on accountants and appraisers. Since this proposed purchase includes inventory, get a realistic appraisal of the value of the inventory. There is also a commercial property involved. Have an appraiser provide you with a real estate appraisal. And check with a local commercial REALTOR just to see if there are other comparable businesses for sale and what the asking prices are. Then you need to decide how you are going to buy the business. You need to involve both your attorney and accountant in this decision. You can buy a business by buying all of the membership interests in an LLC or by buying all of the shares in a corporation. But, if you purchase the business in this manner, you receive both all of the assets and all of the liabilities. The other alternative is to form your own new business entity and buy just specific assets, while only assuming specific liabilities. This may be safer, but is usually more complicated. For instance, as to the inventory, compliance with Maryland’s bulk sales law would almost certainly be required. “Will there be a problem in getting a loan?” In this economy, loans

are very difficult to get, especially business loans. Your ability to get a loan will depend upon your good credit, the value of the commercial property and inventory, and the cash you have available to put down. But, having complete accurate financial information about the business, including objective appraisals, can only help. Probably the best way to find out if you can get a loan is to begin with your own banker. Do not get discouraged. Buying your own business can be stressful and the details can seem overwhelming. But many business owners get not only profits, but personal fulfillment, from their businesses and wouldn’t want to be anybody’s employee.
