2010 MSBA Annual Conference in Cooperation with MASA PLEASE MAKE A COPY FOR YOUR RECORDS
RULES AND REGULATIONS Applicants for exhibit space are required to read, complete and sign the enclosed Exhibit Application/Contract before submitting it to Missouri School Boards’ Association. These rules and regulations constitute a bona fide part of the contract for space. MSBA reserves the right to render all interpretations and decisions, should questions arise, and to establish further regulations as may be deemed necessary to the general success and well-being of the conference. Exhibit management decisions and interpretations shall be accepted as final in all cases. It is the responsibility of the exhibiting firm to be fully familiar with these exhibit regulations and to see that each member of the firm attending the conference, either as exhibit personnel or delegate or both, is familiar with the regulations. BOOTH SPECIFICATIONS Exhibit booths are 10 feet wide by 8 feet deep. The contracted facility will provide standard booth background drapes and side rails. Each booth will be furnished with one 6-foot draped table, two side chairs and a booth identification sign. The entire exhibit hall is carpeted. SPACE CONTRACTS Applicants for exhibit space are required to execute and forward to the Missouri School Boards’ Association the formal Application/ Contract provided. To be valid, each Application/ Contract must be accompanied by a check for the total amount or a deposit of 50% of the total to be applied to the booth rental cost. Contracts must specify products or services scheduled for exhibition. Vendors’ products, programs, and services shall be consistent with the promotion of public education. All applications to exhibit are subject to MSBA Board of Directors’ approval. Space Assignment Exhibit booths will be assigned on a first-come, first-served basis with priority given to MSBA Associate Members and sponsors. All applications to exhibit are subject to MSBA Board of Directors’ approval. Allocation of space will be made as closely as possible on the basis of applicants’ wishes and requirements. No interference with the light or view of other exhibitors will be permitted. MSBA reserves the right to alter exhibit floor plans or to change space assignments in the event of an emergency and/or in the interest of any exhibitor. In such an event, the exhibitor will be notified by MSBA. Contract must be postmarked no later than Friday, September 24, 2010. Contracts received after that date may be retained for booth location placement at the trade show between 8:00 am and 9:00 am on a first come first served basis. PAYMENT DEADLINE Full payment for exhibit space must be made by October 1. After that date, your deposit will be non-refundable. Any exhibitor failing to make payments when due expressly waives all rights to use of assigned space, and MSBA shall have full right to consider this contract terminated and to lease that space to another exhibitor. Exhibiting companies who fail to occupy their exhibit space are not relieved of their obligation to pay the full booth rental price. CANCELLATIONS A $200 service fee will be charged on all booth cancellations. Refunds will be made only if MSBA is notified in writing post-marked by September 3, 2010. After that date no refunds will be given. Cancellation policy applies to all exhibiting firms,
including federal and state agencies. EXCLUSIVE USE OF SPACE No exhibitor may assign, sublet or apportion its space in whole or part, nor exhibit any products or services other than those manufactured or handled in the normal course of its business, nor permit any agent of any non-exhibiting firm to solicit business in the contracted space. MSBA reserves the right to charge full booth rental fees to each company in violation. The exhibit management reserves the right to render final judgment with regard to any possible exceptions to this issue. INSTALLATION AND DISMANTLING Exhibitors may move materials into the Exhibit Hall area between 1 pm and 6:30 pm, Thursday, October 21 or 8 am and 11 am Friday, October 22. All exhibit installations must be completed and ready for operation no later than 11 am Friday, October 22. Exhibit hours are 12 pm to 6:30 pm Friday, and 8 am to 1 pm Saturday. Vendors will be allowed access to the exhibit hall 7 am on Saturday morning. Exhibitors may remove displays between 1 pm and 5 pm Saturday, October 23. Early tear down is strongly discouraged. CONDUCT AND CHARACTER OF EXHIBIT Vendors, products, programs, and services shall be consistent with the promotion of public education and MSBA. MSBA reserves the right to decline or prohibit any exhibit which in its judgment is out of keeping with the character of the exhibition, this reservation being all inclusive as to persons, things, printed matter, products and conduct. Exhibitors engaging in objectionable practices shall be evicted without refund. In keeping with the Missouri School Boards’ Association’s determination to provide the best possible atmosphere, each exhibitor agrees as follows: l To keep and display only products of its own manufacture or supply, in compliance with all laws, rules and regulations. l To display products and services in a tasteful manner so as to describe and depict the advantage of using same. l Any noise-creating system shall be operated only at a level that will not interfere with other exhibits or add unduly to general acoustic inconveniences; and the operation must conform to MSBA management requirements. DISTRIBUTION OF MERCHANDISE Exhibitors may show, discuss, explain and demonstrate items or services but may not make sales which result in exchange of merchandise or money in the Exhibit Hall. Interviews, demonstrations, distribution of literature, etc., are permitted only within exhibit space. Samples or souvenirs must relate to products or services displayed in the booth and may not include knives or other objectionable materials. MSBA will not permit non-exhibitors to canvas, solicit, confer or distribute literature or other promotional devices during the exposition. Exhibitors engaging in objectionable practices shall be subject to eviction without refund. FACILITY REGULATIONS In the event that any exhibitor damages Tan-TarA’s furniture, fixtures, building or equipment, including damage caused by installation, presence and/or removal of exhibits and exhibit materials, the exhibitor shall be responsible for reimbursing Tan-Tar-A for the cost of such repair or replacement as may be necessary. Nothing
shall be posted on, nailed, screwed or otherwise attached to walls, floor or other parts of the building or furniture. Distribution of gummed stickers or labels is strictly prohibited. Anything in connection therewith necessary or proper for the protection of the building, furnishings or equipment will be at the expense of the exhibitor. SECURITY A Security guard will be on duty Thursday and Friday night and until 8 am in the morning. No responsibility will be assumed by MSBA for fire, theft or other losses. No one will be allowed in the exhibit area during the off-hours, except for exhibitors at times designated. Exhibitor Credentials –Exhibitors must wear the furnished identification badges at all times. Exhibitors must furnish MSBA, in advance, with the names of their representatives attending the convention. Four exhibitor registrations are provided with each booth rental; additional exhibitor registrations are $25 each. Representatives not registered in advance must register upon arrival at the exhibit area. NONLIABILITY It is expressly understood and agreed by each and every contracting exhibitor, its agents and its guest(s) that MSBA and Tan-Tar-A Resort and officers, employees or agents of each shall not be liable for loss or damage to the goods or properties of exhibitors. At all times such goods or properties remain in the sole possession and custody of each exhibitor. The exhibitor also agrees to be responsible for securing any and all necessary licenses or consents for any (a) performances, displays, or other uses of copyrighted works or patented inventions and (b) use of any name, likeness, signature, voice or other impression, or other intellectual property owned by any third party which is used directly or indirectly by the exhibitor. Each exhibitor agrees, by signing this agreement, to indemnify and hold harmless the Missouri School Boards’ Association and Tan-Tar-A, including officers, directors, employees and agents of each, from and against any actions, liabilities, losses, costs, damages, claims and expenses (including reasonable attorneys’ fees) from loss or damages to property or bodily injury to all individuals including; customers, potential customers, the exhibitor, its agents, representatives or employees; or for copyright or trademark infringement, arising out of the exhibitor’s occupancy or use of the exhibitor facilities, regardless of the negligence of MSBA or Tan-Tar-A. INSURANCE Exhibitors represent that they and any agents or independent contractors they may employ are insured with comprehensive liability insurance, with coverage of up to $1,000,000 per claim or for all claims arising out of an act or occurrence which exhibitor or any agent of independent contractor they employ may become legally obligated to pay. ADVERTISING Exhibitors may purchase advertising space in the conference program. All advertising is subject to approval by the MSBA Board of Directors.

If you will be shipping freight, we require this form to be on file with payment, before the arrival of your exhibit material. Shipments (each item) must be labeled with all of the above information to insure delivery to proper booth. If phone calls are necessary to determine necessary show delivery information, there will be a $30 surcharge added. Credit card orders will be processed after the show is over. LIMITS OF LIABILITY AND RESPONSIBILITY
We will not be responsible for uncrated, improperly packed materials or concealed damage. We will not be responsible for damages or loss of materials after delivery to booth, during installation time, or at conclusion of show prior to delivery to outbound carrier. Therefore, exhibitor should contact their insurance carrier if necessary, to provide insurance coverage for materials from the time they leave your firm until they are returned after the show. Limit of liability is $.25 per lb. per article, with a maximum liability of $50.00 per item, and a maximum of $1,000.00 per shipment
